Stans), and JM Amalco Corp., a wholly owned subsidiary of JM Capital Corp. Old Stans was incorporated in
Ontario Sept. 26, 2005, and JM Capital Corp. was incorporated in Ontario June 6, 2006.
Background: Stans Energy Corp. operates as a resource development company with a focus on rare earth and
specialty metal properties in the areas of Central Asia and Russia. The company engages in the acquisition and
development of mineral deposits, such as uranium, molybdenum, vanadium, beryllium, lithium, and rare earth
metals in the Kyrgyz Republic. Stans Energy Corp. was incorporated in 2005 and is headquartered in Toronto,

Long Term Debt None.UNITS SOLD PRIVATELY: December 1, 2009, the company completed a private placement
for gross proceeds of Canadian Dollar (C$) 1,046,080 (or US$1,000,000) through the issuance of 20,000,000 units at
US$0.05 per unit. Each unit consisted of one Common share and one common share purchase warrant
exercisable at US$0.10. February 3, 2010, the company closed a private placement of 5,000,000 units at C$0.30
per unit for gross proceeds of C$1,500,000 and net proceeds of C$1,379,015. Each unit consisted of one Common
share and one-half Common share purchase warrant exercisable at C$0.45 for a period of 18 months. The
company paid the finders cash compensation of C$105,000 and issued non-transferable broker warrants to the
finders entitling them to acquire a maximum of 350,000 units at C$0.30 per unit for a period of two years.
COMMON SOLD PRIVATELY: October 25, 2010, the company closed a solely subscribed private placement for
3,000,000 Common shares at C$0.50 per share for gross proceeds of C$1,500,000 and net proceeds of C$1,491,750.
