MINUTES OF THE FISCAL COUNCIL'S MEETING
HELD ON JANUARY 28, 2016

DATE, TIME AND PLACE: Held on January 28, 2016, at 11:00AM, at
Avenida Dr. Marcos Penteado de Ulhôa Rodrigues, 939, 7th floor, Neighborhood Sítio
Tamboré, Torre II do Condomínio Castelo Branco Office Park, Barueri – SP.

CALL OF MEETING AND ATTENDANCE: The call of meeting was made
under the Company's Bylaws, being attended by Messrs Sebastião Bergamini Junior,
Luis Eduardo Frisoni Junior, Kurt Janos Toth, Mário Daud Filho and Marcus Pereira
Aucélio, the latter attended via teleconference. Without any voting right in the
resolutions, the alternate member of the fiscal council, Ms. Maria Carmen Westerlund
Montera, attended.
3.
BOARD: The meeting had Mr. Sebastião Bergamini Junior as its chairman and
Mr. Luis Eduardo Frisoni Junior as its secretary.
4.
AGENDA: Review of the technical feasibility study concerning the
performance of the deferred tax assets.
5.
RESOLUTIONS: Upon commencing the meeting, verifying the quorum and
validly convening this meeting, the members of the Fiscal Council:
5.1. Examined the technical feasibility study concerning the performance of tax
credit - deferred tax assets - under the terms presented by Mr. Guilherme Viegas Di
Ricco, a professional appointed by the Company.
7.
CLOSING: Having nothing further to discuss, the Chairman closed the
meeting by recording these minutes as a summary, which was read, found to be
compliant and signed by all members.
