Presentation
Pladd consulting represents the interests of a group of investors that are
pretending to implement an agro-industrial project in the north-eastern and the
south-eastern region of the Brazilian state of Pará.
Our project proposes an integrated system of production, grinding, refinement and
commercialization as like as the export of soya, corn/maize and sunflower
including their derivatives – press cakes/bran and oil.
We are searching a business partner/ trader that is willing to acquire the
agricultural products from our affiliated cultivators.
In a first step the trader may opt for exporting solely grains. On a medium-term
basis we are pretending to export oil, triturated corn and the obtained press cakes.
We actually dispose of 50,000 hectares of agricultural land and do have conditions
to expand it in the upcoming five years by further 100,000 hectares. The regions
are already active in the production of corn/maize, soya and rice.
Since March of 2007 we are realizing, in corporation with EMBRAPA (Brazilian
Agricultural Research Corporation) and EMATER/ PA, experimental plantations of
sunflower to identify the best seeds, plantation period and the appropriate
quantities of fertilizers and herbicides alike. Our aim is to achieve maximal
productivity at minimum costs and under conservation of the environment.
Concerning the plantations of 2007, different cultivation criteria were utilized in the
southern and the northern region.
The harvest of the first semester of 2008 has been cropped. The analytical results
published by EMBRAPA were excellent:

Paragominas – north-eastern region
Under application of modern plantation techniques 7 genotypes did show up
a productivity superior to national average. Four of them have a productivity
above 2,000 kg/ha. -> consult the appendix.

Pau D’Arco – south eastern region
The plantings were realized in absence of modern plantation techniques, i.e.
the lands were not prepared adequately like in Paragominas. Anyhow 11
genotypes did show up productivity equal to the national average. Based
upon these results we believe that using the modern plantation technique
suggested by EMBRAPA we will achieve a productivity level of 2,200 kg/ha
-> consult the appendix.
Anyhow some further test-planting is necessary to better define the most
productive planting period as like as considerations in respect to disease resistance
under minimal utilization of fertilizers.
Hence we can take advantage of the agricultural potential of the above mentioned
regions and export the products via the Railroad of Carajás and the sea port of
Itaqui located in the federal state of Maranhão.
The grains and sub products alike are going to be exported from the port of Itaqui,
that has an excellent infrastructure. Due to its privileged localization it permits, in
comparison to other ports in South America, a reduction in days of maritime
transport. The port is already used in greater scale for exports to Europe, the USA
and Japan among others for example of the Vale Group.

We are going to construct an agro-industrial complex in Marabá to qualify and to
quantify as like as to further process the agricultural products.
Beside the logistic advantages of the region, the project is going to enjoy fiscal
incentives by several governmental levels – federal, state and municipal alike.
It will be possible to sell the soya, sunflower and corn grains and likewise the sub
products oil, press cakes and triturated corn on the home market or on the world
market.
It is pretended to export the produced oil. The obtained press cakes may be
exported or sold locally in the state of Pará that is actually short of this product.
Press cakes/ bran used for animal nutrition is de facto imported at high prices from
southern Brazil. This impedes the further development of animal creation in Pará.
The corn grains can be sold entirely or triturated conforming to the traders needs.

Project Definition
Planting of the harvest
Our business partner (trader) will have to pre-finance part of the harvest that is
going to be planted. The pre-financing will be covered by real guarantees offered by
the affiliated cultivators.
At harvest time the trader is going to receive the crop and is going to pay the
farmers the difference between the adjusted value in the bargain and sale of the
grains and the pre-financing payments already made.
You can consult an exemplar contract in the appendix:

The contract is going to have a minimum time limit to give the investment
project more planning stability.

The pre-financing payments are going to be applied only in case of farmers
with more than 100 hectares of arable lands.

Areas inferior to 100 hectares are going to be financed at subsidized interest
by Federal Government bodies in corporation with the Banco da Amazonia
and the Banco do Brasil.

Aggressions to the environment, working as slaves and infantile work are
strictly prohibited.
Considering the agricultural process we are responsible for:

Selecting the farmers that will receive pre-financing support.

Giving legal support to the trader (business partner) during the signature of
the contract and further granting its fulfilment as like as applying penalties in
case of necessity.

Arranging stuff of surveyors legally registered at CREA/PA and accredited by
the Banco do Brasil, Banco da Amazonia and the Caixa Economica Federal.

Accompanying the entire production cycle: from the preparation of the lands
to the harvest of the crops.

Granting technical assistance to the farmers during the entire agricultural
cycle.

Verifying the plantation of the areas included in the contract and controlling
that the harvest will be directed to our agro-industrial complex.

Maintaining contact with EMBRAPA and EMATER-PA with the objective to
further rise productivity of soya, sunflower and corn as like as to better
prevent the hazard of curses.

Defining the logistics of the pre-financed inputs

Diffusing quality criteria of soya, corn and sun-flower to our affiliated
cultivators corresponding to the needs of the trader as like as payment
modalities in respect to the quality and the humidity delivered.
Export of the grains

The soya and the sunflower grains alike are completely addressed for
exportation according to established specifications by the trader.

The grains are going to be analysed within international standards by
certified laboratories.

The grains are going to be stocked in our deposit facilities and transported by
train to the port of export – Itaqui/MA – where the grains are going to be
shipped to the port of destination indicated by the trader.

We will be responsible for the logistics of the maritime shipment.
Grinding of the grains
The received soya and sunflower grains may also be grinded locally and their
derivatives – oil and press cake/ bran – stocked and distributed as follows:
Oil

The oil resulting from grinding is going to be beneficiated conforming to
established specifications by the trader to attend his consumer markets’
needs at best practice.

The produced oil will be analyzed within international standards by certified
labs.

The oil is going to be stocked in our deposit facilities and transported by train
to the port of export – Itaqui/MA – where the grains are going to be shipped
to the port of destination indicated by the trader.

We will be responsible for contraction of the cargo ships and accompany the
whole liberation and shipment process.
Press cakes/ bran

The bran is another sub-product from grinding and it is also property of the
trader.

It is a very important product for the region which is actually short of it. The
necessity of the state of Pará is costly imported from other states like Sao
Paulo and thus putting a lot of potential cattle breeder beside their breakeven point of production. Pará is home to one of the largest Brazilian cattle
herds which up to now are alimented through grass on the pasture. Due to
the fact that the north-eastern region of Brazil has only two seasons – very
dry summer and very wet winter – the herds are loosing a lot of weight
during the second part of summer having difficulties to localize grass on the
pastures. Hence the creation of cattle, pigs and fish will be vitalized through
the access to cheaper bran – our press cakes.

Part of the press cakes might be revised in form of a closer to be defined
trade exchange to affiliated farmers.

The decision to export or sell locally on the intern market is free to the trader
as owner of the press cakes.

We will be responsible for the production and will grant for the quality
established by the trader. In case of a decision for the local market we will be
responsible for the commercialization. Otherwise we will manage the
transport to the port of Itaqui as like as the shipment to the defined
destination port.
Corn/ Maize

The corn is going to be sold on the local market or alternatively exported in
form of entire or triturated grains.

Project Funding
Our trader/ business partner will be responsible for the payment of the acquired
grains from the affiliated framers.
Total investments necessary to implement the entire project – grinding factory (Oil
mill), direct investments, project management, training, working capital and project
elaboration – are estimated with R$ 95 millions ($ 41.3 million at 2.3003
BRL/USD).
We already have at our disposal R$ 70 million ($ 30.4 million at 2.3003 BRL/USD)
made up by proper resources and by financing through the Superintendência da
Amazônia (SUDAM).
Hence it is necessary that our business partner pre-finances R$ 25 million ($ 10.8
million at 2.3003 BRL/USD) to complement the investment capital necessary to
launch the entire project.
The payments made by the trader will be paid in part through our consulting
remunerations – elaboration, realization, supervision of the project.
The financial chronogram (consult an exemplar calculation) of the pre-financing
made by the trader is going to take 18 month after the underwriting of the contract
with the SUDAM.
Our business partner and our enterprise shall present a Letter of Intension of
Partnership to the SUDAM.
Transportation cost from the fields to the fabric will be covered by the affiliated
farmers.
The sales of corn and course meal in the local market are at FOB.

Direct Investments
The following table contains estimations of fix investments for the construction of
the agro-industrial complex including the grinding facility used to produce soy and
sunflower based oil, press cakes/ bran as like as triturated corn.
Expenditures related to the project elaboration and circulating capital are not
included in the estimations below. This should make up about R$ 5 million (2.17
million at 2.3003 BRL/USD).

Financing of the affiliated farmer
You can consult an exemplar contract of purchase between business partner and
trader here
The contract defines the relation between the two signatories fixing responsibilities
and rights of the trader and the affiliated cultivators.
The trader will pre-finance areas superior to 100 hectares belonging to farmers
offering real guarantees. Real guarantees are valued by registered engineers.
Areas inferior 100 hectares are financed by the federal government through the
Banco do Brasil and the Banco da Amazonia at subsidised interest.
The contract further defines time limits for price fixations, pre-financing, quality of
the grains, penalty clauses and real guarantees offered by the farmer.
The pre-financing covers:

Inputs (fertilizer, herbicides, insecticides and seeds)

Preparation of the lands

Services (pulverization and application of herbicides etc. and plantation)

Gasoline

Manpower
Expenditures related to the harvest are not beneficed by the pre-financing.
Our business partner will buy all input factors. They are going to be received from
our enterprise and forwarded to the affiliated farmers like specified in the contract
of purchase.
Manpower will be paid in cash. Gasoline will be paid directly by the trader. We are
going to contract distributers that will be responsible for delivery of gasoline to the
farmer.

The contract defines the measures being taken if a farmer won’t deliver the prespecified quality. The value of the pre-financing not covered by soya, sunflower or
maize is going to be renegotiated for the next harvest or alternatively the real
guarantees given by the farmer are going to be executed.
Our business partner pre-finances the value which he/ she considers adequate
based on the real guarantees offered and on the “history” of the farmer.
To grant that the bought inputs are used on the combined grounds were will have
technicians supervising all the steps from cultivation to harvest.
Transportation costs from the field to the agro-industrial complex are paid by the
farmers.
The quantity as like as the price of the grains that are delivered to our installation
are specified in the contract.
Production Costs – Base harvest 2008/ 2009
The quantity of inputs necessary to plant sunflower is actually studies by EMBRAPA
E EMATER/PA. The first time sunflower was cultivated in the state of Pará was in
March 2007. The ongoing research will permit a clear rural economic zoning for
sunflower cultivation in the region.
The harvest of the first semester of 2008 has been cropped. The analytical results

The utilization of Direct Plantation permits two harvests a year in the north eastern

Normally the preparation of the arable land is financed by the Banco do Brasil or
the Banco da Amazônia through subsidised credit lines. Input values will be kept up
to date relating to the EMBRAPA studies of viability.

Delivery to the port of Itaqui is up to our business partner – the value will be
defined later on.
02. Legal agricultural areas
All lands going to be contracted are titled. The plantation limits are determined by
the Instituto de Terras do Pará and the Federal Secretary of Environment.
03. Support to our business partner/ trader
To implement our agro-industrial project we depend on the financial support of our
future business partner. There are several realization options:

Trader finances the project and receives in return discounts on our service
bills.

A. Electric Energy
CELPA informed us that the estimated 4,000 KVA that our agro-industrial complex
will consume are available. In case of a future extension of our capacity CELPA will
augment the energy delivery.
B. Quality Certificate

The contract between trader and farmer defines exactly the quantity and
humidity of the grains going to be delivered and fixes the purchase price of
the grains.

The trader will define based on international standards the quality
specifications of the grains.

The Federal University of Pará attests the quality of the products that it will
analyze.

Eletrobrás is actually investing R$ 5 millions in the construction of a
laboratory.

Local market sales and logistics if the trader opts for that alternative.
Our remuneration regarding the services described above will be fixed in the
contract. Part of our remuneration will be used to pay back our liabilities with our
business partner trader due to the pre-financing made.
Management cycle of the project
Our future business partner/ trader will sign with our enterprise – pladd consultoria
- the contract of support to implement the agro-industrial project in the state of
Pará.
Farmers present real guarantees to obtain pre-financing of their harvest by the
trader.

Our enterprise analyses the guarantees given by the cultivators and presents a
report to the trader.
The trader defines the value of pre-financing based upon the accepted guarantees.
Pladd consulting prepares the fiscal financial chronogram related to the prefinancing.
The chronogram is approved by the farmers and the trader.
We providence the acquisition of the input factors and establish the moods of
distribution of the same. Further we supervise the usage of the inputs and the
development of the harvest.
Our enterprise accompanies the liberation of the monetary pre-financing to the
farmers.
We establish the logistics to receive the grains at the agro-industrial complex as
like as the payment modalities of the harvest.
Reports based on the delivery of the harvest regarding quality, quantity and value
as like as eventual breaches of contract by the farmer due to crop failures or other
factors alike.
Stockpiling of the grains in our agro-industrial complex in Marabá.
Start of the grinding process of the grains generating press cakes and oil which are
afterwards processed to get the quality of the traders needs.
Transportation to the maritime port of Itaqui/MA and organization of the shipment
– contracting cargo ships etc. – to the port of destination.
In case of local selling of the course meal:
Part of it may be used as “change” to buy the grains delivered by the farmers.

CLAUSULA
TERCEIRA:

QUALIDADE
A íuoroodoxia do objeto do presente contrato será clasificada de acordo com as
técnicas de procedimento de classificação adotados pela COMPRADORA, no ato
do .recebimento da mercadoria, a cada carga reccbida.,utilizando
seus
equipamemos. e sua tabela de descontos a ser aplicada sobre: as cargas que
apresentarem qualidade inferior contratada, a qual é de pleno conhecimento e
aceitação por pane do VENDEDOR; sendo admitidos os- percentuais de
tolerância adiante especificados.
PARAGRAFO 1: O VENDEDOR
garante Á COMPRADORA que a quantidade da
mercadoria ultrapassará os percentuais abaixo estabelecidos e caso fique
constatado que a qualidade da mercadoria entregue dos armazéns da
COMPRADORA é inferior á contratada ( com percentual maior de unidade de
impurezas etc..) a mesma fica autorizada pelo VENDEDOR a aplicar os
descontos de peso segundo sua tabela de desconto. Na hipotese da mercadoria
ser entregue e retirada pela COMPRADORA nos armazéns do VENDEDOR, com
aferição de peso e da qualidade ao ato da retirada ( do embarque ), fica
expressamente ajustado entre as partes que não serão admitidas cargas com
qualidade inferior á contratada e que, a carga será prontamente recusada e não
será recebida pela compradora.
PARAGRAFO 2: As quantidades entregues pelo VENDEDOR comprovar quando
ao peso liquido e peso ..... pelos documentos de recebimento emitidos pela
COMPRADORA por ocasião da entrega de cada partida, permanecendo as
amostras á disposição do VENDEDOR pelo prazo de 72 horas, contudo da data
de entrega da mercadoria, findo esse prazo, não mais será aceita qualquer
reclamação cobre a classificação e seus rejeitos.
PARAGRAFO 3: No ato do recebimento da mercadoria, todas as cargas erão sua
qualidade aferida, e serão admitidos os seguintes percentuais de tolerência:

PARAGRAFO 4: A COMPRADORA poderá recusar cargas contaminadas com
sementes óxicas, tratadas/inoculadas, ou ainda se a mercadoria apresentar
resíduos de aflatoxina ou resíduos acima dos limites estabelecidos pela
legislação vigente.
PARAGRAFO 5: O VENDEDOR declara também que a mercadoria objeto do
presente contrato foi e/ou produzida de acordo com as normas aprovadas
pelo Ministério da agricultura e que, caso for comprovada a presença de
organismos geneticamente modificados na mesma, a compradora poderá
efetuar as retenções permitidas pela legislação brasileira relacionadas a
eventuais.
CLÁUSULA QUARTA: DA ENTREGA
A mercadoria objeto do presente contrato será entregue da seguinte forma:
PARÁGRAFO 1: No armazém da COMPRADORA, situado no Município de

PARAGRAFO 2: Na hipótese de ter sido ajustado que a entrega da
quantidade contratada possa ser feita, parceladamente, a mora, ou o ao
cumprimento integral de qualquer parcela, implicará no imediato antecipado
vencimento, de pleno direito, de todo o saldo vencido, independentemente
de qualquer notificação.
CLAUSULA QUINTA: DA FIXAÇÃO DO PREÇO DEFINITIVO DA MERCADORIA
As partes fixadas, de comum acordo, o preço definitivo da mercadoria a ser
entregue

deste
contrato,

com
as
regras
e
procedimentos abaixo discriminados, e tendo como base a exportação da

PARAGRAFO 1: N hipótese das datas-finais ajustadas acima para fixação de o preço

sábados e domingos, as fixações serão efetuadas no último dia útil anterior ao
vencimento.
PARAGRAFO 2: Na hipótese do VENDEDOR e COMPRADORA não fixarem, de comum
acordo, o preço definitivo da mercadoria te a data final de cada prazo acima
ajustado, e para cada quantidade a ele vinculada a compradora procederá à fixação
do preço definitivo da quantidade tendo como base a exportação da mercadoria, de
acordo com a seguinte tabela de cálculo:

obtendo-se o preço bruto da mercadoria por tonicidade métrica, que terá
crescido ou diminuído o prêmio a ser informado pela corretora incluída pela

US$ 26.000/Ton. destinados remunerar todos os serviços a realizar para a
entrega da mercadoria no porto, tais como:

C) As despesas com o transporte da mercadoria, no entanto, não
contemplam no desconto acima aplicado e serão descontadas observando
o seguinte:
c.1) descontadas as despesas totais acima, e dividindo-se o saldo por
1000 e multiplicando por 60Kg obter-se-á o preço definitivo por saca de
60 (sessenta) quilos da unidade de mercadoria com prazo de fixação
vencido a ser creditado ao VENDEDOR.
d) A fixação do preço Definitivo fixada nos termos deste parágrafo, por
saca de 60 quilos liquido de mercadoria terá seus valores .... uma vez
que a fixação do preço definitivo tem como base principal as cotações das
mercadorias na bolsa de mercadorias de Chicago (USA).
e) O pagamento da quantidade da mercadoria fixada nos termos deste
parágrafo desde que entregue, será efetuado no décimo do mês de
referencia CBO convertido, relativo ao dia anterior ao do pagamento,
ficando excluídas todas as demais cotações, tais como dólar turismo, bem

como, todas as variações adicionais em função de feriados em New YorkUSA.
PARAGRÁFO 3: Uma vez fixado o preço definitivo, este será inalterado,
ainda que possam ocorrer variações de preço no mercado, bem como
intempéries que prejudiquem a produção, que são circunstâncias de risco
previsível dos quais as partes tem ciência.
PARAGRÁFO 4: Considerando que a mercadoria objeto do presente
contrato é adquirida para exportação, o vendedor deverá efetuar sua
entrega á COMPRADORA livre de quaisquer tributos ou taxas, conforme a
legislação vigente na data da efetiva entrega/recebimento, especialmente
do imposto sobre a Circulação de Mercadorias e Serviços (ICMS).
PARAGRAFO

Do
preço
definitivo
fixado
conforme
acima,
a
COMPRADORA, efetuará as retenções determinadas pela legislação
vigente quer sejam decorrentes de legislação federal, estadual ou
municipal, tais como:

Para mercadoria “declarada RR”, não será aplicado o teste, deslocando-se

É de responsabilidade exclusiva do VENDEDOR comunicar à COMPRADORA a
existência de eventuais “créditos de isenção” junto à MONSANTO, para que o

o crédito do valor correspondente.

conforme prevê o art. 383 com relação á antecipação efetuada por conta do
preço ou do pagamento integral do preço, quer com referência á obrigação de
entregar coisa incerta, bem como, com relação á multa contratual pactuada.
Na hipotese de serem firmados, entre VENDEDOR e COMPRADORA, outros
contratos, estes últimos procederão com relação as partidas de mercadorias que

Fica vedado ao VENDEDOR, sem expresso consentimento da COMPRADORA,
ceder ou transferir o presente contrato, ou qualquer direito dele decorrente.
O VENDEDOR declara que se responsabiliza pelo cumprimento de todas as leis,
regulamentos e atos normativos pertinentes á proteção ambiental, inclusive ás
areas destinadas as licenças necessárias para o pleno desenvolvimento de suas
atividades bem como se obriga a adotar todas as medidas agrícolas, sem
qualquer agressão, perigo ou risco ao meio-ambiente, assumindo expressamente
todos os ônus ou sanções que decorram de eventuais infrações dessa natureza.
Não
obstante
o
caráter
de
irrevogabilidade
do
presente
contrato,
e
independentemente da penalidade previstas em caso de eventualinadimplência
relacionada aos compromissos específicos da venda de mercadoria aqui
ajustadas, a COMPRADORA poderá rescindir o presente compromisso de compra
e venda na hipótese do VENDEDOR vir a ser condenado pelas autoridades
competentes por descumprimento de suas obrigações legais relativas ao Meio
Ambiente e aos Direitos Humanos.

8.929, de 22.08.94, á COMPRADORA DE GRÃOS LTDA. CNPJ sob n°
xx;xxx;xxx/0001-xx, ou á sua ordem a quantidade de um milhão duzentos milç
quilos liquidos de feijão soja industrial em grão, a granel, avaliada, nesta data,
em R$ 609.000,00, clausulas e condições que seguem:
I – QUALIDADE:
O produto a ser entregue será classificado, no ato da entrega, de acordo com as
técnicas equipamentos e procedimentos de classificação utilizado pela CREDORA,
com o seguinte padrão mínimo de qualidade:
a) Até 14% de umidade;
b) Até 1% de impurezas;
c) Até 8% de grãos avariados ( Grãos brotados, imaturos, danificados e máximo de
6% de grãos mofados e 5% de grãos ardidos).
d) Até 8% grãos Esverdeados( grãos que apresentam coloração esverdeada na casca
e na polpa) constatados excessos no padrão minimo e qualidade compromissado,
a CREDORA fica autorizada a proceder aos respectivos descontos de peso segundo
sua tabela.

O EMITENTE declara, também, podendo a CREDORA realizar as análises que
julgar necessário e, caso constatada a preseça de tais organismos, poderá
