Estudo dos cadernos de
encargos e conceção das ferramentas.
Para responder à diversidade dos mercados,
as ferramentas de furação, de fresagem, de desbaste,
de interpolação, de pocketing são concebidas em
CAO 3D volúmico (Solid Works). A empresa dispõe de
cinco estações de trabalho que realizam as primeiras
simulações antes de passar para a produção. A força de
venda técnica e o departamento de estudos de Diager
Industrie comprometem-se em responder aos problemas de
maquinagem dos seus clientes e envolvem-se na otimização
do desempenho e dos custos.
Plataformas de provas
São efetuados testes de validação, ora numa
plataforma de provas Huron KX 10 (24 000 tr/ min,
pulverização central 50 Bars ou micro lubrificação
central), ora numa plataforma UPA (Unidade Portátil
Automatizada) dedicada à aeronáutica.
Para determinar os pontos de funcionamento das
ferramentas, estas máquinas de provas são equipadas
de meios aquisitivos para a realização de P.F.M. (Par
Ferramenta Matéria).
Controlo das peças
Medidas tridimensionais para determinar
as capacidades das ferramentas : dispersão das cotas entre
diferentes desbastes, desbastes ovais,
controlo dos ângulos das fresagens (CP-CPK)
Medição da rugosidade : Controlo dos estados das superfícies.
Palmer 2 teclas : Controlo dos desbastes.
Micrómetro 3 teclas : controlo dos desbastes.
Montagem especial para controlo das limalhas.
Controlo ferramentas
Câmera Digital ampliação ótica x 10 x 320 : desgaste Controls e bordas acuidade.
Medidas dimentionnelles a laser
memorização.

Condições gerais de vendas
1 - GENERAL
1.1- DIAGER markets two large categories of products, one of “standard products”, which are the
items featured in the DIAGER catalogue, the other of “specific products”, defined by special production
specifications, a particular conditioning or, generally, by individual commitments required by the Customer
such as a distributor’s brand name.
1.2 - The specific products defined above will, in addition to the present provisions, be the object of the
signature of a partnership set up between DIAGER and the Customer, the contents of which are outlined in
Article 11 hereunder.
1.3Any order of goods implies that the purchaser fully accepts and adheres, without reserves, to the terms
and conditions of sale hereof, which shall prevail over any other purchase document, in particular the
general terms and conditions of purchase.
2 - ORDERS
2.1 – Orders received are only valid after being expressly accepted by us, in particular orders taken by
telephone or via a sales representative.
2.2 - The Customer irrevocably accepts the terms of orders transmitted to our Company, unless agreed
otherwise by us. Under this assumption, our Company is not under the obligation to maintain the initial
deadlines. Furthermore, as far as remainders are concerned, the Customer will inform us when placing
its orders whether remainders are to be managed or not. If not indicated on the order, remainders will be
managed.
2.3 – In the event that a Customer may order goods from our Company without having paid for previous
order(s), our Company may refuse to accept the order, the Customer being entitled to no compensation for
any reason whatsoever.
2.4 – Any cancellation of an order will generate a refund of expense liabilities: tooling, materials, labour,
etc…
3 – DELIVERIES
3.1 – Deadlines
3.1.1 – Delivery dates are given for indicative purposes. Delivery delays for any reason or incident leading
to total or partial slowdown or stoppage of our workshops, failure by our suppliers or force majeure may
not generate any penalties or cancellation of orders.
3.1.2 – In any case, delivery may be undertaken within the deadlines only if the Customer is up-to-date
as regards to its obligations towards our Company, the Customer being entitled to no compensation
whatsoever.
3.1.3 - In the case of specific products mentioned in 1.1 above, and except in cases caused by force majeure
events, DIAGER accepts the consequences of the obligations it is put under by the Customer in relation to
the compliance with the rate of service, crucially subject to the Ccustomer communicating to DIAGER its
monthly orders forecast by reference every year in December for the following year.
3.2– Conditions
Delivery is carried out either by directly handing over the product to the Customer, or by a simple notice of
availability, or by release to a forwarding or haulage agent at our premises.
3.3 - Risks
Any transportation, insurance, customs and handling operations are borne at the expense and risk
of the purchaser. The latter should check the consignments on arrival and make its claims against the
transportation agents, in compliance with Article L. 133-3 of the Commercial Code, even in the event of
dispatching on a postage and shipping paid basis. Should the seller undertake dispatching, the consignment
is sent “postage/shipment due”, at the lowest rates, unless otherwise expressly requested by the purchaser
and, in all cases, under the entire responsibility of the latter.
4 - QUALITY
4.1 – DIAGER undertakes to maintain the quality of its products under the terms of its ISO 9001
accreditation.
4.2 – Rejects do not imply that delays in payment of good parts are permitted.
4.3 – In the event of sub-contracted work, we guarantee that such work is undertaken exclusively in
accordance with the notes, tolerance margins and specifications, as expressly indicated to us.
4.4 – In the case of the specific products defined in 1.1 above, the Customer must outline in the specifications
of the partnership agreement mentioned in 11 below all the characteristics of the parts to be manufactured,
notably in relation to the material shades, the reference standards and the general tolerance for the
dimensions without mention of margins on the drawings. On another hand, the Customer will be allowed to
visit the manufacturing premises of the supplier at any time, and may, at his own expense, monitor himself
or through his chosen representatives, quality controls on the Products.
5 – RETURNED GOODS
Any goods returned are subject to a written agreement between our Company and the Customer. Any goods
returned without such agreement will be made available to the Customer and no credit note issued.
Risks and expenses related to returned goods shall always be borne by the Customer.
Any returned goods accepted, once checked, will generate at the choice of our Company:
-Either a credit note prepared on behalf of the Customer
-Or replacement of the goods.
6 – GUARANTEES
6.1 - Scope
The guarantee is strictly limited to the replacement of parts recognised by our factories as being faulty,
excluding any damages claimed for any reason whatsoever.
6.2 - Conditions
Presentation of the paid invoice is required prior to implementation of our guarantee.
Any claims shall be made within 30 days subsequent to reception of the goods.
6.3 - Exclusions
Any conspicuous defects, flaws and degradation caused by normal wear-and-tear, external accident
(incorrect assembly, faulty maintenance, abnormal use, etc.) and third party intervention are excluded.
In the event that the Customer may touch up, or have touched up by third parties, any parts considered as
faulty, no invoice or expense claim will be accepted without our prior, specific agreement.
6.4 – Particular products
In the event of manufacturing parts according to models or drawings supplied by the Customer, the latter
will undertake to compensate us for any prejudice caused in pursuance of intellectual property laws
(patents or registration of models).
7 - PRICES
7.1 a) Standard products :
i - Prices are established at the date of ordering. They are net in euros «ex works» prices excluding tax on
the basis of a price list transmitted to the purchaser. Prices are rescaled according to rates of raw material
supplies and labour costs as per the I.N.S.E.E. index, pursuant to current legislation, in particular in cases
of open orders, staggered deliveries, etc.
ii - Prices can be reviewed under the following conditions, according to the average cost price structure
outlined in the table hereunder:
Each price of these products will evolve according to the following basic indexes:
- Alloy steel, source SAARSTAHL website, basis September 2009 = Ao = 353€ / ton
- Carbide : Umt, source METAL BULLETIN, Tungsten European Free market, basis September 2009 = Bo =
USD=197,5/MTU
- Cardboard: PPI, source RISI Inc. Belgium, basis September 2009 = Co = 116,00
- Barrel of oil, basis September 2009 = Eo = USD 67,61/baril
- Added value: INSEE consumer prices increase, basis September 2009 = Fo = 119,37
The review will be implemented twice yearly, on 1st July and 1st January, by application of the following
formula:

7.1 b) Specific products:
i - DIAGER and the Customer agree on a negotiated pricelist. This pricelist is based on the conditions of
Article L. 441-7 of the Commercial Code, and on:
-manufacturing specifications,

-a range of specific products,
-a specific conditioning,
-a volume of purchase,
-and, generally, specific conditions.
For this purpose, the Customer’s tender must detail in a sufficiently accurate way all the above-mentioned
features.
ii - Prices are fixed on the date of order. They are net, “ex-works”, before tax, on the basis of the negotiated
pricelist. They are reviewed under the conditions of article 7.1.a.ii above.
7.2 – On ordering, any change in measurements, margins of tolerance, quantities, etc. will lead to automatic
rescaling of the proposed price inasmuch as such changes affect such price.
7.3 – Preliminary batches or prototypes are invoiced at cost price.
7.4 – In the event that manufacturing is stopped at the request of the Customer for parts trials or any other
reasons, stoppage times are invoiced according to current, hourly machine-rates.
7.5 – Any taxes, dues or other payments pursuant to the laws of France or of any country of import or transit
and any changes in such between the date of order and the date of invoice will be borne by the purchaser.
Postage and shipping will be borne by the purchaser unless a prior written agreement of the supplier is
obtained.
8 – PAYMENT TERMS
8.1 – Goods are payable at our registered office. However, for the first year of commercial relations, payment
of the outstanding balance is at 30 days of invoice. Furthermore, our Company will notify the Customer of
the credit limit granted to it.
8.2 – While making the payment, the Customer will specify the detail of the regulated invoices.Any sum
unpaid by the Customer at due date will generate penalties calculated on an interest rate fixed at three times
the legal rate. Such penalties are payable ipso jure, simply upon request by our Company.
Moreover, our Company reserves the right on the one part to refer to the relevant jurisdiction in order to
put a stop to such failure, subject to a daily penalty applicable to each day of delay in payment and, on the
other part, to amend the payment terms granted to the Customer in order to obtain a cash payment for the
following orders.
8.3 – In the event of contentious proceedings, in order to recover an unpaid receivable, a 15% surcharge will
be applied to the sum owed for prejudice and business disturbance, any taxes being payable in addition, as
damages applicable by right.
8.4 - Our Company will not grant any discounts for payments in cash or earlier than the date arising here
from.
8.5 – If the event of an incident, the Customer shall inform our Company in writing of the details of this
incident. At the end of each month, the Customer will draw up a monthly list of incidents not dealt with by
our Company. Our Company must have previously acknowledged any incident in writing for compensation
to be paid.
8.6 – In relation to amounts that may be owed by DIAGER to the Customer, DIAGER, after having given its
agreement under the form of a credit note (or the reception of an invoice for services provided by the
customer and compliant with the contractual terms), authorises the Customer to operate a compensation
between the amounts due by DIAGER and those due to DIAGER by the Customer.
9 – OWNERSHIP RESERVE
The seller reserves the right of ownership to the goods until principal and interest are fully paid up. Failing
payment of the price at the agreed due date, our Company may recover the goods, the sale being annulled
by right, as our Company sees fit, and any down payments will become ours by right in return for use of the
goods obtained by the Customer and in order to cover any losses related to resale.Suspension of payments
by the Customer will render the authority to resell null and void. Failure to pay any instalment whatsoever
will entail an indistinct claim to the goods, equivalent to the unpaid amount.
10 – ACT OF GOD (force majeure)
The occurrence of force majeure will result in suspension of performance of its contractual obligations
by our Company. Force majeure is any event that is independent of our Company’s will, obstructing its
normal running at the stage of manufacturing or dispatching the goods. The following are considered as
cases of force majeure: total or partial strikes hindering the correct operation of our Company or of any
suppliers, subcontractors or haulers and interruption of transportation, energy supplies, raw materials or
spare parts. In such circumstances, our Company will notify the Customer within 72 hours of the date of
occurrence of events, the contract binding our Company and the Customer being suspended by right, with
no compensation as of occurrence of the event.
11 – PARTNERSHIP ON SPECIFIC PRODUCTS
According to Article L. 441-7 of the French Commercial Code, when engaged into commercial relations
over specific products, DIAGER and the Customer agree to sign a partnership agreement, which will include
all legal obligations, a reminder of the present general terms of trading, in particular the negotiated
pricelist outlined in Article 7.1 b) i as well as the price review set out in Article 7.1. b) ii, and the following
provisions:
- Specifications incorporating all the administrative, commercial and technical details, as well as the
drawings to enable the manufacture, conditioning and delivery of the products,
- Duration: the contract covers a period of one years from the date of the Customer’s first order. The duration
will be extended tacitly for an equivalent period, except if either party informs the other, by recorded post
with proof of delivery, and at least three months before the expiry of the ongoing period, of its intention to
not envisage the extension of the contract at the end of the initial period or any subsequent. - At the time
of partnership termination or of a change of the range of products, the Customer undertakes to purchase,
under the terms agreed, the stocks of packed products held by DIAGER as well as the packaging bearing
the Customer’s brand name. Such commitment will not apply in the following events: termination of the
relation at the initiative of DIAGER or termination initiated by the Customer pursuant to a proven fault
ascribable to DIAGER..
- Contribution to the household packaging: in compliance with the European Directive 94/62/CE modified
and the respective national regulations, the producer (if present on local market) or the importer of packed
goods shall declare and pay the relating contribution on household packaging to the local Green Dot System
(Pro Europe member).
- Information conveying: in order to ensure the proper fulfilment of the commercial relation, the Customer
informs DIAGER of the details (name, address, telephone, fax, e-mail) of appointed contacts, and undertakes
to notify to DIAGER any change to this list:
Person in charge of the DIAGER file at the Customer’s,
Suppliers’ accounts department.
12 – TERMINATION OF THE COMMERCIAL RELATIONS
Any improper termination of the commercial relations causing a detriment to our Company will lead to
compensation being due to our Company by the co-contracting party.
13 - ENVIRONMENT AND ETHICS
13.1 - DIAGER undertakes to respect the environment in accordance with its certification ISO 14001.
13.2 - DIAGER undertakes and requires of its Customers to also undertake to respect the fundamental
principles recalled in the charter of ethics of DIAGER.
14 – ATTRIBUTION OF JURISDICTION
14.1 – Customers of FRANCE
In the event of dispute, attribution of competence is made with the courts of Besancon (25), France and this
whatever the conditions of sale and the mode of payment accepted even in the event of call in guarantee
or of plurality of defendants.
14.2 – Customers OUT OF FRANCE
Any litigation arising herefrom, in particular with regard to the validity, interpretation, execution or
annulment hereof shall be settled in pursuance of the laws of France and referred to the International
Chamber of Commerce (ICC) of Paris for arbitration in pursuance of Article 1455 of the new Code de
Procédure Civile (French code of civil procedure).
15 – LAWS APPLICABLE
The law of France shall govern issues related to the terms and conditions of sale hereof and any sales
concluded by the Company.
16 – VALIDITY
The present general terms of trading will take effect from 01.01.2010.
