In conjunction with (i) the offer by Marfrig Holdings (Europe) B.V. (“Marfrig Holdings”) to purchase
for cash any and all of its 11.250% Senior Notes due 2021 (CUSIP Nos. 56656UAE2 and N54468AC2
/ ISIN Nos. US56656UAE29 and USN54468AC22), pursuant to the offer to purchase, dated
September 29, 2015, and (ii) the offer by Marfrig Holdings and Marfrig Overseas Limited (“Marfrig
Overseas”) to purchase for cash, pursuant to, and up to the aggregate consideration amounts
described in the offer to purchase, dated September 29, 2015, the 6.875% Senior Notes due 2019,
issued by Marfrig Holdings (CUSIP Nos. 56656UAF9 and N54468AD0 / ISIN Nos. US56656UAF93
and USN54468AD05), the 8.375% Senior Notes due 2018, issued by Marfrig Holdings (CUSIP Nos.
56656UAA0 and N54468AA6 / ISIN Nos. US56656UAA07 and USN54468AA65), and the 9.500%
Senior Notes due 2020, issued by Marfrig Overseas (CUSIP Nos. 56656PAB9 and G5814RAB4 / ISIN
Nos. US56656PAB94 and USG5814RAB45), we hereby confirm cancellation of such notes in the
aggregate amount listed below, with effect from October 28, 2015:
