Oferta

Aquisição das Ações Ordinárias
emitidas
pela
Companhia
Providência Indústria e Comércio
(“Companhia”), por conta e ordem da
PGI Polímeros do Brasil S.A.
(“Ofertante”), datado de 11 de
setembro de 2015 (“Edital”) (“Oferta”).
We make reference to the Unified
Tender Offer Notice for the Acquisition
of the Common Shares issued by
Companhia Providência Indústria e
Comércio (“Providência”) on behalf
and for the account of PGI Polímeros
do Brasil S.A. (“Offeror”), dated as of
September 11th, 2015 (“Tender Offer
Notice”) (“Offer”).
Todos os termos iniciados em letras
maiúsculas e não expressamente aqui
definidos
terão
os
mesmos
significados a eles atribuídos no Edital
e em seus respectivos anexos.
Terms initialized in capital letters not
defined in this Agreement shall have
the meanings assigned to them in the
Tender Offer Notice and its respective
attachments.
Pelo presente instrumento particular
de
procuração,
a

nomeia e constitui seu procurador
CITIBANK, N.A., instituição financeira
organizada e existente de acordo com
as Leis dos Estados Unidos da
América (“Outorgado”), conferindo-lhe
poderes para, em conjunto ou
separadamente, independentemente
da ordem de nomeação, atuar como
seu procurador no âmbito da Garantia
Limitada prevista no item 3.5.2(c)(vi)
do Edital, a qual tem por finalidade
garantir o pagamento do Valor Retido
no âmbito da Oferta. Para tanto, o
Outorgante outorga ao Outorgado
poderes para exercer todos e
quaisquer direitos concedidos ao
Outorgante nos termos da Garantia
Limitada, podendo arrecadar as
obrigações descritas na Garantia
Limitada, dar recibos e quitações,

granted to the Grantor under the
Limited Guarantee, being permitted
to collect the obligations described in
the Limited Guarantee, to give
receipts and releases, to settle, to
dirimir, renunciar a direitos, novar,
