Ser Educacional Releases the Appraisal Report of
Centro Educacional e Desportivo FASE
Recife, February 19, 2015 - Ser Educacional (BM&FBOVESPA SEER3, Bloomberg
SEER3:BZ and Reuters SEER3.SA), one of the largest private education groups in
Brazil and leader in the Northeast and North regions in number of students enrolled,
hereby informs the conclusion of the appraisal report on the assets acquired within the
scope of the acquisition of Centro Educacional e Desportivo Fase Ltda., supporting
entity of FASE – Faculdade Santa Emília (“Acquisition”).
The appraisal report concluded that the Acquisition of Faculdade Santa Emília does not
represent a relevant investment for the Company, under the terms of item I, Article 256
of Law 6404/76 of December 15, 1976, as amended (“Brazilian Corporation Law”); and
the average price of each quota did not exceed one point five the amounts indicated in
item II of Article 256 of the Brazilian Corporation Law.
Therefore, the Company informs that:
(i) the Acquisition of Faculdade Santa Emília will not be submitted to ratification by the
Company’s shareholders at the shareholders’ meeting; and
(ii) considering Paragraph 2 of Article 256 of the Brazilian Corporation Law and the
amounts stated in the appraisal report, there will not be right to withdrawal in view of
such Acquisition.
