FATO RELEVANTE
IMPLEMENTAÇÃO DA ASSOCIAÇÃO ESTRATÉGICA COM
AMERISOURCEBERGEN CORPORATION
A Profarma Distribuidora de Produtos Farmacêuticos S.A. – BM&FBOVESPA: PFRM3 – (“Companhia” ou
“Profarma”) os termos do disposto no Art. 157, § 4º, da Lei nº. 6.404, de 15.12.1976 (“Lei das Sociedades por Ações”), e
na Instrução CVM nº. 358, de 3 de janeiro de 2002, conforme alterada, informa ao mercado e ao público em geral que a
as operações para a associação estratégica com a AmerisourceBergen Corporation referidas no fato relevante datado
de 24 de março de 2014 foram concretizadas, com a consumação do investimento efetuado por sua afiliada BPL Brazil
Holding Company, no valor de R$ 186.680.182,50 correspondentes a 8.296.897 ações ordinárias representativas de
aproximadamente 19,99% do capital social da Companhia após o aumento de capital deliberado nos termos da
assembleia geral de acionistas realizada em 12 de maio de 2014, tendo sido subscritas no total, após o período de
subscrição e da rodada única de sobras, 8.300.762 ações ordinárias no valor total de R$ 186.767.145,00, montante
superior ao limite mínimo estabelecido para o aumento.
Desta forma, considerando que a deliberação da assembleia geral de acionistas que aprovou o aumento estabeleceu
valor mínimo e máximo para a subscrição, permitindo a homologação parcial no caso de subscrição do valor mínimo, e
que foi tal valor foi atingido, os membros do Conselho de Administração decidiram pela homologação parcial do
Aumento de Capital da Companhia, sendo canceladas as ações não subscritas.
Ainda, a Companhia informa que nesta data foi também assinado um acordo de acionistas entre a BMK – holding,
controladora da Profarma e a BPL Brazil Holding Company tendo a Companhia como interveniente no âmbito da
associação estratégica e implementada a formação da joint venture com participação igualitária da Profarma e da BPL
Brasil Participações Ltda., controlada indiretamente pela AmerisourceBergen Corporation, objetivando a atuação no
mercado de especialidades farmacêuticas.

MATERIAL FACT
IMPLEMENTATION OF THE STRATEGIC ASSOCIATION WITH
THE AMERISOURCEBERGEN CORPORATION
Profarma Distribuidora de Produtos Farmacêuticos S.A. – BM&FBOVESPA: PFRM3 – (“Company” or “Profarma”), in
compliance with Section 157, Paragraph 4, of Law 6404, dated 12.15.1976 (“Brazilian Business Corporation Act”) and CVM
Instruction 358, dated January 3, 2002, as amended, announces to the market and the general public that the procedures
required by the strategic association with the AmerisourceBergen Corporation and referred to in the material fact notice dated
March 24, 2014 have been completed, with the investment made by its affiliate BPL Brazil Holding Company, totaling
R$186,680,182.50 and corresponding to 8,296,897 common shares, or 19.99% of the Company’s capital stock after the
capital increase approved under the terms established by the shareholders' meeting held on May 12, 2014. A total of
8,300,762 common shares, in the amount of R$186,767,145.00–greater than the lower limit set for the increase–had been
subscribed by the end of the subscription period and the single reoffering of unsubscribed shares.
Consequently, the Board of Directors approved a partial increase in the Company's capital and canceled the unsubscribed
shares in view that the general shareholders’ meeting that approved the increase established a lower and an upper limit for
the subscription and authorized the approval of a partial increase should the minimum amount be subscribed, and that such
minimum amount was effectively reached.
The Company further informs that, upon this date, BMK–Profarma’s parent company–and BPL Brazil Holding Company
signed a shareholders’ agreement in which the Company served as an intervening party, in connection with the
aforementioned strategic association, and Profarma and BPL Brasil Participações Ltda., controlled indirectly by the
AmerisourceBergen Corporation, established a joint venture–in which each owner has a 50% equity stake–to expand its
presence in the specialty market.
