CONDIÇÕES GERAIS DE COMPRAS MATERIAL DIRETO I - PREMISSAS I.1. FCA como simplesmente se denominará a COMPRADORA, FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. I.2. Designando-se tão somente como FORNECEDOR o destinatário do instrumento de contratação emitido. I.3. Estará também regulado por estas CONDIÇÕES GERAIS DE COMPRAS, o envio de materiais ao FORNECEDOR, em regime de "industrialização por encomendas", denominado CONTATRABALHO, regido por procedimento específico da FCA, que o fornecedor declara conhecer e aceitar. I.4. Considera-se direito da FCA receber as mercadorias em regime de qualidade assegurada, isto é dispensando toda e qualquer necessidade de inspeção/verificações por parte da FCA, observados demais termos e determinações desta CONDIÇÕES GERAIS DE COMPRAS. I.5. É vedado, sem prévia autorização escrita da FCA, a cessão e/ou transferência dos direitos e obrigações objeto de contrato de fornecimento, formulados pela FCA ao FORNECEDOR. II - DEFINIÇÕES E INTERPRETAÇÃO II.1. Os termos a seguir, quando utilizados na presente CONDIÇÕES GERAIS DE COMPRAS, grafados no singular ou plural, deverão ser entendidos conforme definido a seguir: II.1.1. “mercadorias”: significa as peças, componentes, conjuntos, subconjuntos, matéria prima, serviços de engenharia, serviços de limpeza, transporte, logística, e demais não aqui especificados, objeto de contrato de fornecimento; II.1.2. “fornecimento”: significa a entrega, abastecimento de mercadorias; II.1.3. “contrato de fornecimento”: significa qualquer contrato, pedido de compras e/ou ordem de compra de bens e serviços, e/ou outro documento hábil que configure transações comerciais firmado pela FCA e um FORNECEDOR e que atenda as Exigências de Compras; II.1.4. “instrumento de contratação”: significa contrato de fornecimento; II.1.5. “exigências de compras”: significa as Exigências de Compras, por parte da FCA, de todos os produtos e serviços de qualquer natureza, sejam eles tangíveis ou intangíveis, inclusive, entre outros, materiais diretos ou indiretos, serviços, maquinário e equipamentos; II.1.6. “FCA”: significa a FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA., sociedade devidamente constituída, com estabelecimento industrial localizado em Betim/MG; II.1.7. “FORNECEDOR”: significa qualquer pessoa física e/ou jurídica, devidamente credenciada a fornecer bens e serviços à FCA; II.1.8. “Partes”: significa a FCA e o FORNECEDOR; II.1.9. “Breakdowns”: significa planilhas eletrônicas e/ou outra similar e/ou formalizado documentos escritos em papel, para detalhamento de formação de custo e preço, de produtos vários; II.1.10. “Step”: significa etapa; II.1.11. “Verifica Progetto”: significa verificação do projeto; II.1.12. “Delibera Attrezzare”: significa autorização para a construção dos meios de produção; FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 -1- II.1.13. “Benestare”: significa aprovação das amostras; II.1.14. “Looping virtuais”: significa revisões virtuais; II.2. Demais termos têm suas definições e interpretações nas próprias cláusulas. III - ACOMPANHAMENTO DO CONTRATO DE FORNECIMENTO III.1. A FCA nomeará através da área contratante, pessoas devidamente credenciadas, como seus representantes legais, para acompanhar o exato cumprimento do contrato de fornecimento, não importando tal acompanhamento em exoneração das obrigações técnicas, legais e contratuais assumidas pelo FORNECEDOR. IV - DO PREÇO IV.1. Para apreciação e inicio de negociação de preços, deverá o fornecedor apresentar à FCA, breakdowns de custos em conformidade com documentos próprios emitidos pela FCA e fornecidos na fase de cotação. IV.2. Os breakdowns poderão, a critério da FCA, ser utilizados como bases para aprovação e fixação pela FCA dos preços iniciais e de futuras alterações que venham a envolver eventuais modificações no processo, no produto e nos fatores de custo que componham a formação do preço. IV,3 Os breakdowns devem contemplar, ainda, todos os custos com embalagens, a não ser que de outra forma isto venha a ser dispensado; IV.4. O FORNECEDOR deverá apresentar ao setor competente da FCA, proposta técnica das embalagens especificas, em formulário padrão, “Manual de Embalagens – CEFF – CARACTERISTICAS EMBALAGENS PARA FORNECIMENTO Á FCA. IIV.5. O preço fixado no respectivo instrumento de contratação é firme, não podendo ser alterado, ainda que a título de reajustamento, senão mediante concordância expressa da FCA. IV.6. A FCA se reserva no direito de rescindir o contrato de fornecimento, cancelar, total ou parcialmente, na hipótese de julgar inconvenientes as alterações de preço pretendidas pelo FORNECEDOR. IV.7. Incluem-se nos preços pactuados, ressalvados apenas o nele eventual e expressamente declarado como de responsabilidade da FCA, todo o fornecimento de materiais, mão-de-obra, transporte de pessoal, encargos sociais, trabalhistas e previdenciários, seguros, alimentação, equipamentos, despesas de administração de pessoal e quaisquer tributos ou contribuições devidas ou que venham a ser devidas em função do contrato de fornecimento e /ou da sua execução. V - IMPOSTOS E TAXAS V.1. Os tributos (impostos, taxas, emolumentos, contribuições fiscais e parafiscais) que sejam devidos em decorrência direta ou indireta do respectivo instrumento de contratação ou de sua execução serão de exclusiva responsabilidade do FORNECEDOR. V.2. A FCA, quando fonte retentora, descontará e recolherá, nos prazos da lei vigente, dos pagamentos que efetuar, os tributos a que esteja obrigada pela legislação vigente. V.2.1. O FORNECEDOR, desde já, autoriza, de forma expressa e irrevogável, que a FCA, promova se for o caso, a dedução de valores, por este devido, ao INSS, em decorrência, direta ou indireta, da execução do respectivo instrumento de contratação. V.2.2. Esse valor, se não corretamente destacado na nota fiscal emitida pelo FORNECEDOR, será recolhido pela FCA, observada a legislação pertinente, no limite máximo por esta indicado. Se, durante sua execução, forem criados ou modificadas as alíquotas dos tributos, encargos trabalhistas ou previdenciários, de forma a, comprovadamente, majorar ou diminuir os ônus do FORNECEDOR, estes poderão ser revistos a fim de adequá-los a essas modificações compensandose, se for o caso, na primeira oportunidade, quaisquer diferenças decorrentes dessas alterações. VI - DO FATURAMENTO, COBRANÇA E PAGAMENTOS VI.1. As mercadorias deverão ser entregues acompanhadas da documentação exigida em lei, na qual se indicará, outrossim: a) número completo do respectivo instrumento de contratação; b) número de seu código no cadastro de fornecedores FCA; c) local de descarga das mercadorias; d) número / código da FCA e denominação das mercadorias. e) fazer constar na Nota Fiscal de Prestação de Serviços, o município onde será realizado o serviços contratado. VI.2. As notas fiscais devem se referir apenas às mercadorias do mesmo contrato de fornecimento. A FCA não trabalha com nota fiscal para entrega futura. Exceções serão admitidas apenas com autorização escrita do setor fiscal e da unidade de Planejamento e Controle. VI.2.1 O FORNECEDOR deverá emitir notas fiscais para saída de mercadorias (vendas, remessas para industrialização, remessas em demonstração, remessas para testes, devoluções, etc.), de acordo com a legislação em vigor, gerar dados em sistema informativo, cópia fiel dos dados das notas fiscais, de acordo com tecnologia disponível, homologada pela FCA, de conhecimento do FORNECEDOR, e transmiti-los à FCA, através do Aviso de Embarque (padrão ANFAVEA RND004), ou ASN (Advanced Shipping Notice), que é um processo obrigatório e garante o bom funcionamento do fluxo logístico de materiais. VI.2.1.1. O Aviso de Embarque a ser enviado pelo FORNECEDOR à FCA só será aceito pela quando todos dados forem corretamente validados no sistema de gestão informativo da FCA, o que deve ocorrer antes do recebimento dos materiais na portaria da FCA. VI.2.1.2. Em casos excepcionais e acordados com a FCA o FORNECEDOR deverá colar no verso de cada nota fiscal, cópia fiel dos dados gerados das notas fiscais, em código de barras bi-dimensional, conforme especificações e solicitação da FCA, em consonância com as melhores tecnologias disponíveis no mercado. VI.2.2. Os pagamentos decorrentes do contrato de fornecimento, somente serão efetuados contra apresentação da primeira via das Notas Fiscais respectivas e sua respectiva fatura. VI.2.2.1. Ocorrendo extravio de documentos, o FORNECEDOR deverá providenciar e enviar à FCA, cópias autenticadas, em cartório ou na própria Secretaria da Receita Estadual dos mesmos, prevalecendo nesta caso, a legislação do estado onde se encontra o estabelecimento industrial do FORNECEDOR. VI.2.3. Nas faturas, notas fiscais e CTRC ( Conhecimento Transporte Rodoviário de Cargas), emitidos contra a FCA, deverão, obrigatoriamente, constar o numero do respectivo instrumento de contratação a que se referem. VI.3. À FCA não poderá ser atribuída qualquer responsabilidade, relativamente a eventuais pagamentos pôr ela liquidados com atraso, em decorrência de irregularidade no faturamento do FORNECEDOR. VI.4. Os pagamentos são efetuados na sede da FCA, em BETIM, onde as faturas e duplicatas, devem ser entregues ao menos 15 (quinze) dias antes do vencimento. VI.4.1. O não atendimento do prazo aludido neste item, implica na prorrogação automática do prazo de pagamento, por tantos dias quantos houver de atraso, sem ônus para a FCA e sem prejuízo dos descontos e das vantagens a que a FCA tenha direito. A FCA poderá compensar de qualquer pagamento devido ao FORNECEDOR, qualquer importância que lhe seja devida pelo FORNECEDOR ou se preferir poderá cobrá-la em juízo. VI.6. Fica expressamente vedado ao FORNECEDOR emitir títulos de credito e/ou valor contra a FCA, bem como, principalmente, negociá-los com terceiros, notadamente bancos, financeiras, factorings e/ou fomento mercantil, dentre outros, sem que tenha o correspondente crédito reconhecido pela FCA, por escrito, e, ainda, haver demonstrado o cabal cumprimento de todas as suas obrigações contratuais assumidas no contrato de fornecimento. Fica, ainda, expressamente vedada, a vinculação deste instrumento em operações de qualquer natureza, que o FORNECEDOR e/ou a FCA, tenham ou venham a assumir perante quaisquer terceiros, sob pena de cobrança de perdas e danos daí decorrentes, além dos demais direitos estabelecidos nestas CONDIÇÕES GERAIS DE COMPRA e no respectivo instrumento de contratação. VI.7. Eventuais faturamentos do FORNECEDOR impugnados pela FCA, através de Nota de Débito, desde já autorizadas pelo FORNECEDOR, poderão ser objeto de analise entre as partes, em reunião a se realizar em até 30(trinta) dias da data de sua impugnação, da qual se lavrará termo de ajustamento, sob pena de ser tal faturamento definitivamente rejeitado e cancelado. VI.7.1. Constatada ser devida a fatura anteriormente impugnada, a FCA providenciará seu pagamento ao FORNECEDOR, corrigindo-se o valor lançado pela variação da TR (Taxa Referencial), ou outro indexador permitido pelo governo, ao seu alvitre, considerando o período compreendido entre o dia do vencimento da fatura impugnada e a data do seu efetivo pagamento. VII - DO FORNECIMENTO E DO PRAZO DE ENTREGA VII.1. O fornecimento pactuado deve observar o local, a programação, as condições e regras de entrega; as especificações técnicas das mercadorias devem corresponder rigorosamente àquelas prescritas pela FCA, o que será garantido pela adoção das necessárias operações de inspeção de qualidade por parte do FORNECEDOR. Fica, expressamente estabelecido que a conformidade qualitativa das mercadorias e as boas condições de entrega são contrapartidas irrenunciáveis dos preços pagos pela FCA. VII.2. Não cumpridos, pelo FORNECEDOR, os prazos de entrega estabelecidos pela FCA, esta, a seu critério, pode cancelar o respectivo instrumento de contratação, independentemente de aviso ou interpelação, caracterizando-se, a rescisão, pela recusa em receber as mercadorias entregues fora do prazo, sem prejuízo da exigibilidade da multa prevista no item XXIII. VII.3. A FCA tem o direito de não receber ou de devolver quantidades de mercadorias remetidas em excesso pelo FORNECEDOR, podendo simultaneamente e à sua opção declarar cancelado o respectivo instrumento de contratação na forma e tempo do disposto neste item. VII.4. O FORNECEDOR deverá embalar, identificar com etiquetas em código de barras ou outro meio devidamente autorizado/solicitado, conforme especificação e embarcar as mercadorias adequadamente, de acordo com as exigências da FCA (manuais aplicáveis), de conhecimento do FORNECEDOR, (“manual de embalagens”, “world car”), das transportadoras envolvidas e, quando aplicável, do país de destino. VII.4.1. As identificações dispostas em cada embalagem e a identificação das mercadorias nas relações de seu conteúdo, nos conhecimentos de embarque e nas faturas auxiliam a FCA e/ou seus prepostos, na identificação das mercadorias adquiridas. VII.5. Ocorrendo não conformidade de entrega, que requeira ação de retrabalho por parte da FCA ou de seus prepostos, tais como troca de embalagem não conforme por embalagem conforme, emissão de etiqueta de identificação de materiais/embalagens, separação e devolução de material excedente e/ou outra atribuição não conforme que vier a ser detectada, os custos resultantes serão reembolsados pelo FORNECEDOR à FCA, podendo, inclusive, ser compensados pela FCA no primeiro pagamento que vier a ser devido ao FORNECEDOR e/ou subseqüentes, procedimento esse expressa e irrevogavelmente por este autorizado. VII.5.1. O FORNECEDOR fica obrigado, às suas expensas, a manter e a conservar as embalagens de propriedade da FCA, em perfeitas condições de uso, tal como lhe foram entregues, de forma a FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 -4- propiciar segurança no transporte dos mercadorias e de forma que, ao ser solicitada a devolução das mesmas, esta ocorra apenas com o desgaste decorrente do uso normal. Ocorrendo desgaste por uso indevido e não tendo o FORNECEDOR efetuado a devida correção, após, notificado pela FCA, esta o fará, podendo, inclusive, debitar ao FORNECEDOR, no primeiro pagamento que vier a ser devido, e/ou subseqüentes, os custos incorridos, procedimento esse expressa e irrevogavelmente por este autorizado. VII.6. Se ações ou omissões do FORNECEDOR resultarem no não cumprimento dos requisitos de entrega à FCA, e a FCA exigir uma modalidade mais ágil de transporte das mercadorias do que aquela que originalmente determinou, o FORNECEDOR deverá remeter as mercadorias da forma mais ágil possível, arcando com os custos envolvidos, ou a FCA o fará, debitando ao FORNECEDOR, os custos resultantes, no primeiro pagamento devido e/ou subseqüentes, sem prejuízo da exigibilidade da multa prevista no item XXIII. VIII – INSPEÇÃO, CONTROLE E GARANTIA VIII.1. O FORNECEDOR garante/assegura que as mercadorias abrangidas pelo respectivo instrumento de contratação estarão em conformidade com especificações, desenhos, amostras ou descrições fornecidos pela FCA ou concordados formalmente com a mesma, sendo produzidos nas melhores condições técnicas, com mão de obra adequada e isentos de defeitos, bem como o transporte efetuado se verificará em respeito aos regulamentos e normas da FCA, como também as exigências legais vigentes sobre Medicina, Segurança e Higiene do Trabalho, legislações especificas de meio ambiente e do corpo de bombeiros no âmbito federal, estadual e municipal. VIII.1.1. Adicionalmente o FORNECEDOR reconhece que está ciente do uso das mercadorias pretendido pela FCA, e garante/assegura que todas as mercadorias abrangidas pelo respectivo instrumento de contratação que tenham sido escolhidas, projetadas, fabricadas ou montadas pelo FORNECEDOR, com base na especificação de uso estabelecida pela FCA, serão adequadas e suficientes para os fins específicos pretendidos pela FCA. O prazo de garantia será aquele previsto pela legislação brasileira, a não ser que a FCA ofereça prazo maior a seus consumidores para as mercadorias instaladas nos veículos, caso em que tal prazo maior será aplicado, concomitantemente. VIII.2. Pode a FCA, quando for o caso, solicitar ao FORNECEDOR, tantas vezes quantas necessárias, amostras das mercadorias, objeto do instrumento de contratação, independentemente de quaisquer pagamentos, inclusive de tributos. VIII.2.1. Baseada nos testes de controle de qualidade que realizar, a FCA pode, no prazo de 90 (noventa) dias para o mercado interno e 180 (cento e oitenta) dias para o mercado externo, contados de seu recebimento, rejeitar as mercadorias de qualidade inadequada, ainda que as tenha total ou parcialmente pago, aceitando o FORNECEDOR a devolução e suportando o ônus e as despesas emergentes. VIII.2.2. A FCA não responde por indenização de qualquer natureza em decorrência da inutilização das mercadorias submetidas aos testes de controle de qualidade. VIII.3. É facultado à FCA o direito de devolver as mercadorias em virtude de defeitos ou vícios ocultos. VIII.3.1. Os vícios ou defeitos ocultos encontrados em determinada remessa, asseguram à FCA o direito de rejeitar e devolver total ou parcialmente as mercadorias constantes daquela remessa. VIII.3.2. As mercadorias rejeitadas de aplicação no mercado interno serão colocadas à disposição do FORNECEDOR, que terá 48 (quarenta e oito) horas para retirá-las, ou a ele devolvidas por sua conta e risco, tendo a FCA o direito de, a seu exclusivo critério, exigir a reposição pelo mesmo preço, ou considerar a devolução definitiva, compensando-se, em qualquer das hipótese, as importâncias já pagas com fornecimento futuro ou exigindo o seu reembolso. VIII.3.2.1. As mercadorias rejeitadas, de aplicação no mercado externo (exportação), não serão colocadas à disposição do FORNECEDOR, em virtude do que impõe a normativa brasileira, tendo a FCA o direito de a seu exclusivo critério, exigir a reposição pelo mesmo preço, ou compensando-se, as importâncias já pagas com fornecimento futuro ou exigindo o seu reembolso. Quanto à determinação do volume e valores das peças em garantia no mercado externo, a serem reembolsadas à FCA considera-se direito do FORNECEDOR optar pela análise destas “in loco” ou aplicar o percentual verificado e considerado procedente pelo FORNECEDOR, relativo às analises efetuadas nos últimos doze meses, para a mesma peça, no mercado brasileiro. VIII.3.2.2.1. Independentemente da opção do FORNECEDOR a FCA o informará sobre a quantidade e a localização das peças, objeto da rejeição. VIII.3.2.2.2. Se a opção for pela analise “In loco”, o FORNECEDOR deverá fazê-la imediatamente após ter sido comunicado pela FCA, conforme item VIII.3.2.2.1. retro. VIII.3.2.2.3. Sendo a opção de reembolso pelo percentual verificado no mercado brasileiro, fica reservado à FCA, o direito de aplicar dito percentual com base na informação ECA (efeito, causa e ação), registradas no SCP (sistema de controle de peças). VIII.3.2.3. Em qualquer situação o reembolso será efetuado de acordo com o disposto na cláusula VIII.4. VIII.3.3. O direito de devolver as mercadorias em virtude de vícios ou defeitos ocultos pode ser exercido pela FCA a qualquer tempo, desde que dentro dos períodos e prazos de garantia que a FCA assegura aos produtos e os quais, sendo de pleno conhecimento do FORNECEDOR, são também assinados como prazos de garantia para as mercadorias do contrato de fornecimento. VIII.3.4. As mercadorias não conformes, devolvidas pela FCA ao FORNECEDOR, deverão ser imediatamente sucateadas, não podendo em hipótese alguma ser comercializadas com terceiros. VIII.4. As mercadorias entregues em desacordo com as especificações contratadas mas que, a critério da FCA, possam ser utilizadas após simples reparos serão: VIII.4.1. devolvidas ao FORNECEDOR para que este, às suas expensas e risco, efetue as reparações requeridas; VIII.4.2. reparadas pelo FORNECEDOR, nas instalações da FCA, em local denominado área de seleção e reparação para fornecedores da Unidade Operativa Montagem, pelo que o FORNECEDOR reembolsará à FCA à título de armazenagem, conforme preço praticado pelo mercado, sempre que, em determinado mês, houver necessidade do FORNECEDOR proceder à reparação de peças, de seu fornecimento; VIII.4.2.1. esse valor será devido pro rata die, independentemente do volume de peças a reparar, que poderá, inclusive, ser compensado no primeiro pagamento devido ao FORNECEDOR, e/ou subseqüentes, procedimento esse ora expressa e irrevogavelmente autorizado. VIII.4.2.2. o prazo para pagamento dessa armazenagem, seja em moeda corrente, seja através da compensação ora autorizada, será o dia 15 (quinze) do mês subseqüente ao daquele em que ocorrer qualquer reparação. VIII.5. Todas as despesas diretas, tais como, testes, devolução e substituição de mercadorias do FORNECEDOR, quer sejam diretamente incorridas pela FCA e/ou pela rede de Concessionárias/Assistência Técnica Autorizada, e todas as despesas indiretas incorridas com outros fornecedores e/ou rede de Concessionárias/Assistência Técnica Autorizada, em função dos inconvenientes provocados por peças defeituosas serão de responsabilidade do FORNECEDOR, que reembolsará a FCA, inclusive mediante compensação, a qual poderá ser levada a efeito no primeiro pagamento devido ao FORNECEDOR e/ou nos subseqüentes, procedimento esse que ora fica expressa e irrevogavelmente autorizado. VIII.5.1. O FORNECEDOR deve disponibilizar análise técnica das peças substituídas em garantia pela FCA. A qualidade técnica dessa análise deve ser tal que garanta a detecção de todos os inconvenientes da peça, bem como suas causas. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 -6- VIII.5.1.1.As analises técnicas das peças substituídas devem ser elaboradas pelo FORNECEDOR em conformidade com as normas e procedimentos da FCA, descritos no documento PADDPG – PROCEDIMENTOS PARA ANÁLISE DE DEVOLUÇÃO DE PEÇAS EM GARANTIA. VIII.5.2. O FORNECEDOR deve elaborar, para as peças de seu fornecimento, controle quantitativo e estatístico, nos moldes preconizados pela FCA, bem como deve respeitar os procedimentos por esta preconizados (p. ex. emissão de notas fiscais, relatórios, prazos de análise, identificação) para análise técnica das peças substituídas em garantia. VIII.6. Na eventualidade de ser urgente a necessidade da utilização das mercadorias a serem reparadas, a FCA, notificando o FORNECEDOR, mas agindo independentemente de sua confirmação ou acordo preliminar, pode realizar os reparos exigidos em suas oficinas ou nas oficinas de terceiros, porém, sempre sendo ressarcida pelo FORNECEDOR das despesas e ônus emergentes. VIII.7. Por outro lado, o controle de qualidade exercido previamente pela FCA não exime ou restringe a responsabilidade do FORNECEDOR por eventuais prejuízos causados a terceiros, ou à FCA, em decorrência de defeitos nas mercadorias. VIII.7.1. Ocorrendo defeitos nas mercadorias aplicadas em veículos, em circulação ou não, que requeiram ação de correção, fica o FORNECEDOR obrigado, após notificado pela FCA, a proceder, em até 24 (vinte e quatro) horas, a substituição da(s) peça(s) defeituosa(s), sem prejuízo das obrigações de indenização a terceiros e/ou de reembolsar a FCA pelos prejuízos diretos e indiretos causados em decorrência desse defeito. VIII.8. O FORNECEDOR deverá manter controles que permitam, com total segurança, em caso de defeito em qualquer peça ou componente de sua produção, realizar rastreamentos, transmitindo as respectivas informações à FCA. VIII.9. Deverá igualmente o FORNECEDOR acatar instruções da FCA no sentido de inserir marcação específica em todos os produtos de sua fabricação, destinadas pela FCA à sua linha de montagem ou à reposição, marcando também de forma distinta as peças que serão comercializadas diretamente com terceiros pelo próprio FORNECEDOR. Estas marcações deverão obedecer a especificações da FCA, abrangendo inclusive componentes internos de conjuntos. VIII.9.1. Sem prejuízo das cominações legais e contratuais, responderá o FORNECEDOR por perdas e danos, em caso da constatação, pela FCA, de que peças estão sendo comercializadas em desacordo com suas marcações específicas, vedada expressamente, por outro lado, a comercialização com terceiros, de peças construídas sob desenho FCA e/ou com ferramental desta ou ainda com a marca FCA. VIII.10. Não sendo o FORNECEDOR, o autor do projeto relativo ao(s) item(ns) objeto do contrato de fornecimento, o início de fornecimento pelo mesmo, implicará de pleno direito, por parte do mesmo, o reconhecimento inequívoco de que tal projeto é exeqüível, estando tecnicamente correto, assumindo o FORNECEDOR, em conseqüência, total responsabilidade pela qualidade e perfeito desempenho do produto, nos exatos termos das demais cláusulas deste instrumento. VIII.10.1. Por outro lado, caso o FORNECEDOR tenha algum óbice à execução do projeto, deverá apresentá-lo por escrito à FCA. O início de produção somente se dará após a elucidação das dúvidas apresentadas e realização de ajustes no projeto, se for o caso, do que as partes farão lavrar um termo. IX - ALTERAÇÕES IX.1. Fica reservado à FCA o direito de, a qualquer tempo, determinar alterações ou solicitar ao FORNECEDOR que faça alterações em desenhos e especificações de mercadorias ou que, de qualquer outra forma, altere o escopo do trabalho objeto do contrato de fornecimento, incluindo os trabalhos relativos à inspeção, a testes ou a controle de qualidade, sendo que o FORNECEDOR concorda em prontamente fazer tais alterações. Qualquer diferença de preço ou de prazo para execução resultante de tais alterações será equitativamente ajustada pela FCA, após o recebimento da documentação na forma e com os detalhes por ela determinados, devendo os novos prazos e FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 -7- novos preços ser especificados no contrato de fornecimento, sem prejuízo da exigibilidade da multa prevista no item XXIII, se ocorrerem atrasos na entrega das peças modificadas, conforme as alterações dos desenhos comunicadas. IX.2. Ocorrendo alterações nas especificações técnicas dos desenhos, por solicitação da FCA, esta fica obrigada a exaurir ou comprar o estoque de produtos acabados ou em fase de construção em quantidade que, de qualquer forma, não poderá ser superior à soma das entregas previstas para o mês no qual for dado o aviso prévio de modificação ou anulação e para o mês sucessivo. IX.2.1. Ocorrendo alterações nas especificações técnicas dos desenhos de peça de segurança “REPORT”, que requeiram imediata substituição na linha de montagem e no campo, por erro de projeto da FCA, esta fica obrigada a comprar o estoque de produtos acabados ou em fase de construção em quantidade que, de qualquer forma, não poderá ser superior à soma das entregas previstas para o mês no qual for notificado o aviso prévio de modificação ou anulação e para o mês sucessivo. X – QUALIDADE, DESENVOLVIMENTO E CODESIGN X.1. O FORNECEDOR concorda em participar dos programas de qualidade e desenvolvimento de fornecedores da FCA, e em atender todas as exigências e procedimentos de qualidade determinados pela FCA, incluindo as eventuais revisões e atualizações, na forma estabelecida pelos Requisitos do Sistema de Qualidade, amplamente divulgado pela FCA e de conhecimento do FORNECEDOR. Adicionalmente, a FCA terá o direito de visitar as dependências do FORNECEDOR, em horários razoáveis, para inspecionar as instalações, os produtos acabados e em produção, objeto do contrato de fornecimento, os materiais em estoque e qualquer propriedade do FORNECEDOR abrangida pelo respectivo instrumento de contratação. A eventual inspeção qualitativa pela FCA quer seja durante a fabricação, antes da entrega, ou em um período razoável de tempo, após a entrega, não isentará o FORNECEDOR de suas responsabilidades e não constituirá a aceitação de quaisquer mercadorias em processo de fabricação ou finalizadas. X.2. O contrato de fornecimento para desenvolvimento, construção e modificação de ferramentas pelo FORNECEDOR, com recursos financeiros liberados pela FCA, deverão contemplar obrigatoriamente condições de pagamentos previstas na normas FCA. X.2.1. O FORNECEDOR é o único responsável pela fiel construção do ferramental em suas instalações fabris ou de terceiros contratados, de acordo com as especificações, vida útil e outros requisitos técnicos definidos pela FCA e, aceitos pelo FORNECEDOR, que não poderá em momento algum se eximir de tal responsabilidade, inclusive quanto à reconstrução de novo ferramental, às suas expensas, se necessário, para garantir a vida útil contratada em número de peças, definido através de pedido de compras ou outro instrumento contratual. X.3. Para cada caso de modificação de peças, conforme as alterações dos desenhos comunicadas, devem ser especificados no contrato de fornecimento os prazos para apresentação das amostras e para envio do 1º lote de peças modificadas e os custos decorrentes de atrasos no cumprimento destes prazos, se não concordados previamente com a FCA, serão debitados ao fornecedor, conforme previsto no item XXIII. X.4. Caso o FORNECEDOR não cumpra com os prazos estipulados no contrato de fornecimento da peça nova, ou modificada, quando o motivo da modificação for para redução de custo, após o prazo definido para atuação da modificação, a FCA modificará o contrato de fornecimento, para suportar as peças "antigas", pelo mesmo preço da peça nova, ou modificada, ou seja, com a redução de custo prevista. X.5. Cabe ao FORNECEDOR, em CODESIGN, cumprir com todas as atribuições previstas nas normas FCA 07235 “Procedura per la Gestione Delle Attività di Codesign Prodotto” e FCA 07674 “Check-list di Riscontro delle attività previste da Reliability Design Review per componenti codesign”. X.5.1. A parceria em co-design inicia-se na fase de impostação e desenvolvimento do produto, com ênfase em cálculo dimensional, target setting, plano de atendimento, desenvolvimento step dois com factibilidade de estilo, desenvolvimento step três com loopings virtuais, verifica progetto e FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 -8- com delibera attrezare. Todas as informações necessárias serão disponibilizadas pela FCA ao FORNECEDOR. X.5.1.1. Documentação técnica indica a documentação construtiva de detalhes (indicação de cotas, seção dos materiais e especificações dos mesmos, e das normas e “capitolato” FCA de referência), ou seja, os desenhos 2D e 3D, que deverão ser elaborados pelo FORNECEDOR em conformidade com os procedimentos FCA, fazendo uso de softwares indicados pela FCA; X.5.1.1.1. O FORNECEDOR deverá entregar à FCA toda a documentação técnica definitiva, dentro dos prazos acordados, junto com a documentação de suporte elaborada (cálculos FMEA, matemáticas, etc.) conforme padrões e normas FCA; X.5.1.1.2. Toda e qualquer solução técnica inovadora, que venha ter origem em determinado acordo de codesign não poderá em nenhuma hipótese ser reclamada pelo FORNECEDOR, como patente, sendo que exceções serão tratadas e acordadas a parte; X.5.1.1.3. Cabe ao FORNECEDOR em codesign fazer constar em seus desenhos, uma tabela ou outro meio qualquer, que mencione e especifique claramente os componentes de reposição com seus respectivos códigos, devendo ainda haver espaço para menção dos correspondentes códigos da FCA, que permitam a correta identificação destes componentes por todos os envolvidos quer sejam da FCA ou do FORNECEDOR, nos processos logísticos e comerciais. X.5.1.1.3.1. Para a definição dos componentes de reposição, destinados ao abastecimento da rede de Concessionárias, o FORNECEDOR se compromete a acatar todas as exigências para desmembramento ou formação de kits efetuados pela FCA, à exceção dos casos em que o FORNECEDOR comprove junto a FCA, a sua inviabilidade técnica. X.5.2. O FORNECEDOR se compromete, ainda, sempre que expressamente solicitado pela FCA a: i) produzir a(s) peça(s) através de sociedade designada, nos países onde a FCA se encontra legalmente constituída; ii) em caso de produção em outro país, estipular com a sociedade designada local, em igualdade de condições, acordo mediante o qual o FORNECEDOR oferecerá à mesma assistência técnica e know-how, para colocá-la em condições de produzir a(s) peça(s) com a qualidade e confiabilidade exigidas pelo Projeto e com custos e preços internacionalmente competitivos; iii) Não tendo o FORNECEDOR condições em cumprir a obrigação supra mencionada, obriga-se o FORNECEDOR a conceder à FCA, com base nos acordos firmados pelas partes autorização para a FCA sub-licenciar, a título não oneroso, a outros licenciados ou terceiros, a tecnologia de produção, visando permitir ao outro produzir com base no projeto técnico objeto do acordo, peças para suas próprias necessidades e/ou para licenciados FCA. XI - DO DIREITO DE PROPRIEDADE E PRIVILÉGIOS XI.1. Os desenhos ou modelos da FCA não podem ser copiados ou transmitidos a outras pessoas ou por qualquer forma utilizados pelo FORNECEDOR. Em consequência, a produção de mercadorias baseada em desenhos, modelos ou amostras FCA, devem ser, pelo FORNECEDOR, limitadas às quantidades estabelecidas e entregues à FCA, obrigando-se o FORNECEDOR a destruir eventuais excedentes ou as que a FCA, havendo rejeitado, haja devolvido. XI.2. O FORNECEDOR reconhece configurar ato ilícito a fabricação e o comércio que não sejam objeto de contrato de fornecimento da FCA de qualquer mercadorias baseadas em desenhos, modelos ou amostras da FCA, quer para reposição de qualquer gênero, independentemente de terem sido ou não fabricadas e comercializadas com utilização do nome ou sob as marcas e sinais distintivos da FCA. XI.3. Os desenhos, os modelos e as amostras, bem como peças, equipamentos, ferramental, material e especificações técnicas, entregues e confiadas ao FORNECEDOR para execução do pedido, objetivam exclusivamente essa execução e, por isso, cedidos gratuita e precariamente pela FCA, a ela devem ser devolvidos pelo FORNECEDOR, uma vez entregue(s) e aceita(s) mercadorias objeto FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 -9- do contrato de fornecimento, ou a qualquer momento, se solicitado pela FCA. XI.4. Executado o contrato de fornecimento, o FORNECEDOR dá à FCA ampla e total garantia de que a(s) mercadorias que fornecerá não foram, e não serão produzida(s) com a violação ou contratação de patentes de invenção ou de licenças exclusivas de sua utilização, assegurando à FCA a livre e legítima utilização e comércio dessa(s) mercadorias no Brasil e no exterior. XII - INFORMAÇÕES SOBRE COMPONENTES, ADVERTÊNCIAS E INSTRUÇÕES ESPECIAIS XII.1. Se solicitado pela FCA, o FORNECEDOR lhe enviará de imediato, na forma e com os detalhes que esta determinar: a) uma lista de todos os componentes das mercadorias; b) a quantidade de todos os componentes das mercadorias; c) a relação de todo(s) o(s) material(is) auxiliar(es) utilizado(s) para embalar e transportar a(s) as mercadorias destinada(s) à exportação; d) informações referentes a quaisquer alterações ou adições em tais componentes. XII.2. Antes do embarque das mercadorias e no momento em que o mesmo ocorrer, o FORNECEDOR concorda em fornecer à FCA etiquetas ou cartazes de advertência e aviso suficientes, por escrito (o que inclui rótulos adequados das mercadorias, nos contêineres e na embalagem), sobre qualquer material perigoso que seja um componente ou que faça parte de qualquer das mercadorias, em conjunto com instruções especiais de manuseio, caso venha a ser necessário instruir as transportadoras. XII.3. Todo envio de 1º lote de peças contendo alterações de projeto, modificadas com D.U.M. (data última modificação), ou com novos números de desenhos, deve ser devidamente identificado e destinado ao Box da Qualidade Recebimento da FCA, para a devida inspeção e liberação. Deve ficar claro ainda que os primeiros lotes de peças modificadas, ou novas, em hipótese alguma, poderão ser enviados diretamente para as linhas de montagem, sob pena do fornecedor ter de arcar com as responsabilidades decorrentes do uso inadvertido pela FCA de um lote de peças modificadas sem a devida assinalação, segundo as recomendações previstas pelas instruções especificadas do instrumento de contratação. XII.3.1. Referidos lotes deverão ser obrigatoriamente acompanhados do respectivo CQC (Certificado de Qualidade Conformidade), com controle dimensional, matéria prima e outras provas de qualificação. XII.3.2. Quando do envio de lotes modificados o FORNECEDOR deverá informar a FCA - Box Qualidade Recebimento, por meio eletrônico, o número da nota fiscal, data de emissão, quantidade enviada, identificação das peças, número da nova DUM e respectivo documento de aprovação FCA (prática de benestare/CQC). XII.3.2.1. As informações de modificações deverão estar registradas na nota fiscal e na etiqueta de identificação do produto (scheda SIP 9.01105). XIII - OBRIGAÇÕES DO FORNECEDOR XIII.1. Em razão do quanto aqui pactuado e para minimizar eventuais processos de descontinuidade na cadeia produtiva, o FORNECEDOR se obriga a, durante a vigência deste e até que todas as suas obrigações tenham sido cumpridas: a) entregar à FCA dentro de 45 (quarenta e cinco) dias após o fim de cada semestre de seu exercício fiscal um balanço referente ao semestre encerrado, acompanhado da conta de lucros e perdas, demais demonstrações e fluxo de caixa com visão para o exercício seguinte, documentos esses assinados por dois Diretores (ou pelo responsável direto), e em forma com os princípios contábeis geralmente aceitos no Brasil; b) entregar à FCA dentro de 90 (noventa) dias após o fim de seu exercício fiscal o balanço anual, respectiva demonstração da conta de lucros e perdas, demais demonstrações e fluxo de caixa com visão para o exercício seguinte, documentos esses assinados por dois Diretores (ou pelo responsável FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 10 - direto), acompanhados de relatório de Auditores independentes, de reconhecida reputação no mercado brasileiro e internacional; c) entregar à FCA, sempre que solicitado, dentro de 30 (trinta) dias após o fim de cada trimestre de seu exercício fiscal um balanço referente ao trimestre encerrado, acompanhado da conta de lucros e perdas, demais demonstrações e fluxo de caixa com visão para o exercício seguinte, documentos esses assinados por dois Diretores (ou pelo responsável direto), e em forma com os princípios contábeis e aceitos pela legislação brasileira; d) prontamente apresentar à FCA, quando solicitado, quaisquer informações a respeito de sua situação econômico-financeira, suas operações ativas e passivas e suas atividades, na forma e frequência indicadas pela FCA. e) informar imediatamente à FCA, da propositura ou instauração de qualquer Processo ou Procedimento Judicial ou Administrativo, cujo desfecho possa de qualquer forma, afetar desfavoravelmente sua condição econômico-financeira, seus bens e/ou quaisquer de suas atividades; f) informar imediatamente, quando houver, todas as alterações societárias e anualmente a atualização dos seus dados cadastrais. XIII.2. O FORNECEDOR declara que as informações e demonstrativos financeiros, não auditados são completos e corretos e refletem com precisão suas condições financeiras e o resultado de suas operações até aquela data, tudo de acordo com os princípios contábeis geralmente aceitos no Brasil. XIII.2.1. O FORNECEDOR declara ainda, estar ciente de sua responsabilidade e de seus prepostos previstas no Código Civil, instituído pela Lei 10.406, de 10 de janeiro 2002, com destaque para o artigo 1.169 e ss. XIII.3. Respeitar os regulamentos e normas da FCA, como também as exigências legais vigentes sobre Medicina, Legislação Tributária, Segurança e Higiene do Trabalho, Legislações Específicas de Meio Ambiente e do Corpo de Bombeiros no âmbito Federal, Estadual e Municipal durante a execução das atividades, objeto do contrato de fornecimento, no estabelecimento industrial da FCA, localizado em Betim/MG, ou em qualquer outro lugar. XIII.4. Responsabilizar-se, integralmente, pelos bens de propriedade da FCA sob sua guarda, em regime de comodato ou não. XIII.5. Responsabilizar-se por atos de subempreiteiras eventualmente autorizadas pela FCA. XIII.6. Aceitar toda e qualquer decisão da FCA no tocante à substituição de empregados, que atuam no estabelecimento industrial desta, localizado em Betim/MG, alocados para a execução das atividades, objeto do contrato de fornecimento, toda vez que, a exclusivo critério da FCA, se tornarem indesejáveis. XIII.7. Cumprir todas as exigências da FCA, quando requerido, para identificação dos seus empregados, materiais, equipamentos, ferramentas e veículos destinados à execução das atividades no estabelecimento da FCA, localizado em Betim/MG, objeto do contrato de fornecimento. XIV – PROPRIEDADE DO FORNECEDOR XIV.1. A não ser que de outra forma seja aceita pela FCA, o FORNECEDOR manterá em bom estado e substituirá, quando necessário e às suas expensas, todas as máquinas, equipamentos, ferramentas, guias, matrizes, calibres, gabaritos, moldes, modelos e outros bens de sua propriedade (Propriedade do FORNECEDOR), necessários à produção própria para atender às mercadorias da FCA , inclusive quando os mesmos forem específicos para reposição. XIV.1.1. O custo das alterações na Propriedade do FORNECEDOR, necessários para fazer as adaptações de projeto e de especificações autorizadas pela FCA, será pago pela FCA nos casos em que houver concordância prévia e escrita da mesma neste sentido. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 11 - XIV.1.2. O FORNECEDOR contratará seguro para a Propriedade do FORNECEDOR com cobertura total contra incêndio, furto, vandalismo, desastres naturais, violações e outros riscos de perdas ou danos passíveis de seguro e com cobertura total do valor de reposição da mesma. XIV.1.3. O FORNECEDOR concede à FCA uma opção irrevogável de obter a posse e a “Propriedade do FORNECEDOR” que seja específica para a produção das mercadorias, mediante o pagamento ao FORNECEDOR, pelo valor contábil líquido do mesmo, deduzidas quaisquer quantias que a FCA tenha pago anteriormente ao FORNECEDOR pelo custo de tais itens, sendo certo, no entanto, que esta opção não se aplicará se a “Propriedade do FORNECEDOR” for usada para produzir mercadorias que façam parte do estoque padrão do FORNECEDOR ou se uma quantidade considerável de mercadorias semelhantes estiver sendo vendida pelo FORNECEDOR a terceiros. XV – OBRIGAÇÕES DA FCA XV.1. Fornecer ao FORNECEDOR, quando requerido, crachás denominados "Identidade Funcional de Terceiros" que serão mantidos por este e distribuídos a seus empregados e prepostos. XV.2. Dar conhecimento ao FORNECEDOR de suas normas e procedimentos relacionados ao acesso, trânsito e permanência de pessoas, materiais, equipamentos, ferramentas e veículos no estabelecimento industrial da FCA, localizado em Betim/MG. XV.3. Prestar os primeiros socorros médico/hospitalares à empregados e/ou prepostos do FORNECEDOR acidentados no estabelecimento industrial da FCA, localizado em Betim/MG. XVI – PROPRIEDADE DA FCA XVI.1. Todos os suprimentos, materiais, ferramentas, guias, matrizes, calibres, gabaritos, moldes, modelos, equipamentos e outros bens fornecidos pela FCA ao FORNECEDOR, direta ou indiretamente, para cumprir o respectivo instrumento de contratação, ou pelos quais o FORNECEDOR tenha sido reembolsado pela FCA, serão de propriedade da FCA e permanecerão como tal, e serão mantidos pelo FORNECEDOR, a título de comodato (“Propriedade da FCA”), inclusive quando estas forem específicas para reposição. XVI.1.1. Os bens em comodato, a que alude o item anterior, serão objeto de Contrato Particular entre a FCA e o FORNECEDOR, e este se obriga sempre que solicitado, a assinar aditivos e/ou novos contratos que contemplem relatórios de movimentação desses bens. XVI.1.2. O FORNECEDOR arcará com eventuais perdas e danos causados à Propriedade da FCA. A Propriedade da FCA será, a qualquer tempo, e às expensas do FORNECEDOR, adequadamente conservada e mantida e não deverá ser usada pelo mesmo para qualquer outro fim que não seja o cumprimento do contrato de fornecimento da FCA. Deverá ser individualizada, e visivelmente marcada como propriedade da FCA pelo FORNECEDOR; não deverá ser confundida com a Propriedade do FORNECEDOR ou com a propriedade de um terceiro e não deverá ser removida das instalações do FORNECEDOR sem a aprovação prévia e escrita da FCA. XVI.1.3. A FCA terá o direito de entrar nas instalações do FORNECEDOR, em horários razoáveis, para inspecionar tal propriedade e os registros do FORNECEDOR no que se refere à mesma. XVI.1.4. O FORNECEDOR, contratará às suas expensas seguro com endosso à FCA, para a Propriedade da FCA em regime de comodato com cobertura total contra incêndio, furto, vandalismo, desastres naturais, violações e outros riscos de perdas ou danos passíveis de seguro e com cobertura total do valor de reposição da mesma, enviando regularmente cópia da apólice à FCA. Caso o FORNECEDOR deixe de enviar cópia da apólice à FCA, esta após notificá-lo, contratará junto às Companhias de Seguro, o respectivo seguro, debitando ao FORNECEDOR o valor do prêmio, que poderá, inclusive, ser compensado no primeiro pagamento devido ao FORNECEDOR, e/ou subseqüentes, procedimento esse ora expressa e irrevogavelmente autorizado. XVI.1.5. Mediante solicitação da FCA, a Propriedade da FCA deverá ser imediatamente liberada para a FCA ou entregue à FCA pelo FORNECEDOR, seja (i) através de transporte na condição FOB dos equipamentos, adequadamente embalados e marcados de acordo com as exigências da transportadora escolhida pela FCA para transportar tal propriedade ou (ii) para qualquer local FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 12 - designado pela FCA, caso em que a FCA pagará ao FORNECEDOR o custo razoável de entrega da propriedade no local indicado. XVI.1.6. O FORNECEDOR renuncia, neste ato, ao direito de retenção para garantia de pagamento, ou quaisquer outros direitos que possa ter sobre a Propriedade da FCA, por trabalho realizado em tal propriedade ou por qualquer outro motivo. XVI.1.7. O fato de produzir com Propriedade da FCA não isenta o FORNECEDOR de sua responsabilidade sobre a qualidade e conformidade dos produtos obtidos. Em caso de qualquer fato técnico que impeça ou dificulte a obtenção do quanto previsto, o FORNECEDOR deve interpelar formalmente a FCA para dirimir dúvidas e encontrar soluções conjuntas. XVII - SERVIÇOS, PEÇAS DE REPOSIÇÃO E ACESSÓRIOS XVII.1. O FORNECEDOR venderá para a FCA as mercadorias necessárias ao cumprimento das exigências de prestação de serviços e de peças de reposição do modelo atual, pelo(s) preço(s) estipulado(s) no respectivo contrato de fornecimento. Se as mercadorias forem sistemas ou módulos, o FORNECEDOR venderá os componentes ou as peças que compreenderem o sistema ou módulo, por um preço que não deverá ultrapassar, no total, o preço do sistema ou do módulo, deduzidos os custos de montagem. XVII.1.1. Pelo prazo de até 15 (quinze) anos subsequentes ao da descontinuação das compras pela FCA para cada modelo ou prazo regulamentado por lei, o FORNECEDOR venderá as mercadorias à FCA para cumprir as exigências de prestação de serviços e de peças de reposição do modelo antigo. A não ser que de outra forma acordado pela FCA, o(s) preço(s), durante os 3 (três) primeiros anos deste período, será(ão) aquele(s) em vigor quando da descontinuação da comercialização do modelo respectivo. No restante do período, o(s) preço(s) das mercadorias será(ão) aquele(s) concordado(s) pelas partes, por escrito. XVII.1.2. Sendo a ferramenta utilizada para a fabricação de produtos destinados às mercadorias da FCA, de propriedade do FORNECEDOR, qualquer intervenção para efetuar modificações nesta ferramenta deverá ter a anuência da FCA através de sua ÁREA DE PEÇAS DE REPOSIÇÃO, de forma a garantir o normal abastecimento da rede de Concessionárias/Assistência Técnica Autorizada, pelo prazo de até 15 (quinze) anos ou prazo regulamentado por lei. XVII.1.3. Caso o FORNECEDOR proceda a qualquer modificação da ferramenta, contrariando o quanto disposto no item anterior, fica o mesmo obrigado, às suas expensas, a reparar ou construir nova ferramenta que possa atender à fabricação de peças destinadas ao mercado de reposição. XVII.1.3.1. O FORNECEDOR, não poderá em hipótese alguma, efetuar modificações nos itens de codesign objeto de seu fornecimento, sem a prévia anuência da FCA, que estabelecerá através de sua ÁREA DE PEÇAS DE REPOSIÇÃO, os componentes e o tempo em que estes continuarão em produção de forma a garantir o normal abastecimento da rede de Concessionárias/Assistência Técnica Autorizada, em sua versão técnica original. XVII.1.4. Quando solicitado pela FCA, o FORNECEDOR deverá elaborar literatura sobre os serviços e outros materiais disponíveis, sem nenhum custo adicional, para dar suporte às atividades de vendas de peças e serviços da FCA. XVIII - SIGILO COMERCIAL, PROPAGANDA E CONFIDENCIALIDADE XVIII.1. O FORNECEDOR se compromete e se obriga a manter absoluto sigilo sobre os dados, pormenores e especificações técnicas e comerciais que lhe forem transmitidos, confiados ou dos quais vier a ter ciência pela execução do pedido, não podendo, sob nenhum pretexto, deles dar conhecimento a terceiros. XVIII.2. É expressamente vedado ao FORNECEDOR fazer, no interesse próprio ou de terceiros, qualquer publicidade ou propaganda na qual se refira aos fornecimentos efetuados e/ou às relações comerciais que mantenha ou manterá com a FCA, sendo certo que qualquer campanha, material de divulgação e publicidade a ser veiculada, por qualquer meio, por qualquer das partes, somente poderá mencionar ou utilizar o nome ou marca da outra, mediante ajuste escrito entre as partes. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 13 - XVIII.2.1. Nas hipóteses excepcionais, decorrentes de prévia autorização escrita da FCA, concedida sob seu exclusivo critério, o FORNECEDOR se obrigará a observar as modalidades de publicidade e as normas e condições que as autorizações determinarem, bem como o estabelecido em clausula especifica no contrato firmado entre as partes. XVIII.3. O FORNECEDOR deverá manter o mais absoluto sigilo e em caráter estritamente confidencial, toda e qualquer informação, fornecida pela FCA, devendo, portanto, ser tratada como informação confidencial. XVIII.3.1. Informação confidencial é toda e qualquer informação escrita ou oral revelada ao FORNECEDOR, contendo ela ou não a expressão "CONFIDENCIAL". O termo informação corresponderá a todas informações escrita, verbal ou de qualquer outro modo apresentada, tangível ou intangível, podendo incluir, mas não se limitando a: documentos, dispositivos e/ou detalhes, de caráter técnico ou comercial, sejam eles informativos, ilustrativos, fotográficos, desenhos, especificações técnicas ou comerciais, know-how, técnicas, design, diagramas, cópias, fórmulas, amostras, fluxogramas, tabelas, modelos, croquis, fotografias, plantas, programas de computação, discos, disquetes, fitas, contratos, planos de negócios, projetos, processos, conceitos de produtos, preços, custos, fornecedores, definições, informações mercadológicas, invenções, ideias e/ou outras informações técnicas, comerciais, legais ou financeiras, dentre outras, doravante denominadas INFORMAÇÕES CONFIDENCIAIS, direta ou indiretamente, recebidas pelo FORNECEDOR, pertencentes ou relativos à FCA. As INFORMAÇÕES CONFIDENCIAIS de que trata essa cláusula poderão ser de propriedade da FCA ou de terceiros. XVIII.3.2. É terminantemente proibido, no todo ou em parte, a divulgação, utilização, distribuição, fornecimento, reprodução (inclusive fotográfica ou xerox), sob qualquer forma, pelo FORNECEDOR, das INFORMAÇÕES CONFIDENCIAIS para fins diversos daquele objeto do contrato de fornecimento, sem o prévio e expresso consentimento da FCA assinado pelos seus representantes legais. XVIII.3.3. A obrigação de que trata a presente cláusula se aplica não somente ao FORNECEDOR, mas também a seus administradores, empregados, prepostos, sócios, representantes de qualquer natureza, contratados e subcontratados, devendo o FORNECEDOR cuidar para que as INFORMAÇÕES CONFIDENCIAIS fiquem restritas ao conhecimento dos diretores, empregados e/ou prepostos que estejam diretamente envolvidos nas discussões, análises, reuniões e negócios relativos ao contrato de fornecimento, devendo cientificá-los da existência desta obrigação e da natureza confidencial destas informações. XVIII.3.4. O FORNECEDOR compromete-se a, durante a vigência do contrato de fornecimento e no prazo de (cinco) anos após o seu término, manter e preservar o caráter confidencial e sigiloso das INFORMAÇÕES CONFIDENCIAIS, não permitindo que terceiros tenham ou venham a ter acesso, publiquem ou divulguem as INFORMAÇÕES CONFIDENCIAIS, ainda que parcialmente, a qualquer momento, sem a prévia autorização por escrito e exclusiva da FCA. XVIII.4. Não se considera sigilosa ou confidencial a informação que, comprovadamente: XVIII.4.1. Seja de domínio público no momento da revelação ou após a revelação, exceto se isto ocorrer em decorrência de ato ou omissão do FORNECEDOR. XVIII.4.2. Passe a ser de domínio público, após sua revelação por terceiros, estranhos à presente relação e fora do âmbito do contrato de fornecimento. XVIII.4.3. Deva ser revelada pelo FORNECEDOR em razão de ordem emitida por órgão administrativo ou judiciário com jurisdição sobre o FORNECEDOR, somente até a extensão de tal ordem, desde que: XVIII.4.3.1. tal informação seja agrupada e/ou apresentada em formato sumarizado. XVIII.4.3.2. o FORNECEDOR tenha previamente notificado por escrito a FCA da existência de tal ordem, possibilitando à FCA pleitear medidas de proteção que julgar cabíveis. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 14 - XVIII.4.3.3. Tenha sido recebida de terceiros, estranho à presente, “CONDIÇÕES GERAIS DE COMPRA”. XVIII.5. Encerrado o contrato de fornecimento, todas as INFORMAÇÕES CONFIDENCIAIS recebidas deverão ser devolvidas à FCA não podendo o FORNECEDOR reter, manter ou armazenar qualquer cópia ou reprodução, no todo ou em parte, de qualquer INFORMAÇÃO CONFIDENCIAL sem a prévia e expressa aprovação da FCA. XVIII.6. As Partes reconhecem que a presente obrigação de confidencialidade é fundamental para a relação ora constituída e para a preservação dos negócios da FCA. Desta forma, com fundamento no princípio de probidade e boa-fé que os contratantes são obrigados a guardar, nos termos do art. 422 do Código Civil, na hipótese de descumprimento da presente cláusula o FORNECEDOR se responsabilizará, integralmente, por todo e qualquer prejuízo causado, assim entendidos danos materiais e lucros cessantes, à FCA, independentemente de eventual sanção criminal, do pagamento de multas penais ou rescisão motivada do presente. Fica desde já estabelecido que na hipótese de descumprimento do presente o FORNECEDOR deverá pagar à FCA, independentemente das sanções pecuniárias previstas nesta condições gerais de compras, multa penal compensatória no valor, em reais, equivalente a € 350.000,00 (trezentos e cinquenta mil euros), à taxa média de compra divulgada pelo Sisbacen no dia útil imediatamente anterior ao pagamento, sem prejuízo da obrigação do FORNECEDOR de pagar à FCA eventual indenização suplementar, caso o prejuízo causado exceda o valor da multa ora avençada, nos termos do Art. 416, Parágrafo Único, do Código Civil. XIX - VINCULO TRABALHISTA XIX.1. Obriga-se o FORNECEDOR, por si ou por seus prepostos, quando da execução de atividades no estabelecimento da FCA, localizado em Betim/MG, em função do contrato de fornecimento, a cumprir a legislação e normas em matéria de relações de trabalho, segurança e saúde no trabalho, bem como as normas internas da FCA, que declara conhecer e aceitar. No caso de inadimplemento das obrigações constante nesta cláusula, o FORNECEDOR deverá assumir todos os custos ou prejuízos daí decorrentes, gerados para a FCA. XIX.1.1. O FORNECEDOR, executando atividades no estabelecimento industrial da FCA, localizado em Betim/MG, através de filial ou outra modalidade de estabelecimento comercial/industrial previsto em lei, obriga-se a permitir o acesso a todas às suas dependências, bem como aos documentos de interesse da FCA para verificação do cumprimento do objeto desta cláusula, fornecendo, a esta, cópia dos mesmos quando solicitados. XIX.1.2. A FCA somente poderá divulgar e utilizar informações e documentos recebidos do FORNECEDOR em situações previstas na legislação, normas ou em razão do cumprimento do presente instrumento de contratação. A esta obrigação também se sujeita o FORNECEDOR com relação a documentos e informações recebidas da FCA. XIX.1.3. Obriga-se ainda o FORNECEDOR a fazer com que os subcontratados ou terceiros, relacionados ou envolvidos na execução das atividades do contrato de fornecimento, cumpram as referidas normas e legislação. XIX.1.4. O inadimplemento de qualquer das obrigações, no todo ou em parte, previstas nesta cláusula, implicará, a critério da FCA, em advertência ao FORNECEDOR e suspensão dos trabalhos, até que sejam sanadas as irregularidades, sem prejuízo da possibilidade da rescisão do pacto existente, por justa causa e aplicação das penalidades previstas em lei e pelos órgãos fiscalizadores. XIX.1.5. É de exclusiva responsabilidade do FORNECEDOR, o cumprimento integral de todas as obrigações decorrentes ou relacionadas às atividades, objeto do contrato de fornecimento, especialmente as tributárias, trabalhistas, previdenciárias e acidentárias. XIX.1.6. Recebida a notificação para se defender em juízo ou processo administrativo do poder público, movidos por empregado, ex-empregado, estagiário ou ex-estagiário do FORNECEDOR ou de empresas por esta contratadas, a FCA fará o cálculo dos direitos reclamados e, após cientificar o FORNECEDOR, reterá o correspondente valor, como caução de eventual condenação, deduzindo-o de importâncias devidas ao FORNECEDOR. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 15 - XIX.1.7. A caução será restituída ao FORNECEDOR após a prova do acerto definitivo entre o FORNECEDOR e o reclamante, quando não existir mais qualquer risco de condenação para a FCA. XIX.1.8. Caso a caução ultrapasse o valor de 10% (dez por cento) do faturamento mensal do FORNECEDOR, para a FCA, o valor total da caução será retido em prestações consecutivas não superiores a 10% (dez por cento) do faturamento mensal do FORNECEDOR, em tantos meses quantos necessários para que se complete o valor total da caução. XIX.1.9. Caso não haja valores a serem retidos pela FCA, esta poderá se valer de qualquer meio em direito permitido, para garantir que o FORNECEDOR pague o valor devido diretamente ao reclamante e/ou restitua à FCA as despesas e pagamentos efetuados, sendo que o “cálculo” do valor torna-o líquido e certo. XX - AMBIENTAL XX.1. Deve o FORNECEDOR respeitar as normas governamentais relativas à preservação ambiental e de energia, bem como, no que se aplicarem aquelas emanadas de programa ambiental e de energia da FCA, que o FORNECEDOR declara conhecer e aceitar, correndo por conta exclusiva deste o pagamento de todas as penalidades e indenizações decorrentes de eventual infração cometida pelo mesmo, nesses aspectos, sem prejuízo da rescisão antecipada do pacto existente entre as partes, na hipótese de risco de imposição de restrições pelas autoridades competentes à futura utilização da área, se comprovada sua culpa. XX.1.1. O FORNECEDOR deverá possuir Licença de Operação – LO válida durante contratual, devendo, ainda, apresentar à FCA, anualmente, cópia autenticada da sua demais autorizações pertinentes, de acordo com a atividade contratada. Caso a FORNECEDOR seja dispensada do licenciamento ambiental, a declaração de licenciamento emitida pelo órgão ambiental competente deverá ser apresentada à FCA. todo o prazo L.O. válida e atividade do dispensa de XX.1.2. Deve o FORNECEDOR informar à FCA sobre a aplicação de notificações e/ou autuações, embargo, suspensão de suas atividades, cassação das licenças ou autorizações pelos órgãos ambientais, ou qualquer outro fato relevante que possa provocar algum tipo de alteração no status e/ou condições das suas licenças ou autorizações ambientais. XX.1.3. O FORNECEDOR se obriga a comunicar à FCA sobre a ocorrência de acidente ou dano ambiental decorrente da execução do objeto deste Contrato. A referida comunicação não exime o FORNECEDOR da sua responsabilidade civil, administrativa e criminal, tampouco da obrigação de adotar imediatamente todas as providências exigidas na legislação necessárias à mitigação e recuperação dos danos eventualmente causados ao meio ambiente e a terceiros. XX.1.4. O FORNECEDOR deverá manter atualizado Cadastro Técnico Federal – CTF junto ao Instituto Brasileiro de Meio Ambiente e dos Recursos Naturais Renováveis – IBAMA, para a atividade desenvolvida, emitindo, quando da formalização do contrato com a FCA, e anualmente, durante o prazo de vigência contratual, cópia do Certificado de Regularidade – CR emitido pelo IBAMA. XX.2. No que diz respeito a aspectos ambientais fica esclarecido que pelo subsolo de áreas da FCA passam tubulações de água e esgoto; quanto a estas e quanto à utilização de materiais poluentes e que possam degradar o meio ambiente, o FORNECEDOR aqui se obriga expressamente a respeitar diretrizes, normas e instruções da FCA, em especial seu Sistema de Gestão Ambiental e de Energia, normas essas que estarão sempre sendo atualizadas, de modo a atender e preservar certificações ISO e outras de caráter governamental, já obtidas ou que a FCA pretenda obter. XX.3. Incumbe ao FORNECEDOR manter estreito relacionamento com a retro mencionada área de Engenharia Ambiental da FCA, visando buscar as informações e normas a que alude o item anterior. XX.4. Respeitar e fazer respeitar as normas e regulamentos da FCA, que declara conhecer e aceitar, promovendo, inclusive, a substituição de pessoas de seu quadro funcional que se tornarem inconvenientes dentro do estabelecimento industrial da FCA. XX.5. Os eventuais veículos utilizados pelo FORNECEDOR para a prestação dos serviços nas dependências da FCA deverão estar devidamente regulados, evitando-se a ocorrência de FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 16 - vazamentos de óleo e vedando-se a emissão de fumaça preta acima dos limites estabelecidos em lei, estando os mesmos passíveis de inspeção, por parte da FCA, obrigando-se o FORNECEDOR a indenizar a FCA de qualquer penalidade, porventura aplicada à FCA, em decorrência da não conformidade desses veículos às legislações pertinentes. XX.6. - O FORNECEDOR se obriga integral e exclusivamente pelo recolhimento, transporte, armazenamento, tratamento e destinação final ambientalmente adequada dos resíduos e efluentes gerados nas respectivas operações, além dos materiais e utensílios que estejam sem condições de uso, seguindo os procedimentos do Sistema de Gestão Ambiental e de Energia da FCA e em estrito cumprimento à legislação vigente, bem como pelos eventuais danos e prejuízos que causados à FCA, ao meio ambiente e a terceiros, resguardado, em todo caso, o direito de ação regressiva da FCA contra o FORNECEDOR. Assim, qualquer irregularidade ou multa, proveniente de má gestão desse processo, será de responsabilidade exclusiva do FORNECEDOR. XX.7 O FORNECEDOR deverá estar ciente que a partir da emissão do pedido de compra, o serviço de energia, produtos e equipamentos que tenham ou possam ter impacto no uso significativo de energia, será em parte avaliada com base em desempenho energético. XXI - PRINCÍPIOS E DIRETRIZES DA FCA XXI.1. Considerando que a conservação do meio ambiente é essencial para a qualidade de vida e para o desenvolvimento sustentável, a FCA, como signatária da Carta Empresarial da Câmara do Comércio Internacional – CCI, se compromete a: XXI.1.1. Manter um Sistema de Gestão Ambiental para assegurar o atendimento aos requisitos legais e outros requisitos, em seus processos, produtos e serviços. XXI.1.2. Promover a utilização otimizada de recursos energéticos. XXI.1.3. Gerenciar os resíduos industriais, minimizando a sua geração e otimizando a reciclagem dos mesmos. XXI.1.4. Buscar a melhoria contínua do desempenho ambiental de suas atividades, visando sempre a prevenção da poluição e aplicando tecnologia economicamente viável. XXI.1.5. Produzir veículos condizentes com a legislação ambiental vigente. XXI.1.6. Promover a conscientização e o envolvimento dos seus empregados, contratados e subcontratados que trabalham em seu estabelecimento industrial, para que atuem de forma ambientalmente correta. XXI.2. O Sistema de Gestão Ambiental abrange a unidade fabril de Betim/MG, nas suas atividades de produção e montagem de veículos automotivos. XXII - ACESSO ÀS DEPENDÊNCIAS DA FCA XXII.1. o FORNECEDOR declara estar ciente que deverá observar e fazer observar normas e regulamentos da FCA pertinentes a acesso, trânsito e permanência de pessoas e materiais no estabelecimento da FCA, localizado em Betim/MG. XXII.2. De forma a facilitar o acesso em questão, a FCA entregará, quando for o caso e cumpridas as determinações internas ao FORNECEDOR, sem ônus ao FORNECEDOR, devidamente preenchidos, crachás denominados IDENTIDADE FUNCIONAL DE TERCEIROS, que serão por esta distribuídos exclusivamente a seus empregados que estejam exercendo suas atividades habituais no estabelecimento industrial da FCA, localizado em Betim/MG. XXII.3. O FORNECEDOR deverá indicar formalmente seu representante credenciado para recebimento dos crachás, não implicando tal indicação, entretanto, diminuição ou isenção de responsabilidades por parte deste. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 17 - XXII.3.1. Tais crachás, extinta esta relação comercial entre as partes, ou a qualquer momento, mediante solicitação da FCA, deverão a esta ser devolvidos, no prazo máximo de 2 (dois) dias úteis, a contar da formalização de pedido nesse sentido e/ou da rescisão do contrato de fornecimento e/ou da rescisão pelo FORNECEDOR, do contrato de trabalho com seu empregado, sem prejuízo do direito da FCA de receber, a título de indenização, sempre que houver perda e/ou fornecimento de segunda via de crachás, o valor mínimo de R$20,00 (vinte reais), por unidade extraviada ou fornecida e/ou não devolvida, podendo essa indenização, bem como as penalidades, serem descontadas do valor de faturas do FORNECEDOR, emitidas contra a FCA, ficando tal compensação, desde já, expressamente autorizada. XXII.3.2. Nenhuma indenização será devida ao FORNECEDOR em decorrência de horas não trabalhadas, face a eventual impedimento de acesso de seus empregados no estabelecimento industrial da FCA, localizado em Betim/MG, motivado pela não apresentação de crachás. XXII.3.3. O FORNECEDOR é responsável pelos atos de dirigentes ou prepostos, ativos ou desligados de seus quadros de empregados até a entrega de suas respectivas identificações (crachás) à FCA. XXII.4. O FORNECEDOR assume perante a FCA completa e integral responsabilidade civil, e técnica, bem como toda a responsabilidade prevista decorrente de dispositivos legais e regulamentares, concernentes à execução do serviço contratado e dos trabalhos nele mencionados, em tudo aquilo que se referir à FCA, bem como terceiros, respondendo civil e criminalmente por erro, imperícia, imprudência e negligência, na forma da legislação em vigor, devendo o FORNECEDOR dispor, quando exigido por lei, de todos os recursos necessários tais como mas não limitados à: médicos, enfermeiros, auxiliares de enfermagem, engenheiros e técnicos de segurança do trabalho. XXII.4.1. O FORNECEDOR deverá fornecer a todos os seus empregados e prepostos alocados no estabelecimento industrial da FCA, localizado em Betim/MG, quando requerido, equipamentos de proteção individual necessários ao desenvolvimento e execução das atividades, conforme natureza dos riscos e devidamente aprovados pelo Ministério do Trabalho. XXII.4.2,. O FORNECEDOR será o único responsável pelo correto uso de todos os itens de segurança fornecidos a seus empregados e prepostos. XXII.5. O FORNECEDOR declara estar ciente de que na hipótese de ser sub-empreitado o objeto do contrato de fornecimento, mesmo que parcialmente, será o FORNECEDOR o único responsável pela conservação e devolução dos crachás, nas quantidades recebidas, que serão, para todos os fins, indicadas em documento próprio, a ser elaborado oportunamente XXIII - CLAUSULA PENAL XXIII.1. O não cumprimento, por qualquer uma das partes, de qualquer das obrigações previstas no contrato de fornecimento e/ou nestas condições gerais, implicará na aplicação, pela parte culpada à parte inocente, da multa contratual de 10% (dez por cento) sobre o valor do fornecimento previsto para o mês da infração, assegurado à parte inocente o direito de considerar rescindido o contrato, reservado-lhe, ainda, o direito de demandar o ressarcimento de todos os danos decorrentes da inadimplência e cujo montante supere o valor da multa contratual. XXIII.1.1. Ocorrendo parada na linha de montagem, com perdas de produção e/ou veículos incompletos, ou outras perdas correlatas, por culpa do FORNECEDOR, com prejuízo para a FCA, seus importadores diretos e/ou terceiros, esta o comunicará por escrito, tendo o FORNECEDOR 10 (dez) dias úteis, contados da comunicação, para contestar sua responsabilidade. Isto não ocorrendo e/ou não havendo sido aceitos os argumentos, será emitido documento de débito para ressarcimento dos prejuízos havidos com perdas de produção, o que poderá, inclusive, ser compensado no primeiro pagamento devido pela FCA ao FORNECEDOR, e/ou nos subsequentes, procedimento esse que ora fica expressa e irrevogavelmente autorizado. XXIII.1.2. Ocorrendo necessidade de mudança no mix de produção, por culpa de FORNECEDOR(ES), que não atendendo o quanto disposto no item VII.1. retro, acarrete prejuízos para a FCA e seus outros fornecedores, o prejuízo causado à FCA e seus outros fornecedores será comunicado ao FORNECEDOR, que terá 10 (dez) dias úteis contados do envio de comunicação escrita para contestar sua responsabilidade, e não o fazendo, ou se seus argumentos não forem FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 18 - aceitos, será emitido documento de débito para ressarcimento das despesas, o que poderá, inclusive, ser compensado no primeiro pagamento devido pela FCA ao FORNECEDOR, e/ou nos subsequentes, procedimento esse que ora fica expressa e irrevogavelmente autorizado, cabendo à FCA repassar aos seus outros fornecedores os respectivos prejuízos, desde que recebidos do FORNECEDOR. XXIII.1.3. Ocorrendo atrasos de entrega nos programas de Peças de Reposição e Acessórios, que motivem a geração de BACK-ORDER ou veículos imobilizados, tanto no mercado interno, quanto no mercado externo, o FORNECEDOR será responsabilizado por eventuais custos imputados à FCA em decorrência desse atraso, inclusive pelas perdas de vendas. O FORNECEDOR terá 10 (dez) dias úteis contados do envio de comunicação escrita para contestar sua responsabilidade, e não o fazendo, ou se seus argumentos não forem aceitos, será emitido documento de débito para ressarcimento das despesas, o que poderá, inclusive, ser compensado no primeiro pagamento devido pela FCA ao FORNECEDOR, e/ou nos subsequentes, procedimento esse que ora fica expressa e irrevogavelmente autorizado. XXIII.1.4. O atraso na entrega de amostras pelo FORNECEDOR e de sua responsabilidade implicará o ressarcimento à FCA de custos decorrentes, que será calculado pela multiplicação do preço definido para o produto por 50 (cinquenta) vezes. Na ausência de preço definido para o produto, toma-se o valor do respectivo “preço objetivo (target price)”. Este ressarcimento terá um piso de R$3.000,00 (três mil reais) e um teto de R$30.000,00 (trinta mil reais). Cada novo atraso implicará a reaplicação do ressarcimento, como descrito e assim sucessivamente. XXIII.1.5. Ocorrendo reprovação de amostra entregue para Qualificação ou Benestare (liberação para produção e montagem nos veículos), por culpa do FORNECEDOR, será este debitado pela Unidade de Engenharia do Produto (Qualificação) ou pela Unidade de Recebimento de Materiais Diretos (benestare), a título de ressarcimento de custos incorridos pelas unidades, o valor mínimo, equivalente a 15 (quinze) horas/homem. Na ocorrência de uma segunda reprovação de amostra do mesmo produto, implicará o ressarcimento em dobrado (30 horas/homem), na terceira ocorrência o ressarcimento será em triplo (45 horas/homem), e assim sucessivamente. XXIII.1.5.1. Além do quanto disposto na cláusula XXIII.1.5 retro, o FORNECEDOR estará sujeito às penalidades previstas pela Engenharia Qualidade Fornecedores – EQF, e Operativo de Compras da FCA, quanto à reprovação de amostras, sendo que na primeira reprovação a multa pecuniária será de 150 (cento e cinquenta) vezes o preço unitário da peça e na ausência do preço unitário, um piso mínimo de R$3.000,00 (três mil reais) limitado a até R$30.000,00 (trinta mil reais). Ocorrendo uma segunda reprovação a multa pecuniária será de 200 (duzentas) vezes o valor da peça e na ausência deste um piso mínimo de R$4.000,00 (quatro mil reais) e teto de R$40.000,00 (quarenta mil reais), Ocorrendo uma terceira reprovação a multa pecuniária será de 250 (duzentos e cinquenta) vezes o valor da peça e na ausência desta um piso mínimo de R$5.000,00 (cinco mil reais) e teto de R$50.000,00 (cinquenta mil reais), e assim sucessivamente. XXIII.2. A existência de fatores de criticidade qualitativa (ausência de certificação de sistema de qualidade, processo produtivo com certificação negativa, incapacidade de fornecimento em regime de Qualidade Assegurada, ausência de amostras regularmente aprovadas, presença de não conformidade qualitativa), implicará na adoção de ações de inspeção/verificação excepcionais por parte da FCA, cujos custos, calculados por estimativa “Standard”, serão ressarcidos à FCA pelo FORNECEDOR. XXIII.3. Os custos incorridos pela FCA com os veículos em circulação, identificados dentro ou fora do período de garantia, que requeiram ações corretivas e/ou preventivas (inclusive operação de recall campaing), efetuadas pela rede de Concessionárias/Assistência Técnica Autorizada, motivadas por anomalias no produto atribuídas ao FORNECEDOR, serão de inteira responsabilidade deste, cujo reembolso será solicitado pela FCA de acordo com processos de gestão definidos pelo setor competente. XXIII.4. Além do reembolso com custos de materiais e de serviços mencionados no item anterior, a FCA a seu critério poderá exigir do FORNECEDOR indenizações relativas a perdas de imagem e outros que vier a detectar em função das não conformidades causadas por produtos tecnicamente imperfeitos. Esta indenização será apurada judicialmente. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 19 - XXIV - DISPOSIÇÕES GERAIS XXIV.1. O FORNECEDOR e qualquer mercadorias por ele fornecidas, deverão estar rigorosamente em conformidade com todas as leis, regras, regulamentos, ordens judiciais, convenções, portarias ou padrões aplicáveis dos país(es) de destino, ou as relativas à fabricação, rotulagem, transporte, importação, exportação, licenciamento, aprovação ou certificação das aquisições / carga ou dos serviços, incluindo, mas não se limitando àquelas relativas as questões ambientais, salários, horas e condições de trabalho, seleção de subcontratado, discriminação, saúde/segurança no trabalho e segurança de veículo automotor. O FORNECEDOR também declara que nem ele, nem qualquer um dos seus subcontratados utilizarão escravos, prisioneiros, ou qualquer outra forma de mão-de-obra forçada ou involuntária e que também no fornecimento das mercadorias, nos termos desta condição geral de fornecimento, não discriminará raça, credo ou sexo. Mediante solicitação da FCA, o FORNECEDOR atestará, por escrito, o cumprimento do acima exposto. O FORNECEDOR deverá indenizar e isentar a FCA de qualquer responsabilidade, reclamação, demanda ou despesa (incluindo honorários advocatícios ou outros honorários profissionais) decorrente ou relativo ao descumprimento pelo FORNECEDOR. XXIV.2. O FORNECEDOR declara que nem ele, nem qualquer um de seus subcontratados ou FORNECEDORES utilizará mão-de-obra infantil em desacordo com a legislação trabalhista vigente, aplicando-se, nestes casos, as disposições no item XXIV.1. XXIV.3. O FORNECEDOR deverá respeitar todas as normas e dispositivos legais, especialmente aqueles pertinentes à preservação do meio ambiente, inclusive a política ambiental da FCA. XXIV.3.1. Cabe ao FORNECEDOR cumprir todos os requisitos legais aplicáveis as suas atividades, como licenciamento ambiental e exigências para transporte de produtos perigosos, tais como CONAMA 237/97, Portaria IBAMA 85/96, Portaria MT 204/97, Decreto 96.044/88, as diretivas européias 9.01102 - Qualidade do Fornecimento, 9.01107 - Utilização dos Sistema IMDS - Metais Pesados, 2000/53/CE, Portaria INMETRO 10/06 e outros requisitos legais aplicáveis ou que venham a ser exigidos. XXIV.4. Neste ato para devidos fins e efeitos de Direito, o FORNECEDOR declara expressamente ter pleno conhecimento do teor da Portaria IBAMA nº. 85, de 17 de outubro de 1996, publicada no Diário Oficial da União de 21 de outubro de 1996, que se obriga a respeitar e cumprir, por si e seus prepostos, em tudo quanto diga respeito aos termos do contrato de fornecimento e à sua execução. XXIV.5. Não obstante tudo quanto aqui mencionado e convencionado o FORNECEDOR se obriga a indenizar a FCA, a uma simples solicitação desta, qualquer valor que a mesma venha a desembolsar, face a eventual inadimplência ou ação do FORNECEDOR em desrespeito à legislação referida no contrato de fornecimento; XXIV.6. Eventuais subcontratações, consentidas ou não, não diminuem a responsabilidade do FORNECEDOR pela perfeita execução das atividades, objeto do contrato de fornecimento. XXIV.7. As atividades, objeto do contrato de fornecimento deverão ser efetuadas com equipamentos adequados, sempre dentro das normas de segurança e da legislação pertinente. XXIV.8. É rigorosamente vedado ao FORNECEDOR executar o transporte de cargas da FCA sem a devida e correta documentação fiscal. XXIV.9. As Partes concordam em excluir expressamente a aplicação de toda e qualquer disposição da Convenção das Nações Unidas para os Contratos de Compra e Venda Internacional de Mercadorias – CISG (Viena/1980). XXIV.10. Não havendo outro documento acordado entre a FCA e o FORNECEDOR, com clara renúncia do quanto disposto nestas Condições Gerais, prevalece para todos os efeitos este documento, o único e hábil para, juntamente com o contrato de fornecimento, dirimir quaisquer divergências de entendimento e conceito. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 20 - XXIV.11. Os termos desta CONDIÇÕES GERAIS DE COMPRAS MATERIAL DIRETO encontram-se, para todos os fins de direito, registrados no Cartório de Títulos e Documentos da Comarca de Betim, no Livro C-25, sob nº. 80907, em 23/09/2005. XXV - HIPÓTESES DE RESCISÃO E MULTA XXV.1. Além das hipóteses decorrentes da inadimplência do FORNECEDOR, já previstas, a FCA terá ainda a faculdade de rescindir a relação contratual mediante uma simples comunicação por escrito se: XXV.1.1. O FORNECEDOR impetrar concordata ou lhe for requerida a falência, ou ainda, quando sua insolvência se manifestar através de protestos de títulos de qualquer espécie, ou mesmo qualquer outra demonstração de habitual impontualidade na liquidação de seus compromissos financeiros. XXV.1.2. O FORNECEDOR infringir qualquer uma destas Condições Gerais e/ou do respectivo contrato de fornecimento. XXV.1.3. O FORNECEDOR sofrer mudança do seu controle societário, direta ou indiretamente, ou realizar qualquer operação que acarrete na alteração na sua composição societária, seja por incorporação, fusão, cisão, venda de ativos, venda de ações ou qualquer outro ato, sem a prévia e expressa comunicação do FORNECEDOR e concordância da FCA. XXVI - CÓDIGOS DE CONDUTA E REGRAS ANTICORRUPÇÃO XXVI.1. O FORNECEDOR declara que está ciente, conhece, entende e observa integralmente as regras estabelecidas no Código de Conduta do Grupo Fiat (“Código de Conduta”), disponível em http://www.ethicshelpline.fcagroup.com; e Código de Conduta na Utilização dos Recursos de Informática”, cuja íntegra encontra-se disposta como Anexo, bem como as leis anticorrupção aplicáveis, em especial, mas sem limitar, a Lei n.º 12.846, de 2013 (“Lei Anticorrupção”, em conjunto, as “Regras Anticorrupção”), abstendo-se de qualquer atividade que constitua uma violação às disposições do Código de Conduta e das Regras Anticorrupção. O FORNECEDOR se obriga, ainda, a conduzir suas práticas comerciais de forma ética e em conformidade com o Código de Conduta e as Regras Anticorrupção. XXVI.2. O FORNECEDOR declara, por si e por seus subfornecedores, (i) não possuir empregados, sócios, administradores e/ou representantes de qualquer natureza que mantenham e/ou que possam manter, durante a vigência deste Contrato, cargo público de qualquer natureza e em qualquer esfera, ou mesmo seja empregado de partido político no país de execução dos serviços, (ii) ter plena consciência que qualquer fato ou ato que seja capaz de alterar o cenário previsto no “item (i)” anterior, como, mas não limitado, eventual nomeação de empregados, sócios, administradores e/ou representantes de qualquer natureza a cargo público, bem como a ocorrência de quaisquer fatos ou atos que contrariem as disposições das Regras Anticorrupção aplicáveis, deve ser imediatamente comunicado à FCA, (iii) já ter implementado ou se obriga a implementar, durante a vigência do Contrato, um programa de conformidade e treinamento eficaz na prevenção, detecção e combate a violações das Regras Anticorrupção e dos requisitos estabelecidos neste Contrato. XXVI.3. A FCA poderá, a seu critério, proceder auditorias nos livros, contas, registros, faturas e documentação de suporte, bem como realizar qualquer verificação junto ao FORNECEDOR e/ou seus subfornecedores, visando avaliar o cumprimento do Código de Conduta e das Regras Anticorrupção pelo FORNECEDOR, sem contudo, exonerar e/ou diminuir suas responsabilidades perante a FCA, terceiros e/ou autoridades competentes. XXVI.4. O não cumprimento por parte do FORNECEDOR e seus subfornecedores de quaisquer Regras Anticorrupção aplicáveis ou do Código de Conduta, ressalvadas as demais hipóteses de rescisão previstas em lei ou neste instrumento, será considerado uma infração grave e conferirá à FCA o direito de rescindir o Contrato, ficando o FORNECEDOR obrigada a eximir a FCA de quaisquer ações, perdas e danos decorrentes de tal descumprimento. A CONTRATADA ficará responsável por indenizar a FCA contra todo e qualquer dano que esta suporte em razão do descumprimento das obrigações e declarações estabelecidas nesta Cláusula, estando autorizada FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 21 - desde já a reter qualquer pagamento que seja devido ao FORNECEDOR e a compensar com qualquer valor que seja devido à FCA em decorrências das regras previstas no presente Contrato. XXVII - DO FORO XXVII.1. Com expressa renúncia de qualquer outro, por mais privilegiado que seja, fica eleito o foro da comarca de Belo Horizonte, MG, como o único competente para propositura das medidas que visem dirimir as dúvidas que se originarem destas Condições Gerais e do respectivo contrato de fornecimento. Fica, porém, reservada à FCA a faculdade de demandar o FORNECEDOR, em juízo, no local onde o mesmo estiver sediado. A lei aplicada será sempre a brasileira. E QUE RETORNARÁ A FÁBRICA. GENERAL PURCHASE TERMS DIRECT MATERIAL I - PREMISES I.1. FCA, as the PURCHASER will be simply referred to, stands for FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. I.2. The receiver of the contracting instrument issued will be referred to solely as SUPPLIER. I.3. These GENERAL PURCHASE TERMS also regulates the sending of materials to the SUPPLIER, in “industrialization by order” regime, called WORK ACCOUNT, governed by specific procedure of FCA, which the supplier declares to know and accept. I.4. FCA has the right to receive the goods in assured quality regime, which is, waiving every and any need for inspection/checks by FCA, observing other terms and determinations of these GENERAL PURCHASE TERMS. I.5. Assignment and/or transfer of the rights and obligations object of supply contract are prohibited without prior written authorization from FCA to the SUPPLIER. II – DEFINITIONS AND INTERPRETATION II.1. The terms below, when used in these GENERAL PURCHASE TERMS, written in the singular or plural, should be understood according to the definitions below: II.1.1. “goods”: means the parts, components, assemblies, subassemblies, raw materials, engineering services, cleaning services, transport, logistics and others not specified herein object of supply contract; II.1.2. “supply”: means delivery, supply of goods; II.1.3. “supply contract”: means any contract, purchase request and/or purchase order for goods and services, and/or other qualified document that configures commercial transactions signed by FCA and a SUPPLIER and that meet the Purchase Requirements; II.1.4. “contracting instrument”: means the supply contract; II.1.5. “purchase requirements”: means the Purchase Requirements, by FCA, of all products and services of any nature, whether tangible or intangible, including, among others, direct or indirect materials, services, machinery and equipment; II.1.6. “FCA”: means FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA., company duly constituted, with industrial establishment located at Betim/MG; II.1.7. “SUPPLIER”: means any natural and/or legal entity, duly accredited to supply goods and services to FCA; II.1.8. “Parties”: means FCA and the SUPPLIER; FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 23 - II.1.9. “Breakdowns”: means electronic spreadsheets and/or other similar and/or formalized documents written on paper, for detailing the formation of cost and price, of various products; II.1.10. “Step”: means step; II.1.11. “Verifica Progetto”: means project verification; II.1.12. “Delibera Attrezzare”: means authorization for construction of the means of production; II.1.13. “Benestare”: means approval of samples; II.1.14. “Virtual looping”: means virtual reviews; II.2. Other terms are defined and interpreted in the clauses themselves. III – SUPPLY CONTRACT FOLLOW-UP III.1. FCA will appoint through the contracting area persons duly accredited as legal representatives to follow up the exact fulfillment of the supply contract, such follow-up not implying in exoneration from the technical, legal and contractual obligations assumed by the SUPPLIER. IV - PRICE IV.1. For evaluation and start of negotiation of prices, the supplier must present to FCA breakdowns of costs according to the appropriate documents issued by FCA and supplied in the quotation phase. IV.2. The breakdowns may, at FCA’s discretion, be used as bases for approval and fixing by FCA of the initial prices and future alterations that may involve eventual changes in the process, product and in the cost factors that make up the pricing. IV.3. The breakdowns must also contemplate all costs with packaging, unless this is provided otherwise; IV.4. The SUPPLIER must submit to the competent sector of FCA a technical proposal for the specific packaging, in standard form, “Packaging Manual – CEFF – PACKAGING CHARACTERISTICS FOR SUPPLY TO FCA. IV.5. The price fixed in the respective contracting instrument is solid and may not be altered, even in readjustment, except through express agreement of FCA. IV.6. FCA reserves the right to terminate, fully or partially annul, the supply contract if it deems that the changes in price intended by the SUPPLIER are inconvenient. IV.7. All supply of materials, labor, personnel transport, social, labor and social security charges, insurances, feeding, equipment, personnel administration expenses and any taxes or contributions due or that become due in function of the supply contract and/or its execution are included in the prices agreed, except for that eventually and expressly declared as under responsibility of FCA. V – TAXES AND LEVIES V.1. The duties (taxes, levies, emoluments, fiscal and parafiscal contributions) that are owed as a direct or indirect result of the respective contracting instrument or its execution will be the sole responsibility of the SUPPLIER. V.2. FCA, when the withholding source, shall deduct and collect, in the terms of the law in effect, from the payments made, the duties it is obliged to collect by the legislation in effect. V.2.1. The SUPPLIER hereby expressly and irrevocably authorizes FCA to promote, if applicable, deduction of values it owes to the INSS [National Social Security Institute] as a direct or indirect result of execution of the respective contracting instrument. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 24 - V.2.2. This value, if not correctly highlighted in the invoice issued by the SUPPLIER, shall be collected by FCA, observing the pertinent legislation, in the maximum limit indicated by it. V.3. If, during its execution, tax rates are created or modified for the duties, labor or social security charges such that they provably increase or reduce the burden on the SUPPLIER, these may be reviewed in order to adapt them to these modifications, compensating, if applicable, any differences resulting from these changes at the earliest opportunity. VI – BILLING, COLLECTION AND PAYMENTS VI.1. The goods will be delivered accompanied by the documentation required by law, indicating: f) complete number of the respective contracting instrument; g) its code number in the FCA register of suppliers; h) goods offloading venue; i) FCA number/code and denomination of the goods; j) indicate in the Service Provisioning Invoice the municipality where the contracted services will be performed. VI.2. The invoices must refer only to the goods of the same supply contract. FCA does not work with invoice for future delivery. Exceptions will be allowed only with written authorization of the fiscal sector and of the Planning and Control unit. VI.2.1 The SUPPLIER must issue invoices for exit of goods (sales, remittances for industrialization, remittances in demonstration, remittances for tests, returns, etc.) according to the legislation in effect, generate data in an information system, faithful copy of data from the invoice, according to the available technology, certified by FCA, known to the SUPPLIER, and transmit it to FCA, through Shipping Notice (ANFAVEA RND004 standard), or ASN (Advanced Shipping Notice), which is a mandatory process and guarantees good functioning of the logistic flow of materials. VI.2.1.1. The Shipping Notice to be sent by the SUPPLIER to FCA will only be accepted when all data has been correctly validated in the FCA information management system, which should occur before receipt of the materials in the FCA reception. VI.2.1.2. In cases that are exceptional and agreed with FCA, the SUPPLIER must stick on the back of each invoice a faithful copy of the data generated from the invoices, in two-dimensional barcode, according to specifications and request of FCA, according to the best technologies available in the market. VI.2.2. The payments resulting from the supply contract will only be made against presentation of the first copy of the respective Invoices and the respective bill. VI.2.2.1. In case of loss of documents, the SUPPLIER must provide and send to FCA copies authenticated in notary or in the State Revenue Secretariat itself, in this case the legislation of the state where the SUPPLIER’s industrial establishment is located prevailing. VI.2.3. In the bills, invoices and ‘CTRC’ (Road Waybill for Cargo), issued against the FCA, must mandatorily indicate the number of the respective contracting instrument to which they refer. VI.3. FCA may not have any responsibility attributed to it in relation to eventual payments it settled in arrears as a result of irregularity in the SUPPLIER’s billing. VI.4. The payments will be made in the FCA headquarters, in BETIM, where the invoices and duplicates must be delivered at least 15 (fifteen) days before the maturity. VI.4.1. Failure to meet the deadline mentioned in this item will imply in automatic postponement of the payment deadline, for as many days as there is delay, without burden to FCA and without detriment to the discounts and advantages to which FCA is entitled. VI.5. FCA may compensate from any payment owed to the SUPPLIER any amount it owes to the SUPPLIER or, if it prefers, it may charge it in court. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 25 - VI.6. The SUPPLIER is expressly forbidden to issue credit titles and/or amount against FCA, as well as to, mainly, negotiate them with third parties, especially banks, financiers, factoring, among others, without having the corresponding credit recognized by FCA, in writing and, also, having shown full fulfillment of all its contractual obligations assumed in the supply contract. Linking this instrument in operations of any nature that the SUPPLIER and/or FCA has or eventually assume before any third parties is also expressly forbidden, under penalty of charging losses and damages resulting thereof, in addition to other rights established in these GENERAL PURCHASE TERMS and in the respective contracting instrument. VI.7. Eventual billings from the SUPPLIER challenged by FCA through Debit Note, provided already authorized by the SUPPLIER, may be the object of analysis between the parties, in meeting to be held in up to 30 (thirty) days after its challenging, from which adjustment term shall be drawn up, under penalty of said billing being definitively rejected and annulled. VI.7.1. Having detected that the bill previously challenged is valid, FCA shall see to its payment to the SUPPLIER, correcting the amount entered by the ‘TR’ (Reference Rate) variation or other indexer allowed by the government, considering the period between the day of maturity of the bill challenged and the date of its actual payment. VII – SUPPLY AND DELIVERY TERM VII.1. The supply agreed must observe the venue, schedule, conditions and rules of delivery; the technical specifications of the goods must strictly correspond to those prescribed by FCA, which shall be guaranteed by adoption of the necessary quality inspection operations by the SUPPLIER. It is expressly established that the qualitative conformity of the goods and good delivery conditions are unwaivable counterparts of the prices paid by FCA. VII.2. If the SUPPLIER fails to meet the delivery terms established by FCA, the latter may, at its discretion, cancel the respective contracting instrument, regardless of notice or interpellation, the termination being characterized by the refusal to receive the goods delivered outside the deadline, without detriment to demandability of the fine foreseen in item XXIII. VII.3. FCA is entitled not to receive or return quantities of goods remitted in excess by the SUPPLIER, and may simultaneously and at its discretion declare the respective contracting instrument annulled in the manner and time set forth in this item. VII.4. The SUPPLIER must package, identify with labels in barcode or other means duly authorized/requested, according to specification, and ship the goods properly, according to FCA’s requirements (applicable manuals), known to the SUPPLIER (“packaging manual”, “world car”), of the transporters involved and, when applicable, of the country of destination. VII.4.1. The identifications placed on each pack and identification of the goods in the lists of content, in the waybills and in the bills help FCA and/or its agents to identify the goods purchased. VII.5. In case of nonconformity of delivery, that requires rework by FCA or its agents, such as replacement of nonconforming packaging with conforming packaging, issuance of identification label of materials/packaging, separation and return of surplus material and/or nonconforming attribution detected, the resulting costs shall be reimbursed by the SUPPLIER in favor of FCA, and may also be compensated by FCA in the first payment owed to the SUPPLIER and/or subsequent payments, a procedure expressly and irrevocably authorized by the latter. VII.5.1. The SUPPLIER undertakes to, at its expenses, keep and preserve the packaging belonging to FCA in perfect conditions of use, as they were delivered to it, in order to promote safety in transport of the goods and so that, upon request for their return, this occurs with the wear resulting from regular use only. In case of wear due to improper use and if the SUPPLIER has not made the due correction, after notification by FCA, the latter will make the correction, debiting the SUPPLIER in the first payment it owes, and/or subsequent payments, with the costs incurred, a procedure expressly and irrevocably authorized by the latter. VII.6. If actions or omissions of the SUPPLIER result in nonfulfillment of the FCA’s delivery requirements, and FCA demands a transport modality for the goods faster than that originally FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 26 - determined, the SUPPLIER must remit the goods in the fastest way possible, bearing the costs involved, or FCA will do so, debiting the SUPPLIER with the resulting costs in the first payment owed and/or subsequent payments, without detriment to demandability of the fine foreseen in item XXIII. VIII – INSPECTION, CONTROL AND WARRANTY VIII.1. The SUPPLIER guarantees/warrants that the goods covered by the respective contracting instrument will be compliant with the specifications, drawings, samples or descriptions provided by FCA or formally agreed with it, being produced in the best technical conditions, with suitable labor and free of defects, and the transport will be checked with regard to FCA’s regulations and standards, as well as the legal requirements in effect on Occupational Medicine, Safety and Hygiene, specific legislations of the environment and fire department at federal, state and municipal level. VIII.1.1. The SUPPLIER also recognizes that it is aware of the use of the goods intended by FCA, and guarantees/warrants that all the goods covered by the respective contracting instrument have been chosen, designed, manufactured or assembled by the SUPPLIER based on the use specifications established by FCA, and that they will be suitable and sufficient for the specific purposes intended by FCA. The warranty term will be that foreseen by the Brazilian legislation, unless FCA offers a greater term to its consumers for the goods installed in the vehicles, in which case the greater term shall be applied concomitantly. VIII.2. FCA may, when applicable, request from the SUPPLIER, as many times as is required, samples of the goods, object of the contracting instrument, regardless of any payments, including duties. VIII.2.1. Based on the quality control tests it conducts, FCA may, not later than 90 (ninety) days for the domestic market and 180 (one hundred and eighty) days for the foreign market, counted as of their receipt, reject goods of inadequate quality, even if they have been fully or partially paid for, the SUPPLIER accepting the return and bearing the resulting burden and expenses. VIII.2.2. FCA shall not answer for indemnity of any nature as a result of destruction of the goods subject to the quality control tests. VIII.3. FCA is given the right to return the goods on account of hidden defects or malfunctions. VIII.3.1. The hidden defects or malfunctions found in determined remittance assure FCA the right to fully or partially reject and return the goods contained in that remittance. VIII.3.2. The goods rejected applied in the domestic market will be placed at the SUPPLIER’s disposal, which will have 48 (forty-eight) hours to collect them, or returned to it at its own expense and risk, FCA having the right to, at its sole discretion, demand their replacement by the same price, or consider definitive return, compensating, in any of these cases, the amounts already paid with future supply or demanding reimbursement. VIII.3.2.1. The rejected goods applied in the foreign market (export) will not be placed at the SUPPLIER’s disposal on account of that imposed by Brazilian regulations, FCA having the right to, at its sole discretion, demand replacement for the same price, or to compensate the amounts already paid with future supply or demand reimbursement. VIII.3.2.2. With regard to determination of the volume and values of the warranted parts in the foreign market, to be reimbursed to FCA, one considers the SUPPLIER’s right to opt for their analysis in loco or to apply the percentage verified and deemed valid by the SUPPLIER, in relation to the analyses conducted in the last twelve months for the same part in the Brazilian market. VIII.3.2.2.1. Regardless of the SUPPLIER’s option, FCA shall inform the quantity and location of the parts that were rejected. VIII.3.2.2.2. If the option is for analysis in loco, the SUPPLIER must do so immediately after having been communicated by FCA, according to item VIII.3.2.2.1 above. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 27 - VIII.3.2.2.3. In case of the option of reimbursement by the percentage verified in the Brazilian market, FCA is reserved the right to apply said percentage based on the ECA information (effect, cause and action), registered in the SPC (system for control of parts). VIII.3.2.3. In any case, the reimbursement will be conducted according to that set forth in clause VIII.4. VIII.3.3. The right to return goods on account of hidden defects or malfunctions may be exercised by FCA at any time, provided within the warranty periods and terms assured by FCA for the products and which, fully known by the SUPPLIER, are also signed as warranty terms for the goods of the supply contract. VIII.3.4. The nonconforming goods, returned by FCA to the SUPPLIER, must be scrapped immediately, any may not under any circumstance be sold to third parties. VIII.4. The goods delivered in noncompliance with the contracted specifications but that, at the discretion of FCA, can be used after simple repairs, will be: VIII.4.1. returned to the SUPPLIER for the latter to, at its expense and risk, make the repairs required; VIII.4.2. repairs by the SUPPLIER in the facilities of FCA, in a place called selection and repair area for suppliers of the Assembly Operation Unit, for which the SUPPLIER will reimburse the FCA for storage, according to price practiced by the market, whenever, in a determined month, there is need for the SUPPLIER to conduct repair of parts it supplied; VIII.4.2.1. this amount will be owed pro rata die, regardless of the volume of parts to be repaired, which may also be compensated in the first payment owed to the SUPPLIER and/or subsequent payments, a procedure expressly and irrevocably authorized by the SUPPLIER. VIII.4.2.2. the term for payment of this storage, whether in currency or through authorized th compensation, will be the 15 (fifteenth) day of the month subsequent to that in which any repair occurs. VIII.5. All direct expenses, such as tests, return and substitution of goods from the SUPPLIER, whether directly incurred by FCA and/or by the Dealer/Authorized Technical Assistance network, and all indirect expenses incurred with other suppliers and/or Dealer/Authorized Technical Assistance network, on account of the inconveniences caused by the defective parts, will be the responsibility of the SUPPLIER, which shall reimburse FCA, including through compensation, which may be done in the first payment owed to the SUPPLIER and/or in subsequent payments, a procedure that is hereby expressly and irretrievably authorized. VIII.5.1. The SUPPLIER must provide technical analysis of the parts replaced under warranty by FCA. The technical quality of this analysis must be such as to assure detection of all the part’s inconveniences, as well as their causes. VIII.5.1.1. The technical analyses of replaced parts must be elaborated by the SUPPLIER according to the standards and procedures of FCA, described in the document PADDPG – PROCEDURES FOR ANALYSIS OF RETURN OF PARTS UNDER WARRANTY. VIII.5.2. The SUPPLIER must elaborate for the parts it supplied quantitative and statistical control, in the manner established by FCA, and must also respect the procedures established by the latter (e.g. issuance of invoices, reports, analysis terms, identification) for technical analysis of the parts replaced under warranty. VIII.6. In case there is the urgent need to use the goods to be repaired, FCA, on notifying the SUPPLIER but acting regardless of its confirmation or preliminary agreement, may make the repairs required in its workshops or in the workshops of third parties, however, always being compensated by the SUPPLIER for the expenses and burden thereof. VIII.7. On the other hand, the quality control previously exercised by FCA neither exempts nor restricts the SUPPLIER’s responsibility for eventual losses caused to third parties, or to FCA, on account of defects in the goods. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 28 - VIII.7.1. In case of defects in the goods applied in vehicles, under circulation or not, that require corrective action, the SUPPLIER undertakes to, after being notified by FCA, replace the defective part(s) not later than 24 (twenty-four) hours, without detriment to the obligations of indemnity to third parties and/or to reimburse FCA for the direct and indirect losses caused as a result of this defect. VIII.8. The SUPPLIER must maintain controls that allow, with total safety, in case of defect in any part or component of its production, conduction of tracing, transmitting the respective information to FCA. VIII.9. The SUPPLIER must also heed FCA’s instructions to include specific marking in all the products it manufactures, intended by FCA for its assembly line or for replacement, also placing different marking on the parts that will be sold directly to third parties by the SUPPLIER itself. These markings must obey FCA specifications, also covering internal components of assemblies. VIII.9.1. Without detriment to the legal and contractual sanctions, the SUPPLIER will answer for losses and damages, in case FCA finds that the parts are being sold in noncompliance with its specific markings, on the other hand expressly forbidding sale to third parties of parts constructed under FCA’s design and/or with FCA’s tools or still with its brand. VIII.10. The SUPPLIER not being the author of the project related to the item(s) object of the supply contract, the start of supply by it shall imply by full right its unmistaken recognition that said design is feasible, being technically correct, the SUPPLIER assuming, as a result, full responsibility for the quality and perfect performance of the product, in the exact terms of the other clauses of this instrument. VIII.10.1. On the other hand, if the SUPPLIER has any hindrance to execution of the design, it must present it in writing to FCA. Production will only start after elucidation of the doubts presented and the making of adjustments in the design, if applicable, from which the parties will draw up a term. IX - ALTERATIONS IX.1. FCA is entitled to, at any time, determine alterations or request that the SUPPLIER make alterations in drawings and specifications of goods or that in any other way alters the scope of the work object of the supply contract, including the works related to inspection, tests or quality control, the SUPPLIER readily agreeing to make said alterations. Any difference in price or deadline for execution resulting from said alterations will be adjusted fairly by FCA, after receipt of the documentation in the manner and with the details it determined, the new deadlines and new prices being specified in the supply contract, without detriment to demandablity of the fine foreseen in item XXIII, in case of delays in delivery of the modified parts, according to changes in the drawings communicated. IX.2. In case of changes in the technical specifications of the drawings, by request of FCA, FCA will be obliged to use up or purchase the stock of finished products or products in construction phase in quantity that, in any way, may not exceed the sum of deliveries foreseen for the month in which prior notice of modification or annulment is given and for the successive month. IX.2.1. In case of changes in the technical specifications of the drawings of safety part “REPORT”, that require immediate substitution in the assembly line and in the field, due to design error by FCA, FCA will be obliged to purchase the stock of finished products or products in construction phase in quantity that, in any way, may not exceed the sum of deliveries foreseen for the month in which prior notice of modification or annulment is given and for the successive month. X – QUALITY, DEVELOPMENT AND CODESIGN X.1. The SUPPLIER agrees to take part in FCA’s supplier quality and development programs, and to meet all quality requirements and procedures determined by FCA, including eventual reviews and updates, in the manner established by the Quality System Requirements, widely disseminated by FCA and known to the SUPPLIER. In addition, FCA will be entitled to visit the SUPPLIER’s facilities, at reasonable times, to inspect the installations, finished products and products under production, object of the supply contract, materials in stock and any property of the SUPPLIER covered by the respective contracting instrument. The eventual qualitative inspection by FCA, whether during the manufacture, FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 29 - before the delivery, or in a reasonable period of time, after the delivery, will not exempt the SUPPLIER from its responsibilities and will not constitute acceptance of any goods under manufacturing process or concluded. X.2. The supply contract for development, construction and modification of tools by the SUPPLIER, with financial resources released by FCA, must mandatorily contemplate payment conditions foreseen in the FCA standards. X.2.1. The SUPPLIER is the sole responsible for faithful construction of the tools in its manufacturing facilities or of third parties contracted, according to the specifications, service life and other technical requirements defined by FCA and accepted by the SUPPLIER, which may not at any time be exempted from such responsibility, including with regard to reconstruction of new tools, at its expenses, to guarantee the service life contracted in number of parts, defined through purchase period or other contractual instrument. X.3. For each case of modification of parts, according to the changes in drawings communicated, the deadlines must be specified in the supply contract for presentation of the samples and for sending of st the 1 batch of parts modified and the costs resulting from delays in meeting these deadlines, if not previously agreed with FCA, will be debited against the supplier, as set forth in item XXIII. X.4. If the SUPPLIER does not meet the deadlines stipulated in the supply contract of the new or modified part, when the reason for the modification is to reduce cost, after deadline defined to make the modification, FCA will modify the supply contract to support the “former” parts, for the same price as the new, or modified part, that is, with the cost reduction foreseen. X.5. The SUPPLIER must, in CODESIGN, meet all the attributions foreseen in the FCA 07235 standards “Procedura per la Gestione Delle Attività di Codesign Prodotto” and FCA 07674 “Check-list di Riscontro delle attività previste of Reliability Design Review per componenti codesign”. X.5.1. The partnership in codesign starts in the product import and development phase, with emphasis on dimensional calculation, target setting, attendance plan, two-step development with feasibility of style, three-step development with virtual loopings, verifica progetto and with delibera attrezare. All the information required will be provided by FCA to the SUPPLIER. X.5.1.1. Technical documentation indicates the constructive documentation of details (indication of elevations, section of materials and their specifications, and of the standards and reference FCA “capitolato”), that is, the 2D and 3D drawings, which must be elaborated by the SUPPLIER according to the FCA procedures, using software indicated by FCA; X.5.1.1.1. The SUPPLIER must deliver to FCA the entire definitive technical documentation, within the deadlines agreed, together with the support documentation elaborated (FMEA, mathematical calculations, etc.) according to FCA standards and norms; X.5.1.1.2. Every and any innovative technical solution that originates in determined codesign agreement may not under any circumstance be claimed by the SUPPLIER, as patent, being that exceptions will be treated and agreed separately; X.5.1.1.3. The SUPPLIER in codesign must indicate in its drawings a table or any other means clearly mentioning and specifying the replacement components with their respective codes, there also being space to mention the corresponding FCA codes that allow correct identification of these components by all those involved, whether from FCA or from the SUPPLIER, in the logistic and commercial processes. X.5.1.1.3.1. For definition of the replacement components, intended for supply of the Dealer network, the SUPPLIER undertakes to meet all the requirements for breakdown or formation of kits made by FCA, except for cases in which the SUPPLIER evidences its technical unfeasibility to FCA. X.5.2. The SUPPLIER also, whenever expressly requested by FCA, undertakes to: iv) produce the part(s) through designated company, in the countries where FCA is legally constituted; FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 30 - v) in case of production in another country, stipulate with the local designated company, in equal conditions, agreement by which the SUPPLIER offers the same technical assistance and knowhow, to give it the conditions to produce the part(s) with the quality and reliability required by the Design and with internationally competitive costs and prices; vi) The SUPPLIER not having conditions to meet the abovementioned obligation, the SUPPLIER undertakes to grant to FCA, based on the agreements signed by the parties, authorization for FCA to sub-license, inexpensively, to other licensees or third parties, the production technology, aiming at the other producing based on the technical design object of the agreement, parts for its own needs and/or for FCA licensees. XI – RIGHT OF PROPERTY AND PRIVILEGES XI.1. FCA’s drawings or models may neither be copied nor transmitted to other people or in any way used by the SUPPLIER. As a result, production of goods based on FCA drawings, models or samples must be, by the SUPPLIER, limited to the quantities established and delivered to FCA, the SUPPLIER undertaking to destroy eventual excess or those that FCA returned after rejection. XI.2. The SUPPLIER recognizes that it is an unlawful act to manufacture and sell goods that are not the object of FCA’s supply contract based on drawings, models or samples of FCA, whether for replacement of any kind, regardless of having been or not manufactured and sold with use of the name or under the brands and distinctive signs of FCA. XI.3. The drawings, models and samples, as well as parts, equipment, tools, materials and technical specifications, delivered and entrusted to the SUPPLIER for execution of the order, are exclusively aimed for this execution and, therefore, granted freely and precariously by FCA, must be returned to it by the SUPPLIER, once the goods object of the supply contract have been delivered and accepted, or at any time, if requested by FCA. XI.4. Except for the supply contract, the SUPPLIER gives FCA broad and full warranty that the goods it will supply were not, and will not, be produced with the violation or contracting of invention patents or exclusive licenses for their use, assuring to FCA free and legitimate use and sale of these goods in Brazil and abroad. XII – INFORMATION ON COMPONENTS, WARNINGS AND SPECIAL INSTRUCTIONS XII.1. If requested by FCA, the SUPPLIER shall immediately send it, in the manner and with the details it determines: e) f) g) h) a list of all components of the goods; the quantity of all components of the goods; the list of all auxiliary material(s) used to package and transport the goods intended for export; information referring to any changes or additions in said components. XII.2. Before shipment of the goods and when this occurs, the SUPPLIER agrees to provide FCA with sufficient warning stickers or posters, in writing (or that include suitable labels of the goods, in the containers and packaging), on any hazardous material that is a component or part of any of the goods, together with the special handling directions, if there is need to instruct the transporters. st XII.3. All sending of 1 batch of parts containing changes in design, modified with ‘D.U.M.’ (date of last modification), or with new drawing numbers, must be duly identified and destined to the FCA Receipt Quality Box for the due inspection and release. It must also clear that the first batches of modified, or new parts may not, under any circumstance, be sent directly to the assembly lines, under penalty of the supplier having to bear the responsibilities resulting from inappropriate use by FCA of a batch of modified parts without the due marking, according to recommendations foreseen by the specified instructions of the contracting instrument. XII.3.1. Said batches must mandatorily be accompanied by the respective CQC (Conformity Quality Certificate), with dimensional control, raw material and other qualification tests. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 31 - XII.3.2. When sending modified batches, the SUPPLIER must inform FCA – Receipt Quality Box, by electronic means, the number of the invoice, issuance date, quantity sent, identification of the parts, number of the new ‘DUM’ and respective FCA approval document (benestare practice/CQC). XII.3.2.1. The information on modifications must be recorded in the invoice and product identification sticker (scheda SIP 9.01105). XIII – SUPPLIER OBLIGATIONS XIII.1. By virtue of what was agreed herein and to minimize eventual discontinuity processes in the production chain, the SUPPLIER undertakes to, in its duration and until all its obligations have been met: g) deliver to FCA within 45 (forty-five) days after the end of each semester of its fiscal year a balance referring to the semester ended, followed by the profits and losses account, other statements and cash flow with vision for the next fiscal year, these documents being signed by two Directors (or by the direct responsible), and according to the accounting principles usually accepted in Brazil; h) deliver to FCA within 90 (ninety) days after the end of its fiscal year the annual balance sheet, respective statement of the profits and losses account, other statements and cash flows with vision for the next fiscal year, these documents being signed by two Directors (or by the direct responsible), accompanied by the report from Independent Auditors of reputation recognized in the Brazilian and international market; i) deliver to FCA, whenever requested, within 30 (thirty) days after the end of each quarter of its fiscal year a balance referring to the quarter ended, followed by the profits and losses account, other statements and cash flow with vision for the next fiscal year, these documents being signed by two Directors (or by the direct responsible), and according to the accounting principles accepted by the Brazilian legislation; j) readily submit to FCA, when requested, any information regarding its economic-financial status, its asset and liability operations and its activities, in the manner and frequency indicated by FCA. k) immediately inform FCA of the filing or establishment of any Judicial or Administrative Process or Procedure, whose outcome may somewhat unfavorably affect its economic-financial condition, its assets and/or any of its activities; l) immediately inform, when any, all corporate changes and annually the updating of its registration data. XIII.2. The SUPPLIER declares that the financial information and statements not audited are complete and correct and accurately reflect its financial conditions and that the result of its operations up to that date, all according to the accounting principles generally accepted in Brazil. XIII.2.1. The SUPPLIER also declares that it is aware of its responsibility and that of its agents foreseen in the Civil Code, instituted by Law 10.406, dated 10 January 2002, with highlight on article 1,169 and sequent. XIII.3. Respect the regulations and norms of FCA, as well as the legal requirements in effect on Medicine, Tax Legislation, Occupational Safety and Hygiene, Specific Legislations of the Environment and Fire Department at Federal, State and Municipal level during execution of the activities, object of the supply contract, in the industrial establishment of FCA, located in Betim, Minas Gerais State, or in any other place. XIII.4. Be fully responsible for the assets belonging to FCA under its keep, in loan for use or not. XIII.5. Be responsible for the acts of subcontractors eventually authorized by FCA. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 32 - XIII.6. Accept every and any decision of FCA regarding the substitution of employees, who work in its industrial establishment, located in Betim/MG, assigned for execution of the activities, object of the supply contract, whenever, at FCA’s sole discretion, they become undesirable. XIII.7. Meet all FCA requirements, when required, for identification of its employees, materials, equipment, tools and vehicles intended for execution of the activities in the FCA establishment, located in Betim/MG, object of the supply contract. XIV – SUPPLIER PROPERTY XIV.1. Unless accepted otherwise by FCA, the SUPPLIER will keep in good state and will substitute, when required and at its expenses, all machines, equipment, tools, guides, dies, gauges, templates, molds, models and other assets of its property (SUPPLIER Property) required for the production itself to meet the FCA goods, including when they are specific for replacement. XIV.1.1. The cost of changes in the SUPPLIER Property, required to make the design adaptations and specifications authorized by FCA, shall be paid by the latter in cases in which there is prior and written agreement by the latter in this wise. XIV.1.2. The SUPPLIER shall hire insurance for the SUPPLIER Property with full coverage against fire, theft, vandalism, natural disasters, violations and other risks of losses or damages liable to insurance and with full coverage of its replacement value. XIV.1.3. The SUPPLIER shall grant to FCA an irrevocable option of obtaining possession of the “SUPPLIER Property” that is specific for production of the goods, through payment to the SUPPLIER, for its net accounting value, minus any amounts that FCA has previously paid to the SUPPLIER for the cost of said items, it being certain, however, that this option shall not apply if the “SUPPLIER Property” is used to produce goods that are part of the SUPPLIER’s standard stock or if a considerable quantity of similar goods is being sold by the SUPPLIER to third parties. XV – FCA OBLIGATIONS XV.1. Provide the SUPPLIER, when required, with badges denominated “Third Party Functional Identity”, to be maintained by it and distributed to its employees and agents. XV.2. Inform the SUPPLIER of its norms and procedures related to access, traffic and stay of people, materials, equipment, tools and vehicles in FCA’s industrial establishment, located in Betim/MG. XV.3. To provide medical/hospital first-aid to employees and/or agents of the SUPPLIER who have suffered accidents in FCA’s industrial establishment, located in Betim/MG. XVI – FCA PROPERTY XVI.1. All supplies, materials, tools, guides, dies, gauges, templates, molds, models, equipment and other assets provided by FCA to the SUPPLIER, directly or indirectly, to cover the respective contracting instrument, or for which the SUPPLIER has been reimbursed by FCA, will be the property of FCA and will remain as such, and will be maintained by the SUPPLIER, in loan for use (“FCA Property”), including when they are specific for replacement. XVI.1.1. The assets in loan for use, mentioned in the previous item, will be the object of Private Agreement between FCA and the SUPPLIER, and the latter undertakes to, whenever requested, sign amendments and/or new contracts that contemplate reports on movement of these assets. XVI.1.2. The SUPPLIER will bear eventual losses and damages caused to the FCA Property. The FCA Property will, at any time, and at the SUPPLIER’s expenses, be properly preserved and kept and shall not be used by the latter for any purpose other than fulfillment of FCA’s supply contract. It must be individualized and visibly marked as FCA property by the SUPPLIER; it should not be mistaken with the SUPPLIER Property or with the property of a third party and should not be removed from the SUPPLIER’s facilities without prior and written approval of FCA. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 33 - XVI.1.3. FCA will be entitled to enter the SUPPLIER’s facilities, at reasonable times, to inspect said property and the SUPPLIER’s records with regard to it. XVI.1.4. The SUPPLIER shall contract, at its expenses, insurance with FCA’s endorsement, for the FCA Property as loan for use, with full coverage against fire, theft, vandalism, natural disasters, violations and other risks of loss or damage liable to insurance and with full coverage of its replacement value, regularly sending copy of the policy to FCA. If the SUPPLIER fails to send copy of the policy to FCA, the latter shall, after notifying the former, hire from the Insurance Companies the respective insurance, debiting the SUPPLIER with the amount of the premium, which may also be compensated in the first payment owed to the SUPPLIER and/or subsequent payments, a procedure that is expressly and irrevocably authorized. XVI.1.5. Through request from FCA, the FCA Property must e released immediately to FCA or delivered to FCA by the SUPPLIER, whether (i) through transport in the FOB condition of the equipment, properly packaged and marked according to requirements of the transporter chosen by FCA to transport said property or (ii) to any venue designated by FCA, in which case FCA shall pay to the SUPPLIER the reasonable cost of delivery of the property to the venue indicated. XVI.1.6. The SUPPLIER hereby waives the right of withholding to guarantee payment or any other rights it may have over the FCA Property, due to work performed in said property or for any other reason. XVI.1.7. The fact of producing with the FCA Property does not exempt the SUPPLIER from its responsibility over the quality and conformity of the products obtained. In case of any technical fact that prevents or renders difficult obtainment of that foreseen, the SUPPLIER must formally question FCA to solve doubts and find joint solutions. XVII – SERVICES, REPLACEMENT PARTS AND ACCESSORIES XVII.1. The SUPPLIER shall sell to FCA the goods required to meet the service provisioning requirements and replacement parts of the current model, by the price(s) stipulated in the respective supply contract. If the goods are systems or modules, the SUPPLIER shall sell the components or parts that make up the system or module for a price that should not exceed, in total, the price of the system or module, minus the assembly costs. XVII.1.1. For the term of up to 15 (fifteen) years subsequent to that of discontinuation of the purchases by FCA for each model or deadline regulated by law, the SUPPLIER shall sell the goods to FCA to meet the requirements of service provisioning and replacement parts of the former model. Unless agreed otherwise by FCA, the price(s) during the first 3 (three) years of this period will be those in effect upon discontinuation of sale of the respective model. In the rest of the period, the price(s) of the goods will be that (those) agreed by the parties in writing. XVII.1.2. The tool being used for manufacture of products intended for FCA’s goods, belonging to the SUPPLIER, any intervention to make modifications in these tool must have FCA’s consent through the REPLACEMENT PARTS AREA, in order to guarantee normal supply of the Dealer/Authorized Technical Assistance network, for the term of up to 15 (fifteen) years or term regulated by law. XVII.1.3. If the SUPPLIER proceeds to make any modification in the tool, contradicting that set forth in the previous item, it shall be obliged to, at its expenses, repair or construct a new tool that can meet the manufacturing of parts intended for the replacement market. XVII.1.3.1. The SUPPLIER may not, under any circumstance, make modifications in the codesign items object of its supply, without prior consent of FCA, which shall establish through its REPLACEMENT PARTS AREA, the components and time during which these shall remain in production in order to guarantee normal supply of the Dealer/Authorized Technical Assistance network, in its original technical version. XVII.1.4. When requested by FCA, the SUPPLIER must elaborate literature on the services and other materials available, without any additional cost, to support FCA’s parts sales and service activities. XVIII – COMMERCIAL SECRET, ADVERTISEMENT AND CONFIDENTIALITY FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 34 - XVIII.1. The SUPPLIER undertakes to keep absolute secrecy regarding the data, details and technical and commercial specifications transmitted, entrusted to it or that it has knowledge of through execution of the request, not being able to, under any pretext, make them known to third parties. XVIII.2. The SUPPLIER is expressly forbidden to, in the its own interest or that of third parties, make any publicity or advertising in which it refers to the supplies made and/or the commercial relations it maintains or will maintain with FCA, it being certain that any campaign, dissemination material and publicity to be disseminated, by any means, by any of the parties, may only mention or use the name or brand of the other through written agreement between the parties. XVIII.2.1. In exceptional cases, resulting from prior written authorization from FCA, granted under its sole discretion, the SUPPLIER undertakes to observe that established in specific clause in the contract signed between the parties. XVIII.3. The SUPPLIER must maintain the most absolute secrecy and in strictly confidential nature over every and any information provided by FCA, therefore treating it as confidential information. XVIII.3.1. Confidential information is every and any written or oral information revealed to the SUPPLIER, whether it bears the expression “CONFIDENTIAL” or not. The information term will correspond to all information that is written, verbal or otherwise presented, tangible or intangible, and may include but not be limited to: documents, devices and/or details of technical or commercial nature, whether information, illustrative, photographic, drawings, technical or commercial specifications, knowhow, techniques, design, diagrams, copies, forms, samples, flow charts, tables, models, sketches, photographs, plans, computer programs, discs, floppy discs, tapes, contracts, business plans, projects, processes, product concepts, prices, costs, suppliers, definitions, market information, inventions, ideas and/or other technical, commercial, legal or financial information, among others, hereafter referred to as CONFIDENTIAL INFORMATION, directly or indirectly, received by the SUPPLIER, belonging or related to FCA. The CONFIDENTIAL INFORMATION mentioned in this clause may belong to FCA or third parties. XVIII.3.2. The disclosure, use, distribution, supply, reproduction (including photographic or photocopy), in whole or in part, is utterly forbidden, under any from, by the SUPPLIER, of the CONFIDENTIAL INFORMATION for purposes other than those object of the supply contract, without prior and express consent of FCA signed by its legal representatives. XVIII.3.3. The obligation mentioned in this clause applies not only to the SUPPLIER, but also to its administrators, employees, agents, partners, representatives of any nature, contracted or subcontracted, the SUPPLIER ensuring that the CONFIDENTIAL INFORMATION remains restricted to the knowledge of the directors, employees and/or agents directly involved in the discussions, analyses, meetings and businesses related to the supply contract, informing them of the existence of this obligation and the confidential nature of the information. XVIII.3.4. The SUPPLIER undertakes to, during the term of the supply contract and 5 (five) years after its conclusion, maintain and preserve the confidential and secret nature of the CONFIDENTIAL INFORMATION, not allowing third parties to have or eventually have access, publish or disclose the CONFIDENTIAL INFORMATION, even if partially, at any time, without prior, written and exclusive authorization from FCA. XVIII.4. One shall not consider as secret or confidential information that, provably: XVIII.4.1. Is of public dominion during the revelation or after the revelation, except if this occurs as a result of act or omission of the SUPPLIER. XVIII.4.2. Becomes public dominion, after its revelation by third parties, foreign to the present relation and outside the scope of the supply contract. XVIII.4.3. The SUPPLIER should reveal it on account of order issued by administrative or judicial body with jurisdiction over the SUPPLIER, only up to the extent of said order, provided: XVIII.4.3.1. said information is grouped and/or presented in summarized format. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 35 - XVIII.4.3.2. the SUPPLIER has previously notified FCA in writing of the existence of said order, allowing FCA to request for protective measures it deems applicable. XVIII.4.3.3. It has been received from third parties foreign to these “GENERAL PURCHASE CONDITIONS”. XVIII.5. Upon closing of the supply contract, all CONFIDENTIAL INFORMATION received must be returned to FCA and the SUPPLIER may not retain, maintain or store any copy or reproduction, in whole or in part, of any CONFIDENTIAL INFORMATION without prior and express approval of FCA. XVIII.6. SUPPLIER acknowledges that any breach of its confidentiality obligation will cause a material impact on FCA. The breaching party shall compensate the injured party for any damage resulting from the unauthorized disclosure of the information, without prejudice to the enforcement of any criminal and civil (labor) penalties. XVIII.7. In addition to the applicable statutory penalties, SUPPLIER acknowledges that FCA may enforce this clause by filing an action for provisional remedy or filing for an injunction or specific performance, so that the breach can be forestalled or its effects repealed. XIX – LABOR RELATIONSHIP XIX.1. The SUPPLIER undertakes to, by itself or its agents, during execution of activities in FCA’s establishment, located in Betim/MG, in function of the supply contract, meet the legislation and norms on matters of labor relationships, occupational health and safety, as well as FCA’s internal standards, which it declares to know and accept. In case of default of the obligations contained in this clause, the SUPPLIER must assume all costs or losses thereof, generated for FCA. XIX.1.1. The SUPPLIER, executing activities in FCA’s industrial establishment, located in BETIM/MG, through subsidiary or other modality of commercial/industrial establishment foreseen in law, undertakes to allow access to all its facilities, as well as to the documents of interest to FCA to check compliance with this clause’s objective, providing the latter with copies when requested. XIX.1.2. FCA may only disclose and use information and documents received from the SUPPLIER in situations foreseen in the legislation, norms or by virtue of fulfillment of this contracting instrument. The SUPPLIER is also subject to this obligation in relation to the documents and information received from FCA. XIX.1.3. The SUPPLIER also undertakes to make the subcontractors or third parties related to or involved in execution of the supply contract activities fulfill said norms and legislation. XIX.1.4. The default of any obligation, in whole or in part, foreseen in this clause, shall imply, at FCA’s discretion, in warning to the SUPPLIER and suspension of the works, until the irregularities are solved, without detriment to the possibility of rescission of the existing agreement, by just cause and application of the penalties foreseen in law and by the inspection bodies. XIX.1.5. The SUPPLIER is exclusively responsible for full compliance with all obligations resulting from or related to the activities object of the supply contract, especially tax, labor, social security and accident obligations. XIX.1.6. Having received the notification to defend itself in court or administrative process from the government, filed by employee, former employee, trainee or former trainee of the SUPPLIER or of companies hired by it, FCA will calculate the rights claimed and, after notifying the SUPPLIER, will withhold the corresponding amount, as guarantee in case of eventual sentence, deducting the amounts owed to the SUPPLIER. XIX.1.7. The guarantee shall be returned by the SUPPLIER after the evidence of definitive agreement between the SUPPLIER and the plaintiff, when there are no longer any risks of condemnation for FCA. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 36 - XIX.1.8. If the guarantee exceeds the amount of 10% (ten percent) of the SUPPLIER’s monthly billing to FCA, the total amount of the guarantee shall be withheld in consecutive installments not greater than 10% (ten percent) of the monthly billing of the SUPPLIER, in as many months as are needed to complete the total amount of the guarantee. XIX.1.9. In case there are no values to be withheld by FCA, it may use another means allowed by law to ensure that the SUPPLIER pays the amount owed directly to the plaintiff and/or returns to FCA the expenses and payments made, being that “calculation” of the value makes it net and certain. XX - ENVIRONMENTAL XX.1. The SUPPLIER must respect the government norms related to environmental and energy preservation, as well as, in relation to those issued from environmental and energy program of FCA, that the SUPPLIER declares to know and accept, the latter exclusively bearing the payment of all the penalties and indemnities resulting from eventual violation committed by it, in these aspects, without detriment to early rescission of the agreement existing between the parties, in case of risk of imposition of restrictions by the competent authorities for future use of the area, if its fault is evidenced. XX.1.1. The SUPPLIER must have Business License (‘LO’) valid throughout the contractual term, and must also submit to FCA annually authenticated copy of its valid Business License and other pertinent authorizations, according to the activity contracted. If the SUPPLIER’s activity is waived from the environmental licensing, the declaration of licensing waiver issued by the competent environmental body must be presented to FCA. XX.1.2. The SUPPLIER must inform to FCA about the application of notifications and/or assessments, embargo, suspension of its activities, suspension of the licenses or authorizations by the environmental bodies, or any other relevant fact that can cause some kind of alteration in the status and/or conditions of its environmental licenses or authorizations. XX.1.3. The SUPPLIER undertakes to communicate FCA about the occurrence of accidents or environmental damages resulting from execution of the contractual object. Said communication does not exempt the SUPPLIER from its civil, administrative and criminal responsibility, much less from the obligation of immediately adopting all measures required in the legislation required for reduction and recovery of the damages eventually caused in the environment and to third parties. XX.1.4. The SUPPLIER must keep updated the Federal Technical Register (‘CTF’) in the Brazilian Institute of the Environment and Natural Resources (‘IBAMA’) for the activity developed, issued during formalization of the contract with FCA, and annually during the contractual duration, copy of the Certificate of Regularity (CR), issued by IBAMA. XX.2. With regard to the environmental aspects, it is clarified that water and sewage piping pass through the basement of the FCA areas; with regard to these and with regard to use of polluting materials and materials that can degrade the environment, the SUPPLIER hereby expressly undertakes to respect the guidelines, norms and instructions of FCA, especially its Environmental and Power Management System, norms that will always be updated, so as to meet and preserve ISO certificates and others of government nature already obtained or that FCA intends to obtain. XX.3. The SUPPLIER must maintain close relationship with the abovementioned Environmental Engineering area of FCA, aiming at seeking the information and norms mentioned in the previous item. XX.4. Respect and enforce respect of the norms and regulations of FCA, declaring to know and accept them, also promoting substitution of personnel from its workforce that become inconvenient in the FCA industrial establishment. XX.5. The eventual vehicles used by the SUPPLIER to provide the services in FCA’s facilities must be duly regulated, preventing the occurrence of oil leaks and forbidding the emission of black smoke above the limits established in law, the same being liable to inspection by FCA, the SUPPLIER undertaking to indemnify FCA for any penalty peradventure applied to FCA, as a result of noncompliance of these vehicles with the pertinent legislations. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 37 - XX.6. - The SUPPLIER fully and exclusively undertakes to collect, transport, store, treat and see to the final and environmentally adequate destination of residues and effluents generated in the respective operations, in addition to the materials and utensils that are without use conditions, following procedures of FCA’s Environmental and Power Management System and in strict compliance with the legislation in effect, as well as for eventual damages and losses caused to FCA, to the environment and to third parties, safeguarding, in any case, FCA’s right of cross claim against the SUPPLIER. Thus, any irregularity or fine, resulting from poor management of this process, will be the sole responsibility of the SUPPLIER. XX.7 The SUPPLIER must be aware that as of issuance of the purchase order, the power service, products and equipment that have or may have impact on significant use of power will be partly evaluated based on energy performance. XXI – FCA PRINCIPLES AND GUIDELINES XXI.1. Considering that environmental preservation is essential to quality of life and to sustainable development, FCA, as signatory of the Business Charter of the International Chamber of Commerce (ICC), undertakes to: XXI.1.1. Maintain an Environmental Management System to assure the meeting of legal requirements and other requirements, in its processes, products and services. XXI.1.2. Promote optimized use of energy resources. XXI.1.3. Manage industrial residues, minimizing their generation and optimizing their recycling. XXI.1.4. Seek continuous improvement of the environmental performance of its activities, always aiming at prevention of pollution and applying economically feasible technology. XXI.1.5. Produce vehicles consistent with the environmental legislation in effect. XXI.1.6. Promote awareness and involvement of its employees, contractors and subcontractors that work in its industrial establishment to work in an environmentally correct manner. XXI.2. The Environmental Management System includes the manufacturing unit of Betim/MG in its automotive vehicle production and assembly activities. XXII – ACCESS TO FCA FACILITIES XXII.1. the SUPPLIER declares to be aware that it must observe and enforce the observance of norms and regulations of FCA pertinent to access, traffic and stay of personnel and materials in FCA’s establishment, located in Betim/MG. XXII.2. In order to facilitate the access in question, FCA shall deliver, when applicable and meeting the SUPPLIER’s internal determinations, without burden to the SUPPLIER, duly filled out badges denominated THIRD PARTY FUNCTIONAL IDENTITY, to be distributed exclusively to its employees who are performing their usual activities in the industrial establishment of FCA, located in Betim/MG. XXII.3. The SUPPLIER must formally indicate its accredited representative to receive the badges, such indication not implying, however, reduction or exemption of its responsibility. XXII.3.1. Said badges, once the commercial relationship between the parties has extinguished, or at any time upon request by FCA, must be returned to it, not later than 2 (two) business days, as of formalization of request in this wise and/or rescission of the supply contract and/or rescission by the SUPPLIER of the job contract with its employee, without detriment to FCA’s right to receive, as indemnity, whenever there is loss and/or supply of second copy of badges, the minimum amount of R$ 20.00 (twenty BRL) per unit lost or supplied and/or not returned, this indemnity as well as the penalties being liable to deduction from the amount of bills of the SUPPLIER issued against FCA, said compensation being hereby expressly authorized. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 38 - XXII.3.2. No indemnity shall be owed to the SUPPLIER as a result of hours not worked, in view of eventual impediment of access of its employees to FCA’s industrial establishment, located in Betim/MG, caused by the non-presentation of badges. XXII.3.3. The SUPPLIER is responsible for the acts of managers or agents, active or who have left the its staff up to delivery of their respective identifications (badges) to FCA. XXII.4. The SUPPLIER assumes before FCA full and complete civil and technical responsibility, as well as all the responsibility foreseen resulting from legal and regulatory provisions, regarding execution of the contracted service and of the works mentioned in it, in all that refers to FCA as well as third parties, answering civilly and criminally for error, lack of expertise, imprudence and negligence, as required by the legislation in effect, the SUPPLIER having, when required by law, all the resources necessary, such as not limited to: doctors, nurses, nursing assistants, occupational safety engineers and technicians. XXII.4.1. The SUPPLIER must provide all its employees and agents assigned to FCA’s industrial establishment, located in Betim/MG, when required, with individual protection equipment needed for development and execution of the activities, according to the nature of the risks and duly approved by the Ministry of Labor. XXII.4.2. The SUPPLIER shall be the sole responsible for correct use of all the safety items provided to its employees and agents. XXII.5. The SUPPLIER declares to be aware that in case the object of the supply contract is a subcontractor, the SUPPLIER shall be the sole responsible for keeping and return of the badges, in the amounts received, which shall, for all purposes, be indicated in appropriate document to be drawn up opportunely. XXIII – CRIMINAL CLAUSE XXIII.1. Nonfulfillment, by any of the parties, of any obligation foreseen in the supply contract and/or in these general terms, shall imply in the application, by the innocent party against the guilty party, of contractual fine of 10% (ten percent) over the value of the supply foreseen for the month of violation, the innocent party being assured the right to consider the contract terminated, also reserving the right to compensation for all damages resulting from the default and whose amount exceeds the value of the contractual fine. XXIII.1.1. In case of stop in the assembly line, with loss in production and/or incomplete vehicles, or other correlated losses, by fault of the SUPPLIER, with loss to FCA, its direct importers and/or third parties, the latter shall communicate it in writing, the SUPPLIER having 10 (ten) business days as of the communication to challenge its responsibility. If this does not occur and/or if the arguments are not accepted, debit document shall be issued for compensation of the losses caused with loss of production, which may also be compensated in the first payment owed by FCA to the SUPPLIER and/or in subsequent payments, a procedure that is hereby expressly and irrevocably authorized. XXIII.1.2. There being the need for change in the production mix, by fault of the SUPPLIER(S), which failing to meet that set forth in item VII.1 above causes losses to FCA and its other suppliers, the loss caused to FCA and its other suppliers shall be communicated to the SUPPLIER, which will have 10 (ten) business days as of sending of written communication to challenge its responsibility, and in failing to do so, or if the arguments are not accepted, debit document shall be issued for compensation of the expenses, which may also be compensated in the first payment owed by FCA to the SUPPLIER and/or in subsequent payments, a procedure that is hereby expressly and irrevocably authorized, FCA transferring the respective losses to its other suppliers, provided received from the SUPPLIER. XXIII.1.3. There being delays in delivery in the schedules of Replacement Parts and Accessories that cause generation of BACK ORDER or immobilized vehicles, in the domestic market as well as in the foreign market, the SUPPLIER shall be held liable for eventual costs imputed to FCA as a result of this delay, including for the sales losses. The SUPPLIER shall have 10 (ten) business days as of sending of written communication to challenge its responsibility, and in failing to do so, or if its arguments are not accepted, debit document shall be issued for compensation of the expenses, which may also be FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 39 - compensated in the first payment owed by FCA to the SUPPLIER and/or in subsequent payments, a procedure that is hereby expressly and irrevocably authorized. XXIII.1.4. The delay in delivery of samples by the SUPPLIER and under its responsibility shall imply in compensation to FCA of the resulting costs, which shall be calculated by multiplying the price defined for the product by 50 (fifty). In the absence of defined price for the product, the respective “target price” is used. This compensation will have a floor of R$ 3,000.00 (three thousand BRL) and a ceiling of R$ 30,000.00 (thirty thousand BRL). Each new delay will imply in reapplication of the compensation, as described and so on successively. XXIII.1.5. There being rejection of sample delivered for Qualification or Benestare (release for production and assembly in the vehicles), by fault of the SUPPLIER, the latter shall be debited by the Product Engineering Unit (Qualification) and by the Direct Material Receipt Unit (Benestare), as compensation for costs incurred by the units, with the minimum value equivalent to 15 (fifteen) hours/man. In case of a second rejection of sample of the same product, this shall imply in double compensation (30 hours/man), and the third occurrence or compensation shall be triple (45 hours/man) and so on successively. XXIII.1.5.1. In addition to that set forth in clause XXIII.1.5. above, the SUPPLIER will be subject to the penalties foreseen by Suppliers Quality Engineering (‘EQF’), and Purchases Operative of FCA, with regard to rejection of samples, being that in the first rejection, the pecuniary fine shall be 150 (one hundred and fifty) times the unit price of the part and in absence of the unit price, a minimum floor of R$ 3,000.00 (three thousand BRL) limited to up to R$ 30,000.00 (thirty thousand BRL). In case of a second rejection, the pecuniary fine shall be 200 (two hundred) times the value of the part and in the absence of this, a minimum floor of R$ 4,000.00 (four thousand BRL) and a ceiling of R$ 40,000.00 (forty thousand BRL). There being a third rejection, the pecuniary fine shall be 250 (two hundred and fifty) times the value of the part and in the absence of this a minimum floor of R$ 5,000.00 (five thousand BRL) and a ceiling of R$ 50,000.00 (fifty thousand BRL), and so on successively. XXIII.2. The existence of factors of qualitative criticality (absence of certification of quality system, production process with negative certification, incapacity of supply in Assured Quality regime, absence of regularly approved samples, presence of qualitative noncompliance) shall imply in the adoption of exceptional inspection/verification actions by FCA, whose costs, calculated by Standard estimate, shall be compensated to FCA by the SUPPLIER. XXIII.3. The costs incurred by FCA with vehicles in circulation, identified within or outside the warranty term, that require corrective and/or preventive actions (including recall campaign), conducted by the Dealer/Authorized Technical Assistance network, caused by anomalies in the product attributed to the SUPPLIER, shall be the latter’s sole responsibility, whose reimbursement shall be requested by FCA according to the management processes defined by the competent sector. XXIII.4. In addition to the reimbursement with costs of materials and services mentioned in the previous item, FCA may, at its discretion, demand from the SUPPLIER indemnities related to the losses of image and others it may detect in function of the nonconformities caused by technically imperfect products. This indemnity shall be calculated judicially. XXIV – GENERAL PROVISIONS XXIV.1. The SUPPLIER and any goods it supplies, must be strictly compliant with all applicable laws, rules, regulations, court orders, conventions, ordinances or standards of the country(ies) of destination, or related to the manufacturing, labeling, transport, import, export, licensing, approval or certification of the purchases/cargo or of the services, including but not being limited to those related to environmental issues, salaries, working hours and conditions, selection of subcontractor, discrimination, occupational health/safety and safety of automotive vehicle. The SUPPLIER also declares that neither it nor any of its subcontractors shall use slaves, prisoners or any other form or forced or involuntary labor and that also, in the supply of goods, in terms of this general term of supply, it shall not discriminate race, belief or gender. Upon request by FCA, the SUPPLIER shall attest, in writing, to the fulfillment of the above. The SUPPLIER must indemnify and exempt FCA of any responsibility, claim, demand or expense (including attorney fees or other professional fees) resulting from or related to nonfulfillment by the SUPPLIER. The SUPPLIER declares that neither it nor any of its subcontractors or SUPPLIERS shall use child labor in noncompliance with the labor legislation in effect, applying, in such cases, the provisions in item XXIV.1. XXIV.3. The SUPPLIER must respect all legal norms and provisions, especially those pertaining to environmental preservation, including the FCA environmental policy. XXIV.3.1. The SUPPLIER must meet all legal requirements applicable to its activities, like environmental licensing and requirements for transport of hazardous products, such as CONAMA 237/97, IBAMA Ordinance 85/96, MT Ordinance 204/97, Decree 96.044/88, European guidelines 9.01102 – Quality of Supply, 9.01107 – Use of the IMDS System – Heavy Metals, 2000/53/CE, INMETRO Ordinance 10/06 and other applicable legal requirements or that are eventually required. XXIV.4. In this act, for due purposes and effects of Law, the SUPPLIER expressly declares to have full knowledge of the content of IBAMA Ordinance no. 85, dated 17 October 1996, published in the Federal Official Gazette (‘DOU’) of 21 October 1996, which is obliged to respect and comply, by itself and its agents, with all that involves the terms of the supply contract and its execution. XXIV.5. Regardless of all that mentioned herein and agreed, the SUPPLIER undertakes to indemnify FCA, at a mere request of the latter, any amount it disburses due to eventual default or action of the SUPPLIER in disregard for the legislation mentioned in the supply contract; XXIV.6. Eventual subcontracting, consented or not, do not reduce the SUPPLIER’s responsibility for perfect execution of the activities object of the supply contract. XXIV.7. The activities object of the supply contract must be carried out with suitable equipment, always within the safety standards and pertinent legislation. XXIV.8. The SUPPLIER is strictly forbidden to transport FCA’s cargos without the due and correct fiscal documentation. XXIV.9. The Parties agree to expressly exclude the application of any provision of the United Nations Convention on the Purchase Ageements and International Sale of Goods – CISG (Vienna/1980). XXIV.10. There being no other document agreed between FCA and the SUPPLIER, with clear waiver of that set forth in the General Terms, this document shall, for all purposes, the sole and qualified to, together with the supply contract, settle any divergences in understanding and concept. XXIV.11. The terms of these DIRECT MATERIAL GENERAL PURCHASE TERMS are, for all legal purposes, registered in the Registry of Deeds and Documents of the Judicial District of Betim, in Book C-25, under no. 80907, in 23/Sep/2005. XXV – CASES OF RESCISSION AND FINE XXV.1. In addition to the cases resulting from default of the SUPPLIER, already foresee, FCA will also be entitled to terminate the contractual relationship through mere written communication if: XXV.1.1. The SUPPLIER files for agreement with creditors or bankruptcy, or still, when its insolvency is manifested through protests of deeds of any kind, or even other demonstration of usual lack of punctuality in the settlement of its financial commitments. XXV.1.2. The SUPPLIER violates any of these General Terms and/or the respective supply contract. XXVI – CODES OF CONDUCT AND ANTICORRUPTION RULES XXVI.1. The SUPPLIER declares that it is aware of, knows, understands and fully observes the rules established in the FCA Group Code of Conduct (“Code of Conduct”), available in http://www.ethicshelpline.fcagroup.com; e Code of Conduct in the Utilization Technology Recourses, as well as the applicable anticorruption laws, especially but not limited to Law no. 12.846, dated 2013 (“Anticorruption Law”, together the “Anticorruption Rules”), abstaining from any activity that constitutes a violation of the provisions of the Code of Conduct and Anticorruption Rules. The SUPPLIER also undertakes to conduct its commercial practices ethically and in compliance with the Code of Conduct and Anticorruption Rules. FCA FIAT CHRYSLER AUTOMÓVEIS BRASIL LTDA. – AVENIDA CONTORNO, 3455 – DISTRITO INDUSTRIAL PAULO CAMILO – BETIM/MG – CEP 32669-174 - 41 - XXVI.2. The SUPPLIER declares, by itself and its subsuppliers: (i) not to have employees, partners, administrators and/or representatives of any nature who maintain and/or main maintain, during this Contract’s term, public position of any kind and in any sphere, or who is employee of a political party in the country of execution of the services, (ii) to be fully aware that any fact or act that is able to change the scenario foreseen in “item (i)” above, such as, but not limited to, eventual appointment of employees, partners, administrators and/or representatives of any nature to public position, as well as occurrence of any facts or acts that contradict the provisions of the applicable Anticorruption Rules, must be immediately communicated to FCA, (iii) to have already implemented or undertakes to implement, during the Contract term, a effective program for conformity and training on prevention, detection and fighting against violations of the Anticorruption Rules and the requirements established in this Contract. XXVI.3. FCA may, at its discretion, proceed to audit the books, accounts, records, bills and supporting documentation, as well as to conduct any verification in the SUPPLIER and/or its subsuppliers, aiming at evaluating compliance with the Code of Conduct and Anticorruption Rules by the SUPPLIER, without however exempting and/or reducing the latter’s responsibilities before FCA, third parties and/or competent authorities. XXVI.4. Noncompliance by the SUPPLIER and its subsuppliers with any applicable Anticorruption Rules or the Code of Conduct, except for other cases of rescission foreseen in law or in this instrument, will be considered a serious violation and shall give FCA the right to terminate the Contract, the SUPPLIER being obliged to exempt FCA from any lawsuits, losses and damages resulting from said noncompliance. The CONTRACTOR shall be responsible fro indemnifying FCA against every and any damage borne by the latter as a result of noncompliance with the obligations and declarations established in this Clause, being hereby authorized to withhold any payment it owes to the SUPPLIER and to compensate with any amount owed to FCA as a result of the rules foreseen herein. XXVII - JURISDICTION XXVII.1. Expressly waiving any other, however privileged, the jurisdiction of the judicial district of Belo Horizonte, Minas Gerais State, is hereby elected as the sole competent to institute the measures aimed at settling doubts originated from these General Terms and from the supply contract. FCA is however reserved the right to sue the SUPPLIER, in court, in the location where it is headquartered. The law applied shall always be the Brazilian law.
