NOTICE TO THE MARKET
Tegma Gestão Logística S.A. (“Tegma” or the “Company” - Bovespa: TGMA3), announces to its
shareholders, investors and the capital market, that Tegmax Comércio e Serviços Automotivos Ltda.
(“Tegmax”), a Company subsidiary, assigned a Purchase and Sale of Assets and Rights Agreement
with the Auction SP - Promotora de Eventos Ltda. (”Auction SP”). The agreement purposes the sale by
Tegmax of its assets exclusively related to promoting, marketing and organizing the auctions
("Auctions Business").
The Buyer will pay by the Auctions Business the total amount of R$500,000.00 (five hundred thousand
reais).
The deal is still subject of relevant corporate approvals, assuring that the Buyer will assume from
January 1st 2014 the Auctions Business, remaining Tegmax with all other performed activities,
including resale of auto parts, pre-delivery inspection of vehicles, storage, and others.
