O ano de 2007 ficará marcado pelo esforço do Estado Angolano, através do Banco Nacional de Angola (BNA), em esterilizar a circulação de moeda nacional e reduzir a inflação, absorvendo liquidez em Kwanza (AOA). Neste contexto, O BNA (i) alterou por duas vezes o regime de constituição de Reservas mínimas obrigatórias, (ii) aumentou a remuneração dos Títulos do Banco Central (TBC's), e (iii) valorizou o AOA durante o mês de Maio de 2007 em cerca de 6% face ao Dólar norte-americano (USD), interrompendo assim um ciclo de grande estabilidade cambial entre estas duas moedas que se vinha a verificar desde há cerca de um ano e meio. Assim, é expectável que a inflação homóloga mensal tenha baixado ligeiramente em 2007. A alteração do regime de constituição de Reservas mínimas obrigatórias teve um forte impacto negativo nas tesourarias dos bancos comerciais e, consequentemente, na respectiva rentabilidade. 6 Banco Espírito Santo Angola Relatório e Contas 2007 RC BESA 2007:Layout 1 28/07/08 16:19 Página 7 A nível internacional, constatou-se (i) uma valorização permanente do Euro face ao USD, (ii) uma crise de liquidez generalizada provocada pela crise do subprime, e (iii) a subida permanente do preço do petróleo nos mercados organizados dos Estados Unidos da América e Inglaterra. Apesar de toda a envolvente adversa, o ano de 2007 foi caracterizado por realizações importantes para o BESA, como sejam o reforço significativo nos recursos de Clientes captados, a participação, em co-liderança, na maior emissão de dívida pública directa jamais existente em Angola, a diminuição do cost-to-income e o aumento da rendibilidade dos Capitais próprios (ROAE). O BESA apresentou em 2007 uma performance muito positiva, traduzida no resultado líquido de 71 milhões de USD (acréscimo de 73%) e reforçou (i) a sua imagem de Banco rentável, de confiança e exclusividade, e (ii) as suas quotas de mercado no Crédito e nos Recursos de Clientes. A actividade foi muito favorável em todas as áreas, salientando-se o incremento do Activo líquido, da carteira de Títulos e dos Recursos de Clientes em 1 129 milhões de USD, 547 milhões de USD e 552 milhões de USD, respectivamente. Adicionalmente, o BESA aumentou, sem perder de vista os objectivos da qualidade dos activos e do perfil de risco traçado para o Banco, o rácio de transformação de depósitos de Clientes em crédito em cerca de 20%. O Cost-to-income passou de 42,4% para 40%, melhorando em cerca de 240 pb, como resultado do criterioso aumento dos Custos operativos face ao aumento do Produto bancário, não obstante a valorização permanente do Euro face ao Dólar. A rendibilidade dos capitais próprios (ROAE) aumentou de 75,54% para 83,9%. O desempenho conseguido, materializado nos resultados alcançados, é fruto de uma estratégia pré definida e aplicada, com as alterações pertinentes, de forma consolidada ao longo destes primeiros anos de actividade do BESA e consistente com os valores transversais a todo o Grupo em que o Banco está inserido e a todos os Colaboradores. A dinâmica que o BESA tem demonstrado consubstancia uma trajectória de crescimento com reflexo no desempenho operacional e na criação de valor. A performance conseguida em 2007 dota o BESA de um grau de confiança reforçado para enfrentar os grandes desafios que se afiguram no curto prazo, nomeadamente a implementação do Novo Sistema de Informação e a continuidade da implementação da estratégia delineada. Neste contexto, as taxas de juro do mercado monetário, Euribor e Libor, voltaram a descolar das taxas de referencia, reflectindo uma degradação dos níveis de confiança e implicando uma maior pressão sobre os balanços dos bancos e, em geral, uma maior relutância em emprestar dinheiro. De forma a aliviar a crise nos mercados, a Reserva Federal Americana (FED), numa operação concertada com outros bancos centrais, anunciou em Dezembro, a realização de 4 operações de cedência de liquidez, duas realizadas no mesmo mês, e as outras programadas para Janeiro de 2008. global. Por um lado, a China viu crescer significativamente o peso das exportações líquidas no crescimento do PIB, por outro, o consumo privado assumiu uma maior importância na evolução do PIB na Índia. Esta performance foi suportada essencialmente pelos países emergentes, que mais uma vez registaram uma forte expansão das suas economias. Neste contexto, destacaram-se os países emergentes da Ásia com uma dinâmica de industrialização acentuada, o que revela uma forte formação bruta de capital fixo. A China e a Índia posicionaram-se como os países que mais contribuíram para este desempenho 2006 11,4% 2,9% 2,7% 2,9% 2,2% 1,6% 0 EUA ZONA EURO BRASIL ÁFRICA DO SUL RÚSSIA CHINA INDIA FONTE: FMI, OCDE, BLOOMBERG A crise Subprime nos EUA, com grande repercussão no sector imobiliário deste pais e nos mercados financeiros a nível internacional, assim como a subida dos preços no mercado energético, tendo o RC BESA 2007:Layout 1 28/07/08 16:20 Página 19 petróleo atingido máximos históricos, têm sido o maior handicap não só para os EUA, mas também para os países da Zona Euro, com reflexos directos na performance destas economias, que registaram sinais claros de abrandamento em 2007. Neste contexto, é de se salientar a intervenção do FED face ao risco iminente de recessão, com cortes sucessivos na sua taxa de juro de referência, que até Dezembro de 2007 estava fixada em 4,25%, contra os 5,25% de Julho do mesmo ano. Por outro lado, o Banco Central Europeu (BCE) teve uma postura mais moderada, decidindo manter a sua taxa directora dando mais importância ao controle das pressões inflacionistas. Na Zona Euro, apesar da crescente preocupação com o fraco desempenho económico durante o ano, foi adoptada uma postura monetária e financeira mais restritiva face aos riscos de inflação, cujo nível anual se fixou em 2,13% contra a meta de 2,00% estabelecida pelo Banco Central Europeu. Os receios crescentes de uma recessão económica nos EUA, e o corte nas taxas de juro de referência naquela economia, reduzindo assim o diferencial nas taxas de juro entre os EUA e a Zona Euro, têm sido a principal causa da desvalorização do Dólar norte-americano (USD) face ao Euro (EUR). O USD sofreu uma forte pressão face as principais moedas em 2007, com destaque para a moeda Europeia que ultrapassou a barreira de 1,49 face a moeda americana. Esta situação poderá agravar-se em 2008, visto que as previsões de crescimento para a economia americana para este ano foram revistas em baixa, devido as crises no sector imobiliário e nos mercados de crédito. EVOLUÇÃO DA TAXA DE CÂMBIO EUR/USD (2007) 1,55 1,5 1,45 1,4 1,35 1,3 1,25 1,2 Em comparação com a Zona Euro, os Estados Unidos viveram um risco eminente de recessão, fazendo com que as autoridades económicas e monetárias estivessem mais preocupadas com o nível de actividade económica do que propriamente com a inflação, apesar do aumento das pressões inflacionistas neste país. Esta tendência devese principalmente ao forte aumento da procura deste produto nos Ambiente Macroeconómico no ano de 2007 19 RC BESA 2007:Layout 1 28/07/08 16:20 Página 20 mercados internacionais, com destaque para a China e a Índia, tendo em conta os seus níveis actuais de crescimento, em contraste com os actuais níveis de produção desta matéria-prima. Os preços altos do petróleo, representaram uma maior pressão inflacionista e uma maior volatilidade dos preços dos activos financeiros, o que fez com que os investidores encontrassem refugio em outras commodities como o ouro, contribuindo para o aumento na respectiva procura, que atingiu o máximo histórico de USD 840,5 em Dezembro. Por outro lado, deve-se também realçar que em 2007, os preços do trigo, da cana-de-açúcar e do milho estiveram também sobre enorme pressão, pelo facto de serem as commodities mais utilizadas na produção de bio combustíveis. EVOLUÇÃO DO PREÇO DO PETRÓLEO (BRENT) 120 3.2 Economia Nacional Desde o ano de 2004 que a economia Angolana tem registado um desempenho excepcional, com taxas de crescimento acima dos 11%. Porém, o sector petrolífero continua a ser o pilar desta performance, com uma contribuição para o PIB na ordem dos 60%. Apesar deste domínio do sector petrolífero, tem-se verificado uma contribuição cada vez maior dos sectores não minerais para o Produto Interno Bruto, como por exemplo a construção civil e a agricultura. No que diz respeito ao ano de 2007, as previsões de crescimento do PIB, que estavam em torno dos 31%, foram revistas em baixa devido aos atrasos verificados na entrada em produção de dois importantes campos de petróleo. Segundo as projecções do Governo Angolano publicadas em Novembro de 2007, o PIB terá crescido cerca de 20,9% em 2007. Ao contrário do ano anterior, 2007 foi marcado por baixos níveis de liquidez, resultando no fraco desempenho das empresas ligadas ao sector de crédito nos EUA e na Zona Euro. A resolução para esta crise de liquidez depende, sobretudo, de uma recuperação da confiança dos investidores, e esta depende, acima de tudo, de uma redução dos riscos de contágio da crise subprime, tal como percebidos pelos investidores. Enquanto persistir um grau de incerteza elevado sobre as perdas ainda a assumir pelas principais instituições financeiras, mantendo-se também aquele risco de contágio, dificilmente existirá confiança para trazer de novo a liquidez aos mercados. 20 Banco Espírito Santo Angola Relatório e Contas 2007 2003 2004 2005 2006 EST 2007 PROJ FONTE: MINPLAN PARA 2002/03/04/05 (ESTIMATIVA DO PRODUTO INTERNO BRUTO 2002-2007) E OGE 2007 REVISTO PARA 2006 / 07 O Orçamento Geral do Estado aponta para um Produto Interno Bruto anual de 4 114,3 biliões de kwanzas (AOA) em 2008, o que representa uma meta de crescimento real de 16,20%. Segundo as projecções do Governo, os sectores petrolífero e não petrolífero deverão crescer 13,3% e 19,5%, respectivamente. No que diz respeito a produção petrolífera, o ano de 2008 poderá ser marcado por uma produção anual na ordem dos 710,6 milhões de Barris. O aumento da inflação, acima das expectativas iniciais, no primeiro semestre de 2007, fez com que as autoridades Angolanas revertessem a tendência de descida das taxas de juro de referência observada nos anos anteriores. A taxa de redesconto, que caiu de 95% para 14% em 2006, subiu para os 19,57% em Agosto de 2007, RC BESA 2007:Layout 1 28/07/08 16:20 Página 21 permanecendo neste nível até ao final do ano. Neste contexto, a autoridade monetária manteve as suas intervenções na economia, emitindo títulos de todas as maturidades nos seus leilões semanais. Como consequência, as taxas de juros dos Títulos do Banco Central (TBC's) registaram subidas consideráveis. Por exemplo, os TBC com maturidade de 91 dias passaram de 6,47% em Janeiro para quase 15% em Maio de 2007. Adicionalmente, a entidade monetária reforçou algumas normas discricionárias, precisamente o aumento da base de incidência das reservas obrigatórias, que no segundo semestre passaram a ser constituídas na sua totalidade em depósitos não remunerados. A taxa de inflação acumulada em 2007 situou-se em 11,78%, acima da meta de 10% estabelecida para este ano. De acordo com o Orçamento Geral de Estado, a meta de inflação para 2008 é de 10%, dois pontos percentuais acima das previsões do Fundo Monetário Internacional, que espera uma inflação anual de 8%. INFLAÇÃO MENSAL (2004-2007) 5,00 4,50 4,00 3,50 3,00 2,50 2,00 A política monetária adoptada pelo Governo Angolano tem tido o sucesso esperado ao nível da estabilidade cambial e monetária, se considerarmos que a conjuntura actual de reconstrução nacional é um factor de pressão sobre o nível geral dos preços. Contudo, uma solução estrutural para o controlo da inflação requer uma correcção dos desequilíbrios entre a oferta e a procura, causados pelos problemas inerentes na produção e distribuição de bens. Nos leilões diários de moeda estrangeira, o BNA vendeu acima de 6,5 mil milhões de USD em 2007 contra os 5,5 mil milhões registados em 2006. A moeda nacional valorizou-se em mais de 6% face ao USD, tendência iniciada em 2006, mantendo uma taxa média anual próxima dos 77 contra os 80,36 verificados no ano anterior. Esta postura ao nível da política cambial foi suportada principalmente pelo aumento das reservas internacionais líquidas, que atingiram os 11,19 mil milhões dólares em 2007, beneficiando dos aumentos do preço internacional do petróleo e da produção nacional. O ano de 2008 será marcado essencialmente pela continuação do esforço de Reconstrução Nacional. Adjacente a este esforço, o Governo Angolano tem como objectivos: a recuperação da produção nacional; a redução dos custos operacionais para o sector privado; a criação de um ambiente favorável ao investimento privado e a melhoria das condições sociais para a população. Estes objectivos vão ser atingidos com investimentos na reabilitação da rede eléctrica e de distribuição de água, na melhoria das redes de comunicação e na expansão da actividade industrial, em particular na produção dos bens de consumo essenciais para a população. Nomeadamente, salientamos a co-liderança do BESA na estruturação, montagem e colocação da maior operação de emissão de dívida pública em Angola. No que respeita à banca de particulares, o BESA conta já com 25 agências e postos dispersos por 6 províncias, e centra a sua actividade nos Clientes private e afluentes. No decurso do mês de Janeiro de 2008, o BESA obteve autorização para a constituição de uma das primeiras Sociedades Gestoras de Fundos de Investimento existentes em Angola. Relativamente à banca de empresas, a actividade está essencialmente direccionada para (i) o estabelecimento de parcerias comerciais de valor acrescentado mútuo com as médias empresas a operar em Angola, através do financiamento de projectos de investimento e/ou de necessidades de tesouraria e da prestação de apoio técnico e jurídico a essas mesmas empresas, e (ii) o apoio às empresas e empresários portugueses que estão a expandir a sua actividade para este país. È ainda de salientar a actuação do BESA no apoio às exportações para Angola, acompanhada por uma equipa especializada. O BESA manteve o terceiro lugar entre os bancos privados Angolanos. A preservação da boa imagem que o Banco conseguiu transmitir ao mercado em geral, e aos seus Clientes em particular, foram factores fundamentais para o crescimento e melhoria de performance verificados em 2007, com consequente reflexo nos resultados obtidos. 4.2 Actividade de Gestão 4.2.1 Instalações A área de banca de investimento, que é parte integrante do BESA, tem reforçado o seu desenvolvimento em Luanda, actuando na identificação de oportunidades de negócio nas áreas de project and corporate finance bem como na concretização das respectivas 26 Banco Espírito Santo Angola Relatório e Contas 2007 No ano de 2007, o Banco deu continuidade à sua politica de expansão geográfica no território Angolano, ajustando o ritmo de abertura de novas agências ao crescimento acentuado do Banco e mantendo o objectivo de estar presente, no curto prazo, em todas as capitais de Província. RC BESA 2007:Layout 1 28/07/08 16:20 Página 27 Actualmente, o BESA têm 25 agências, das quais 16 são em Luanda e 9 estão localizadas nas seis Províncias onde o Banco já está presente (Cabinda, Zaire, Luanda, Benguela, Cunene e Huíla). O BESA tem vindo a financiar a sua expansão geográfica unicamente com recursos financeiros próprios. A exemplo do seguido em anos anteriores, o BESA privilegiou o acesso ao primeiro emprego, complementando com a componente de formação interna e externa, de forma a uniformizar, a curto e médio prazos, o nível de atendimento e identificar as principais áreas de actuação, de modo a obter os melhores níveis de qualidade e satisfação dos Clientes, indo assim de encontro às exigências de um mercado cada vez mais exigente e concorrencial. Na procura de uma maior qualidade no atendimento ao Cliente, deuse continuidade ao projecto pioneiro em Angola – a Agência Escola, destinada a formar novos colaboradores, com principal enfoque na área de retalho. O reconhecimento do mérito por colaborador foi, mais uma vez, no ano de 2007, uma das grandes preocupações da Direcção de Recursos Humanos, preocupando-se o BESA em premiar os colaboradores que mais se distinguiram durante o ano, tendo para tal implementado um processo de avaliação continuo de resultados. A idade média dos colaboradores era no final de 2007 de 30 anos (2006: 29 anos) e os quadros afectos à Direcção Comercial representavam cerca de 52%. Linhas Estratégicas de Actuação do BESA 27 RC BESA 2007:Layout 1 28/07/08 16:20 Página 28 4.2.3 Participações Financeiras O BESA detém uma participação na Empresa Interbancária de Serviços (EMIS), empresa essa que implementou o sistema automático de pagamentos e cartões multicaixa em Angola.Detida maioritariamente em 51% pelo Banco Central, as restantes quota partes foram distribuídas pelos bancos que operam no mercado. Durante o exercício de 2007, o BESA subscreveu ainda e realizou 1 419 acções da Bolsa de Valores e Derivados de Angola (BVDA). 4.2.4 Novo Sistema de Informação (NSI) O ano de 2007 foi decisivo para acelerar o processo de desenvolvimento do NSI do Banco, cuja entrada em produção está prevista para Abril de 2008. O NSI está a ser desenvolvido para dar resposta às necessidades específicas do BESA e dos seus Clientes, e inclui entre outros, numa primeira fase, os módulos principais, uma Aplicação bancária que inclui o e-banking e o Sistema de informação de gestão. O desenvolvimento da nova Aplicação bancária tem como principal objectivo o aumento da melhoria da operativa e consequentemente do serviço prestado ao Cliente pelo BESA. O Sistema de informação de gestão dotará o Banco com as mais recentes ferramentas de gestão de actividade bancária universal. 4.2.5 Áreas da Estrutura Organizacional 4.2.5.1 Banca de Investimento A área de banca de investimento, que é parte integrante do BESA, reforçou significativamente o seu desenvolvimento em Luanda, actuando na identificação de oportunidades de negócio nas áreas de project and corporate finance bem como na concretização das respectivas soluções. O Gabinete de banca de investimento assume-se cada vez mais como uma unidade do BESA com forte experiência e visibilidade no mercado Angolano e com as respectivas competências comprovadas. O Gabinete está preparado para dar respostas globais na área de banca de investimento aos seus Clientes, à medida que os mercdos financeiros vão ficando progressivamente mais desenvolvidos e com maior grau de maturidade. Nomeadamente, em 2007, salientamos a co-liderança do BESA, na estruturação, montagem e colocação da maior operação de emis- 28 Banco Espírito Santo Angola Relatório e Contas 2007 são de dívida pública directa (OT's) jamais havida em Angola, num montante total de 3,5 mil milhões de USD. Esta dívida será emitida faseadamente. A fase I, no montante de 1 mil milhões de USD, ocorreu em Novembro de 2007. As fases II e III, nos montantes de 1 mil milhões USD e 1,5 mil milhões de UDS ocorrerão em Junho de 2008 e Fevereiro de 2009, respectivamente. Além da tomada firme os co-lideres asseguram sempre a colocação no mercado doméstico. Esta operação destaca-se pelo interesse que suscitou nos principais players internacionais, que poderá vir a ser capitalizado na colocação das Fases II e III. 4.2.5.2 Marketing A Direcção de Marketing e Imagem desenvolveu durante o ano de 2007 actividades em várias áreas da comunicação. Apostou fortemente na imagem institucional com uma campanha inovadora no mercado Angolano, utilizando os Media nomeadamente TV, imprensa e outdoor . Na área de Marketing Desportivo, O BESA apoiou a equipa vencedora do Campeonato do Mundo de Pesca e patrocinou o veleiro “Tuiga” vencedor de vários torneios de vela locais. Com o Global Management Challenge o BESA apoiou a equipa que se tornou vencedora em Angola e promoveu a visita dos seus membros ao BES em Portugal e à Bolsa de Valores. Patrocinámos como Banco único o programa “Pérolas do Oceano”, inserindo informação sobre o BESA em todos os programas que passaram durante o ano, divulgando assim a nossa imagem além fronteiras. Também na área de Marketing Cultural se deu destaque ao lançamento do livro de António Ole que concretizou junto dos públicos do BESA, uma imagem de instituição preocupada com a evolução cultural da comunidade. Na área do Marketing Social o BESA apoiou o projecto Calasi em conjunto com o Alto Comissariado das Nações Unidas para os Refugiados que visou o ensino de Português a milhares de crianças refugiadas. Participamos ainda no programa “Deliquência estou fora” e no projecto de desminagem promovido pela MAG (Mines Advisory Group). RC BESA 2007:Layout 1 28/07/08 16:20 Página 29 A Direcção de Marketing e Imagem fechou o ano com a habitual campanha de Natal, difundida por todas as agências e junto de todos os clientes do BESA, com a oferta individual de presentes e lembranças relativas à época Natalícia. Em termos de Comunicação Interna, vários eventos tiveram efeito, como a Festa de Aniversário e de Natal que juntaram todos os colaboradores e famílias. 4.2.5.3 Risco Risco Operacional O risco operacional consiste genericamente no risco de ocorrência de eventos resultantes da aplicação inadequada ou negligente de procedimentos internos, do comportamento de pessoas e sistemas, ou de causas externas, que podem resultar em perdas financeiras ou ter impacto negativo na relação com os Clientes ou outros stakeholders. Engloba ainda os riscos de negócio/ estratégico e legal, sendo este ultimo entendido como o risco de perdas em consequência da não conformidade com a legislação vigente ou em resultado de acções judiciais. A função do risco no BESA 4.2.5.4 Auditoria Interna Dentro da estratégia de actuação do BESA, em que se assume como entidade pioneira, inovadora e de vanguarda dentro do mercado Angolano foi formalmente criado, no final do exercício findo em 31 de Dezembro de 2007, o Departamento de Risco, cuja actividade se centra na identificação e quantificação dos 3 riscos estabelecidos por Basileia II (Crédito, Mercado e Operacional) e, numa fase posterior, em assegurar a optimização do binómio rentabilidade/risco das várias linhas de negócio, tendo em conta o perfil de risco definido pela Comissão Executiva do BESA. A Direcção de Auditoria Interna ao longo do ano de 2007, no âmbito do desempenho das suas atribuições, continuou a desenvolver as suas actividades de forma imparcial, isenta, objectiva e em conformidade com o plano de execução de actividades aprovado pela Comissão Executiva. A actividade exercida de acordo com o plano de execução definido, consubstanciou-se no aproveitamento do valor acrescentado das operações inerentes às áreas auditadas e privilegiou o reforço dos mecanismos técnicos de verificação e observância dos procedimentos em vigor. Risco de Crédito O risco de crédito, que resulta da possibilidade de ocorrência de perdas financeiras decorrentes do incumprimento do Cliente ou contraparte relativamente às obrigações contratuais estabelecidas com o BESA no âmbito da sua actividade creditícia, continua a ser o maior risco a que o BESA se encontra exposto. Por outro lado, a Direcção de Auditoria Interna, participou de forma activa no processo de expansão da rede de balcões, assim como de algumas acções de formação no âmbito da detecção de notas falsas e da prevenção de fraudes bancárias. 4.2.5.5 Segurança A gestão do risco de Crédito é efectuada, até à data, ao mais alto nível da instituição. Risco de Mercado O risco de mercado representa genericamente a eventual perda resultante de oscilação de taxas de câmbio e das taxas de juro, bem como de alterações na liquidez dos mercados. A gestão do risco de mercado é integrada com a gestão do balanço, sendo as politicas de afectação da estrutura de balanço e os controlos de exposição ao risco de taxa de juro, de câmbio e de liquidez do Banco, definidas e monitorizadas com intervenção do mais alto nível da instituição. As responsabilidades da Segurança são sobretudo ao nível da Segurança física, activa e passiva, contribuindo também na prevenção de riscos, através da identificação e mitigação dos mesmos, nomeadamente dos que usualmente são pouco perceptíveis, objectivando a valorização da riqueza dos Accionistas Na Protecção física das instalações, de Colaboradores e Clientes a Segurança executa um conjunto de actividades ou medidas, relacionadas com o estabelecimento de mecanismos de controlo e segurança de pessoas e bens, com recurso ao elemento humano, mas, suportadas cada vez mais nas tecnologias de segurança, em consonância com a actividade bancária e integradas nas diversas áreas funcionais, observando sempre as leis e regulamentos do País e as orientações da Comissão Executiva. Linhas Estratégicas de Actuação do BESA 29 RC BESA 2007:Layout 1 28/07/08 16:20 Página 30 A instalação de uma central operacional de segurança (edifício SEDE) e o recurso a um sistema integrado de segurança (cctv, intrusão, incêndio e controle de acessos) na rede de Agências, objectiva a optimização dos recursos da segurança passiva previstos nos projectos de segurança das antigas e novas instalações. Em termos de segurança activa e ao transporte de valores, procura-se harmonizar essa função à actividade do Banco, aos locais e ao momento social (análise de risco), revendo procedimentos e mecanismos de controle, ajustando dispositivos de vigilância humana, meios e equipamentos, orientando-os para o conceito de safety e security qualificativos, respectivamente, de um ambiente de funcionamento seguro e protegido na instituição. 4.2.5.6 Controlo de Custos (e de Reporting) O Gabinete de Controlo de Custos, criado no final de 2006, tem como principal actividade a monitorização e reporting da evolução dos custos operativos do Banco, tendo em vista o objectivo estratégico de redução gradual do cost-to-income. Adicionalmente, elabora todo o reporting (i) mensal para o Grupo, (ii) estatutário anual, (iii) estratégico, e (iv) de execução orçamental e colabora, de forma pró-activa ou na forma de assessoria e apoio, com as diversas áreas funcionais do Banco. 4.3 Actividade e Resultados do Banco Espírito Santo Angola 4.3.1 Balanço No final do exercício de 2007, o Activo liquido global atingiu os 1 932 milhões de USD, mais 141% que no exercício anterior. De salientar os aumentos do Crédito concedido a Clientes (540 milhões de USD), dos Títulos (547 milhões de USD), e do Imobilizado (+29 milhões de USD). A rubrica de caixa e disponibilidades no Banco Central também teve um acréscimo significativo de 79 milhões de USD, resultante sobretudo da alteração do regime de constituição das Reservas Obrigatórias a depositar no BNA e, de forma marginal, do acréscimo do número de agências do Banco. 30 Banco Espírito Santo Angola Relatório e Contas 2007 Em termos da sua composição, as Aplicações monetárias (Títulos e aplicações) representam 41% (40% em 2006) do Activo líquido e o Crédito concedido a Clientes 44% (38% em 2006). A fidelização de Clientes já existentes e a captação de novos Clientes continuam a ser o objectivo do Banco, só possível através da manutenção da preocupação constante com as necessidades reais dos Clientes, e com a imagem de confiança, qualidade, inovação e modernidade que permanentemente se transmite à praça financeira Angolana, mantendo contudo a prudência nas diversas áreas do negócio e continuando a politica de captação de novos Clientes, visando ao mesmo tempo a excelência e qualidade de serviço. 4.3.2 Crédito sobre Clientes No ano de 2007, o BESA apostou numa maior abertura na concessão de Crédito a Clientes, mantendo no entanto uma política criteriosa na concessão do mesmo, tendo este aumentado 178% (+ 540 milhões de USD) face a igual período do ano anterior. Os Serviços Bancários prestados (48 milhões de USD) e os Lucros em Operações Financeiras (23,5 milhões de USD) apresentam crescimentos de 70% e 10%, respectivamente, resultado do aumento das operações com Clientes, nomeadamente da actividade da Banca de Investimento, e dos serviços prestados na compra e venda de divisas. O valor do Imposto Industrial resulta do volume de rendimentos provenientes de Títulos da Divida Pública e equivalentes, estando os mesmos, de acordo com o descrito no nº 3 do artº 22 do C.I.I., isentos de qualquer tipo de imposto, não sendo considerados para efeitos de englobamento na Matéria Colectável. Os aumentos verificados nos Resultados Financeiros, nos Serviços a Clientes e nos Lucros em Operações Financeiras contribuíram para o aumento do Produto Bancário, passando o mesmo a ter uma estrutura mais equilibrada do que a apresentada em 2006, conforme se pode verificar no quadro seguinte: 4.3.5 Recursos Próprios O BESA, mantém a sua politica de provisionar gradualmente a totalidade dos seus fundos próprios (Capital, Reserva Legal, e Resultados Transitados). Durante os exercícios de 2007 e 2006 não foi efectuada qualquer provisão de manutenção dos Fundos Próprios, em moeda nacional. O valor dos Fundos Próprios do BESA situou-se nos 151 milhões de USD, incluindo o Resultado do Exercício. EVOLUÇÃO DA ESTRUTURA DO PRODUTO BANCÁRIO 38% 36% LUCROS OP. FINANCEIRAS Os valores dos recursos próprios e respectiva distribuição encontram-se reportados na nota explicativa 19. 4.4 Níveis de Funcionamento 4.4.1 Produto Bancário O ano de 2007 foi marcado pela subida das taxas de juro activas, incluindo a remuneração obtida em Títulos do Banco Central (TBC's), facto esse que concorre, juntamente com o efeito volume, para a subida do Resultado Financeiro em 94% face ao período homólogo anterior, fixando-se nos 54 milhões de USD. Este facto originou igualmente uma subida nos juros passivos. O total de juros activos foi de 92,7 milhões de USD, suportando assim os juros passivos das aplicações dos Clientes, no montante de 38,7 milhões de USD. FINANCEIRAS 2007 RC BESA 2007:Layout 1 28/07/08 16:20 Página 33 4.4.2 Custos Operativos A preparação de abertura de novas agências fora da cidade de Luanda, o natural crescimento do BESA e a forte valorização do Euro face ao USD são factores que têm vindo a ter impacto nos Custos de Estrutura, os quais se fixaram em 46,4 milhões de USD, ao que corresponde um aumento de 66,6% relativamente a 2006. COST-TO-INCOME 125 557 42,39% 40,00% 77 451 50 217 Os Custos com Pessoal foram de 11,7 milhões de USD, reflectindo assim o aumento do quadro de pessoal em 82 novos funcionários, de forma a fazer face ao aumento da rede e do movimento global do Banco. Os Custos Administrativos foram de aproximadamente 31,3 milhões de USD, reflectindo o incremento da actividade do Banco e a forte valorização do Euro face ao USD. As amortizações atingiram o valor de 4 milhões de USD resultando essencialmente do aumento das aquisições dos novos espaços para as agências, de mobiliário e de equipamento. Demonstrações Financeiras 41 RC BESA 2007:Layout 1 28/07/08 16:20 Página 42 Notas explicativas às demonstrações financeiras Anexo às contas (valores expressos em milhares de dólares norte-americanos (USD)) Nota 1 Introdução e Actividade O Banco Espírito Santo Angola (Banco ou BESA) é um banco comercial que opera e tem sede social em Angola, na Rua Guilherme Pereira Inglês, nº 43, 1º andar, Ingombota, Luanda. Para o efeito possui as indispensáveis autorizações das entidades Angolanas competentes, nomeadamente a concedida pelo Banco Nacional de Angola (BNA ou Banco Central). O BESA foi formalmente constituído em Agosto de 2001, tendo iniciado a sua actividade operacional em 24 de Janeiro de 2002 e desde então assume-se como uma instituição bancária de capitais privados em Angola. Desde a sua constituição, o Banco têm vindo a desenvolver um leque atractivo de produtos e serviços, tendo-se diferenciado da concorrência desde o inicio da sua actividade pelas suas acções inovadoras e pelo seu posicionamento no mercado Angolano que transmite aos seus clientes uma imagem de qualidade, confiança e segurança, sem perder de vista a definição da sua Missão. O BESA faz parte do Grupo Banco Espírito Santo (Grupo BES ou BES), pelo que as suas demonstrações financeiras são consolidadas pelo BES, com sede em Portugal, na Avenida da Liberdade, nº 195, em Lisboa. O Grupo BES detém a maioria do capital do BESA (79,96%), encontrando-se o remanescente repartido por uma empresa angolana (20%) e por quatro accionistas individuais. 42 Banco Espírito Santo Angola Relatório e Contas 2007 RC BESA 2007:Layout 1 28/07/08 16:20 Página 43 O Capital do BESA totalmente subscrito e realizado, é o contravalor em kwanzas (AOA), à data de realização, de USD 10 000 000, e é representado por 1 000 000 de acções, com o valor nominal unitário, à data de realização, do contravalor em AOA de USD 10. Na prossecução do exercício da sua actividade, e estando no sexto ano de actividade, o BESA melhorou a sua cobertura geográfica, dispondo à data de Balanço de 25 Agências/Postos de atendimento em seis províncias de Angola (Luanda e Províncias: 16 e 9 Agências, respectivamente) sendo objectivo a presença em todas as capitais de província no muito curto prazo. O ritmo da expansão da cobertura geográfica tem vindo a adequar-se ao crescimento acentuado que o Banco tem tido desde a sua constituição. Para além da Rede de retalho, o Banco conta ainda com dois Centros de Gestores de empresas, uma Sala de Mercados e um Gabinete de Banca de Investimento, todos localizados na sua Sede Administrativa. Sendo um Banco de cariz universal, a actividade do BESA assenta na prestação de um serviço global aos clientes particulares e empresas. No que respeita à banca de particulares, o BESA centra a sua actividade nos clientes private e afluentes. Estando permanentemente atento às necessidades destes clientes, o Banco promove continuamente o desenvolvimento de novos produtos e disponibiliza Agências modernas e eficientes com uma adequada cobertura geográfica. Relativamente à banca de empresas, a actividade está essencialmente direccionada para (i) o estabelecimento de parcerias comerciais de valor acrescentado mútuo com as médias empresas a operar em Angola, através do financiamento de projectos de investimento e/ou de necessidades de tesouraria e da prestação de apoio técnico e jurídico a essas mesmas empresas, e (ii) o apoio às empresas e empresários estrangeiros que estão a expandir a sua actividade para Angola. Paralelamente, é de salientar a actuação conjunta do Banco e do Grupo a que pertence no apoio às exportações para Angola, acompanhada por uma equipa especializada. A área de banca de investimento tem reforçado o seu desenvolvimento em Luanda, actuando na identificação de oportunidades de negócio nas áreas de “project and corporate finance” bem como na concretização das respectivas soluções. Nomeadamente, salientamos a co-liderança do BESA, na estruturação, montagem e colocação da maior operação de emissão de dívida pública directa em Angola. A conquista significativa da quota de mercado, estimada actualmente com base nos dados do BNA em 15,9% e 8,3% no Crédito concedido e nos Depósitos de clientes, respectivamente, permitiu ao banco manter o terceiro lugar entre os bancos privados Angolanos. Não obstante o aumento do número de bancos comerciais a operar em Angola, em 2007 o BESA viu a sua quota de mercado aumentar comparativamente ao exercício anterior. No decurso do mês de Janeiro de 2008, o BESA obteve autorização para a constituição de uma das primeiras Sociedades Gestoras de Fundos de Investimento existentes em Angola, cujo início de actividade está previsto para breve. Demonstrações Financeiras 43 RC BESA 2007:Layout 1 28/07/08 16:20 Página 44 A perseveração da boa imagem que o BESA conseguiu transmitir aos seus clientes, em particular, e ao mercado em geral, foram factores fundamentais para o Crescimento do Banco, com consequente reflexo nos resultados obtidos. Nota 2 Bases de Apresentação e Principais Politicas Contabilísticas 2.1 Base de apresentação As Demonstrações financeiras foram preparadas em conformidade com os princípios estabelecidos no Plano de Contas das Instituições Financeiras para o Sector Bancário Angolano, e outras disposições emitidas pelo BNA. As Demonstrações financeiras são apresentadas em milhares de (USD), arredondados, por excesso ou por defeito, para a unidade de milhar mais próxima. No processo de transposição para USD das demonstrações financeiras e dos mapas apresentados foi utilizada a taxa oficial de referência do BNA de 31 de Dezembro de 2007, 1 USD = 75,023 AOA e 1€ = 110,20900 AOA (31 de Dezembro de 2006, 1 USD = 80,28336 AOA e 1€ = 105,51244 AOA). As Demonstrações financeiras foram preparadas de acordo com o princípio do custo histórico. Na preparação das Demonstrações financeiras o Banco efectuou julgamentos e estimativas e utilizou pressupostos que afectam a aplicação das políticas contabilísticas e os montantes de proveitos, custos, activos e passivos. Alterações e tais pressupostos ou diferenças destes face à realidade poderão ter impactos sobre as actuais estimativas e julgamentos. As áreas que envolvem um maior nível de julgamento ou complexidade, ou onde são utilizados pressupostos e estimativas significativos na preparação das Demonstrações financeiras estão analisados nas Notas explicativas 6, 7, 8, 9, 10 e 11. 2.2 Resumo das principais politicas contabilísticas As políticas que se seguem são aplicáveis às Demonstrações financeiras em 31 de Dezembro de 2007 e 2006. a) Especialização dos Exercícios O Banco segue o principio contabilístico da especialização de exercícios em relação à grande generalidade das rubricas das Demonstrações financeiras, nomeadamente, no que se refere aos juros das operações activas e passivas que são registados à medida que são gerados, independentemente do momento do seu pagamento ou cobrança. Nos casos em que as operações activas se encontrem vencidas há mais de 30 dias ou, embora não vencidas, suscitem dúvidas razoáveis relativamente à sua cobrabilidade, o Banco suspende a contagem dos juros correspondentes, os quais apenas são reconhecidos em proveitos quando efectivamente recebidos. 44 Banco Espírito Santo Angola Relatório e Contas 2007 RC BESA 2007:Layout 1 28/07/08 16:20 Página 45 b) Operações em Moeda Estrangeira As operações em moeda estrangeira são registadas de acordo com os princípios do sistema multi-currency, sendo cada operação registada em função exclusiva das respectivas moedas. Este método prevê que todos os saldos expressos em moeda estrangeira, excepto notas e moedas, sejam convertidos para kwanzas com base na taxa média de referência do BNA. Na data da sua contratação, as compras e vendas de moeda estrangeira à vista e a prazo são imediatamente registadas na posição cambial. Sempre que estas operações conduzam a variações dos saldos líquidos das diferentes moedas, há lugar à movimentação das contas de posição cambial, à vista ou a prazo, cujo conteúdo e critério de reavaliação são como segue: • Posição cambial à vista A posição cambial à vista em cada moeda é dada pelo saldo líquido dos activos e passivos dessa moeda. A posição cambial à vista é reavaliada diariamente com base na taxa média de referência do BNA, dando origem à movimentação da conta de posição cambial (moeda nacional), por contrapartida de custos e proveitos. • Posição cambial a prazo A posição cambial a prazo em cada moeda é dada pelo saldo liquido das operações a prazo. Todos os contratos relativos a estas operações são reavaliados diariamente com base na taxa média de referência do BNA. As diferenças para os contravalores em AOA às taxas contratadas, que representam o custo ou proveito ou o custo de reavaliação da posição a prazo, são registadas numa conta de reavaliação da posição cambial por contrapartida de custos ou proveitos. c) Títulos de Rendimento Fixo São considerados títulos de negociação aqueles adquiridos com o objectivo de venda dentro de um prazo que não pode exceder os seis meses. Os títulos de investimento são todos os adquiridos com o objectivo de venda, mas cuja retenção, em regra, ultrapassa os seis meses, ou que, apesar de ser intenção do Banco mantê-los na sua carteira até à data de reembolso, não observam as condições para serem classificados como títulos a vencimento. No Mercado Angolano existem títulos emitidos pelo BNA, denominados Títulos do Banco Central (TBC's) e Bilhetes do Tesouro (BT's), caracterizando-se pela liquidação de juros “à cabeça”, sendo o seu valor nominal igual na aquisição e na maturidade (ver Nota explicativa 8). Para além desses títulos existem disponíveis no mercado Angolano divida publica directa do Estado, Obrigações do tesouro (OT's), emitidas em moeda nacional (algumas emissões com o valor nominal e respectivos juros indexados à taxa de referência do USD) e em USD. Os TBC's são emitidos nas maturidades de 14, 28, 63, 91, 181 e 364 dias, podendo ser repassados pelo Banco aos clientes ou ao BNA através de contratos de venda com acordo de recompra firme. Neste tipo de operações, os títulos cedidos continuam a figurar no activo do Banco; o preço de cessão recebido bem Demonstrações Financeiras 45 RC BESA 2007:Layout 1 28/07/08 16:20 Página 46 como os respectivos juros figuram no passivo do Banco como divida ao cessionário. Durante o exercício findo em 31 de Dezembro de 2007 o BNA não emitiu BT's. As Obrigações do Tesouro (OT's) são apresentadas ao seu custo de aquisição. A diferença entre o custo de aquisição e o valor nominal dos títulos, que constitui o prémio verificado na data da compra, é amortizado de forma escalonada pelo período que decorre até à data de vencimento dos títulos, por contrapartida de resultados. Os juros corridos são relevados em proveitos. Para além destes tipos de títulos, o Banco detinha ainda na sua carteira de 31 de Dezembro de 2006, OT's que, embora emitas em AOA, tinham o seu valor nominal e respectivos juros indexados à taxa de referência do USD, sendo a sua reavaliação efectuada de acordo com os normativos emitidos pelo BNA. d) Participações e Partes de Capital em Empresas Coligadas Na rubrica Outras participações encontram-se contabilizadas as participações de carácter estratégico e duradouro, apesar da percentagem do capital detido ser inferior a 20% (ver Nota explicativa 9). Nos anos de 2007 e 2006, estes valores mantiveram-se contabilizados em USD, no seguimento do já efectuado em anos anteriores, por ter sido exigida a sua liquidação nesta moeda por parte das respectivas empresas. e) Provisões para Riscos Bancários Gerais e para Cobrança Duvidosa As Provisões para riscos bancários gerais foram apuradas nos termos do instrutivo nº 09/98, emitido pelo BNA em 16 de Novembro de 1998, e respeitam a uma Provisão genérica para riscos gerais de crédito e, adicionalmente, no exercício findo em 31 de Dezembro de 2006, a uma Provisão especifica para cobrança duvidosa. A Provisão para riscos gerais de crédito é apresentada no Passivo na respectiva rubrica de provisões, e corresponde a 2% do Crédito concedido pelo Banco, incluindo o representado por aceites, garantias e avales prestados (ver Nota explicativa 18). O valor global das provisões do Banco, que em 31 de Dezembro de 2007 e 2006 é de 9 959 milhares de USD e 5 451 milhares de USD, respectivamente, e é considerado suficiente para fazer face aos riscos de crédito identificados nessa mesma data, em função da aplicação de critérios de avaliação e análise em base comercial. f) Provisões para Manutenção de Fundos Próprios Resultante da estabilidade cambial verificada durante 2007 e 2006, não foi necessário criar Provisões para Manutenção de Fundos Próprios, conforme definido nos parâmetros definidos na Directiva nº 09/DSB/99, emitida pelo BNA em 29 de Setembro de 1999, tendo como objectivo a protecção do capital, que se encontra na sua totalidade contabilizado em AOA, contra o efeito da desvalorização (ver Nota explicativa 18). 46 Banco Espírito Santo Angola Relatório e Contas 2007 RC BESA 2007:Layout 1 28/07/08 16:20 Página 47 g) Imobilizações Corpóreas O imobilizado corpóreo adquirido está valorizado ao custo de aquisição e é reavaliado mensalmente, nos termos do ponto 2 do Artº 2 do Decreto nº 6/96, aplicando o coeficiente resultante da taxa de câmbio média oficial do BNA em vigor no último dia do mês (ver Nota explicativa 11). Estes Depósitos são calculados como segue: A partir de 17 de Setembro de 2007, entrou em vigor o Instrutivo nº 4/07 de 30 de Agosto do BNA, A principal diferença introduzida por este Instrutivo face ao que vigorava até então (ver abaixo) foi o aumento da exigibilidade em Depósitos em 5% por contrapartida da extinção da exigibilidade em TBC's e Títulos da Dívida Publica. Entre 1 de Maio de 2007 e 17 de Setembro de 2007, esteve em vigor o Instrutivo nº 2/07 de 18 de Abril do BNA, que alterou o regime de constituição de Reservas mínimas obrigatórias. Este Instrutivo estabelecia que as Instituições financeiras constituíssem essas Reservas, em moeda nacional, a vigorar na semana D, calculadas semanalmente sobre a média aritmética dos saldos dos dias úteis registados nas contas da base de incidência na semana D-2. Adicionalmente, este Instrutivo aumentou a exigibilidade em Depósitos em 2,5% por contrapartida da diminuição da exigibilidade em TBC's e Títulos da Dívida Publica. Até 1 de Maio de 2007, a constituição das Reservas mínimas obrigatória era regulamentada pelo Instrutivo nº10/2003 do BNA, que estabelecia que as Instituições financeiras constituíssem essas Reservas, em moeda nacional, a vigorar na semana D, calculadas semanalmente sobre os saldos de fecho diário das contas de depósitos à ordem dos clientes, verificados na semana D-2. No ano de 2007 não foram emitidos BT's. A estabilidade cambial do AOA face ao USD, que se tinha vindo a verificar desde 2004 foi interrompida em Maio de 2007, altura em que o AOA se valorizou cerca de 6% face ao USD, após o que se tem vindo a verificar um novo ciclo de estabilidade cambial. As taxas de remuneração dos TBC's, que já haviam registado uma ligeira subida no 2º semestre de 2006, aumentaram acentuadamente durante o primeiro semestre de 2007, terminando o ano entre os 12,92% e os 15% a um ano. Demonstrações Financeiras 53 RC BESA 2007:Layout 1 28/07/08 16:20 Página 54 Em 31 de Dezembro de 2007, a carteira de OT's do BESA incluía: OT's em USD, emitidas pelo Ministério das Finanças na forma de empréstimo Obrigacionista para financiamento de vários projectos públicos em Angola, no montante total de 3,5 mil milhões de USD, dos quais 2 mil milhões de USD serão tomados firmes pelos Bancos constituintes do Sindicado (co-liderado e constituído pelo BESA e pelo BAI), e o remanescente pelos outros Bancos da praça. O empréstimo Obrigacionista será emitido em três fases, nos montantes de 1 mil milhões de USD, 1,5 mil milhões de USD e 1 mil milhões de USD, a ocorrerem em 2007, 2008 e 2009, respectivamente. As OT's terão diferentes maturidades compreendidas no período de 5 a 10 anos. Foi a maior operação desta natureza jamais efectuada em Angola. OT's em USD, emitidas pelo Ministério das Finanças na forma de empréstimo Obrigacionista para financiamento de vários projectos públicos em Cabinda, no montante total de 250 milhões de USD , dos quais 150 milhões de USD serão tomados firmes pelo BESA, e o remanescente pelos outros Bancos da praça. As OT's são emitidas em quatro tranches, duas no decurso de 2007 e as restantes durante 2008, com diferentes maturidades até 11 anos. Foi a primeira vez que um Banco Angolano fez sozinho a estruturação, montagem e colocação de uma operação desta dimensão. Valores contratados com o Ministério das Pescas em condições que os habilitam a ser registados nesta rubrica. Estes contratos têm risco Estado Angolano, uma vez que (i) foram aprovados em Conselho de Ministros, (ii) têm o aval formal do Estado, (iii) estão aprovados pelo Tribunal de Contas, e (iv) os valores dos respectivos proveitos são equiparados aos proveitos dos títulos da Divida pública e usufruem da mesma isenção fiscal. Em 31 de Dezembro de 2006, a carteira de OT's do BESA era essencialmente constituída por Obrigações emitidas especialmente pelo Ministério das Finanças na forma de empréstimo Obrigacionista para financiamento da renovação da frota da TAAG, no montante global de 200 milhões de USD, dos quais 165 milhões de USD foram tomados firme pelos bancos constituintes do Empréstimo Sindicado (liderado pelo BAI, incluindo o BESA e o BFA) e o remanescente pelos outros Bancos da praça. No decurso de 2007, por força de novas entradas no capital da EMIS, existiu um ajustamento da composição accionista, que implicou a subscrição e realização de novas acções o que justifica o aumento da participação acima evidenciado, mantendo-se a posição maioritária do BNA. No decurso do exercício findo em 31 de Dezembro de 2007 o BESA subscreveu e realizou 1 419 acções da Bolsa de Valores e Derivados de Angola (BVDA). Nota 10 Imobilizações Incorpóreas A data de 31 de Dezembro de 2007 e 2006, não existiam valores contabilizados no imobilizado incorpóreo. Em conformidade com o Plano de Contas das Instituições Financeiras para o Sector Bancário Angolano o valor dos adiantamentos efectuados a fornecedores do Novo Sistema de Informação (NSI, ver Nota explicativa 24) do BESA é apresentado juntamente com o Imobilizado Corpóreo em curso (ver Nota explicativa 11). Este montante inicial de Capital, acrescido dos montantes de anos anteriores provenientes da Reserva de Manutenção de Fundos Próprios, para fazer face ao eventual efeito de desvalorização do AOA face ao USD, era o contravalor em AOA de 9 984 milhares de USD. Reserva de Manutenção de Fundos Próprios A Reserva de Manutenção de Fundos Próprios resulta da transição no final do ano das Provisões para o mesmo fim efectuadas ao longo do exercício. Essas provisões são autorizadas pelo BNA e aceites fiscalmente na sua totalidade, e visam proteger a parte do capital em AOA do efeito da desvalorização. Durante os exercícios de 2007 e 2006 não foram efectuados quaisquer movimentos de Provisões especificas para este efeito, mantendo-se o saldo do exercício anterior. Reserva de Reavaliação do Imobilizado O imobilizado encontra-se, na sua quase totalidade, contabilizado em AOA, sendo permitida a reavaliação mensal do imobilizado corpóreo, nos termos do ponto 2 do art.º 2 do Decreto nº 6/96, aplicando o coeficiente resultante da taxa de câmbio média oficial em vigor no último dia do mês. The year was marked by the effort made by the Angolan autorities, through the Central Bank of Angola (BNA), to sterilise the circulation of the national currency, absorbing liquidity in Kwanza (AOA). To this end, the NBA (i) changed twice the regime of minimum obligatory reserves, (ii) increased the return on central bank securities (TBCs), and (iii) in May 2007 raised the value of the AOA by 6% against the USD, thus interrupting the cycle of great stability between the two currencies that had lasted for about one year and a half. The year-on-year monthly inflation rate is thus thought to have slightly declined in 2007. The changes introduced to the regime of minimum obligatory reserves had a strongly negative impact on the treasuries of commercial banks and consequently on their rentability. 76 Banco Espírito Santo Angola 2007 Annual Report RC BESA INGLES 2007:Layout 1 28/07/08 15:49 Página 77 At international level, the year saw (i) the persistent rise of the Euro against the USD, (ii) a widespread liquidity crisis brought about by the subprime crisis, and (iii) the continuing increase in the price of oil in the US and UK organised markets. Despite this adverse environment, BESA gave important steps forward in 2007, namely by significantly increasing customer funds, co-leading the largest public debt issue ever made in Angola, reducing the cost to income and reinforcing return on equity (ROAE). BESA had a very positive performance in 2007, as translated by net income of USD 71 million, corresponding to a year-on-year increase of 73%. BESA reinforced its image as a profitable, trustworthy and exclusive bank, and increased its market shares in both customer loans and customer deposits. Activity made good progress across all business areas, with net assets growing by USD 1,129 million, the securities portfolio by USD 547 million and customer funds by USD 552 million. Moreover, and while never neglecting its objectives in terms of asset quality and the risk profile, the Bank increased by 20% the transformation ratio of customer deposits into credit. As a result of a careful management of the increase in operating costs along with the growth of banking income, and despite the continuing rise of the Euro against the USD, the cost to income dropped from 42.4% to 40%, an improvement of roughly 240 basis points. Return on equity (ROAE) increased from 75.54% in 2006 to 83.9% in 2007. The performance and results achieved are the consequence of a pre-established strategy that is consistent with the values of the Group in which BESA is included and was persistently deployed, revised when necessary, and consolidated, over these first years in operation. The dynamics shown by BESA are underlined by a growth trajectory reflected on operating performance and value creation. The performance attained in 2007 reinforces BESA's willingness to face the major challenges that await it in the near future with confidence, namely the implementation of the New Information System and the pursuance of the strategy outlined. A deterioration in confidence levels incorporated by the money market interest rates - Euribor and Libor - that broke away from reference rates, put banks' balance sheets under pressure and made them more reluctant to lend money. In order to allay the crisis in the markets, the US Federal Reserve (FED), in a concerted action with other central banks, announced in December that it would carry out four operations aimed at providing liquidity to the market, of which two in that same month and the other two in January 2008. This performance was largely supported by the emerging economies, which once again registered strong growth, particularly in Asia, whose fast industrialisation process led to a surge in gross capital formation. India and China were the main contributors to this global performance. Under these circunstances, we note the FED's intervention to counter an imminent risk of recession, successively cutting the reference interest rate, which dropped from 5.25% in July to 4.25% in RC BESA INGLES 2007:Layout 1 28/07/08 15:49 Página 89 December. The European Central Bank (ECB) adopted a more moderate stance, keeping the key rate unchanged and giving priority to the control of inflationary pressures. The Euro Area, despite growing concerns over poor economic performance, adopted a more restrictive monetary and financial position with regard to inflationary risks, with annual inflation reaching 2.13%, above the European Central Bank's target of 2.00%. In the United States, however, the risk of an imminent recession led the economic and monetary authorities to be more concerned with the level of economic activity than with inflation, despite an increase in inflationary pressures in the country. This trend was essentially supported by strong demand for oil in the international markets, particularly driven by the present level of economic growth in China and India, which contrasts with the current level of production of this commodity. The high price of oil led to mounting inflationary pressures and increased volatility in the price of financial assets, causing investors to seek a refuge in other commodities, namely gold. In turn, rising demand for gold drove up its price to an historical high of USD 840.5 in December. In contrast to the previous year, 2007 was characterised by a low level of liquidity, which was responsible for the poor performance of companies in the credit sector in the USA and Euro Area. A solution to this liquidity crisis will greatly depend on a recovery of investor confidence, and this in turn will depend above all on the reduction of the subprime crisis' risk of contagion, as perceived by investors. For as long as uncertainties persist concerning the losses to be assumed by the main financial institutions, and with the risk of contagion also still present, there will hardly be enough confidence to bring liquidity back to the markets. 3.2 Domestic economy The Angolan economy has been posting outstanding performances since 2004, with growth rates surpassing 11%. Although the oil sector, with a contribution to GDP of around 60%, continues to be the main pillar supporting this performance, certain non oil activities, such as civil construction and agriculture, have been gaining increased weight. GDP growth in 2007 was initially estimated at 31%, but, due to delays in the coming into production of two important oil fields, was subsequently cut to 20.9% by the Government's projections published in November. 90 Banco Espírito Santo Angola 2007 Annual Report The State Budget points to a Gross Domestic Product of AOA 4,114.3 billion in 2008, corresponding to a real growth rate target of 16.20%. According to the Government's projections, the oil and non oil sectors are expected to grow by respectively 13.3% and 19.5% and oil production should reach 710.6 million barrels in 2008. The rise of inflation in the first half of 2007 above initial expectations led the Angolan authorities to reverse the downward trend of reference interest rates observed in recent years. The rediscount rate, which had dropped in the course of 2006 from 95% to 14%, was increased up to 19.57% in August, remaining at this level until the end of the year. In this context, the monetary authority pursued its interventions in the economy, issuing securities for all maturities in its weekly auctions. The interest rates on Central Bank Securities (TBCs) registered sharp increases: as an example, the interest rate on 91-day TBCs rose from 6.47% in January 2007 to nearly 15% in May. Moreover, the monetary authority also reinforced some of its discretionary regulations, namely widening the scope of incidence of mandatory reserves (mandatory reserves now must be fully set up as non-remunerated deposits with the Central Bank). The monetary policy adopted by the Government in 2007 guaranteed price stability, leading to a declining trend in inflation. The accumulated inflation rate in 2007 was 11.78%, surpassing the target for that year of 10%. The State Budget for 2008 assumes a target inflation rate of 10%, two percentage points above the International Monetary Fund's forecast for that year, of 8%. RC BESA INGLES 2007:Layout 1 28/07/08 15:49 Página 91 The monetary policy adopted by the Angolan Government has had the expected success in terms of foreign currency and monetary stability, if we consider that the current situation of national reconstruction represents a factor of pressure on the overall level of prices. In its daily foreign exchange auctions, the BNA sold more than USD 6.5 billion in 2007, which compares with USD 5.5 billion in 2006. Pursuing a trend initiated in 2006, the national currency appreciated by more than 6% against the USD, allowing an average exchange rate of 77 USD/AOA in 2007 (80.36 in 2006). This foreign exchange policy approach was mainly supported by an increase in net international reserves, which, underpinned by the rise in the international price of oil and the increase in national oil production, reached USD 11.19 billion in 2007. 2008 will be essentially marked by the continuation of the National Reconstruction effort. In addition, the Angolan Government has set the following targets: the recovery of national production; the reduction of operating costs in the private sector; the creation of a favourable environment for private investment; and an improvement in the population's social conditions. These objectives will be pursued through investments in the rehabilitation of the electricity and water distribution systems, the improvement of communication networks and the expansion of industrial activity, in particular in the production of the essential consumer goods to meet the population's needs. In retail banking, BESA already operates through a network of 25 branches and sub-branches distributed through 6 provinces, while mainly focusing its activity on private and affluent banking. The corporate banking business mainly acts in this market by (i) enhancing commercial partnerships with medium sized companies operating in Angola, namely financing their investment projects, supporting their cash needs, or providing them technical and legal support, and (ii) supporting Portuguese companies and entrepreneurs that are expanding their activity to Angola. At the same time, BESA also has an important role in supporting exports to Angola, for which it is backed up by a specialised team. BESA's area of investment banking has also been expanding in Luanda, tracking business opportunities and participating in the execution of project and corporate finance operations. In particular, the Bank co-led the structuring, arrangement and placement of the largest public debt issue carried out in Angola. 96 Banco Espírito Santo Angola 2007 Annual Report In January 2008 BESA obtained an authorisation to set up one of the first investment firms in the country. BESA maintained its position as the third largest Angolan private bank. Preserving the good image conveyed to the market in general and to its Clients in particular was a crucial factor in the growth and improvement achieved in 2007, and consequently in the results obtained. 4.2 Management Activities 4.2.1 Premises In 2007 the Bank pursued its expansion across the Angolan territory, opening new branches as required by its own strong growth pace, and maintaining the objective of being present in all provincial capitals in the near future. BESA currently has 25 branches, of which 16 in Luanda and 9 in provincial capitals (Cabinda, Zaire, Luanda, Benguela, Cunene and Huíla). Hence in 2007 the Bank increased it team by 82 employees to cover requirements in both the commercial area and the central departments, raising the total number of employees from 278 to 360 at the end of the year. As in previous years, BESA privileged applicants to their first job, to whom it provided internal and external training. The purpose was to achieve and sustain a standard level of customer service and to identify the major areas for intervention in order to improve quality and ensure customer satisfaction, thus meeting the requirements of an increasingly demanding and competitive market. With the aim of increasingly enhancing customer service, the school branch, a pioneering project in Angola, was pursued in 2007, training new employees, particularly in the area of retail. Always concerned with recognising merit and rewarding the best performing employees, in 2007 the Human Resources Division implemented a continuous performance appraisal system. At the end of 2007 the average age of the workforce was 30 (29 in 2006), and 52% of the employees worked in the Commercial Division. 4.2.3 Equity Holdings BESA holdes an equity interest in Empresa Interbancária de Serviços (EMIS), the company that has implemented the automatic payment and ATM system in Angola. (i) Opened in 2007 The Central Bank has a majority stake (51%) in EMIS the remaining shares being distributed among the banks operating in Angola. BESA has been able to finance its geographical expansion exclusively through its own financial resources. During 2007 BESA subscribed and realised 1,419 shares in the Angolan Stock Exchange and Derivatives (BVDA). In addition to the opening of 8 new branches and sub-branches, 2007 was also a year of preparation for expansion and consolidation in several provincial capitals in 2008. Strategic Business Guidelines of BESA 97 RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 98 4.2.4 New Information System (NIS) In 2007 decisive steps were taken to accelerate the development of the Bank's new information system, which is scheduled to become operational in April 2008. The NIS is being developed to meet the specific needs of BESA and its Clients. In a first phase it includes the main modules, a banking application comprising e-banking and the management information system. The new banking application will permit to improve and expedite operational procedures and consequently the service provided to BESA's clients. The management information system will endow the Bank with the most advanced management tools of universal banking activity. 4.2.5 Organisational Structure Areas In Sports Marketing, BESA supported the winning team of the World Fishing Championship and sponsored the Tuiga, which won several local regattas. BESA supported the team that ended up winning the Global Management Challenge, and promoted their trip to Portugal, where they visited BES and the Stock Exchange. BESA was the exclusive sponsor of “Pérolas do Oceano”, a TV programme showing the business and social reality of the Portuguese speaking countries. All the episodes broadcast during the year including information about BESA, thus spreading our image overseas. In Cultural Marketing, BESA supported the launch of a book by the Angolan artist António Ole, conveying to its target publics the image of an institution concerned with the cultural evolution of the community. 4.2.5.1 Investment Banking The area of investment banking, is part of BESA organizational structure and significantly expanded its activity in Luanda, tracking business opportunities and participating in the execution of project and corporate finance operations. The investment banking office has a strong experience and visibility in the Angolan market and proven capabilities. In Social Marketing, BESA supported the United Nations High Commissioner for Refugees' Calasi project, which aims to teach the Portuguese language to thousands of refugee children. The Bank also took part in the “Delinquency - count me out” programme, and in the demining project promoted by the Mines Advisory Group. The Office is prepared to offer its clients global investment banking solutions that keep pace with the increasing complexity and sophistication of the financial markets. The Marketing and Corporate Image division closed the year with the already traditional Christmas Campaign, which was advertised in all the branches and to all the clients and included the offer of season presents and gifts. In 2007 BESA co-led the structuring arrangement and placement of the largest public debt issue (treasury notes) ever carried out in Angola, for an overall amount of USD 3.5 billion. The debt will be issued in several phases: phase I, in the amount of USD 1 billion, took place in November 2007 and phases II and III, for respectively USD 1 billion and UDS 1.5 billion, will occur in June 2008 and February 2009. Besides underwriting the issues, the co-leaders also ensure placement in the domestic market. The interest raised by this operation among the main international players will certainly be capitalised in the placement of phases II and III. 4.2.5.2 Marketing In 2007 the Marketing and Corporate Image division developed a number of communication initiatives and strongly invested in BESA's institutional image, launching an innovating campaign in the Angolan market, which was deployed through the various media, namely television, the press and outdoor advertising. 98 Banco Espírito Santo Angola 2007 Annual Report In terms of Internal Communication events, the Christmas Party and BESA's birthday party brought together all the employees and their families. 4.2.5.3 Risk The Risk Function in BESA Within the scope of BESA's strategic action as a pioneering and innovating institution at the forefront of the Angolan market, it was formaly created a Risk Division during the last quarter of 2007. The main purpose of the Risk Division is to identify and quantify the three major risks addressed by Basel II (credit, market and operational risks) in order to optimise risk/return across the various business lines, taking into account the risk profile defined by BESA's Executive Committee. RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 99 Credit Risk 4.2.5.5 Security Credit risk is the potential financial loss arising from the failure of an obligor or counterparty to honour its contractual obligation with BESA. Credit risk is the major risk to which BESA is exposed within the scope of its banking activities, The Security Division is essentially responsible for ensuring that there is passive and active physical security, also acting at the level of risk prevention, by identifying and mitigating risks, in particular those that are usually less perceptible, contributing towards the valorisation of the Shareholders' assets. Credit risk management has until now been carried out at the institution's highest level. Market Risk Market Risk represents the possible loss resulting from fluctuations in interest and foreign exchange rates or alterations in the liquidity of markets. Market risk management is integrated with balance sheet management being the policies for the structuring and composition of the position, and the control of exposures to interest rate, foreign exchange and liquidity risk determined and monitored with the intervention of the highest level of the institution. Operational Risk Operational risk may be defined as the risk of losses or of a negative impact on the relationship with the Clients or other stakeholders, resulting from inadequate or negligent application of internal procedures, staff behaviour, information systems or external events. Operational risk also includes business risk, risk arising from business strategy, and legal risk. Legal risk represents the risk of losses arising from non compliance with regulations in force or resulting from legal action. Concerning the physical protection of installations, employees and clients, the main activities carried out by the Security Division on focus the establishment of mechanisms to monitor and control the security of people and assets. Although the human element is very important in these activities, it is increasingly supported by security technology developed for the banking activity and deployed at the various functional units, always ensuring compliance with the country's laws and regulations and the guidelines of the Executive Committee. The installation of an operational security system in the headquarters building and an integrated security system (CCTV, intrusion and fire alarm and access control) in the branch network permitted to optimise the passive security resources foreseen in the security plans of existing and new premises. As regards active security and the transport of money and valuables, the activities carried out seek to be adjusted to the Bank's activity and to objective circumstances in terms of locations and social conditions (risk analysis). Hence the deployment of human vigilance resources as well as technical equipment aims to ensure a safe and protected environment in the institution. 4.2.5.4 Internal Audit 4.2.5.6 Cost Control and Reporting During the year the Internal Audit Division continued to perform its duties with fairness, impartiality and objectivity, in accordance with the activities plan approved by the Executive Committee. The Cost Control Office, created at the end of 2006, has as main responsibilities to monitor and report on the evolution of the Bank's operating costs, acting with the strategic objective of gradually reducing its cost to income ratio. Among other activities, the division sought to optimise the added value provided by the operations carried out by the audited areas, while also reinforcing the control mechanisms to verify and monitor compliance with the procedures in force. Finally, the Internal Audit Division also actively monitored the expansion of the branch network and participated in a number of training courses in the area of fraud prevention and detection of false bank notes. Its responsibilities also include preparing the monthly reporting to the Group, the strategic reporting and the annual statutory reporting documents, and monitoring budget execution. The Office also actively cooperates, advises and supports the Bank's various functional areas. Cash and Deposits with the Central Bank also registered a rise of USD 79 million, mainly as a result of the change in the regime of minimum obligatory reserves deposited with the BNA, and to a lesser extent the increase in the number of BESA branches. The breakdown of net assets shows that monetary placements (securities and investments) account for 41% of the total (40% in 2006) and customer loans 44% (38% in 2006). In customer loans, the Bank reached a market share of 16% (10% in 2006), as shown in the table below. 20.1% BFA % 17.1% BPC 8.3% BESA 14.5% BIC Shareholders equity grew by USD 61 million (69%), majorly due to by the rise in net income. As a result, customer loans grew by 178%, or USD 540 million, when compared to 2006. While pursuing the increase of its client base, BESA maintains a prudent approach in the various business areas, focusing on excellence and service quality. FC 2006 NC FC 2007 4.3.4 Other liabilities As at December 31st, 2007, the subordinated loan owed to BES in the amount of EUR 2.7 million (USD 3.6 million) was carried under liabilities. This debt is being repaid in accordance with the agreed conditions. The amount of Industrial Tax payable is explained by the fact that BESA earns income from Public Debt and equivalent Securities, which, in accordance with Article 22 (3) of the Industrial Tax Code, is exempt from all taxes and is not considered for purposes of assessing taxable income. In 2006 and 2007 BESA made no provision charge for the maintenance of own funds in local currency. At year-end BESA had own funds, including the net income for the year, totalling USD 151 million. The values of own funds and the respective breakdown are detailed in note 19 to the financial statements. EVOLUTION OF BANKING INCOME COMPONENTS 19% 28% 38% 36% NET INTEREST INCOME FEES AND COMMISSIONS ON BANKING SERVICES 43% 36% PROFIT ON FINANCIAL OPERATIONS 2006 4.4 Financial, Operational and Rentability Analysis 2007 Banking Income totalled USD 125.6 million in 2007, corresponding to a year-on-year increase of 62%. 4.4.1 Banking Income 2007 was marked by a rise in interest rates, leading to an increase in the yield obtained from Central Bank securities (TBCs) and contributing, together with the volume effect, to drive up net interest income by 94% year-on-year, to USD 54 million. This rise in interest rates also originated an increase in interest paid. Total interest earned amounted to USD 92.7 million, thus covering interest paid on customer placements, totalling USD 38.7 million. Fees and commissions on banking services (USD 48 million) and Profit on financial operations (USD 23.5 million) rose by respectively 70% and 10%, underpinned by the increase in transactions with clients, namely investment banking transactions, and services provided related to the purchase and sale of foreign currency. The increase in net interest income, profit on financial operation and fees and commissions on banking services, contribuited for the increase in Banking income which structure is now more balanced than 2006, as showing the chat below. Staff costs reached USD 11.7 million, underpinned by the workforce increase by 82 employees to meet the growth of the network and of the Bank's overall business. The Bank operates in Angola, for which it has the necessary authorisations granted by the competent Angolan authorities, namely Banco Nacional de Angola (BNA or Central Bank). BESA was formally set up in August 2001, opening for business on January 24th, 2002 as an Angolan private banking institution operating in Angola. Since its creation the Bank has been developing an attractive offer of products and services, from the start differentiating itself from the competition due to its innovative actions and positioning in the Angolan market, and conveying to its clients an image of quality, trust and safety, while remaining focused on its Mission. BESA is part of the Banco Espírito Santo Group (BES Group or BES) and therefore its financial statements are consolidated by BES, which has its registered office in Portugal, at Avenida da Liberdade, 195, Lisbon. BES Group has a majority stake in BESA (79.96%), the remainder being held by an Angolan company, with 20%, and 4 individual shareholders. 112 Banco Espírito Santo Angola 2007 Annual Report RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 113 BESA's share capital, fully subscribed and paid up is the Kwanza (AOA) equivalent on payment date of USD 10,000,000, represented by 1,000,000 shares with the nominal value on payment date of the AOA equivalent of USD 10 each. In the pursuance of its activity and having entered its sixth year in business, BESA expanded its geographical coverage of the country, having on balance sheet date a network of 25 branches and sub-branches distributed through 6 provinces of Angola (16 in Luanda and 9 in other provinces), which it intends to extend to all provincial capitals in the near future. The Bank's geographical expansion has been keeping pace to its strong business growth since its creation. In addition to the retail network, BESA also has two corporate management centres, a trading room, and an investment banking office, all functioning in its administrative headquarters. As a bank with a universal vocation, BESA provides a global service to its individual (focusing its activity on private and affluent segments) and corporate clients. Paying constant attention to the needs of these clients, the Bank continuously promotes the development of new products and has a network of modern and efficient branches with an adequate geographical coverage. In corporate banking, BESA mainly focuses on (i) enhancing commercial partnerships with medium sized companies operating in Angola, namely financing their investment projects, supporting their cash needs, or providing them technical and legal support, and (ii) supporting Portuguese companies and entrepreneurs that are expanding their activity to Angola. At the same time, BESA, together with BES Group, have an important role in supporting exports to Angola, backed up by a specialised team. BESA's area of investment banking has also been expanding in Luanda, tracking business opportunities and participating in the execution of project and corporate finance operations. In particular, the Bank co-led the structuring, arrangement and placement of the largest public debt issue carried out in Angola. Having significantly increased its market share - currently estimated by the BNA at 15.9% in customer loans and 8.3% in customer deposits - BESA maintained its position as the third largest Angolan private bank. In fact, despite the increase in the number of commercial banks operating in Angola, BESA actually lifted its market share in 2007 when compared to the previous year. In January 2008 BESA obtained an authorisation to set up one of the first investment firms in the country, which is scheduled to start operating soon. Preserving the good image conveyed to the market in general and to its Clients in particular was a crucial factor in the growth achieved in 2007, and consequently in the results obtained. Financial Statements 113 RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 114 Note 2 Bases of presentation and principal accounting policies 2.1 Bases of presentation The financial statements have been prepared in accordance with the principles established in the Plan of Accounts for the Financial Institutions of the Angolan Banking Industry and other provisions issued by the Central Bank of Angola. The financial statements are presented in thousands of USD, rounded to the nearest thousand. In the process of translating the financial statements and tables into USD the official reference rates of the Central Bank of Angola for December 31st, 2007 were used - USD 1 = AOA 75.023 and €1 = AOA 110.20900 (December 31st, 2006: USD 1 = AOA 80.28336 and €1 = AOA 105.51244). The financial statements were prepared in accordance with the historical cost principle. The preparation of financial statements required the Bank to make judgements and estimates and to use assumptions which affect the application of accounting policies and amounts of revenues, costs, assets and liabilities. Alterations in these assumptions or differences between these and the actual situation can have an impact on the actual estimates and judgements. The areas which involve a greater degree of judgement or complexity, or where significant assumptions and estimates are used in the preparation of the financial statements are analysed in Notes 6, 7, 8, 9, 10 e 11 to the financial statements. 2.2 Summary of principal accounting policies The following accounting policies are applicable to the financial statements as at December 31st, 2007 and December 31st, 2006. a) Accrual accounting The Bank employs accrual accounting in respect of the majority of the headings of the financial statements, particularly with regard to interest on loans and deposits, which is entered as and when generated, regardless of when paid or collected. However, in the case of loans overdue by more than 30 days or, though not due, if there is reasonable doubt as to their repayment, the Bank suspends the reckoning of the respective interest, which will only be entered as income as and when received. b) Transactions in foreign currency Transactions in foreign currency are recognised in accordance with the principles of the multi-currency system, each transaction being entered solely in accordance with the currency in question. This method requires all balances expressed in foreign currency, except notes and coin, to be translated into Kwanza on the basis 114 Banco Espírito Santo Angola 2007 Annual Report RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 115 of the average reference rate of the Central Bank of Angola. On the contract date, spot and forward purchases and sales of foreign currency are immediately taken to the currency position. In the event of these transactions leading to variations in the net balances of the various currencies, movements take place in the spot or forward currency position accounts, the content and revaluation criteria of which are as follows: • Spot currency position The spot currency position in each currency is given by the net balance of assets and liabilities in that currency. The spot currency position is revalued daily on the basis of the average reference rate of the Central Bank of Angola, giving rise to movements in the currency position account (domestic currency), taken to costs or revenues. • Forward currency position The forward position in each currency is given by the net balance of the forward operations. All contracts in respect of these operations are revalued daily on the basis of the Central Bank of Angola's average reference rate. Differences to the values in AOA at the contracted rates, considered as gains or losses on the revaluation of the forward position, are carried in a currency position revaluation account offsetting costs or income. c) Fixed income securities Trading securities are those purchased for resale within a maximum period of six months. Investment securities are those purchased for resale, but usually held for more than six months, or that although intended to be held to maturity, do not meet the requirements for such classification. The Central Bank issues securities on the Angolan market known as Central Bank Securities (TBCs) and Treasury Bills (BTs), characterised by "up front" payment of interest, their par value on issue and maturity being the same (see Note 8 to the financial statements). In addition to these, there are also on the Angolan market public debt securities issued directly by the State, and Treasury Bonds (OTs) issued in national currency (some issues with nominal value and interest indexed to the USD reference rate) and in USD. TBCs are issued with maturities of 14, 28, 63, 91, 181 and 364 days. They can be passed on by the banks to their customers or to the Central Bank of Angola by means of sale contracts with firm repurchase agreement. In transactions of this kind the securities assigned continue to figure in the Bank's assets; the assignment price received and the respective interest are carried under the Bank's liabilities as an amount due to the assignee. During the year ended December 31st, 2007 the BNA issued no BTs. Financial Statements 115 RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 116 Treasury Bonds (OTS) are shown at aquisition cost. The difference between cost and par, representing the premium or discount at time of purchase, is amortised over the remaining life and recorded in the statement of income. Accrued interest is recognised as income. In addition to these securities, as at December 31st, 2006 BESA also had in portfolio OTs whose par value and interest, though in kwanzas, were indexed to the USD reference rate. They were revalued in accordance with the rules issued by the Central Bank of Angola. d) Equity holdings and investments in associated companies Equity holdings of a strategic and long term nature, although the percentage of equity held is below 20%, are carried under Other Holdings (see Note 9). In 2007 and 2006, these holdings continued to be carried in USD million, as was the case in the previous years, since the companies in question required settlement to be made in this currency. e) Provisions for General Banking Risks and for Doubtful Debts Provisions for general banking risks were calculated under the terms of the Central Bank of Angola Instruction 09/98 issued on November 16th, 1998. They consist of a general loan loss provision, and in the year ended December 31st, 2006 a specific provision for doubtful debts. The general loan loss provision is carried under liabilities under the respective provisions heading, amounting to 2% of the loans and advances made by the Bank, including that covered by acceptances, guarantees and endorsements (see Note 18). The total amount of the Bank's provisions, which, as at December 31st, 2007 and 2006, was respectively USD 9,959 thousand and USD 5,451 thousand, is considered sufficient to meet the credit risks extant at that date, calculated using commercial bases of evaluation and analysis. f) Own Funds Maintenance Provision Due to the currency stability in 2007 and 2006, it was not necessary to make a provision charge for the maintenance of own funds. The Own Funds Maintenance Provision is calculated under the terms of the Central Bank of Angola Directive 09/DSB/99, issued on December 29th, 1999, the aim being to protect share capital, which is carried entirely in AOA, against the effect of depreciation (see Note 18). 116 Banco Espírito Santo Angola 2007 Annual Report RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 117 g) Tangible Assets Tangible assets acquired are recognised at cost and revalued monthly under the terms of Article 2.2 of Decree 6/96, by application of the coefficient resulting from the average official exchange rate of the BNA ruling on the last day of the month (See Note 11). However, as of the date of closing of the accounts there were no amounts recognised under these headings (see Note 11). i) Deferred costs These include payments to suppliers settled in advance for periods of between six months and one year. They are recorded in the corresponding cost headings on a monthly basis (see Note 13). j) Deferred income Interest on placements with the Central Bank that is paid at the time of acquisition is recorded under this heading and recognised in the respective Revenue heading on a monthly basis (see Note 17). k) Recognition of income from services and commissions Income from services and commissions is recognised in the following way: (i) income from services and commissions obtained in the execution of a significant act, for example such as commissions in the underwriting of public debt or syndication of loans, are recognised in profit and loss when the significant act has been concluded; (ii) income from services and commissions which are obtained as the services are provided are recognised in profit and loss in the period to which they relate. On December 31st, 2007 these Reserves, consisting in non remunerated deposits in AOA with the BNA, corresponded to 15% of the incidence basis, calculated in accordance with the BNA regulations at balance sheet date, after deduction of 20% of the cash balance in national currency. These deposits are calculated as follows The BNA Instruction no. 4/07 of August 30th came into force on September 17th, 2007. The main difference introduced by this instruction versus the instruction in force until then (see below) was to increase by 5% the requirements in Deposits while extinguishing the requirement of TBCs and Public Debt Securities. The BNA Instruction no. 2/07 of April 18th, which changed the regime of minimum obligatory reserves, was in force between May 1st, 2007 and September 17th, 2007. According to this instruction, financial institutions had to set aside such reserves in national currency, calculated weekly for week D as the arithmetic mean of the balances in the accounts considered for the incidence basis in the business days of week D-2. This instruction also increased by 2.5% the requirements in Deposits while extinguishing the requirement of TBCs and Public Debt Securities. Until May 1st, 2007 the constitution of minimum obligatory reserves was regulated by the NBA Instruction no. 10/2003, according to which financial institutions had to set aside minimum obligatory reserves in local currency, calculated weekly for week D on the daily closing balance on customers' sight deposits in week D-2. No BTs were issued in 2007. The stability of the AOA against the USD which had persisted since 2004 was interrupted in May 2007, when the AOA rose by 6% versus the USD, after which currency stability was resumed. The rate of return on the TBCs, which had already slightly increased in the second half of 2006, rose sharply during the first half of 2007, closing the year between 12.92% and 15% at the maturity of 1 year. Financial Statements 123 RC BESA INGLES 2007:Layout 1 28/07/08 15:50 Página 124 As at December 31st, 2007, BESA's portfolio of OTs consisted of: OTs in USD issued by the Angolan Ministry of Finance under the form of a bond loan to finance several public projects in Angola for an overall amount of USD 3.5 billion, of which USD 2 billion will be underwritten by a syndicate of banks co-led and formed BESA and the Banco Africano de Investimento (BAI) and the remainder by the other banks in the market. The bond loan will be issued in three phases of respectively USD 1 billion, USD 1.5 billion and UDS 1 billion to take place in 2007, 2008 and 2009. The OTs will have maturities ranging between 5 and 10 years. This was the largest operation of the kind ever carried out in Angola. OTs in USD issued by the Angolan Ministry of Finance under the form of a bond loan to finance several public projects in Cabinda, for an overall amount of USD 250 million, of which USD 150 million will be underwritten by BESA, and the remainder by the other banks in the market. The OTs will be issued in four tranches, two in 2007 and the other two in 2008, with different maturities of up to 11 years. This was the first time that an Angolan bank structured, arranged and placed alone an operation of this size. Amounts contracted with the Ministry of Fisheries whose conditions make them eligible for classification under this heading. These contracts have Angolan State risk in so far as they (i) were approved by the Council of Ministers, (ii) are formally endorsed by the State, (iii) were approved by the Court of Auditors, and (iv) the respective income is considered on the same level as income from public debt securities and enjoys the same exemption from tax. As at December 31st, 2006, BESA's portfolio of OTS consisted essentially of bonds specifically issued by the Ministry of Finance to finance the renewal of TAAG's fleet, in the overall amount of USD 200 million, of which USD 165 million were underwritten by the banking syndicate that was formed for the purpose (led by BAI, and including BESA and BFA) and the remainder by other banks operating in the Angolan market. The Central Bank has a majority stake of 51% in this company, the remaining shares being distributed among the banks operating in this market. In 2007 EMIS issued new shares which were fully paid and subscribed and led to a rearrangement of its shareholder structure. This explains the increase in the stake held by BESA, while the BNA maintained a majority stake in the company. During the year ended December 31st, 2007 BESA purchased 1,419 shares in the Angolan Stock Exchange and Derivatives (BVDA). Note 10 Intangible Assets As at December 31st, 2007 and 2006, there were no amounts booked under intangible assets. In Accordance with the Plan of Accounts for the Financial Institutions of the Angolan Banking Industry, the amount of advances to the suppliers of BESA's New Information System (NIS, see Note 24) is shown together with work in progress, under tangible assets (see Note 11). It is fully subscribed and paid up, being 79.96% held by Banco Espírito Santo. The initial share capital amount plus the amounts transferred in previous years from the Maintenance of Own Funds Reserve, to cover the possible effect of the devaluation of the AOA against the USD, was the equivalent in AOA of USD 9,984 thousand. Own Funds Maintenance Reserve The Own Funds Maintenance Reserve is the result of the transfer at the end of the year of the Provisions set aside for this same purpose during the year. These provisions are authorised by the BNA and are accepted in full for tax purposes, the aim being to protect share capital expressed in AOA from the effect of devaluation. In 2006 and 2007 there was no movement in the specific provision set up for the purpose, their balance remaining the same as in the previous year. Fixed Assets Revaluation Reserve Fixed assets are carried almost entirely in AOA. Monthly revaluation of tangible assets is allowed under the terms of the nº 2 of the Article 2 of Decree 6/96, applying a coefficient that results from the official average exchange rate ruling on the last day of the month.
