BM&FBOVESPA S.A. - Bolsa de Valores, Mercadorias e Futuros Ref.: OFÍCIO/CVM/SEP/GEA-2/Nº 353/2014 datado de 7 de novembro de 2014 - Solicitação de esclarecimentos Fleury S/A, a public traded company, registered at CVM under nº. 21881 and CNPJ/MF nº. 60840055 / 0001-31, in response to the official letter in question, whose entire contents are reproduced as an appendix to this response, clarify as follows.: Through the official letter in reference, CVM requested the Company to "clarify whether the statement is true and, if confirmed its veracity, explain the reasons why it is not considered a material fact, in view of the provisions of article XVIII of section 2 of CVM Instruction 358/2002. In addition, we require the Company to evaluate the convenience and opportunity to update the section 10.10 of Reference Form.", in reference to the Valor Online news on 11.06.2014 with the highlight “Fleury will invest R$ 100 million in two years at its main flag”, we clarify that: The news portrayed truthful information relating to estimates of Fleury investments in new patient service centers (PSCs) for the years 2014 and 2015. In reality, there is no new or relevant information on the article, which reports the prediction of inauguration of new PSCs of Grupo Fleury for the coming years. Openings, closings and address transfers of branches are normal acts of management of the Company's operations, and the opening of new branches in two years should not be considered as a special or extraordinary routine of the Company's project. For this reason, it believes that the opening of new service units are relevant to be disclosed to the market indeed. The Company has approximately 200 active branches, 150 of these are PSCs (diagnostic medicine centers outside hospitals), and periodically performs the opening of new centers or change of address on existing branches. In the same period some branches are closed. This shows that, indeed, openings, closings, and transfers the address of branches are normal acts of management of operations. Regarding the investment, it is worth noting that the estimated Capex of R$ 100 million refers to investments designed to Fleury brand, main brand of Grupo Fleury, for the next two years. The average of Grupo Fleury’s Capex in the last three years (2011 to 2013) was R$ 130 million per year. It concludes that the estimated investment of approximately R$ 100 million for the Grupo Fleury’s main brand in the period of two years, is not an exceptional event, but regular investment related to opening new branches, expanding services and equipment replacement, noting that investment in capex involves machinery and equipment, leasehold improvements, IT systems, among others. By mentioning the estimated investment for the next two years, Fleury has not released new information or changes in their expansion plans, but only reinforced its intention to expand its main brand. Thus, there was no disclosure of "approval, modification or abandonment of the project" as proposed in the eighteenth paragraph of article 2 of CVM Instruction 358/2002, mentioned in the letter, and even potentially relevant disclosure of information that has the power to influence positively or negatively the decisions of the shareholders or the market in general. The 2nd article of CVM Instruction 358, is illustrative, listing situations that could potentially significantly influence investors' decisions or the trading price of the Company's securities. However the information disclosed in this field do not possess such influence. It is only after a routine managerial decision making in the operations of Grupo Fleury. Therefore, the Company does not believe that should be reported as material fact. Specifically with regard to questions about the Company's intention to update the section 10.10 of its Reference Form, the Company believes this update will not be necessary, given that the planned investments are part of the normal routine of operations of Grupo Fleury, which is already reflected in the Reference Form, with the information available. In addition with the fact that the Company does not consider this investment as an important investment, opening new branches and expand services following an analysis of opportunities checked dynamically altered according to the macroeconomic scenario, performance of business lines, opportunities and demand analysis of competitors. Pursuant to article 24, paragraph 3 of CVM Instruction 480, changes in the business plan of the Company, investments or divestments are not necessarily subject to immediate update of the reference form, and for that reason plus the fact that the Company did not understand that the projected investments, are actually relevant and exceptional in its operations, provided no update section 10.10 of the Reference Form. For all the above, it is expected to have clarified this questioning I. No primeiro semestre de 2015, será aberta uma unidade especializada em exames para mulher. Essa unidade contará com 1,7 mil metros quadrados na avenida República do Líbano, zona sul de São Paulo. Em 2016, a companhia planeja abertura de três unidades na Vila Mariana, Giovanni Gronchi e na zona leste da capital paulista. Esses três laboratórios terão juntos 6 mil metros quadrados. Nesta quinta-feira, o Fleury realiza em sua sede o “Investor Day” para analistas de mercado. Expansão O laboratório enxerga potencial de expansão por meio de crescimento orgânico e aquisição. “Há espaço para ganhos de market share e por que não por meio de aquisições?”, questionou Carlos Marinelli, novo presidente do Fleury. Segundo o executivo, o mercado de medicina diagnóstica na Região Metropolitana de São Paulo é de cerca de R$ 4,5 bilhões. Deste total, o Grupo Fleury possui 25%, mas ele explica que o segmento premium tem potencial para ter uma fatia de 50% e o segmento intermediário alto uma participação de 20% desse montante financeiro. Existe esse potencial porque muitas pessoas não têm acesso a esses laboratórios. Ainda de acordo com Marinelli, o mercado de medicina diagnóstica no Rio de Janeiro movimenta R$ 1,8 bilhão e o Fleury tem uma fatia de 20%. Em Porto Alegre, o setor movimenta R$ 600 milhões e o Fleury tem 9% desse segmento. Em Curitiba, o setor movimenta R$ 500 milhões, com participação de 3% da companhia. A respeito, requeremos que V.Sª esclareça se a afirmação é verídica e, se confirmada sua veracidade, explique os motivos pelos quais entendeu não se tratar de fato relevante, tendo em vista o disposto no inciso XVIII do artigo 2º da Instrução CVM nº 358/2002. Além disso, solicitamos à Companhia que avalie a conveniência e oportunidade de atualizar a redação do item 10.10 do seu Formulário de Referência. Tal manifestação deverá incluir cópia deste Ofício e ser encaminhada ao Sistema IPE, categoria “Comunicado ao Mercado”, tipo “Esclarecimentos sobre consultas CVM/BOVESPA”. Ressaltamos que, nos termos do artigo 3º da Instrução CVM nº 358/2002, cumpre ao Diretor de Relações com Investidores divulgar e comunicar à CVM e, se for o caso, à bolsa de valores e entidade do mercado de balcão organizado em que os valores mobiliários de emissão da companhia sejam admitidos à negociação, qualquer ato ou fato relevante ocorrido ou relacionado aos seus negócios, bem como zelar por sua ampla e imediata disseminação, simultaneamente em todos os mercados em que tais valores mobiliários sejam admitidos à negociação. Destacamos, por fim, que a transgressão às disposições da Instrução CVM nº 358/2002, constitui infração grave, nos termos do artigo 18 da mencionada Instrução, para os fins previstos no § 3º do artigo 11 da Lei 6.385/1976. Cientificamos para os devidos fins que caberá à Superintendência de Relações com Empresas, no uso de suas atribuições legais e com fundamento no inciso II, do artigo 9º, da Lei nº 6.385/1976, e no artigo 7º c/c o artigo 9º da Instrução CVM nº 452/2007, determinar a aplicação de multa cominatória, no valor de R$ 1.000,00 (mil reais), sem prejuízo de outras sanções administrativas, pelo não atendimento ao presente ofício, ora também enviado via fax e e-mail, no prazo de 1 (um) dia útil.
