O ano de 2006, tal como no anterior, foi ainda um ano difícil para a TDM. Consciente das dificuldades existentes, a direcção da empresa desenvolveu todos os esforços no sentido de, por um lado, procurar aumentar os proveitos e, por outro, reduzir os custos. No entanto, a direcção da empresa esteve sempre clara que, de acordo com as linhas mestras do Plano Estratégico 2005-2007, não podia deixar de realizar investimentos e actividades que permitissem dar corpo à estratégia definida. Neste aspecto, são de assinalar as seguintes realizações alcançadas no decurso do ano de 2006: • Lançamento do serviço “TDM Banda Larga” com base na tecnologia ADSL nas cidades de Maputo, Beira e Nampula; • Continuação de importantes avanços na extensão da Rede Nacional de Transmissão (“Backbone”). No decurso do ano de 2006 foi inaugurado o troço Maputo/Ressano Garcia que permite a ligação através de fibra óptica com a África do Sul; continuaram os trabalhos de ligação através da fibra óptica no troço Beira/ Dondo/Caia/Quelimane; tiveram início os trabalhos no troço Quelimane/Mocuba/Nampula/Cuamba/Mocuba; • Ainda relacionado com a extensão da Rede Nacional de Transmissão (“Backbone“) foi assinado o contrato que permitirá a realização dos troços Tete/Caia/Chimoio; Nampula/Pemba e Cuamba/Lichinga. De assinalar que, com a assinatura deste contrato, fica garantido o financiamento que vai permitir a ligação de todas as ca- To really appreciate the results attained during the course of 2006, we would like to refer to all the aspects that were mentioned in our previous message relating to the Annual Report of 2005, namely that 2005 was the first year of the implementation of the Strategic Plan of TDM for the period 2005-2007 and that during the course of the same year we have made important strides with the aim to materialize a number of significant actions foreseen in the Strategic Plan to revert the financial situation of the company. The year 2006, as with the previous year, was a difficult year for TDM. Knowing the difficulties that exist, management of the company developed all efforts towards, on the one side, to improve the revenues and, on the other side, to reduce costs. However, management of the company have always been clear that in accordance with the main principles of the Strategic Plan 2005-2007 they could not allow the realization of investments and activities that will not give substance to the defined strategies. This aspect is evident in the following achievements attained during the course of 2006: • Launching of the “TDM Banda Larga” service based on ADSL technology in the cities of Maputo, Beira and Nampula; • Continuation of the important advances in the extension of the National Transmission Network (“Backbone”). During the course of the year 2006 the link Maputo/Ressano Garcia was inaugurated which allows for the connection through fiber optic to South Africa; continuation of the work on the fiber optic link Beira/Dondo/Caia/Quelimane; commencement of the work on the link Quelimane/Mocuba/Nampula/Cuamba/Mocuba; • Still in relation with the National Transmission Network (“Backbone”) a contract was concluded that will allow for the stabileshement of the links Tete/Caia/Chimoio; Nampula/Pemba e Cuamba/Lichinga. Of importance is that with the conclusion of this contract through guaranteed funding, the linking of all the provincial capitals in the country through fiber optic will now become possible; Mensagem do Presidente do Conselho de Administração | Message from the Chairman of the Board of Directors 3 pitais provinciais do País através da fibra óptica; • Concluiu-se o estudo de viabilidade técnica e comercial dos projectos que vão permitir levar telecomunicações básicas a todas as sedes de distrito do País; • Concluiu-se o estudo da reestruturação da empresa, o qual permite à direcção possuir referências seguras sobre para onde e como a empresa deve avançar. É ainda de assinalar que, no decurso de 2006, a TDM comemorou 25 anos da sua existência. O 25º Aniversário da empresa foi assinalado por diversas actividades culturais e desportivas que tiveram a participação da maioria dos colaboradores. Para além das actividades referidas, a empresa decidiu igualmente assinalar o 25.º Aniversário com a construção de raiz de uma escola primária na localidade de Pipine, no distrito de Inhassunge, província da Zambézia, bem como a abertura de 3 furos de água dentro do programa de Responsabilidade Social assumido pela empresa. No que concerne aos resultados financeiros, os resultados líquidos alcançados em 2006 foram negativos, no montante de cerca de 15 milhões de MT. Contudo importar assinalar que, embora os resultados operacionais relativos a 2006 também tenham sido negativos, no montante de cerca de 8 milhões de MT, quando comparados com os resultados operacionais relativos a 2005, mostram-se muito menores, portanto apresentando uma melhoria de desempenho da empresa muito significativa. Aliás, é esta melhoria que nos faz encarar o presente ano de 2007 com algum optimismo, na medida em que todos os indicadores de gestão apresentaram tendências positivas, o que significa que as opções estratégicas tomadas tenham sido as mais adequadas. Esta tendência, porém, não deve conduzir a empresa à adopção de medidas complacentes. O Conselho de Administração está perfeitamente consciente de que o fim da exclusividade da TDM em relação à exploração da rede fixa termina em 31 de Dezembro de 2007 e que, de acordo com as tendências mundiais, a concorrência no sector das telecomunicações vai ser cada vez maior. Isto significa que a reestruturação da empresa em curso deve ser aprofundada 4 • Conclusion of the technical and commercial viability study to provide basic telecommunications to all district centers in the country; • Conclusion of the study for the restructuring of the company that will allow management of the company to proceed with secure references of where and when the company should proceed. Still of importance is that during the course of the year TDM commemorated its 25 years of existence. The 25th anniversary of the company was marked by diverse cultural and sport activities that were supported by the majority of the employees. Besides all the activities mentioned, the company also decided to mark the 25th anniversary with the construction of a primary school in Pipine, in the Inhassunge district in the Zambézia Province, as well as the opening of boreholes for water as part of the Social Responsibility Programme assumed by the company. Concerning the financial results, the net results attained in 2006 were negative to the amount of about MT 15 million. However, it is important to note that, although the operational results related to 2006 were also negative to the amount of MT 8 million, when compared with the operational results of 2005, which were much lower, it in fact represents a significant improvement in the performance of the company. Furthermore it is this improvement that we have to face in the present 2007 in a somewhat optimistic way as all the management indicators present positive trends, indicating that the strategic options taken, were very adequate. These trends still do not give guidance to the company in the adoption of the contemplated measures. The Board of Directors is perfectly aware that TDM’s exclusivity with regard to the fixed network, is terminating on 31 December 2007 and that according to international trends the competition in the telecommunications sector will further increase. This indicates that the restructuring the company is undertaking should be more profound and in fact should be accelerated. It is the only way in which the company will become more competitive. In summary the perspectives for the company are encouraging. Enquadramento Geral 1. General 1.1 Envolvente Económica 1.1 Economic Developments Durante o ano em análise, a economia nacional registou um crescimento de cerca de 8,5%, (7,7% em 2005). No mesmo período, a inflação anual acumulada foi de 9,4%, contra os 14% registados em 2005, com a inflação média a fixar-se em 13,2% (7,2% em 2005). No mercado cambial, o Metical registou uma certa estabilidade face ao Dólar americano, com uma depreciação em cerca de 6,5%, (contra 25,9% em 2005). Em relação a outras moedas de referência, como são o caso do Rand e o Euro, o comportamento do Metical registou tendências diferentes, tendo-se apreciado em cerca de 3,3% face ao Rand (contra uma depreciação de 10,6% em 2005) e depreciado em cerca de 15,9% em relação ao Euro (11,1% em 2005). O mercado voltou a verificar uma subida geral nas taxas de juro, algo visível tomando como referência a Maibor 3 meses, que registou uma variação de cerca de 5,8 pontos percentuais em relação ao ano anterior. For the year under analysis, the national economy achieved a growth rate of 8,5% (7,7% in 2005). During the same period the accumulated annual inflation rate was 9,4% compared to 14% in 2005, with the average annual inflation rate fixed at 13,2% (7,2% in 2005). In the currency market, the metical registered a certain degree of stabilization against the dollar with a devaluation of 6,5%, (compared to 25,9% in 2005). In relation to other reference currencies, in this case the rand and the euro, the metical registered different trends with a 3,3% appreciation against the rand (against a depreciation of 10,6% in 2005) and a 15,9% depreciation against the euro (11,1% in 2005). The market turn around is evidenced by a general increase in interest rates as reflected in the 3-month Maibor reference rate, which registered a 5,8 percentage points variation in comparison to the previous year. 1.2 Envolvente Regulamentar Na área regulamentar, foi aprovado o Decreto para o Fundo do Serviço Universal, cuja contribuição passa a ser uma responsabilidade de todos os operadores licenciados após a publicação do mesmo previsto durante o ano de 2007. Em relação às tarifas de interligação, a Resolução do INCM n.º 10/2005 de 20 de Dezembro, que aprovou as novas tarifas de interligação, teve efectividade a partir de 1 de Setembro de 2006, algo com impacto positivo para a TDM, pois permitiu a esta reduzir os seus custos de interligação, um dos principais custos operacionais da empresa. 1.2 Regulatory Developments In the regulatory environment, a Decree for the Universal Service Fund was approved to which all licensed operators will have the responsibility to contribute after the publication of the Decree, which is foreseen to happen during 2007. With reference to interconnection tariffs, a Resolution of INCM n.º 10/2005 of 20 December 2005, which approved new interconnection tariffs, came into effect on 1 September 2006, with a positive impact on TDM, as it allows for the reduction in interconnection cost, which is a major operational cost for the company. 2. 2. No entanto, este serviço, tal como nos anos anteriores, continuou a ser o produto de maior peso no volume geral dos negócios da empresa, representando cerca de 42% do total dos proveitos operacionais (54% em 2005). Pelo indicado e não obstante a redução da preponderância do serviço na estrutura de receitas, a empresa continua a apostar no serviço, através da diversificação, modernização e no aumento da cobertura geográfica, pois ainda representa uma parte significativa de receitas para a empresa e existe no mercado a necessidade de se oferecerem soluções integradas, incluindo a voz. Por outro lado, consciente de que as receitas do tradicional serviço de voz (telefone) apresentam tendência no sentido decrescente, e no quadro da implementação do Plano Estratégico, a empresa procurou diversificar a carteira dos seus produtos e serviços, tendo investido nos serviços do Pré Pago Fixo, serviço Fixo sem Fio e nos serviços de internet com lançamento do serviço TDM BandaLarga. Como resultado da estratégia adoptada, destacamos os seguintes desenvolvimentos registados em 2006: • Aumento da base de clientes do serviço pré-pago, vulgo Blá-Blá, que passou de 369 subscritores em 2005 para 12.736 clientes em 2006; • Incremento no parque do Fixo Sem Fio (CDMA), que passou de 884 clientes em 2005 para 1.181 em 2006, ou seja um aumento de 25%. Estes dados referem-se aos locais onde o serviço já está disponível, ou seja, nas cidades de Maputo, Xai-Xai, Inhambane, Maxixe, Nampula e Nacala; • Lançamento do serviço de Televotação, concebido essencialmente para o incremento do tráfego telefónico; • Lançamento do serviço de internet vulgo BandaLarga, o qual pelo destaque que este serviço merece vai ser abordado num sub-capítulo à parte. Em relação à expansão dos serviços de telecomunicações e o aumento da cobertura geográfica, a empresa tem em conta a sua qualidade de operador incumbente e de empresa, cujo capital é maioritariamente detido pelo Estado. As a result of the strategy adopted, the following developments were achieved in 2006: • An improvement in the customer base of the prepaid serviced, called Blá-Blá, which increased from 369 customers in 2005 to 12.736 in 2006; • An increase in the number of Fixo Sem Fio (CDMA) customers, which increased from 884 customers in 2005 to 1.181 in 2006, an increase of 25%. These numbers only reflect areas where the service is currently available, namely Maputo, Xai-Xai, Inhambane, Maxixe, Nampula and Nacala; • Launching of the Televoting service, essentially aimed at increasing telephone traffic; • Launching of the internet service, called Banda Larga, and because of the importance of this service, it is dealt with in more detail in following sections. The company continued to with the expansion of telecommunication services and the extension of the geographical coverage, as part of its responsibility as incumbent operator and the fact that the majority of the capital of the company is owned by the State. In this way the responsibility was assumed in developing efforts to improve the provision of basic telecommunication services (voice, fax, data and internet) in this phase to all the district centers as well as important development nodes. dos distritos bem como a importantes pólos de desenvolvimento. Durante o ano em análise, e tendo em conta a evolução dos serviços adstritos ao telefone fixo é possível derivar as seguintes constatações: • O serviço RDIS (Rede Digital com Integração de Serviços) registou um crescimento sustentado de 13%, passando o parque total deste serviço de 1.083 unidades para 1.226 unidades; • Aumento no parque total de cabinas a cartão, cujo parque passou de 1.288 para 1.303 unidades, com a introdução de um novo tipo de cabines que suportam o serviço pré pago, conhecido por Blá Blá; • Decréscimo em 41% do parque total do Telefone Público Assistido, que passou de 4.999 unidades para 2.936 unidades, algo que ficou a dever-se à forte concorrência neste domínio pelos operadores móveis, tornando o mercado deste serviço cada vez mais fragmentado; • No ano em análise, e comparativamente a 2005, o tráfego nacional facturado registou um decréscimo na ordem dos 21% e o tráfego internacional facturado uma evolução negativa de 13%, tendências já registadas em anos anteriores, no entanto a apresentarem agora taxas de declínio inferiores a dos anos anteriores. Em termos globais, o parque telefónico atingiu um total de 73.592 linhas de rede equivalentes (decréscimo em 2% se comparado ao ano anterior). Do parque registado em 2006, 15.757 eram linhas do pré-pago (21%), 6.624 linhas RDIS (9%) e 51.211 linhas do pós-pago (70%). 2.1.2 O Tarifário No ano económico de 2006 houve um reajuste do tarifário do serviço telefónico, com efeitos a partir de 1 de Março. A principal característica desta alteração consistiu na introdução de uma tarifa única a nível nacional dentro da rede fixa, tarifário este por segundo, como forma de melhorar a atractividade do produto no mercado. Esta alteração representou um decrescimento ponderado do tarifário ao público em cerca de 6% nas chamadas através do fixo. The main feature of the adjustment was the introduction of a uniform per second tariff on national level to improve the attractiveness of the product in the market. This adjustment represents a weighted decrease in the tariff to the public of about 6% for calls on the fixed network. Notwithstanding the fact that this adjustment would result in a decrease in revenue, TDM considered that it is a measure of great social consequence, in so far as now, all the calls throughout the country have the same tariff. Relatório do Conselho de Administração | Report of the Board of Directors 9 créscimo de receitas, a TDM considerou que se tratava de uma medida de grande alcance social, na medida em que, agora, todas as chamadas em todo o território nacional têm a mesma tarifa. 2.2 Serviço de Internet Em Abril de 2006, a TDM introduziu o serviço de Internet suportado pela tecnologia ADSL, tendo sido lançado ao mercado com a marca TDM BandaLarga. O serviço passou a regime de comercialização apenas nas cidades de Maputo, Matola, Beira e Nampula. No final do ano, o total de acessos deste serviço era de 1.702 acessos, número equivalente a apenas oito meses de comercialização do serviço. O serviço TDM BandaLarga representou uma revolução na área de serviços Internet, uma vez que o mesmo oferece velocidades e qualidade de acesso muito acima da média do mercado. Face aos resultados obtidos ainda durante o exercício em análise, a TDM aprovou o plano de expansão do serviço em referência para todas as capitais de província e sedes distritais de reconhecida referência, com o serviço a estar disponível nestes locais em 2007. 2.3 Circuitos Alugados Telefones Públicos Public Telephones 4.999 2.936 1.288 2005 2006 Assistidos Assisted 10 1.303 A Cartão Card-operated Este serviço tem conhecido um crescimento sustentado, tanto sob o ponto de vista de facturação, como no número de acessos conectados. O crescimento é suportado maioritariamente pelos operadores de telefonia móvel e as necessidades de capacidade de transmissão dos clientes de projecção nacional, os quais necessitam destes serviços para o desenvolvimento dos sistemas de informação internos e na construção das respectivas redes. O serviço registou um crescimento de 50%, passando a representar 25% do total dos proveitos operacionais (contra 18% em 2005). O parque total dos circuitos alugados passou a ser 2.096 acessos contra os 1.441 registados em 2005. Para este desempenho contribuiu o aumento da qualidade e oferta de serviços, verificado que é resultado directo dos projectos de expansão da rede nacional de transmissão em curso na empresa. No mercado provedor do serviço Internet, e para satisfazer as necessidades referentes ao aumento do número de utilizadores e à demanda Relatório do Conselho de Administração | Report of the Board of Directors 2.2 Internet Services In April 2006, TDM introduced an Internet service based on ADSL technology, which was launched into the market as the brand TDM BandaLarga. The service is commercially available in Maputo, Matola, Beira and Nampula. At the end of the year the total numbers of accesses were 1.702, which were achieved during only eight months from the launching of the service. TDM BandaLarga represents a revolution in the area of internet services in that it is offering speed and quality of access far above the average in the market. Considering the results obtained during the period under analysis, TDM approved a plan to expand the service to all provincial capitals and district centers, for the service to be available at these locations in 2007. 2.3 Leased Lines This service has experienced a substantial increase from a revenue point of view, as well as in the number of accesses connected. This increase is mainly supported by mobile operators and the need for transmission capacity by national clients who have the need for this service to develop internal information systems and in the construction of their respective networks. The service experienced a growth of 50% and represents 25% of the operational revenue of the company (compared to 18% in 2005). The total number of leased lines increased to 2.096 compared to 1.441 in 2005. This performance can be contributed to the improvement in the quality of the services offered, which is a direct result of the expansion projects the company is currently undertaking in the national transmission network. As an Internet Service Provider and to satisfy the needs and to improve the use of the Internet, which demands fast access speeds, TDM has improved its contracted bandwidth from 36 Mbps to 72 Mbps. de maiores velocidades de acesso por parte dos clientes, a TDM aumentou a largura de banda contratada, tendo passado de 36 Mbps para 72 Mbps. 3. Desenvolvimento da Infraestrutura da Rede 3. 1 Investimento Realizado No que respeita aos investimentos, as acções da empresa centraram-se, fundamentalmente, no prosseguimento de acções tendentes à conclusão da espinha dorsal da Rede Nacional de Transmissão (Backbone) e o aumento da cobertura geográfica, com o objectivo de estender os serviços de telecomunicações às zonas rurais e remotas do País. Tendo em conta os objectivos definidos e acima referidos, foram concluídos e colocados em exploração os seguintes projectos: • Sistema de rádio digital SDH, Maputo – Macia – Xai-Xai – Chókwè, com a capacidade de 2xSTM-1 entre Maputo e XaiXai, e 1xSTM-1 entre Macia e Chókwè. Este projecto teve como objectivo melhorar a qualidade de serviço e aumentar a capacidade por forma a constituir um segmento da Rede Nacional de Transmissão de Banda Larga (Espinha Dorsal); • Sistema de rádio digital PDH, Chókwè – Massingir com a capacidade de 8x2E1. Este projecto visa garantir comunicações no distrito de Massingir, com maior destaque para a barragem de Massingir e o parque transfronteiriço de Limpopo; • Projecto de comunicações para Machanga, que consistiu na instalação de um link PDH com capacidade 4x2E1 e o projecto de comunicações para Funhalouro, que consistiu na instalação duma VSAT. Com os projectos indicados, ficaram garantidas as comunicações nas referidas sedes de distrito, passando estas a contar com serviços de voz e internet. Em fase adiantada de implementação estão os seguintes projectos cuja entrada em exploração está prevista para o ano de 2007: • Projecto de Telecomunicações Rurais para as províncias de Gaza e Inhambane, que irá completar a expansão do serviço de 3. Development of the Network Infrastructure 3. 1 Investment With regard to investment, the actions of the company were mainly focused on the conclusion of the National Backbone Transmission Network and in improving the geographical coverage, with the objective to extend telecommunication services to the rural and remote areas of the country. Taking into account the objectives referred to above the following projects were concluded or commissioned: • A digital SDH microwave system, Maputo - Macia - Xai-Xai - Chókwè, with 2xSTM1 capacity between Maputo and Xai-Xai, a 1xSTM-1 between Macia and Chókwè. The objective of this project is to improve the quality of the service and to increase the capacity for it to serve as a component or segment of the National Broadband Transmission Network (Backbone); • A digital PDH microwave system, Chókwè – Massingir with the capacity of 8x2E1. The objective of this project is to ensure communications in the district of Massingir, mainly the town of Massingir and to the Limpopo Trans-frontier Park; • A project for communications for Machanga, which consists of the installation of a PDH microwave link with 4x2E1 capacity and a project for communications for Funhalouro, consisting of the installation of a VSAT. With these projects, communications are guaranteed to these district centers, giving them voice and internet services. A extensão da rede nacional Vsat que visa atender os clientes localizados em regiões isoladas e de difícil acesso. As áreas abrangidas por esta fase de projecto serão servidas por serviços de telefonia fixa e acesso à Internet, permitindo ainda o transporte do sinal de telefonia móvel. Os locais abrangidos são: Metangula, Ile, Mopeia, Marrupa, Moma, Chemba, Furancungo, Chibabava, Mabote e Machaze; Projecto destinado a melhorar a qualidade e aumentar a capacidade de transmissão entre Nampula–Nacala. O segmento indicado faz parte da Rede Nacional de Transmissão de Banda Larga (Espinha Dorsal) em construção pela TDM, e vai utilizar a tecnologia de rádio SDH; Projecto de links de transmissão de pequena e média capacidade entre Mossuril-Chocas Mar-Ilha de Moçambique, com o objectivo de dotar os locais abrangidos de um meio de transmissão de maior capacidade e fiabilidade utilizando a tecnologia rádio PDH ; Projecto que visa estender a espinha dorsal da rede nacional de transmissão da Beira até Quelimane, através do link Beira-DondoQuelimane e que terá infra-estrutura de suporte em fibra óptica e que faz parte da Rede Nacional de Transmissão de Banda Larga (Espinha Dorsal); Relatório do Conselho de Administração | Report of the Board of Directors • • • • • • bue, but also the expansion of the capacity of the transmission link between Tete and Songo; Project CDMA in Central and Northern Regions, which will provide wireless access based on CDMA technology in the central and northern regions of the country. Extension of the national VSAT network with the aim to attend to customers in isolated regions and where access is difficult. The areas covered in this phase will have fixed telephony, Internet and provide transmission capacity to mobile operatorse. The areas to be covered are: Metangula, Ile, Mopeia, Marrupa, Moma, Chemba, Furancungo, Chibabava, Mabote and Machaze; Project with the aim to improve the quality and expand the capacity of the transmission link between Nampula–Nacala. This segment will be part of the National Broadband Transmission Network (Backbone) under construction by TDM and is utilizing SDH microwave technology; Project for small to medium capacity transmission links between Chókwè-Massingir and Mossuril-Chocas Mar-Ilha de Moçambique, with the objective to give these locations transmission coverage of a high and reliable capacity utilizing PDH radio technology; Project for extending the National Backbone Transmission Network from Beira to Quelimane, through the link Beira-Dondo-Quelimane supported by fibre optic infrastructure and which will form part of the National Broadband Transmission Network (Backbone); Project for extending the National Backbone Transmission Network from Quelimane to Nampula, through the link QuelimaneNampula-Cuamba-Mocuba and which will also form part of the backbone of the fibre optic national transmission network. • Projecto que visa estender a espinha dorsal da rede nacional de transmissão de Quelimane até Nampula, através do link Quelimane-Nampula-Cuamba-Mocuba e que é igualmente parte da espinha dorsal da rede nacional de transmissão em fibra óptica; 3.1 Estudos de Viabilidade e Procurement de Projectos Ao longo do ano de 2006 foi negociado e assinado um novo contrato para a expansão da rede nacional de transmissão, para os troços Chimoio – Tete – Caia, Nampula – Pemba e Cuamba – Lichinga. Este projecto visa completar a última fase da expansão da rede nacional de transmissão com a ligação de todas as capitais provínciais do País, através de uma infra-estrutura de fibra óptica. Dentro da política de extensão da rede de telecomunicações às zonas rurais, foi lançado um concurso para a implementação do projecto de cobertura de 42 sedes distritais. Este projecto visa disponibilizar acessos de voz dados e internet nos locais abrangidos. No âmbito do mesmo projecto, serão instalados mais de 30 links de rádio de transmissão de média capacidade com base em tecnologia PDH, para garantir o acesso a diferentes sedes distritais de outros serviços de telecomunicações, como serviços do móvel. A nível regional e internacional, há a registar a participação da TDM nas seguintes realizações: • Participação da TDM no Projecto EASSy (Easthern African Submarine Cable System), que consiste na instalação de fibra óptica submarina a interligar Durban a Djibouti, com um dos pontos de amarração em Maputo, e que vai permitir interligar os países desta zona, incluindo Moçambique, à rede internacional de cabos submarinos; • Ao nível da SATA, a TDM está envolvida na equipa “SATA Backhaul Working Group for EASSy”, nos trabalhos que visam implementar os links de transmissão necessários para que todos os operadores e membros da SATA, do interior, tenham acesso ao cabo do Eassy, através dos pontos de amarração já definidos que inclui o de Moçambique; • Participação no projecto RASCOM (Regional African Satellite Communications Organization), o qual tem por finalidade 3.1 Viability Studies and the Procurement of Projects During 2006 a new contract was negotiated and signed for the expansion of the national transmission network for the links Chimoio-Tete-Caia, Nampula-Pemba and Cuamba-Lichinga. The aim of this project is to conclude the final phase of the expansion of the national transmission network, which will link all the provincial capitals of the country through fibre optic infrastructure. As part of the policy to extend telecommunications services to the rural areas, a tender was launched for the implementation of a project to cover 42 rural district centers. The aim of the project is to provide access to voice and internet services to the areas that will be covered. Within the same project, 30 PDH microwave links of medium capacity will be installed to guarantee access in the different district centers to other telecommunications services as well as mobile services. On regional and international levels, TDM undertook the following activities: • Participation of TDM in the EASSy (East African Submarine Cable System) Project, which involves the installation of a submarine optic fiber cable linking Durban and Djibouti, with Maputo as a landing point. This will allow for the interconnection of different countries, including Mozambique, with international cable networks; • At the level of SATA, TDM is involved in the “SATA Backhaul Working Group for EASSy”, whose deliberations are aimed at implementing the transmission links necessary by all the operators and members of SATA in the interior to have access to the EASSy cable through the defined landingpoints, including Mozambique; • Participation in the RASCOM (Regional African Satellite Communications Organization) Project, once finalized, will give satellite coverage to the African continent which is essential to establish rural communications at lower costs than with VSAT terminals and to provide interconnectivity between African countries. Recursos Humanos e Formação 4.1 Recursos Humanos Quadro do Pessoal - 2006 Efectivo por Género Staff per Gender Homens | Males 70% 14 Mulheres | Females 30% Durante o exercício de 2006, a empresa prosseguiu o seu programa de restruturação da empresa, que envolve a revisão da estrutura organizacional, a optimização dos processos e, como consequência, o redimensionamento da força de trabalho com o objectivo de aumentar o nível de desempenho da empresa. Foi assim que a empresa viu terminar o ano com 1.743 colaboradores no activo contra 1.968 colaboradores no ano anterior, e 263 posições de chefia contra 416 em 2006. No âmbito da gestão de Recursos Humanos foi concluída a concepção do novo Sistema de avaliação de Desempenho que assenta, fundamentalmente, na avaliação por objectivos e na avaliação por competências comportamentais. Este instrumento de avaliação foi implementado ao longo do ano, tendo abrangido a população de trabalhadores que reunia os requisitos necessários para a efectivação da avaliação, tanto a intercalar como a final. Ainda no decurso do ano em análise, prosseguiu o processo de análise e revisão do modelo de Carreiras e Remunerações, tendo em vista a necessidade de valorização do mérito, o desenvolvimento de competências e a contribuição dos colaboradores para os resultados, processo que se espera concluir em 2007. Por último e em termos estatísticos, a distribuição geográfica da força de trabalho indicava 939 colaboradores afectos em Maputo (54%), e os restantes distribuídos pelas províncias do País, com preponderância para as áreas de Nampula (11%) e Beira (10%), como regiões com maior força de trabalho. Em termos de formação académica, a empresa tinha nos seus quadros 245 (14%) técnicos com qualificação superior, 1.071 (61%) técnicos de nível médio, sendo os restantes 427 (25%) trabalhadores com nível elementar, básico ou sem formação. Human Resources and Training 4.1 Human Resourses During 2006 the company continued with its restructuring programme, which involves the revision of the organizational structure, optimization of processes, and as a result, the re-dimensioning of the workforce with the objective to improve the level of performance of the company. As a result of this the company concluded the year with 1.743 active employees compared to 1.968 in the previous year, and 263 management positions compared to 416 in 2005. Regarding the management of human resources, a new concept was concluded for the Performance Appraisal System, which fundamentally is focusing on the evaluation of objectives and in evaluating competencies behavior. This evaluation instrument was implemented during the year covering the employees under the evaluation system. Still within the course of the year, the analysis and revision process of the Career and Remuneration model continued with the aim to validate the need for merit, and to develop the competencies and contributions of the employees towards the objectives of the company. The process is only expected to be completed in 2007. Finally, in terms of statistics, the geographical distribution of the employees indicated 939 employees in Maputo (54%), whilst the remaining is distributed in the provinces of the country, with the Nampula (11%) and Beira (10%), as the regions with the main workforce. In terms of academic training the company has 245 (14%) senior trained and 1.071 (61%) medium level trained technicians, while the rest, 427 (25%), are employees with elementary or no training at all. 4.2 Actividades relacionadas com o HIV/SIDA 4.2 Activities Related to HIV/ AIDS Na área dos recursos humanos, as acções internas tendentes à prevenção e combate ao HIV-SIDA ganharam dinamismo com vista a melhorar o conhecimento e informação sobre a pandemia no seio dos colaboradores. As principais actividades realizadas pela Comissão da empresa para o HIV/Sida, no decurso do ano 2006, são a seguir indicadas: • Na área de prevenção foram realizadas palestras, apresentadas peças de teatro, filmes, distribuídos preservativos e realizadas campanhas de aconselhamento com vista à realização de testagem voluntária; • Na área de tratamento, cuidados e apoio deuse continuidade ao processo de encaminhamento de colaboradores que se declararam seropositivos, para instituições vocacionadas a fim de obterem o tratamento antiretroviral. Aos mesmos foram ainda realizadas visitas domiciliárias, bem como o fornecimento de kit´s de produtos alimentares a estes, de dois em dois meses; • Relativamente à formação, importa referir que no decurso do presente ano foram realizadas três formações fundamentais: - Reciclagem de Educadores de Pares; - Formação em nutrição; - Formação em técnicas e práticas de aconselhamento. • No referente à investigação e estudos de impacto de HIV/Sida na força laboral da TDM, deu-se continuidade à implementação das recomendações emanadas, quer do estudo CAP de 2004, quer do teste de saliva de 2005. Por último, referir que a empresa é um dos beneficiários de fundos disponibilizados pelo Projecto Avante, financiado pelo Banco Mundial e Governo Moçambicano, através do CNCS. O apoio recebido foi fundamental para o custeio de várias despesas das actividades indicadas, como formação, compra de preservativos e outros. In the area of human resources, internal actions for the prevention and combating of HIV/AIDS, gained momentum with the aim to improve the understanding and information about the pandemic amongst the employees. The main activities undertaken by the Commission for HIV/AIDS during the course of the year were as follows: • In the area of prevention, discussions or debates were held, plays and films were staged, contraceptives were distributed and counseling campaigns were undertaken to promote voluntary testing; • In the area of treatment, care and support were continually given in the process of guiding employees who have declared that they are positive, by vocational institutions with the purpose to obtain antiretroviral treatment. House visits were undertaken and food kits were supplied every second month for two months.; • Relating to training, it is important to mention that the following three basic training actions were undertaken: - Retraining of facilitators; - Training in nutrition; - Training in the techniques and practices of counseling. • With reference to the investigation and studies on the impact of HIV/AIDS on the workforce of TDM, the company continued implementing the recommendations that emanated from the CAP study of 2004 and the saliva test of 2005. Finally, it should also be mentioned that the company is one of the beneficiaries of the funds available from the World Bank and the Government of Mozambique through CNCS. The support received was important to cover the costs of the various activities indicated, as well as for training, the purchase of contraceptives and other expenses. 4.3 Formação 4.3 Training A actividade de formação e desenvolvimento de competências em 2006, teve como principal enfoque nas áreas Técnicas e Comercial, que constituem o “core business” da Empresa. Na estrutura de receitas da empresa, mantém-se a preponderância do serviço de telefonia fixa, com um peso de 42% (54% em 2005), seguido da rúbrica de repartição com outras administrações e circuitos alugados com os pesos de 24% ( 20% em 2005), e 25% (18%, em 2005), respectivamente. A área de negócios de circuitos alugados continua com um crescimento de destacar e passa agora a ser o segundo serviço na estrutura de receitas da empresa, o que justifica a aposta da empresa em investimentos que permitam receitas através de venda de serviços de dados e de banda larga. The operational income of the company increased by 7% (compared to a decrease of 6% in 2005) based upon an increase in the leased lines business and in traffic exchanged with other administrations (the latter include international gateway services). In terms of the income structure of the company, fixed telephone services have maintained their predominant position at 42% (54% in 2005), followed by the income from other administrations and leased lines at 24% (20% in 2005) and 25% (18% in 2005), respectively. A rúbrica de serviços de terceiros, representa 35% de custos operacionais da empresa, onde se destaca já uma ligeira redução nos custos de interligação com a implementação da nova resolução do INCM que reduz as taxas de interligação a partir de Setembro de 2006. Deste modo a empresa registou cerca de 209 milhões de MT em custos de interligação referentes ao tráfego nacional, (contra cerca de 311 milhões MT em 2005). Gross Profit Responsabilidade Social No contexto das acções de responsabilidade social, a empresa realizou diversas iniciativas de âmbito cultural , social e desportivo. No plano cultural, é de destacar a realização da 3ª Edição do Concurso Literário TDM 2006, que mais uma vez foi alvo de grande aderência, assim como de estímulo para a leitura e surgimento de novos talentos no âmbito da escrita. No que se refere à educação, a TDM entregou em Junho de 2006, a escola completa de Ensino do Primário do Primeiro Grau de Pipine à população do distrito de Inhassunge, na província da Zambézia. A escola, construída de raiz com fundos da empresa, é composta por quatro salas de aula, gabinete do director, balneários, duas casas para professores, e beneficia hoje mais de 1.000 crianças em idade escolar. Muitas delas eram obrigadas a percorrer cerca de 12 quilómetros a pé, até à escola mais próxima, para ter acesso à educação. Ainda durante o ano, foi entregue à Escola da Machava Sede, um sistema de abastecimento de água composto por um tanque de 10.000 litros, e reabilitada a respectiva estrutura da tubagem há muito danificada. Com este apoio, as cerca de 3.400 pessoas, entre alunos, corpo docente e funcionários têm hoje, à disposição, água potável 24 horas por dia. Ainda na vertente da educação, a empresa continua a apoiar o projecto “Cidadela da Criança” da ADPP ao proporcionar estadia, alimentação e saúde a dez jovens internos, com idades compreendidas entre os 12 e os 26 anos. No âmbito social, destaque vai para a abertura de dois furos de água, um aberto na província de Inhambane, aldeia de Muchamba, e outro na província de Tete, posto administrativo de Zimane. CONSTITUIÇÃO E ACTIVIDADE 1. INCORPORATION AND ACTIVITY 1.1 Constituição 1.1 Incorporation A Empresa Nacional de Telecomunicações de Moçambique, E.E. foi constituída através do Decreto Lei nº 5/81 de 10 de Junho e transformada em Empresa Pública através do Decreto Lei nº 23/92 de 10 de Setembro, com efeitos a partir de 1 de Janeiro de 1993. Pelo Decreto nº 47/2002 a Empresa Nacional de Telecomunicações de Moçambique, E.P., foi transformada em Sociedade Anónima de Responsabilidade Limitada, passando a ser designada por Telecomunicações de Moçambique, S.A.R.L., ou abreviadamente por TDM. A TDM, com salvaguarda do disposto no artigo 8º do Decreto 47/2002, sucedeu automática e globalmente à Empresa Nacional de Telecomunicações de Moçambique, E.P., e deu continuidade à personalidade jurídica desta, conservando a universalidade dos bens patrimoniais e assumindo todos os direitos e obrigações derivados de actos ou contratos celebrados até ao momento da transformação. Empresa Nacional de Telecomunicações de Moçambique, E.E. was incorporated under the terms of Decree Law No. 5/81, of 10 June, and converted to a Public Company in terms of Decree Law No. 23/92, of 10 September, with effect from 1 January 1993. According to Decree nº 47/2002, Empresa Nacional de Telecomunicações de Moçambique, E.P., was converted into a Limited Liability Company and designated as Telecomunicações de Moçambique, S.A.R.L., or abbreviated as TDM. In accordance with Article 8 of Decree 47/2002, TDM automatically and fully succeeds Empresa Nacional de Telecomunicações de Moçambique, E.P., and maintains its legal persona, thereby owning all assets and assuming all the rights and obligations contractually entered into until the date of conversion. 1.2 Capital Social The share capital was fixed by Decree nº23/92 of 10 September 1992 and was calculated on the basis of the net assets of TDM as at 31 December 1991, which amounted to 173.473.674 Mtn. As per the notice of the Minister of Planning and Finance, dated 31 July 1996, an amendment in the capital structure was authorized by way of capitalization of reserves amounting to 36.720.967 Mtn. This amount was the net asset value of TDM as at 1 January 1993. This resulted in an increase in capital to 210.194.641 Mtn. In 2002, as per the approval of the Minister of Planning and Finance, dated 31 December 1997, a share capital increase was authorized through the conversion of debts due to the State of Mozambique amounting to 213.619.943 Mtn (equivalent of US$ 18.371.168), thus increasing the capital to 423.814.584 Mtn. Between 1998 and 2002, the share capital was increased twice, which were accomplished by incorporation of revaluation reserve (936.185.416 Mtn) and by conversion of the debt (225.810.446 Mtn) respectively, thus TDM share capital was 1.585.810.446 Mtn Through the decree nº47/2002 the Em- O Capital Estatutário foi fixado pelo Decreto Lei nº 23/92 de 10 de Setembro de 1992 e foi calculado com base na diferença entre os activos e passivos da TDM à data de 31 de Dezembro de 1991, tendo-se apurado o montante de 173.473.674 Mtn. Por Despacho do Ministério do Plano e Finanças de 31 de Julho de 1996, foi autorizada a alteração do Capital Estatutário da TDM por incorporação de reservas de capitalização, no valor de 36.720.967 Mtn, calculada pela diferença entre o Activo e o Passivo, acrescida do valor do Capital Estatutário na data de estabelecimento do balanço de abertura da TDM, E.P., em 1 de Janeiro de 1993, passando a ser de 210.194.641 Mtn.Em 2002, por Despacho do Ministério do Plano e Finanças, com data valor de 31 de Dezembro de 1997, foi autorizado o aumento de Capital através da conversão dos créditos detidos pelo Estado Moçambicano sobre a TDM no montante de 213.619.943 Mtn (equivalentes a US$ 18.371.168), passando o Capital social a ser de 423.814.584 Mtn. 26 Expressas em milhares de Meticais | Expressed in thousands of Meticais) Notas sobre as contas | Notes to the Accounts 1.2 Share Capital Entre 1998 e 2002 o Capital social sofreu mais dois aumentos, os quais foram realizados por incorporação de Reservas de reavaliação (936.185.416 Mtn) e por conversão de dívidas (225.810.446 Mtn) respectivamente, passando o capital da TDM a ser de 1.585.810.446 Mtn. Através do Decreto nº 47/2002 a Empresa Nacional de Telecomunicações de Moçambique, E.P., foi transformada em Sociedade Anónima de Responsabilidade Limitada, tendo-se procedido à alteração dos estatutos em 16 de Abril de 2003 e ao aumento do capital social para 2.800.000.000 Mtn, representado por 28.000.000 acções de 100 Mtn cada. O capital social encontra-se totalmente subscrito e parcialmente realizado, sendo de 429.124.165 Mtn o montante do Capital ainda não realizado (nota 7). 1.3 Actividade A TDM tem por objecto a prestação do serviço público de telecomunicações, através do estabelecimento, gestão e exploração de uma rede pública de telecomunicações, constituindo-se assim em operador público de telecomunicações. Poderá ainda exercer qualquer outra actividade comercial, industrial ou financeira relacionada directa ou indirectamente, no todo ou em parte, com a sua actividade, bem como deter participações sociais em outras sociedades, independentemente do seu objecto social, ou filiar-se a qualquer associação ou organização, nacional ou internacional, com vista à prossecução do seu objecto social. 2. REGIME FISCAL Ao abrigo do Projecto T039100 referente à instalação e montagem de um cabo de fibra óptica submarina entre as cidades de Maputo e da Beira, bem como a instalação de uma rede de anéis de fibra óptica (Projecto T058) e de novas centrais telefónicas na cidade de Maputo, a empresa beneficia de incentivos aduaneiros e fiscais previstos no Código dos Benefícios Fiscais, aprovado pelo Decreto nº 16/02 de 27 de Junho. À data de 31 de Dezembro de 2006 o montante dos benefícios fiscais não utilizados ascendia a 319.123.412 Mtn no que respeita ao Cabo submarino, montante este que é dedutível à matéria colectável; e 175.917.224 Mtn relativamente ao presa Nacional de Telecomunicações de Moçambique, E.P., was transformed into a corporation with Limited Liability, through an amendment to its statutes on April 16, 2003 and an increase in the social capital to 2.800.000.000 Mtn, representing 28.000.000 shares of 100 Mtn each. The share capital is totally subscribed and partially accomplished. The amount of 429.124.165 Mtn represents the Capital still not accomplished. 1.3 Activity The objective of TDM entails the rendering of public telecommunications services through the establishment, management and utilization of the public telecommunications network as the public telecommunications operator/provider. The Company may also undertake any other activity, commercial, industrial or financial, directly or indirectly, related in part or as a whole, with its main activity, as well as hold investments in other companies, independently of their object, or associate itself with any association or organization, national and international, in order to further its objective. 2. TAX REGIME As a result of Project T039100, which entails the installation of the submarine fiber optic cable between Maputo and Beira and the installation of an fiber optical ring network and new exchanges in Maputo (Project T058), the Company was granted an exemption on import duties and taxes in accordance with the Tax Incentives Legislation, approved by the Decree Nº 16/02 of June 2002. As at 31 December 2006, the tax incentives not utilized amounted to 319.123.412 Mtn related to the submarine cable, which amount will be deductible from the taxable income and 175.917.224 Mtn relating to the optical ring, which will also be deductible from the tax payable. Consequently, due to the fact that the tax incentives not utilized are significantly greater than the taxable income related to this year, the Company will not be liable for Company tax for the period ended in 2006 (note 30). Consequentemente, pelo facto dos benefícios fiscais não utilizados serem significativamente superiores à matéria colectável referente a este exercício, a Empresa está isenta de pagamento de IRPC relativamente ao exercício de 2006 (nota 30). 3. POLÍTICAS CONTABILÍSTICAS (a) Geral As demonstrações financeiras foram preparadas segundo a convenção do custo histórico, modificada pela reavaliação do imobilizado corpóreo e na base da continuidade das operações da Empresa, em conformidade com os princípios contabilísticos fundamentais da especialização dos exercícios, da consistência, da prudência e da materialidade. A informação que consta das demonstrações financeiras apresentadas foi extraída dos registos contabilísticos da Empresa, que são mantidos de acordo com o Plano Geral de Contabilidade em vigor em Moçambique. Exceptuando ligeiras sintetizações, a forma de apresentação e o arredondamento dos valores para milhares de meticais, no que se refere aos comparativos do ano anterior, as demonstrações financeiras anexas estão expressas em meticais da nova família e são idênticas às que foram preparadas pela Empresa a partir dos registos contabilísticos e que irão ser submetidas à apreciação da Assembleia Geral de Accionistas. Os critérios e princípios contabilísticos específicos adoptados foram os seguintes: (b) Reconhecimento dos custos e proveitos Os custos e os proveitos são registados no período a que dizem respeito independentemente da data de pagamento ou recebimento, de forma a cumprir o princípio contabilístico geralmente aceite da especialização dos exercícios. (c) Imobilizações corpóreas As imobilizações corpóreas estão mostradas pelo seu valor de custo, actualizado pela reavaliação ocorrida no exercício de 1999. 28 Notas sobre as contas | Notes to the Accounts 3. ACCOUNTING POLICIES (a) General The financial statements were prepared according to the historical cost principle on a going concern basis, modified by the revaluation of tangible fixed assets, and in accordance with the fundamental accounting concepts of prudence, substance over form and accrual basis. The information presented in the financial statements was extracted from the accounting records of the Company, which are in accordance with the accounting principles in use in Mozambique. Except for minor abbreviations, the presentation and rounding off of the values to Mtn, concerning comparisons to prior year, the financial statements attached are expressed in the new family of the Metical and are identical to the financial statements prepared by the Company to be submitted to the Shareholders General Assembly. The specific criteria and accounting principles adopted are the following: (b) Recognition of expenses and income The expenses and income are recorded on the date of incurrence, irrespective of the date of payment or receipt, in order to comply with the generally accepted accounting principle of the accrual system. (c) Tangible fixed assets Tangible fixed assets are shown at cost updated for the revaluation that was carried out in the year ended 31 December 1999. The fixed assets include capitalized borrowing costs and exchange differences that were incurred during the construction phase on financing raised to finance these assets. The fixed assets acquired through donations were capitalized at the cost to the donor, increased by other costs incurred by the Company. The counter-account representing the amount of donated assets capitalized is included under “Accrued Liabilities” shown in a separate account, specifically created and called “Subsidies and Donations received for investment”. As imobilizações incluem encargos financeiros e diferenças de câmbio capitalizadas durante a fase de construção, resultantes de empréstimos contraídos para as financiar. Os activos imobilizados adquiridos com recurso a donativos são capitalizados pelo valor de custo do doador, acrescido dos custos suportados pela Empresa. A contrapartida do valor capitalizado está relevada numa rubrica de Antecipações Passivas, denominada Subsídios e doações recebidos para investimento. As amortizações são calculadas segundo a regra dos duodécimos e pelo método das quotas constantes, sobre o valor de aquisição ou reavaliado, pela aplicação de taxas consideradas adequadas para reintegrarem totalmente os bens no final da sua vida útil estimada. As taxas de amortização utilizadas nas principais rubricas de imobilizado são as seguintes: Depreciation is calculated on a straight-line basis on the cost of acquisition or revaluation amount, applying the rates appropriate to write off the asset over its estimated useful life. The depreciation rates used are as follows: % Construções e edifícios | Buildings and other constructions Equipamentos – serviço de telefone, fax, telex e outros | Equipment – telephone, fax, telex and others Equipamento de transporte | Vehicles Ferramentas e utensílios | Tools Equipamento administrativo, informático e outros imobilizados | Furniture, computer equipment and other fixed assets (d) Despesas de reparação e manutenção As despesas relacionadas com benfeitorias, grandes reparações e peças adquiridas para a realização de projectos são capitalizadas. As restantes despesas de reparação e manutenção são consideradas como custos do exercício em que ocorrem. (e) Encargos plurianuais Encontram-se valorizados ao custo de aquisição, líquido das amortizações acumuladas. As amortizações são calculadas segundo a regra dos duodécimos e pelo método das quotas constantes durante um período de 3 anos. (f) Investimentos financeiros As participações financeiras em empresas na- 2 a | to 10 2,5 a | to 12,5 14,28 a | to 25 10 a | to 25 10 a | to 20 (d) Repairs and maintenance Expenses that relate to improvements, major repairs and parts acquired together with fixed assets, as part of a project, are capitalized. The expenses of normal repairs and maintenance are considered as costs for the year. (e) Intangible assets These are valued at cost of acquisition, net of accumulated depreciation. The depreciation is calculated in accordance with the duodecimal rule and on a straight-line basis over three years. (f ) Investments Investments in local companies are valued at cost of acquisition less provision to cover losses, which have occurred. Investments in international telecommunication organizations are valued at cost Notas sobre as contas | Notes to the Accounts 29 cionais estão valorizadas ao custo de aquisição, líquido de uma provisão para fazer face a perdas ocorridas ou a ocorrer. As participações financeiras em Empresas e organismos internacionais de telecomunicações, são registadas ao valor de mercado e são actualizadas à taxa de câmbio do final do ano. Os ganhos e perdas resultantes desta actualização são contabilizados na rubrica de diferenças cambiais do exercício. (g) Meios circulantes materiais Os Meios circulantes materiais encontram-se valorizados ao custo de aquisição. Considera-se como custo de aquisição de um bem a soma do respectivo preço de compra com os gastos suportados directa ou indirectamente para o colocar no seu estado actual e no local de armazenagem. Quando o custo de aquisição ou de produção for superior ao preço de mercado, será este o utilizado. Entende-se como preço de mercado o custo de reposição ou o valor realizável líquido, conforme se trate de bens adquiridos para a produção ou de bens para venda. O método de custeio das saídas é o custo médio ponderado. (h) Transacções em moeda estrangeira As transacções em moeda estrangeira são registadas ao câmbio da data da operação, sendo as diferenças de câmbio apuradas nas datas de pagamento ou recebimento contabilizadas em resultados. Os valores a receber, a pagar e depositados em moeda estrangeira são expressos em Meticais às taxas de câmbio oficial em vigor no final do ano, sendo as respectivas diferenças de câmbio contabilizadas em resultados do exercício. As taxas utilizadas para conversão em Meticais das contas incluídas no balanço e na demonstração dos resultados foram as seguintes: in foreign currency converted to Meticais at the closing exchange rate for the year. The resulting conversion gains/losses are accounted for in “Exchange Differences”. (g) Stock Stock is valued at cost of acquisition. Cost of acquisition is considered to be the sum of the invoice price of the purchase, including the direct and indirect expenses incurred in order to place goods in the Company’s premises in their original state. In cases where the cost of acquisition or production is higher than the market value, the market value is applied. The market value is the replacement cost or the net realizable value. All stock issues are valued on a weighted average basis. (h) Transactions in foreign currency Transactions in foreign currency are recorded in Meticais at the official rate ruling at the time of the exchange transaction whereby the differences arising at the date of payment or receipt are included in the results. Receivables, payables and deposits in foreign currency are converted to Meticais at the official exchange rates in force at the end of the year, and the respective exchange differences are accounted for in the Income Statement. (i) Listas telefónicas A TDM é responsável por incluir na sua facturação o valor dos contratos celebrados entre a LTM – Listas Telefónicas de Moçambique e os seus clientes. A partir de Julho de 1999, o valor incluído na facturação da Empresa relativo a contratos de listas telefónicas, encontra-se relevado na rubrica de outros proveitos operacionais. O custo do serviço prestado pela LTM é reflectido na rubrica de outros custos operacionais – subcontratos e é calculado com base numa percentagem acordada sobre as vendas. (j) Pensões de reforma De acordo com o Oficio nº 90 do Ministério da Tutela, datado de 15 de Setembro de 2005, o Ministro das Finanças autorizou que os descontos para a aposentação efectuados aos trabalhadores da TDM, continuem a ser canalizados para os fundos de Pensões do Estado, o qual se responsabilizará pelo pagamento das pensões de reforma dos trabalhadores da Empresa. Esta modalidade não se aplica a trabalhadores que à data da constituição da sociedade anónima não estavam abrangidos por nenhum sistema de segurança social, pelo que se encontram a descontar para o INSS. Dado que até a emissão do Despacho supramencionado, existiam dúvidas sobre quem recairia esta responsabilidade, prudentemente a TDM registou nas suas Demonstrações Financeiras uma provisão para pensões, destinada a fazer face a possíveis encargos a suportar pela Empresa com pensões de reforma dos seus funcionários. Esta provisão foi constituída com base num estudo actuarial efectuado por uma entidade independente. Perante o novo enquadramento definido em 2005, a partir desse exercício a TDM deixou de efectuar o reforço da provisão nos moldes que o vinha fazendo, e a provisão entretanto consti- As from 2004, the exchange rate differences associated with loans and fixed deposits expiring in the medium and long term, were imputed asset and liability accruals and transferred to the appropriate sub-accounts extraordinary results on the dates in which payments or receipts were made. (i) Telephone directories TDM is responsible for the inclusion of amounts referring to contracts between LTM – Listas Telefónicas de Moçambique and their clients in their invoices. As from July 1999, the amount included as income of TDM that are related to contracts for telephone directories is reflected in the account “other operational income”. The cost of the service provided by LTM is reflected in the account “other operational costs”. The commission calculated by TDM is based on a percentage of net sales. (j) Pensions In accordance with the official communication nº 90, issued by the Ministry of Transport and Communications, dated September 2005, the Ministry of Finance authorized that deductions for the pension fund made by TDM to their workers continued to be paid to the Government of Mozambique Pension Fund, who will be responsible for the further payments of the pensions to the company workers. This situation does not apply to employees that at the date of incorporation of the limited company were not included in any social security system, as they will be contributing towards the National Institute of Social Security. Given that before the date of the above mentioned approval there were doubts as to the responsibility of these obligations, TDM prudentially recorded in its Financial Statements a provision to cover for the probable expenses related to the retirement pensions of its employees. This provision was created based on an actuarial study performed by an independent entity. Following the official communication in 2005, TDM ceased to increase the provision and the provision already created, was maintained for payment of pensions during the transition period, i.e. from the moment that pensioners reach retirement age to the moment that the State recognizes Notas sobre as contas | Notes to the Accounts 31 tuída, foi mantida para fazer face ao pagamento de pensões durante o período transitório que decorre desde o momento em que os pensionistas atingem o direito à reforma até ao momento em que o Estado reconhece aquela condição (cerca de nove meses), e assume então, na integra, a responsabilidade pelo pagamento das pensões. Os descontos efectuados para o Fundo de Pensões do Estado serão periodicamente transferidos para o Ministério das Finanças. (k) Provisões para devedores, meios circulantes materiais e investimentos financeiros As provisões são apresentadas a deduzir às respectivas rubricas do activo, sendo determinadas numa óptica de adequação dos saldos à realização dos créditos (clientes e devedores de cobrança duvidosa) e para fazer face a eventuais perdas de valor face ao respectivo custo de aquisição (investimentos financeiros e meios circulantes materiais). (l) Provisões para processos judiciais A provisão para processos judiciais foi criada tendo por base a opinião dos juristas ao serviço da Empresa no que respeita às atribuições finais de responsabilidade, em relação a todas as reclamações e acções judiciais em curso em que a Empresa esteja envolvida. (m) Subsídios e donativos para investimento Os valores recebidos de terceiros a título de donativos para investimento encontram-se registados numa rubrica de Antecipações Passivas com a designação Donativos recebidos para Investimento, sendo transferidos para resultados extraordinários ao longo do período, e à mesma taxa, a que são amortizados os respectivos bens imobilizados. The fund was created in 1994 by a Ministry bylaw dated 27 February 1988, and since the utilization of the fund was not mandatory, the Company decided to relinquish the practice in 2003. Esta tendência tem originado diferenças significativas, que explicam a variação dos saldos comparativamente a 2005. b) Diferenças de caixa O montante líquido das Diferenças de caixa totaliza 1.110.138 Mtn, e representa as diferenças cambiais apuradas nas facturas emitidas em dólares e pagas em meticais, que aparecem registadas nestas contas, devido a certas especificidades do sistema. c) Mais valias na alienação de participações O valor que estava registado em 2005 como mais-valias realizadas na alienação de participações, resultou da venda das participações detidas pela TDM na Telealarme, BIM Investimentos, e da Intelsat. d) Correcções relativas a exercícios anteriores O saldo desta conta inclui 59.690.501 Mtn, relativos a correcções de saldos dos correspondentes nomeadamente: British Telecom no montante de 40.401.412 Mtn, França Telecom no montante de 9.603.627 Mtn e de outros operadores no montante de 9.685.362 Mtn respectivamente, para além de outras correcções de exercícios anteriores, no montante de 31.255.780 Mtn. 52 a) Exchange rate differences During the year the metical depreciated substantially against the American Dollar and Euro, which resulted in positive exchange rate differences in the debit balances, namely in respect of the balances of correspondents and the debts of associate companies. The credit balances, which fundamentally consist of foreign financing, foreign suppliers and current accounts with correspondents, differ due to negative exchange rate differences. This trend has resulted in significant differences, which explain the variation in the balances when compared to 2005. b) Cash differences The net differences in cash equal 1.110.138 Mtn and represent the exchange rate differences calculated on the issued invoices in US$ or paid in Meticais, which were recorded in these accounts due to the system’s requirements. c) Profit on sale of investments Profit on sale of investments recorded in 2005, resulted from the sale of investments held by TDM in Telealarme, BIM Investments and in Intelsat. d) Others income and extraordinary gains This balance include 59.690.501 Mtn, relating to adjustments in correspondents balances: British Telecom amounting to 40.401.412 Mtn, France Telecom amounting to 9.603.627 Mtn and other operators amounting to 9.685.362 Mtn respectively, besides other prior years adjustments amounting 31.255.780 Mtn. 29. RESPONSABILIDADES CONTINGENTES | CONTINGENT RESPONSIBILITIES a) Garantias formalizadas a favor de terceiros Ao abrigo do decreto 47/02 de 26 de Dezembro e do Despacho Ministerial de 23 de Junho de 2003, foi celebrado um contrato de compra e venda, através do qual a TDM efectuou a alienação de todos os bens, direitos e obrigações sobre a mCel – Moçambique Celular. Contudo, continua a existir em 31 de Dezembro de 2006 um Depósito a prazo no montante de EUR 2.000.000 (equivalentes a 67.498.300 Mtn), que foi dado como garantia bancária para financiamentos cuja responsabilidade foi transferida para a mCel em 1 de Janeiro de 2003 que estão abertas em nome da TDM, embora a responsabilidade pelas mesmas seja da mCel. b) Processos judiciais em curso Em referência a 31 de Dezembro de 2006 estavam em curso contra a empresa diversos processos laborais de impugnação por despedimento. O valor das indemnizações exigidas, acrescido dos custos judiciais inerentes, ascende em 31 de Dezembro de 2006 a 12.223.371 Mtn. De forma a fazer face a esta responsabilidade contingente, a Empresa constituiu uma provisão para processos judiciais em curso no montante acima indicado (nota 10). 31. IMPOSTOS As autoridades fiscais têm a possibilidade de rever a situação da Empresa durante um período de dez anos, podendo resultar, devido a diferentes interpretações e/ou incumprimento da legislação fiscal, nomeadamente em sede do Imposto sobre Rendimentos de Pessoas Colectivas, Imposto sobre o Valor Acrescentado, Imposto sobre Rendimentos de Pessoas Singulares e Direitos Aduaneiros, eventuais correcções. A Empresa espera ter cumprido com todas as suas obrigações fiscais, pelo que, eventuais correcções à matéria colectável declarada, decorrente dessas revisões, não terão um efeito significativo nas Demonstrações Financeiras. 54 Notas sobre as contas | Notes to the Accounts a) Guarantees in favor of third parties In accordance with Decree 47/02 of 26 December, and in accordance with the Ministerial Decree of 23 June 2003, a purchase and sale agreement was signed, in terms of which TDM transferred all assets, rights and obligations related to the mobile service over to mCel – Moçambique Celular. However, a fixed deposit balance amounting to EUR 2.000.000 (equivalent to 67.498.300 Mtn) which was considered a bank guarantee for the financing of some of the assets which were transferred to mCel on the 1st of January 2003, still remains open on behalf of TDM. b) Legal process As at 31 December 2006 there were several legal labor actions against the company relating to allegedly unjust dismissals. The amount of compensations claimed plus the inherent judicial cost were 12.223.371 Mtn as at 31 December 2006. In order to cover this contingent liability the company has created a provision for legal actions in the amount referred to above (note 10). 31. TAX The tax authorities may review the tax situation of the Company for a period of up to ten years, which may result in adjustments due to a different interpretation and/or non-compliance with the applicable legislation namely in relation to IRPC, IRPS, Value Added Tax and INSS. The company expects to be in compliance will its tax obligations hence, possible adjustments to the declared taxable amount will not have a significant effect on the Financial Statements. Parecer do Conselho Fiscal Report of the Audit Committee 1 Em cumprimento da Lei e dos Estatutos, o Conselho Fiscal da Empresa Nacional de Telecomunicações de Moçambique, S.A.R.L, no exercício das suas competências, examinou o Relatório do Conselho de Administração, o Balanço, Mapas de Demonstração de Resultados e demais elementos de prestação de contas referentes ao exercício económico de 2006. 2 O Conselho Fiscal apreciou, também, o Relatório dos Auditores Externos e endereça-lhes o seu apreço pela colaboração prestada. 3 Tendo em consideração os elementos apresentados, o Conselho Fiscal é de parecer que as demonstrações financeiras reflectem a posição económica e financeira da Sociedade, a 31 de Dezembro de 2006 e estão de conformidade com as disposições legais aplicáveis. 4 O Conselho Fiscal, no âmbito das actividades realizadas pelo Conselho de Administração, aprecia, de modo particular, os esforços desenvolvidos com vista a concluir a espinha dorsal da Rede Nacional de Transmissão(Backbone), a expansão da cobertura geográfica dos serviços de telecomunicações às zonas rurais, bem como as acções levadas a cabo pela empresa no âmbito da Responsabilidade Social, designadamente, a construção de escolas, poços de água potável e o apoio prestado a VII Edição dos Jogos Desportivos Escolares. 5 Assim, propõe-se à Assembleia Geral da TDM, S.A.R.L. a aprovação do Relatório do Conselho de Administração e das Demonstrações Financeiras da Sociedade relativos ao exercício de 2006. 1 In terms of the legal and statutory framework and its responsibilities, the Audit Committee of Telecomunicações de Moçambique S.A.R.L. has analyzed the Report of the Board of Directors and the Financial Statements related to the 2006 financial year. 2 The Audit Committee has also analyzed the Report of the External Auditors and expresses their appreciation for the contribution provided. 3 After consideration of all the elements presented, the Audit Committee is of the opinion that the financial statements as presented is in conformity with the applicable legislation and reflect the financial position of the company as at 31 December 2006. 4 The Audit Committee has particular appreciation for the efforts of the Board of Directors aimed at concluding the National Transmission Network (Backbone), expansion of the geographical coverage of telecommunications services to the rural areas, as well as the actions of the company in addressing their social responsibility, namely the construction of schools, the provision of drinking water and the support provided to the 7th edition of Jogos Desportivos Escolares. 5 Therefore it is proposed that the General Assembly of TDM, S.A.R.L. approves the Report of the Board of Directors and the Financial Statements of the company for the year 2006. Pelo o Grupo TDM presta serviços na área de telefonia móvel, transmissão de dados, televisão por cabo, internet, soluções empresariais e serviços de directoria. The company participated in five companies that are active in the provisioning of telecommunications services and related areas that complement those provided by TDM.
