Das richtige Armband für jede Uhr
Zur Erleichterung der Auswahl des richtigen Armbands für einen bestimmten Uhrentyp dient das nachfolgende
Farbsystem. Dazu geben die auf den Seiten 8 – 11 erläuterten Piktogramme genaue Hinweise, welches Armband
welchen Tragegewohnheiten am besten entspricht.

The Rembordé technology invented, patented and continuously developed
further by HIRSCH, joins upper and lining leather without any seam. HIRSCH
bracelets are thus perfectly protected from external influences, highly resistant
to wear and very long-lasting.
Sweat is genuine leather’s biggest enemy! Conventional bracelets often
become brittle after a short while or break even! HIRSCH bracelets, however,
are sauna-tested. Even the combination of heat, moisture and perspiration
does not harm them. They stay in shape, remain supple and pleasant to wear.

Lederarmbänder, die man bis in 100 Metern Meerestiefe tragen kann, ohne

KautschukArmbänder werden zwar feucht, nehmen

HIRSCH No Allergy System
HIRSCH hat in Zusammenarbeit mit der 1. Wiener Universitätshautklinik bereits
1980 die Entwicklung einer No-Allergy-Beschichtung für Lederarmbänder
abgeschlossen. Das Ergebnis gilt als sensationell: Durch das von HIRSCH
mittlerweile weltweit eingesetzte No-Allergy-Coating können nach medizinischen Kriterien nahezu 100 % der Allergien, die durch das Tragen eines
Armbandes aus Leder ausgelöst werden können, verhindert werden.
Darüber hinaus werden von HIRSCH alle für das Armband verwendeten
Metallteile – insbesondere Schließen – ausschließlich nickelfrei angeboten.

HIRSCH Premium Kautschuk gilt als das beste Rohmaterial für funktionelle

Lederarten stammen zumeist aus italienischen Gerbereien rund um das
kleine Städtchen Santa Croce, in der Toskana, wo bis zum heutigen Tage
althergebrachte Verfahren der Herstellung und Haltbarmachung von Leder
zur Anwendung gelangen. Diese über Jahrhunderte kultivierte Kunst der
Lederveredelung und die Erfahrung von HIRSCH in der Fertigung

HIRSCH 100 m Water-Resistant bracelets may get moist, but thanks to the
HIRSCH Rembordé technology and water-resistant padding material made
from leather fibre they absorb significantly less water and dry much more
quickly than bracelets made from conventionally tanned leather.
Perfect alligator effect – the alternative to genuine alligator! A very special
embossing process creates the natural Louisiana alligator grain on particularly
fine calf skin. The characteristic alligator grain effect is achieved with the
variation of dark and light shades between the scales.

HIRSCH No Allergy System
In 1980 – as a result of its cooperation with the 1st Vienna University Clinic for
Dermatology – HIRSCH concluded the development of a No-Allergy coating
for leather bracelets. The result is sensational: With the No-Allergy coating
used by HIRSCH worldwide, nearly 100% of allergies caused by wearing
leather bracelets, can be prevented following medical criteria.
In addition, all metal parts of the bracelet – and the buckles in particular – are
nickel-free.
HIRSCH Aloe Vera
HIRSCH Aloe Vera bracelets are a veritable world novelty. The lining leather of
the bracelets is treated with the pure sap of aloe vera; these bracelets gently
caress their wearers’ skin while soothing it with the essences of aloe vera at the
same time.

HIRSCH Premium Caoutchouc is considered to be the best material for
functional bracelets anywhere! Only high-quality natural caoutchouc is
used and refined with HIRSCH-specific additives. The material guarantees a

caoutchouc bracelets are highly elastic, tear resistant, gentle on the skin (no

ist es allerdings, auch wenn es durch traditionelle Verfahren haltbar gemacht
wird, Umwelteinflüssen und damit einem Alterungsprozess ausgesetzt.
Leather is one of the noblest and at the same time most versatile materials.
Man has been using it for thousands of years. As a natural product, leather is,
however, subject to environmental influences and thus to an ageing process –
even when treated with traditional procedures to make it durable.
Die von Hans Hirsch patentierte Produktionstechnologie des Rembordierens
- also die fugenlose Verbindung von Ober- und Futterleder - garantiert
jedoch einen Qualitätsstandard, für den die HIRSCH Lederarmbänder
inzwischen weltweit bekannt sind. Diese HIRSCH Qualität erfüllt viele
physikalische Notwendigkeiten, wie besondere Zugfestigkeit, Geschmeidigkeit,

tanning agents and thus reduce the bracelet’s quality.

Um die Lebensdauer Ihres Armbandes zu verlängern, sollten Sie es daher
regelmäßig pflegen. Dazu säubern Sie das Armband am besten unter
lauwarmem, fließendem Wasser und trocknen es danach mit einem Baumwolltuch. Oder lassen Sie es ganz einfach an Ihrer Hand trocknen.
Beachten Sie bitte: Die für HIRSCH-Armbänder verwendeten Leder sind
so ausgewählt, dass kein Nachfetten, wie zum Beispiel bei Schuhleder,
erforderlich ist. Gerade das Einfetten des Armbandes mit Schuhcreme oder
anderen Lederfetten kann unerwünschte chemische Reaktionen mit den
Gerbstoffen hervorrufen und damit zu einem Qualitätsverlust führen.
Protect your bracelet and give it a long life!
Regular care of your bracelet can extend its life. Rinse the bracelet under
lukewarm running water and then dab off the water with a cotton cloth. Or let
the bracelet dry on your wrist.
Please note. The hides used for HIRSCH bracelets do not require any
application of grease – such as shoe cream, for example. Using shoe cream
or dubbin on your bracelet may trigger undesired chemical reactions with the
tannins which could lead to a loss of quality.

The “Precious Leathers” category offers a carefully selected range of precious,
exotic leathers, such as alligator, crocodile, lizard or ostrich – all of them
symbolising wealth and prestigious status and very popular in the world of
luxury.
Viele dieser Materialien (Alligator, Krokodil und Eidechse) unterliegen der
CITES (Convention on International Trade in Endangered Species of Wild
Fauna and Flora) Konvention, dem Washingtoner Artenschutzabkommen,
was bedeutet, dass diese Leder aus Farmbeständen stammen und dort unter
strenger, ständiger Kontrolle staatlicher Behörden gezüchtet werden und so
zur Erhaltung der Wildbestände beitragen.
Many of these materials (alligator, crocodile and lizard) are covered by the
CITES (Convention on International Trade in Endangered Species of Wild
Fauna and Flora), also known as Washington Convention, which means that
these leathers come from farmed animals bred under permanent, strict control
of official authorities and preserve the wild species.

These materials have a natural surface structure which is accentuated further
by the craftsmanship and finishing applied by HIRSCH. Since all of these
materials are unique, each leather has its very own character, such as a specific

Für die Lebensdauer und den Tragekomfort eines Armbandes ist es
entscheidend, das bestmögliche Futterleder zu verwenden. Durch den direkten
Hautkontakt ist das Armband ständig Umwelteinflüssen, wie Feuchtigkeit und
Transpiration ausgesetzt. Diese Faktoren verursachen eine „Entgerbung“ des
Leders und lassen es spröde und brüchig werden.
It is important to use the best lining leather to ensure longevity of a bracelet
and to make it pleasant on the skin. Directly touching the skin, the bracelet
is always subject to perspiration and other external influences. These factors
cause a “de-tanning” of the leather, leaving it frail and brittle.
HIRSCH verwendet deshalb speziell ausgewählte und besonders hautfreundlich entwickelte, wasser- und perspirationsresistente Futterleder (hautfreundlich
gegerbt und gefärbt), um sowohl die Ästhetik, als auch den Tragekomfort des
Armbandes über die gesamte Lebensdauer gewährleisten zu können.
HIRSCH uses carefully selected and particularly skin-friendly, water- and
perspiration-resistant lining leathers (tanned and coloured in a way to make
them gentle on the skin). The visual appeal and wearing comfort of the

alligator skin is used, brushed by hand in a sophisticated process to create
its silky shine. Another sign of the high-quality craftsmanship is the elegant
two-tone effect, the contrast between dark and light shades of scales and the
lower parts of the scales that is achieved through brushing.

A special procedure makes the high-quality alligator skin durable (hydrophobic

natural surface structure and colour highlighting the unique character of

Zwei-Ton-Effekt entsteht durch den anschließenden,
händischen Auftrag einer dunkleren Farbnuance an
den erhabenen Stellen des Leders. Ein abschließender, manueller Arbeitsschritt eines besonders
erfahrenen Gerbermeisters verleiht dem Armband
seinen zarten Glanz. Siena ist eine HIRSCH Referenz
an die alte italienische Handwerkskunst.
Original Tuscan leather from Pisa, produced and
finished to an age-old process. The upper leather
is tanned traditionally using pure vegetable lye and
barrel dyed down to the fibre. The characteristic
two-tone effect is achieved by applying the darker
colour shade to the raised areas of the leather in
a hand finishing process. The bracelet is given its
incomparable delicate gleam in a final manual
process entrusted to an especially experienced
tanner master. Siena is a HIRSCH reference to the
secrets of an age-old Italian craft.

Principle and benefits
When it comes to presenting the bracelet as a high-quality,
valuable accessory and to bringing it out of the darkness
and into the light of the sales area, HIRSCH has always been
an innovator and pioneer. The new, revolutionary display
generation takes the presentation of bracelets to the next
level: Sette is interactive, i.e. it guides the customer through
the range of HIRSCH bracelets – precisely as a shop assistant
does in a sales consultation.
Significantly higher stock throughput, distinctly higher average price: the most profitable 0.15 m² in the entire shop!
Sette is available in 5 versions:
Settessimo, Doppia Sette, Settecento, Combi Sette and
Wall Sette (for installation on the wall).
Depending on the model version, the displays have 7 to 14
leaf-through trays (Settimi) secured against theft. The trays
are easy to maintain, exchange or take out to present to the
customer.
The Settecento and Combi Sette models also have trays for
storage.

Geltung und Rechtsverbindlichkeit:
Nachstehende Bedingungen beziehen sich auf alle von uns angenommenen und ausgeführten Aufträge und gelten mit Erteilung
des Auftrages vom Vertragspartner anerkannt und rechtsverbindlich, auch dann, wenn entgegenstehenden Bedingungen von uns
nicht ausdrücklich widersprochen werden sollte.
Soweit bei Abschluss eines Vertrages nicht ausdrücklich schriftlich, fernschriftlich, durch Telekopie oder E-mail etwas anderes
vereinbart wird, stellen die nachstehenden Bedingungen einen ergänzenden Bestandteil jedes zwischen uns als
Verkäufer/Lieferant und unseren Kunden als Vertragspartner abgeschlossenen Vertrages dar.
Unsere Bedingungen haben jedenfalls Vorrang vor eventuellen Allgemeinen Geschäftsbedingungen bzw. Einkaufsbedingungen
des Vertragspartners.
Änderungen und/oder Ergänzungen dieser Allgemeinen Verkaufs- und Lieferbedingungen oder von diesen abweichende Zusagen
bedürfen zu ihrer Rechtswirksamkeit der schriftlichen, fernschriftlichen, telekopierten oder per E-mail, die gem. Signaturgesetz
versandt wird, firmenmäßig gefertigten Bestätigung.
Angebot und Vertragsabschluss:
Sämtliche Angebote sind freibleibend, wenn nicht ausdrücklich eine andere Vereinbarung von uns eingegangen wird und werden grundsätzlich schriftlich erteilt.
Der Vertrag gilt als abgeschlossen, wenn wir eine schriftliche Annahmeerklärung (auch mittels Fax, E-mail in Form einer PDFDatei) in der Form einer Auftragsbestätigung abgegeben haben.
Die in Katalogen, Prospekten, Rundschreiben, Anzeigen, Abbildungen, Preislisten und dgl. enthaltenen Angaben über die Produkte
sind nur maßgeblich, wenn in der Auftragsbestätigung ausdrücklich auf sie Bezug genommen wird.
Die nachträgliche Berichtigung jedweder Irrtümer bleibt vorbehalten.
Zur Ausführung der bestellten Leistungen sind wir frühestens verpflichtet, sobald alle technischen, vertraglichen und verpackungstechnischen Einzelheiten geklärt sind und der Vertragspartner seine Verpflichtungen erfüllt und die rechtlichen
Voraussetzungen zur Ausführung geschaffen hat.
Leistungsausführung, Lieferfristen und Termine:
Der Liefertermin gilt mit der Versandbereitschaftsmeldung als eingehalten und erfolgt, auch wenn der Versand ohne unser oder
des Lieferwerkes Verschulden nicht oder nicht rechtzeitig erfolgen kann.
Feste Liefertermine bedürfen einer separaten Vereinbarung.
Im Falle der Überschreitung eines Liefertermins bzw. einer Lieferfrist können wir in keiner Art wegen entstandenem Schaden
oder Gewinnentgang haftbar gemacht werden.
Können Liefertermine bzw. Lieferfristen aus Gründen, die der Vertragspartner zu vertreten hat (zB verspätete Klärung von
Einzelheiten, verspäteter Eingang von Unterlagen, usw.), nicht eingehalten werden, so verschiebt sich der Liefertermin bzw. der
Beginn der Lieferfrist um die Zeit, um die sich der Vertragspartner verspätet hat zuzüglich 4 Wochen. Zur Durchführung von Teiloder Vorlieferung sind wir jedenfalls berechtigt.
Der Vertragspartner hat für den Fall eines von uns zu verantwortenden Verzuges uns eine angemessene Nachfrist einzuräumen.
Erst nach fruchtlosem Ablauf derselben ist er berechtigt, vom nichterfüllten Teil des Auftrages zurückzutreten, es sei denn, dass
die Ware bis zum Ablauf der Nachfrist versandbereit gemeldet ist.
Dies gilt insbesondere, wenn die Ware bei Qualitätskontrollen durch unabhängige Institute Mängel feststellen oder durch sonstige exekutive Maßnahmen (wie zB Beschlagnahme durch den Zoll) wir gehindert sind fristgerecht zu liefern und diese
Maßnahmen nicht durch uns verschuldet oder verursacht worden sind.
Nimmt der Vertragspartner die vertragsgemäß bereitgestellte Ware nicht am vertraglich vereinbarten Ort oder zum vertraglich
vereinbarten Zeitpunkt an, so ist unsere Leistung als erfüllt anzusehen und ist die Verzögerung nicht durch eine Handlung oder
Unterlassung unsererseits verschuldet, so können wir entweder Erfüllung verlangen oder unter Setzung einer Nachfrist zur
Annahme vom Vertrag zurücktreten.
Lieferung:
Wenn nichts anderes vereinbart, gilt die von uns erbrachte Lieferung als ”ab Werk” verkauft und unsere Leistung als erfüllt. Unter
Ausschluss jeder Haftung steht uns die Wahl der Versandwege und Beförderungsmittel frei (Lieferung auf Gefahr des
Vertragspartners).
Ereignisse höherer Gewalt (Pkt. 14.) berechtigen uns, die Ausführung der Aufträge für die Zeit der Behinderung hinauszuschieben, ohne dass dem Vertragspartner ein Anspruch auf termingerechte Lieferung oder Schadenersatz zusteht.
Produktionstechnisch bedingte Mehr- oder Minderlieferungen werden vom Vertragspartner akzeptiert und begründen keine mangelhafte Lieferung.
Der Vertragspartner ist berechtigt bis maximal 4 Wochen nach Rechnungsdatum von uns einen Liefernachweis zu verlangen.
Später angeforderte Liefernachweise werden von uns nicht zur Verfügung gestellt und gilt die Ware dem Vertragspartner als
zugegangen und ist der Rechnungsbetrag fällig.
Übergabe und Übernahme:
Nutzung und Gefahr und Zufall gehen grundsätzlich mit Abgang der Lieferung ab Werk (Erfüllungsort) auf den Vertragspartner
über, außer es ist im Einzelfall (zB durch INCOTERMS) etwas Anderes ausdrücklich vereinbart.
Versenden wir auf Verlangen des Vertragspartners die verkaufte Ware an einen anderen Ort als dem vereinbarten Erfüllungsort,
so gehen Gefahr und Zufall, wenn nichts Anderes vereinbart (siehe Pkt. 4.1.), auf den Vertragspartner über, sobald wir die Ware
dem Spediteur, dem Frachtführer, der sonst zur Ausführung der Versendung bestimmten Person oder dem Unternehmen zur
Verfügung gestellt haben.
Ansprüche gegen uns wegen nicht rechtzeitiger Lieferung auf Leistung von Schadenersatz und entgangener Gewinn einschließlich handelsüblicher Abweichungen in Farbe und Muster oder bei Massensendungen (siehe Pkt. 12.2.) werden ausgeschlossen.
Preise:
Die Preise verstehen sich netto ohne jeden Abzug und gelten, wenn nichts anderes vereinbart, ”ab Werk” ohne Verpackung, ohne
Verladung und ohne Transportkosten.
Mehrkosten einschließlich Transportkosten (Cites Kosten), die durch eine bestimmte vom Vertragspartner gewünschte
Versendungsart entstehen, gehen in jedem Fall zu Lasten des Vertragspartners.
Nebenkosten, wie etwa öffentliche Abgaben, Zoll, Abschöpfungsbeträge, Ein- und Ausfuhrsteuern und Gebühren gehen, wenn
nichts anderes angeführt oder vereinbart, zu Lasten des Vertragspartners.
Die in Bestellungen verwendete Bezeichnung ”wie gehabt” u.ä. bezieht sich nur auf die Ausführung unserer Leistung, nicht
jedoch auf Preise und Nebenkosten.
Für Rücknahme und/oder Entsorgung von Verpackungsmaterial und Batterien sind wir berechtigt anfallende Kosten zusätzlich in
Rechnung zu stellen. Entsorgungsbeiträge sind von Rabatt- und Skontoregelung ausgeschlossen.
Werkzeugkosten gehen zu Lasten des Vertragspartners. Die entsprechenden Werkzeuge werden von der Firma Hirsch ausschließlich für die Fertigung der Aufträge des Vertragspartners verwendet. Die Werkzeuge verbleiben aber im Eigentum der Firma
Hirsch.
Zahlung:
Für Zahlungen an uns gilt als Erfüllungsort Klagenfurt.
Zahlungen sind, wenn nichts anderes vereinbart, nach Rechnungslegung netto, sowie unter Ausschluss jedes Rechtes des
Vertragspartners auf Zurückbehaltung oder Aufrechnung mit von uns nicht ausdrücklich schriftlich anerkannten
Gegenansprüchen unverzüglich zu leisten.
Bei Preisstellung in Hartwährung (Euro, USD, GBP, sfr) sind bei Zahlungsverzug 10 %, bei Preisstellung in allen anderen
Währungen 20 % p.a. an Verzugszinsen zu bezahlen. Weiters sind alle Mahn-, Inkasso-, Erhebungs- und Auskunftskosten und
die Kosten eines von uns beigezogenen Rechtsanwaltes zu ersetzen.
Zahlung mit Wechsel bedarf unserer ausdrücklichen Zustimmung. Wechsel und Schecks werden nur vorbehaltlich des Einganges
des Gegenwertes als Zahlung akzeptiert.
Zahlungen werden, falls keine ausdrückliche Widmung erfolgt, auf die älteste offene Forderung angerechnet, bei einzelnen
Forderungen selbst zunächst auf Kosten, dann auf Zinsen und schließlich auf Kapital.
Zahlungen gelten an dem Tag als geleistet, an dem wir über sie in der vereinbarten Währung verfügen können.
Bei Nichteinhaltung der vereinbarten Zahlungsbedingungen oder bei Zahlungsverzug des Vertragspartners sind wir berechtigt,
eine Nachfrist zu setzen. Für den Fall, dass diese Nachfrist ungenützt verstreicht oder der Vertragspartner erklärt nicht zu zahlen, sind wir berechtigt, alle unsere Forderungen gegen den Vertragspartner sofort fällig zu stellen (Terminsverlust tritt ein), auch
wenn einige Forderungen noch nicht fällig sein sollten, weiters vom Vertrag zurückzutreten und/oder zusätzliche Sicherheiten zu
verlangen.
Vereinbarte Preisnachlässe (insbesondere Rabatte) gehen hiedurch verloren und sind wir berechtigt, den vollen Rechnungsbetrag
geltend zu machen. Davon unberührt bleibt unser Recht, unabhängig von einem Verschulden des Vertragspartners
Schadenersatz inklusive Ersatz aller im Zusammenhang mit den Verträgen, von denen wir in einem solchen Fall zurücktreten,
bereits getätigten Aufwendungen zu verlangen.
Bei Auftreten von Umständen, die Zweifel an der Kreditwürdigkeit des Vertragspartners aufkommen lassen, sind wir zudem
berechtigt, alle unsere Forderungen gegen den Vertragspartner sofort fällig zu stellen und von allen schwebenden Kauf- und/oder
Lieferverträgen zurückzutreten, sowie Schadenersatz wegen Nichterfüllung zu verlangen.
Im Falle des Verzuges des Vertragspartners sind wir auch zu einem Selbsthilfeverkauf nach handelsrechtlichen Bestimmungen
berechtigt.
Aus der Ausübung der unter diesem Punkt vorgesehenen Rechte können keine Verbindlichkeiten unsererseits gegenüber dem
Vertragspartner, insbesondere Schadenersatzansprüche gegen uns, entstehen.
Soweit der Vertragspartner seinen Sitz außerhalb Österreichs hat, ist er zur Einhaltung bzgl. der Regelung der Einfuhrumsatzsteuer der Europäischen Union verpflichtet. Hinzu gehören insbesondere Bekanntgabe der Umsatzsteueridentifikationsnummer
an uns ohne gesonderte Anfrage. Der Vertragspartner ist verpflichtet, auf Anfrage die notwendigen Auskünfte hinsichtlich seiner
Eigenschaft als Unternehmer, hinsichtlich der Verwendung und des Transport der gelieferten Ware, sowie hinsichtlich der statistischen Meldepflicht an uns zu erteilen.
Der Vertragspartner ist verpflichtet, jeglichen Aufwand, insbesondere eine Bearbeitungsgebühr – der bei uns aus mangelhaften
bzw. fehlerhaften Angaben des Kunden durch Einfuhrumsatzsteuer entsteht – zu ersetzen.
Eigentumsvorbehalt:
Die verkauften Waren bleiben bis zur vollständigen Bezahlung des Kaufpreises und sämtlicher unserer Nebenforderungen, wie
insbesondere Zinsen und Kosten, unser Eigentum. Der Eigentumsvorbehalt erstreckt sich auch auf die durch Verarbeitung oder
Verbindung entstehenden Erzeugnisse.
Die Forderungen des Vertragspartners aus der Weiterveräußerung der Vorbehaltsware werden in Höhe des Rechnungsbetrages
der Vorbehaltsware bereits mit Zustandekommen einzelner Verträge an uns abgetreten. Sie dienen in demselben Umfang zu
unserer Sicherung wie die Vorbehaltsware selbst. Der Vertragspartner ist trotz der Abtretung berechtigt, die abgetretenen
Forderungen treuhändig für uns einzuziehen. Im Fall des Zahlungsverzuges seines Vertragspartners ist unser Vertragspartner
verpflichtet, uns die Unterlagen zu übergeben, die zur Einziehung der abgetretenen Forderungen erforderlich sind und sind wir
berechtigt, die treuhänderische Einziehungsermächtigung unseres Vertragspartners zu widerrufen.
Solange unser Eigentumsrecht an der Vorbehaltsware besteht, ist der Vertragspartner verpflichtet, diese sachgemäß zu lagern
und auf seine Kosten zu unseren Gunsten vinkuliert gegen Verlust und Wertminderung, Feuer und Diebstahl, Lager- und
Wasserschäden versichert zu halten.
Der Vertragspartner ist verpflichtet, den Eigentumsvorbehalt anzeigende Buchvermerke vorzunehmen und uns Zugriffe Dritter
(insbesondere Pfändungen u.ä.) auf Vorbehaltsware oder abgetretene Forderungen unverzüglich bekannt zu geben. Ebenso ist
die Abtretung der Forderung des Vertragspartners an uns in geeigneter Form zu dokumentieren (wo dies der geeignete Modus
ist, durch Buchvermerk) und dem Kunden des Vertragspartners, spätestens bei Rechnungslegung an ihn, bekannt zu geben. Der
Vertragspartner hat in einem solchen Fall Dritte auf unsere Rechte hinzuweisen und uns sämtliche mit der Wahrung unserer
Rechte verbundenen Kosten inklusive allfälliger Anwaltskosten zu ersetzen.

Gewährleistung:
Die Gewährleistungsfrist beginnt mit dem Zeitpunkt des Gefahrenüberganges bis zu 6 Monate ab Lieferung.
Als Wiederverkäufer übernehmen wir nur die Gewährleistung nach Maßgabe des Haftungsumfanges des Herstellers,
Lieferwerkes und/oder Produzenten. Weitergehende Garantien und/oder Vergütungen werden von uns nicht übernommen.
Gewährleistung erfolgt für ausdrücklich bedungene Eigenschaften unserer Produkte oder für solche, die dabei gewöhnlich vorausgesetzt werden, nicht aber für die Eignung für bestimmte Verfahren oder Zwecke des Vertragspartners.
Gewährleistungsansprüche erlöschen jedenfalls sofort mit Weiterveräußerung, Weiterverarbeitung oder Reparatur durch den
Vertragspartner.
Rücksendungen übernehmen wir nur für uns kostenfrei, jedoch stets nur in Originalverpackung oder entsprechend sicherer
Ersatzverpackung. Sonderanfertigungen werden grundsätzlich nicht zurückgenommen.
Mängel:
Die von uns gelieferte Ware ist vom Vertragspartner unverzüglich nach Lieferung auf Mängel zu untersuchen und ist über allfällige Mängel sofort Anzeige an uns zu richten. Geheime Mängel sind unverzüglich nach Entdeckung anzuzeigen. Die Anzeige hat
schriftlich, fernschriftlich oder telegrafisch spätestens innerhalb von 8 Tagen nach Lieferung zu erfolgen (E-mail nur in PDFDatei).
Bei behebbaren Mängel der gelieferten Ware sind wir nach eigener Wahl berechtigt, Verbesserung, Austausch der Ware vorzunehmen oder Preisminderung zu gewähren.
Bei unbehebbaren Mängel sind wir nach eigener Wahl berechtigt, den Austausch der Ware oder Preisminderung anzubieten.
Darüber hinausgehende Ansprüche gegen uns, insbesondere Rechte auf Wandlung, Schadenersatz und/oder Ersatzvornahme,
sind ausgeschlossen.
Mängelrügen werden von uns nicht anerkannt, falls sich die Ware nicht am Befindungsort oder im Zustand der Ablieferung befindet.
Die gelieferten Produkte bieten nur jene Sicherheit, die aufgrund der Zulassungsvorschriften, Betriebs- und
Bedienungsanleitungen, Vorschriften des Produzenten, etc. und sonstigen gegebenen Hinweisen erwartet werden kann.
Markenrecht und gewerbliche Schutzrechte:
Der Name „Hirsch“ und „Hirsch-Armbänder“ sind eingetragene Marken und genießen Markenschutz.
Im Rahmen des üblichen Geschäftsverkehrs erteilen wir dem Kunden die Erlaubnis das eingetragene Markenzeichen Hirsch und
Hirsch-Armbänder im geschäftlichen Verkehr zu nutzen.
Jeder nachteilige Gebrauch unserer eingetragenen Warenmarke, Wortbildmarke und jede Verletzung des Markenrechtes führt zu
Schadenersatzansprüchen. Sämtliche eingetragenen und nicht eingetragenen Warenzeichen von Hirsch dürfen ohne unsere vorherige schriftliche Zustimmung weder in Werbematerialien oder anderen Veröffentlichungen im Zusammenhang mit der
Verbreitung von Informationen an Dritte verwendet werden.
Muster und Urheberrecht:
Die uns vom Auftraggeber zur Verfügung gestellten Muster sind Vorlagen und werden von uns nach bestem Wissen und
Gewissen umgesetzt. Dabei ist zu beachten, dass Leder ein Naturprodukt ist.
Wir haften daher nicht für Farbabweichungen bzw. Drucke und oder Eigenschaften, sofern diese Abweichungen in handelsüblicher Form geschehen und auch wenn sie nicht auf den gleichen technischen Unterlagen erfolgen wie die Mustervorlagen. Wir
haften für ordnungsgemäße Herstellung, nicht jedoch für die Richtigkeit der uns zur Verfügung gestellten Muster.
Hirsch ist alleiniger Eigentümer der von Hirsch entwickelten Displays (= Uhrarmbänderverkaufsständer) und der damit
zusammenhängenden Immaterialgüterrechte (Musterschutz, Markenschutz, Patente, etc.), des Know-how, des Designs, der
Technologie und der Technik dieser Displays.
Die von uns in Zusammenhang mit der Entwicklung und der Produktion der Displays entwickelte Technologie und das Knowhow sind für uns (Hirsch) weltweit geschützt. Diese Displays dürfen nur an den von uns bestimmten Orten in den
Geschäftsräumlichkeiten des Vertragspartners aufgestellt werden und müssen vom Vertragspartner ausschließlich und vollständig mit unseren Qualitätsprodukten, insbesondere mit Hirsch-Uhrarmbändern in Originalaufmachung, bestückt werden.
Für die Benützung der im Eigentum von uns verbleibenden Displays ist vom Vertragspartner ein einmaliges Benützungsentgelt
zu bezahlen, das mit der Übernahme der Displays durch den Vertragspartner zur Zahlung fällig ist.
Sollten diese Displays nicht vollständig und ausschließlich mit unseren Qualitätsprodukten bestückt sein, sind wir berechtigt,
diese Displays sofort einzuziehen und ist der Vertragspartner in solchen Fällen verpflichtet, die Displays unverzüglich an uns
zurückzustellen.
Im Falle der Beschädigung, des Verlustes und/oder des vereinbarungswidrigen Verwendens der Displays ist der Vertragspartner
zur Zahlung einer richterlich nicht mäßigbaren Konventionalstrafe im Betrag von EUR 500,00 verpflichtet. Die Geltendmachung
darüber hinausgehender Ansprüche bleibt uns vorbehalten.
Werden von Hirsch kundenspezifische Lösungen konstruiert, Pläne und Modelle entwickelt, sind diese geistiges Eigentum der
Firma Hirsch und dürfen nicht ohne ausdrückliche Zustimmung der Firma Hirsch anderen Produzenten zur Verfügung gestellt
werden. Insbesondere unterliegen patentierte Verfahren und mustergeschützte Designs, die als solche gekennzeichnet sind,
internationalen Schutzbestimmungen. Verstöße dagegen werden von der Firma Hirsch rechtlich verfolgt.
Haftung und Schadenersatz:
Wir haften nur für Schäden an den dem Vertragspartner gehörigen Gegenständen, die unmittelbar im Zuge der
Leistungsausführung erfolgt sind und die unsererseits durch grobes Verschulden oder Vorsatz verursacht wurden. Alle sonstigen
Ansprüche des Vertragspartners, insbesondere auf jeglichen weitergehenden Schadenersatz einschließlich allfälliger
Mangelfolgeschäden, sind ausgeschlossen.
Die von uns gelieferten Waren bieten nur jene Sicherheit, die aufgrund von Zulassungsvorschriften und sonstigen Hinweisen üblicherweise erwartet werden kann.
Für Mengen, Maße, Form und Ausführungen bleiben die handelsüblichen Spielräume (Leder ist ein Naturprodukt) stets vorbehalten.
Haftung für Fahrlässigkeit ist ebenso ausgeschlossen, wie der Ersatz von Folgeschäden und Vermögensschäden, sowie nicht
erzielte Ersparnisse. Zinsverluste und/oder Schäden aus Ansprüchen Dritter gegen den Vertragspartner sind ausgeschlossen.
Die Ersatzpflicht für nach Produkthaftungsgesetz (PHG) resultierende Sachschäden ist ausgeschlossen.
Im Falle der Verletzung der dem Vertragspartner aufgrund dieser Allgemeinen Verkaufs- und Lieferbedingungen auferlegten
Pflichten sowie bei unserer Inanspruchnahme im Hinblick auf Schäden, die durch solche Produkte herbeigeführt werden und die
vom Vertragspartner in Verkehr gebracht wurden, ist der Vertragspartner ohne Rücksicht auf Vorliegen von Verschulden jedenfalls verpflichtet, uns vollkommen schad- und klaglos (inklusive allfälliger Anwalt- und Prozesskosten) zu halten. Hat der
Vertragspartner hinsichtlich eines von uns gelieferten Produktes aufgrund der Bestimmungen des Produkthaftpflichtrechtes
einem Dritten Ersatz geleistet, sind Rückgriffsansprüche gegen uns jedenfalls ausgeschlossen.
Wir haften nur für von uns grob verschuldeten Schäden, an dem Vertragspartner gehörigen Gegenständen, die im Zuge der
Leistungsausführung zur Bearbeitung übernommen wurden. Alle sonstigen Ansprüche des Vertragspartners, insbesondere solche auf Ersatz jeglichen weitergehenden Schadens einschließlich der Mangelfolgeschäden sind ausgeschlossen, ausgenommen
uns trifft ein grobes Verschulden oder Vorsatz.
Für Verlust oder Beschädigung des Reparaturgegenstandes haften wir grundsätzlich, aber beschränkt sich diese Haftung auf die
Instandsetzung bzw. auf den Ersatz des Wertes des Reparatur- oder Liefergegenstandes. Für weitergehende Ansprüche haften
wir nur bei Vorsatz.
Höhere Gewalt:
Ereignisse höherer Gewalt, wie Streik, Roh- und Brennstoffmangel, Störung der Transporte u.ä., berechtigen uns, die Lieferung
um die Dauer der Behinderung und einer angemessenen Anlaufzeit hinauszuschieben oder vom Vertrag ganz oder teilweise
zurückzutreten. Daraus können keine Verbindlichkeiten unsererseits gegenüber dem Vertragspartner, insbesondere
Schadenersatzansprüche gegen uns, entstehen.
Der höheren Gewalt steht auch Nichtlieferung oder nicht rechtzeitige Lieferung unserer Lieferanten an uns gleich, sofern die
Ursache in nicht von uns zu vertretenden Gründen liegt.
Datenschutz:
Mit unserer Datenschutzinformation unterrichten wir unsere Vertragspartner über
- Art, Umfang, Dauer und Zweck der Erhebung, Verarbeitung und Nutzung der für die Ausführung von Bestellung sowie
Abrechnung erforderlichen personenbezogenen Daten;
- sein Widerspruchsrecht zur Erstellung und Verwendung seiner anonymisierten Nutzungsprofile für Zwecke der Werbung,
Marktforschung und zur bedarfsgerechten Gestaltung unseres Angebots;
- die Weitergabe von Daten an von uns Beauftragte und zur Beachtung der gesetzlichen Datenschutzbestimmung verpflichtete Unternehmen zum Zwecke und für die Dauer der Bonitätsprüfung sowie deren Versendung der Ware;
- das Recht auf unentgeltliche Auskunft seiner bei uns gespeicherten personenbezogenen Daten;
- das Recht auf Berichtigung, Löschung und Sperrung seiner bei uns gespeicherten personenbezogenen Daten;
Jede über Pkt. 15.1. hinausgehende Erhebung, Verarbeitung und Nutzung der personenbezogenen Daten bedarf der Einwilligung
des Vertragspartners. Der Vertragspartner hat die Möglichkeit diese Einwilligung vor Erklärung seiner Bestellung zu erteilen. Dem
Vertragspartner steht das Recht auf jederzeitigen Widerruf der Einwilligung mit Wirkung für die Zukunft zu.
Rücktritt vom Vertrag:
Vom Vertrag zurückzutreten sind wir berechtigt:
- wenn die Ausführung der Lieferung bzw. der Beginn oder die Weiterführung der Leistung aus Gründen, die der
Vertragspartner zu vertreten hat, oder trotz Setzung einer Nachfrist weiter verzögert wird;
- wenn Bedenken hinsichtlich der Zahlungsfähigkeit des Vertragspartners gegeben sind und dieser auf unsere Aufforderung
hin weder Vorauszahlung leistet, noch vor Lieferung eine taugliche Sicherheit beibringt (siehe Pkt. 7.7.);
- wenn die Verlängerung der Lieferfrist wegen der oben angeführten Umstände, insgesamt mehr als die Hälfte der ursprünglich vereinbarten Lieferfrist, beträgt.
Der Rücktritt kann auch hinsichtlich eines noch offenen Teiles der Lieferung und Leistung aus obigen Gründen erklärt werden.
Falls über das Vermögen einer Vertragspartei ein Insolvenzverfahren eröffnet oder ein Antrag auf Einleitung eines
Insolvenzverfahrens mangels hinreichenden Vermögens abgewiesen wird, ist die andere Vertragspartei berechtigt, ohne Setzung
einer Nachfrist, vom Vertrag zurückzutreten.
Unbeschadet unserer Schadenersatzansprüche sind im Falle des Rücktritts vom Vertrag bereits erbrachte Leistungen oder
Teilleistungen abzurechnen und zur Zahlung fällig.
Dies gilt auch, soweit die Lieferung und Leistung vom Vertragspartner noch nicht übernommen wurde und/oder für von uns
bereits erbrachte Vorleistungen. Es steht uns aber auch das Recht zu, die Rückstellung bereits gelieferter Gegenstände zu verlangen.

Gerichtsstand:
Gerichtsstand für alle Streitigkeiten ist Klagenfurt.

18.1.
Rechtsanwendung:
Auf alle Kauf- und Leistungsverträge findet ausschließlich österreichisches Recht Anwendung.
19.
19.1.
Sonstiges:
Sollten einzelne Bestimmungen des Vertrages oder dieser Allgemeinen Bedingungen ganz oder teilweise unwirksam sein, so
bleiben die übrigen Bestimmungen wirksam. Die Vertragspartner verpflichten sich im Falle der Teilunwirksamkeit die unwirksamen Bestimmungen durch Bestimmungen, die dem Zweck der unwirksamen Bestimmung möglichst entsprechen, zu ersetzen.
Für den Fall, dass Verträge oder die Allgemeinen Verkaufs- und Lieferbedingungen von uns in der deutschen Sprache und einer
anderen Sprache abgefasst werden, gehen die Bestimmungen in deutscher Sprache vor. Für Verträge in englischer Sprache gelten unsere AGB in englisch.

Applicability and binding effect:
The following terms and conditions shall apply to all orders accepted and fulfilled by us and shall be deemed accepted by the
contracting party and legally binding upon placing of the order even if we do not expressly object to conflicting terms and
conditions.
Unless specifically agreed otherwise in writing, by telex or fax, telecopy or e-mail upon conclusion of a contract, the following
terms and conditions shall constitute a supplementary part of each contract concluded between us as seller/supplier and our
customers as contracting party.
Our terms and conditions shall in any case prevail over general terms and conditions and/or general terms and conditions of
purchase, if any, of the contracting party.
Modifications of and/or amendments to these General Terms and Conditions of Sale and Delivery or promises differing from the
same shall require confirmation in writing, by telex or fax, telecopy, or by e-mail sent in accordance with the Signature Act
[Signaturgesetz] and duly signed in order to be legally binding.
Offer and Conclusion of Contract:
Any and all offers shall be non-binding unless expressly agreed otherwise by us and shall, as a matter of principle, be placed in
writing.
A contract shall be deemed concluded upon our issuance of a written declaration of acceptance (also by fax, or e-mail as a pdf
file) in the form of an order confirmation.
The product data contained in catalogues, brochures, mailings, advertisements, illustrations, price lists and the like shall only be
relevant if explicitly referred to the order confirmation.
We reserve the right to subsequently correct any mistakes and/or errors.
We shall be obliged to render the ordered services once all technical, contractual and packaging details have been clarified and
the contracting party has fulfilled its obligations and has brought about the legal prerequisites for performance.
Performance, delivery periods and dates:
The delivery date shall be deemed observed upon issuance of a notice that the ordered goods are ready for shipment even if
dispatch is not or not timely possible with no fault of ours or of the supplier factory.
Fixed delivery dates shall be subject to separate agreement.
In case that a delivery date or delivery period is exceeded we shall not be held liable in any way for any damage suffered or profit
lost.
If delivery dates or delivery periods cannot be complied with for reasons for which the contracting party is responsible (e.g. late
clarification of details, late receipt of documents and the like), the delivery date or commencement of the delivery period shall be
postponed by the period of time the contracting party is in delay plus four weeks. We shall in any case be entitled to carry out
partial or advance deliveries.
In case of a delay for which we are responsible, the contracting party shall have to grant us a reasonable grace period. Only after
an unsuccessful expiration of such period shall the contracting party be entitled to rescind the unfulfilled part of the order, unless
the goods have been notified to be ready for shipment before expiration of the grace period.
This shall, in particular, apply if independent institutes identify defects of the goods or we are hindered to timely deliver the goods
due to other executive measures (such as, e.g., seizure by customs authorities) and such measures that have not been caused
by us and are not due to our fault.
If the contracting party fails to accept the goods made available in accordance with the contract at the place agreed in the contract
or at the time contractually agreed, our performance shall be deemed rendered; and if the delay has not been caused by an act
or omission on our part, we may either claim performance or rescind the contract after having granted a reasonable grace period
for acceptance.
Delivery:
Unless otherwise agreed, the delivery made by us shall be deemed sold "ex works" and our performance shall be deemed
rendered. We shall be free to choose the route and means of transport (delivery at the risk of the contracting party) and any liability
shall be excluded.
Events of force majeure (Article 14.) shall entitle us to delay performance of orders for the duration of the impediment without
the contracting party being entitled to timely delivery or damages.
Excess or short deliveries due to production technology shall be accepted by the contracting party and shall not be considered
inadequate delivery.
The contracting party shall be entitled to demand of us evidence of delivery until four weeks after the invoice date. Evidence of
delivery requested later on shall not be provided by us and the goods shall be deemed received by the contracting party and the
invoiced amount shall be deemed due.
Delivery and acceptance
As a matter of principle, benefit, risk and accident shall pass to the contracting party upon dispatch of the shipment "ex works"
(place of performance) unless expressly agreed otherwise on a case-by-case basis (e.g. by INCOTERMS).
In case we ship the sold goods to a different place than the agreed place of destination at the request of the contracting party, risk
and accident shall pass to the contracting party as soon as we have made available the goods to the freight forwarder, carrier or
to the other person or undertaking commissioned to ship the goods unless otherwise agreed (Clause 4.1.).
Claims vis-à-vis us for performance or damages or lost profit including deviations in colour and design which are customary in
trade that are raised on grounds of failure to timely deliver the goods or in case of mass shipments (see Clause 12.2) shall be
excluded.

Prices:
Prices shall be net without any deductions and, unless agreed otherwise, shall be considered "ex works" exclusive of packaging,
loading, and transportation costs.
Additional costs including transportation costs (CITES costs) which arise from a specific mode of shipment requested by the
contracting party shall in any case be borne by the contracting party.
Ancillary costs, such as official charges, customs duties, price-adjustment levies, import and export duties and fees shall be borne
by the contracting party unless otherwise stated or agreed.
The term "as before" ["wie gehabt"] and other similar terms used in orders shall only refer to the workmanship of our performance
but not to prices and ancillary costs.
We shall be entitled to additionally invoice costs of taking back and/or disposing of packaging material and batteries. Waste
disposal charges shall be excluded from regulations concerning rebates or cash discounts.
Tool costs shall be borne by the contracting party. The relevant tools will be used by Hirsch exclusively for execution of the orders
placed by the contracting party. However, the tools shall remain the property of Hirsch.
13.5.
Payment:
The place of performance concerning payment to us shall be Klagenfurt.
Unless otherwise agreed, payments shall be made immediately upon issuance of the invoice without deductions and excluding
any right of the contracting party to retention or offsetting against any counterclaims which we have not expressly accepted in
writing.
In case the price is stated in hard currency (EUR, USD, SFR), default interest in the amount of 10% shall be payable for delay in
payment, in case of all other currencies, default interest in the amount of 20% p.a. shall be payable. In addition, we shall be
reimbursed for all costs of dunning, collection, investigation and obtaining of information, as well as, the costs of legal counsel
called in by us.
Payment by bill of exchange shall be subject to our express consent. We shall accept bills of exchange and cheques as payment
only subject to receipt of the counter-value.
Unless a special purpose is indicated, payments shall be credited to the oldest outstanding account receivable; for each individual
claim payments shall be credited first to costs, then to interest and finally to principal.
Payment shall be deemed made at the date at which we are able to dispose of the same in the agreed currency.
In case of non-compliance with the agreed terms of payment or in case of delay in payment by the contracting party, we shall be
entitled to grant a grace period. In case of an unsuccessful expiration of such grace period or in case the contracting party declares
not to pay, we shall be entitled to declare all claims vis-à-vis the contracting party due for immediate payment (acceleration
occurs) even if some claims are not yet due; furthermore, we may rescind the contract and/or request additional security.
Agreed price reductions (in particular, discounts) shall lose their validity thereby and we shall be entitled to claim the full
invoice amount. Our right to claim damages including reimbursement of all expenses already incurred in connection with the
contracts which we rescind in such a case, independent of whether the contracting party is at fault or not, shall not be affected
thereby.
In case circumstances occur due to which doubts regarding the creditworthiness of the contracting party arise, we shall, in
addition, be entitled to declare all our accounts receivable due for immediate payment and to rescind all pending purchase and/or
supply contracts as well as to claim damages on grounds of non-performance.
In case of delay on the part of the contracting party we shall also be entitled to a self-help sale in accordance with the provisions
of commercial law.
From exercise of our rights provided for in this Clause, no liabilities on our part vis-à-vis the contracting party, in particular, no
claims for damages vis-à-vis us, shall arise.
If the contracting party's registered office is situated outside of Austria, the contracting party shall be obliged to comply with EU
regulations on turnover tax on imports. This shall include, but not be limited to advising the VAT number to us without separate
request. The contracting party shall be obliged, upon our request, to provide us with the necessary information on its capacity as
entrepreneur, on use and transport of the goods delivered, as well as, regarding the obligation to submit data for statistical
purposes.
The contracting party shall be obliged to reimburse us for any expenses, in particular for handling charges, which are incurred by
us due to insufficient or incorrect information provided by the customer in connection with turnover tax on imports.
14.
14.1.
Retention of title:
Until full payment of the purchase price and of all of our ancillary claims, in particular, interest and costs, the sold goods shall
remain our property. Retention of title shall extend also to by-products resulting from processing
Claims of the contracting party under a resale of goods the title to which is retained shall be assigned to us in the amount of the
invoice for the goods subject to retention already upon conclusion of individual contracts. They shall serve as a security for us to
the same extent as the goods the title to which is retained. Despite such assignment, the contracting party shall be entitled to
collect the assigned accounts receivable for us in escrow. In case of delay in payment of his contracting party, our contracting
party shall be obliged to make available to us the documents necessary for collection of the assigned claims and we shall be
entitled to revoke our contracting party's power to collect claims in escrow.
As long as we retain title to the goods, the contracting party shall be obliged to store them properly and to maintain insurance
against loss and depreciation, fire and theft, storage damage and water damage and to restrict transferability of such insurance
policy in our favour.
The contracting party shall be obliged to make entries into the books which show the retention of title and to notify us of
third-party seizure (in particular, attachments and the like) to goods the title to which is being retained or to assigned
accounts receivable without delay. Likewise assignment of accounts receivable of the contracting party from us shall also
be documented in an appropriate form (if appropriate, by means of an entry into the books) and notified to the customer of
the contracting party not later than upon issuance of the invoice. In such a case, the contracting party shall be obliged to
notify third parties of our rights and reimburse us all costs related to safeguarding our rights, including costs for legal counsel,
if applicable.

Warranty:
The warranty period shall commence at the time the risk passes until six months after delivery.
As resellers, we shall only warrant to the extent of the scope of liability of the manufacturer, supplier factory and/or producer.
We shall not assume any further warranties and/or compensations.
Warranty shall apply to expressly ordered qualities of our products or qualities usually assumed, but shall not extend to specific
procedures or purposes of the contracting party.
Warranty claims shall in any case expire immediately upon resale, further processing or repair by the contracting party.
We shall only accept returns if they are free of charge for us and are either in the original packaging or a correspondingly safe
substitute packaging. As a matter of principle, customised products shall not be taken back.
Defects:
The goods delivered by us shall immediately upon delivery be inspected by the customer for defects and any defects identified
shall be notified to us immediately. Such notice shall be made in writing, by telex or fax or telegram not later than 8 days after
delivery (by e-mail only as a pdf file).
In case defected goods are delivered which can be repaired we may, at our option, either improve or replace the goods or grant
a price reduction.
In case of irreparable defects we may, at our option, offer either replacement of the goods or a price reduction. Any further claims
against us, in particular rights to cancellation of contract, damages and/or substitute performance shall be excluded.
We shall not accept any notices of defects if the goods are not at their place of destination or in the state of dispatch.
The products delivered shall only offer the degree of security which may be expected on the basis of licensing provisions,
operating manuals, regulations of the manufacturer, etc. and other information given.
Trademarks and industrial property rights:
The names "Hirsch" and "Hirsch-Armbänder" are registered trademarks and are subject to trademark protection.
In connection with ordinary business transactions we grant the customer permission to use the registered trademarks Hirsch and
Hirsch-Armbänder in business.
Any detrimental use of our registered trademark and/or word-picture mark (logo), and any infringement of our trademark right
shall result in claims for damages on our part. No trademarks of Hirsch, be they registered or not registered, shall be used in
advertising materials or other publications in connection with distribution of information to third parties without our prior written
consent.
Samples and copyright:
The samples provided to us by the customer are models and we shall realise the same to the best of our knowledge and belief.
In this respect, we would like to point out that leather is a product of nature.
Consequently, we shall not be liable for any differences in colour and/or print or for particular properties, provided that such
differences occur in a form that is customary in trade and even if they do not occur on the basis of the same technical documents
as the models. We shall be liable for proper manufacturing, but not for the correctness of the samples provided to us.
Hirsch is the sole owner of the displays (wristwatch strap sales displays) developed by Hirsch and the pertaining intellectual
property rights (protection of registered designs, trademark protection, patents, etc.), of the know-how, design, technology and
technique of the said displays.
The technology developed by us in connection with the development and production of the displays, as well as, the know-how is
protected for us (Hirsch) on a worldwide basis. The said displays may only be put up on the premises of the contracting party at
the place determined by us and must be equipped by the contracting party fully and exclusively with our high-quality products,
in particular with Hirsch wristwatch straps in original design.
A one-off fee for use of the displays, which shall remain our property, shall be paid by the contracting party, which shall be due
for payment upon acceptance of the displays by the contracting party.
If such displays are not fully and exclusively equipped with our high-quality products, we shall be entitled to immediately collect
the said displays and in this case, the contracting party shall be obliged to immediately return the said displays to us.
In case of damage to, loss of and/or use of the displays not in accordance with the agreement the contracting party shall be
obliged to pay a contractual penalty in the amount of EUR 500, which shall not be subject to a judicial right of reduction. We
reserve the right to assert any claims exceeding the aforementioned amount.
If Hirsch constructs customised solutions or develops plans and/or models, they shall be intellectual property of Hirsch and may
not be made available to other manufacturers without Hirsch's express consent. In particular, patented processes and protected
designs, which are marked as such, shall be subject to international protection regulations. Hirsch shall take legal action for
infringement thereof.
Liability and damages:
We shall only be liable for damage to items belonging to the contracting party which has occurred directly in the course of
performance and which was caused by us by gross negligence or intent. Any other claims of the contracting party, in particular
for any additional damages, including any consequential damage caused by a defect, shall be excluded.
The products delivered by us shall only offer the degree of security which may usually be expected on the basis of licensing
provisions and other information.
The right to tolerances customary in trade with regard to quantities, measurements, form and design (leather is a product of
nature) shall always be reserved.
Both liability for negligence and compensation for consequential damage and pecuniary loss, as well as, compensation for savings
not made or lost interest and/or for damage due to third-party claims vis-à-vis the contracting party shall be excluded.
The obligation to compensate for property damage according to the Product Liability Act [Produkthaftungsgesetz/PHG] shall be
excluded.
In case of non-fulfilment of obligations imposed on the contracting party under these General Terms and Conditions of Sale and
Delivery as well as in case we are held liable with regard to damage caused by such products which have been put into the market
by the contracting party, the contracting party shall in any case be obliged, irrespective of fault, to fully indemnify and hold us
harmless (including any costs of legal counsel or proceedings). If the contracting party has paid compensation to a third party
under product liability law with regard to a product delivered by us, any right of recourse to us shall be excluded.
We shall only be liable for damage to items which belong to the contracting party and were taken over by us in the course of
performance for processing and if such damage was caused by gross negligence on our part. Any other claims of the contracting
party, in particular claims for compensation for any further damage, including consequential damage caused by a defect, shall be
excluded except for cases of gross negligence or intent on our part.
We shall, in principle, be liable for loss of or damage to an item to be repaired by us, however such liability shall be limited to
repair and/or compensation for the value of the item to be repaired or the delivery item. We shall be liable for further claims only
in case of intent.
Force majeure:
Upon occurrence of events of force majeure, such as strike, lack of raw materials or fuel, disturbance of transports and the like,
we shall be entitled to postpone shipment for the duration of the impairment and a reasonable start-up period, or to rescind the
contract in whole or in part. This shall not give rise to any liabilities on our part vis-à-vis the contracting party, in particular not to
claims for damages vis-à-vis us.
Non-delivery or not timely delivery by our suppliers shall rank equal to force majeure provided that the cause lies not within our
scope of responsibility.
Data protection:
By means of our data protection information we shall inform our contracting parties about
- the nature, scope, duration and purpose of collection, processing and use of personal data necessary for processing of orders
and accounting;
- their right to object to the creation and use of their anonymised user profile for the purposes of advertising, market research,
and design of our product range in accordance with demand;
- the passing on of data to undertakings commissioned by us which are subject to statutory provisions of data protection, for
the purpose of evaluation of credit standing and shipment of goods and for the duration of the same;
- their right to receive information on their personal data stored by us free of charge;
- their right to correction, deletion and blocking of their personal data stored by us.
Any collection, processing and use of personal data going beyond that described in Clause 15.1. shall be subject to the consent
of the contracting party. The contracting party shall have the possibility to give such consent prior to placing its order. The
contracting party shall have the right to revoke its consent at any time with effect for the future.
Rescission of the contract:
We shall be entitled to rescind the contract if
- despite granting of a grace period execution of the delivery and/or commencement or continuation of performance is further
delayed for reasons for which the contracting party is responsible;
- doubts concerning the liquidity of the contracting party exist and if upon our request the contracting party neither makes any
advance payment nor furnishes appropriate security prior to shipment (see Clause 7.7.);
- an extension of the delivery period due to the aforementioned circumstances would in total be longer than half the delivery
period originally agreed.
For the aforementioned reasons rescission of the contract may also be declared with regard to an outstanding part of the delivery
and service.
If insolvency proceedings are opened over the assets of a contracting party or if a petition for initiation of insolvency proceedings
is dismissed for lack of sufficient assets, the other contracting party shall be entitled to rescind the contract without granting a
grace period.
Notwithstanding our claims for damages, partial services or services already rendered shall be accounted for and due for payment
in case of a rescission of the contract.
This shall also apply to the extent the delivery and service has not yet been accepted by the contracting party and/or to preliminary
services already rendered by us. We shall, however, also be entitled to claim return of items already delivered.
17.
17.1.
Place of jurisdiction:
The place of jurisdiction concerning all disputes shall be Klagenfurt.
18.
18.1.
Applicable law:
All purchase and service contracts shall exclusively be subject to Austrian law.
19.
19.1.
Other provisions:
If individual provisions of the contract or of these General Terms and Conditions Sale and Delivery should be ineffective in whole
or in part, the remaining provisions shall remain effective. The parties undertake, in case of partial ineffectiveness, to replace the
ineffective provisions by provisions which come as close as possible to the purpose of the ineffective provision.
In case that contracts or the General Terms and Conditions of Sale and Delivery are drawn up in German and in a different
language, the German version shall prevail. Our English-language General Terms and Conditions shall apply to contracts drawn
up in English.
