Vertragsgegenstand:
Der Käufer erteilt der Firma i.p.a. cosmetics GmbH in Beckum den Auftrag, die aufgelisteten kosmetischen Produkte entsprechend der gewünschten Rezeptur herzustellen.
Die Produkthaftung übernimmt die Firma i.p.a. cosmetics GmbH in Beckum. Der Kunde wird insoweit von jeder Haftung gegenüber Dritten entbunden.
Lieferung und Versandkosten:
Die Lieferung erfolgt ab Werk (inkl. Verpackung) und auf eigene Gefahr des Käufers.
Liefermengen:
Gegenüber der Auftragsmenge ist – auch bei Teillieferungen – eine Mehr- oder Minderlieferung unter Beachtung der Handelsbräuche bis zu 10% zulässig.
Zahlungsbedingungen:
Der Rechnungsbetrag ist 30 Tage nach Rechnung ohne Abzug fällig. Bei Zahlung innerhalb von 10 Tagen nach Rechnungsdatum werden 2% Skonto angerechnet. 2% Skonto
gewähren wir auch bei Vorkasse oder Bankeinzugsverfahren. Verrechnungschecks werden nur unter Vorbehalt der Einlösung und ohne Verbindlichkeit zur Einhaltung von Fristen
hereingenommen. Wechsel werden von uns grundsätzlich nicht angenommen.
Skontoabzüge auf unseren Rechnungen bleiben unberücksichtigt, solange ältere Rechnungen noch unbeglichen sind. Zahlungen werden stets auf ältere offene Forderungen
angerechnet. Bei Überschreitung des Zahlungstermins sind wir berechtigt Verzugszinsen in Höhe von 5% über dem jeweiligen Diskontsatz der Bundesbank zu berechnen, ohne
dass es der Mahnung bedarf. Wird es erforderlich, bei Verzug einer Rechnung die Inkassostelle einzuschalten, so wird die Gesamtforderung sofort fällig und kann ohne besondere Ankündigung eingeklagt werden. Hierzu können Daten aus den Vertragsunterlagen und der Vertragsdurchführung an eine Kreditschutzorganisation weitergeleitet werden.
Nachträgliche Änderung des individuellen Aufdrucks:
Bei nachträglichen Änderungen des individuellen Aufdrucks werden die entstehenden Selbstkosten in Rechnung gestellt.
Offene Mängel und Transportverluste:
Offene Mängel und Transportverluste sind sofort von dem ausliefernden Spediteur sowie von Post und Bahn durch Schadensbescheinigung bestätigen zu lassen. Antrag auf
Schadensersatz wird durch den Warenempfänger oder auf Wunsch von uns gestellt. Eine Haftung für Haltbarkeit von Lacken und Farben ist ausgeschlossen. Geringfügige
Farbabweichungen sind vorbehalten. Passergenauigkeit bei mehrfarbigem Druck: +/- 0,5 mm.
Eigentumsvorbehalt:
Die gelieferte Ware bleibt solange unser Eigentum bis alle aus der Geschäftsverbindung entstandenen Forderungen getilgt sind.
Erfüllungsort:
Erfüllungsort für beiderseitige Verpflichtungen ist Beckum.
Gerichtsstand:
Die Parteien vereinbaren für alle sich aus dem Vertragsverhältnis etwa ergebenden Streitigkeiten Beckum als örtlich zuständiges Gericht. Die Parteien vereinbaren insbesondere
auch für das Mahnverfahren als örtliches Gericht Beckum. Diese Vereinbarungen gelten auch für Ansprüche aus Schecks.

Bitte beachten Sie, dass die Kosmetikverordnung vorschreibt, jedes kosmetische Produkt mit einem Herstellernachweis zu versehen. Unsere Produkte werden in Übereinstimmung
mit der Kosmetikverordnung und nach Kosmetik GMP (Good Manufacturing Practice) hergestellt. Damit alle vom Gesetzgeber erlassenen Bestimmungen erfüllt werden, beraten
wir Sie individuell und kompetent.
Purpose of contract:
The purchaser hereby instructs the firm i.p.a. cosmetics GmbH in Beckum to produce the cosmetic products in the attached list according to the required recipes. The firm i.p.a.
cosmetics GmbH in Beckum accepts all responsibility for the products. The customer is thereby freed of any claim vis-à-vis third parties.
Delivery charges:
Delivery is ex works (including packaging) and at risk of the purchaser.
Delivery quantities:
A discrepancy of up to 10% more or less than the quantity of the order placed is permissible according to normal custom.
Conditions of payment:
The invoice sum is payable within 30 day of the invoice date without any discount. If payment is made within 10 days of the date of the invoice, a 2% discount will be given.
We give also 2% discount if payment is made in advance or by direct bank debit. Bank cheques will be accepted, conditional upon their being honoured by the bank and in
respect of the date concerned. Bills of exchange are not acceptable. No discount can be given until previous unsettled invoices have been settled. Payments will be reckoned
against the oldest outstanding claim. Should payment be delayed, we shall be entitled to demand 5% interest over and above the current interest charges of the Federal Bank
without written reminder.
If it becomes necessary to involve a debt settlement firm, the entire outstanding sum shall be immediately due and can be claimed immediately without prior notice. In order to
expedite this, data concerning contracts may be forwarded to a creditworthiness agency.
Subsequent alterations to individual print orders:
If alterations are subsequently made to individual print orders, these shall be charged at cost-price.
Liability for defects:
Obvious defects and losses during transport must be confirmed immediately by delivery firm and/or by postal and railway services with the proper documentation. A claim for
compensation can be lodged either by recipient or by us as desired. Any liability for the durability of paints or dyes is
excluded. We retain the right to deliver colours which vary very slightly from the colours ordered. Multi-colour printing precision within +/- 0,5 mm.
Ownership:
All goods delivered remain our property until all outstanding claims are settled.
Fulfillment of contract:
Mutual contractual obligations shall be fulfilled in Beckum.
Competency of court:
Both parties agree that Beckum shall be competent court in events of a legal dispute. In particular both parties agree to use Beckum as the relevant court for reminders. These
agreements shall also apply for cheque-related claims.

Please note that regulations governing cosmetics require that every cosmetic product carry the name of the producer. Our cosmetic products are produced in accordance
with the cosmetic regulations GMP (Good Manufacturing Practice). In order to ensure that all legal conditions are met, we will be happy to advise our customers individually
and competently.
