ROXIO WinOnCD 6 Standard Edition german Lizenzbedingungen Software-Lizenzvertrag Roxio, Inc. Endbenutzer-Software-Lizenzvertrag (Einzelbenutzer, nicht vernetzte Anwendungen) BITTE LESEN SIE DIE FOLGENDEN HINWEISE SORGFÄLTIG DURCH: Dieser Software-Lizenzvertrag („Vertrag“) ist ein rechtlich bindender Vertrag zwischen Ihnen als juristischer oder natürlicher Person („Sie“ oder „Ihr“) und Roxio, Inc. („Roxio“) und gilt für das Softwareprodukt sowie die zugehörigen firmeneigenen Medien, gedruckte Materialien, Dokumentationen (auch in elektronischer Form), die Sie herunterladen oder auf sonstige Weise installieren werden. Darüber hinaus gilt sie für alle Aktualisierungen oder Änderungen der oben genannten Produkte/ Medien, die Ihnen von Roxio oder seinen Lizenznehmern oder Vertretern geliefert werden (im Folgenden zusammenfassend als „Software“ bezeichnet). WENN SIE AUF DIE SCHALTFLÄCHE „ANNEHMEN“ KLICKEN, ODER WENN SIE DIE SOFTWARE ODER TEILE DAVON ANDERWEITIG INSTALLIEREN ODER VERWENDEN, ERKLÄREN SIE SICH DAMIT EINVERSTANDEN, DEN LIZENZBEDINGUNGEN ZU UNTERLIEGEN UND WERDEN SOMIT VERTRAGSPARTEI. WENN SIE NICHT ALLEN BEDINGUNGEN DIESES VERTRAGS ZUSTIMMEN (ODER NICHT ENTSPRECHEN KÖNNEN), (1) KLICKEN SIE AUF DIE SCHALTFLÄCHE "NICHT ANNEHMEN", WODURCH SIE DIE BERECHTIGUNG ZUR VERWENDUNG DER SOFTWARE ODER VON TEILEN DAVON VERLIEREN BZW. KEINE LIZENZ DAFÜR BESITZEN, UND (2) MÜSSEN DIE UNBENUTZTE SOFTWARE (ZUSAMMEN MIT ALLEN DAZUGEHÖRIGEN HANDBÜCHERN UND DOKUMENTATIONEN) SOWIE DEN KAUFBELEG AN DER STELLE ZURÜCKGEBEN, WO SIE DIESE ERWORBEN HABEN; SIE ERHALTEN DANN EINE VOLLSTÄNDIGE RÜCKERSTATTUNG INNERHALB VON 30 TAGEN NACH DEM KAUF DIESER SOFTWARE. EINE SCHRIFTLICHE ZUSTIMMUNG STELLT KEINE VORAUSSETZUNG FÜR DIE GÜLTIGKEIT ODER DURCHSETZBARKEIT DIESES VERTRAGES DAR, UND AUCH KEIN ERSUCHEN UM EINE SOLCHE SCHRIFTLICHE ZUSTIMMUNG DURCH ODER IM NAMEN VON ROXIO KANN ALS FOLGERUNG DES GEGENTEILS AUSGELEGT WERDEN. WENN DIESE BEDINGUNGEN ALS ANGEBOT VON ROXIO AUSGELEGT WERDEN, IST DIE ANNAHME AUSDRÜCKLICH AUF DIESE BEDINGUNGEN BESCHRÄNKT. 1. Lizenz. (a) Allgemeines.Gemäß Ihrer Einverständniserklärung mit allen Bedingungen dieses Lizenzvertrags gewährt Ihnen Roxio eine begrenzte, persönliche, nicht-unterlizenzierbare, nicht übertragbare, nicht exklusive Lizenz für folgende Verwendung der Software: (i) die Verwendung einer Kopie der Software ausschließlich zu Ihrer persönlichen, nicht-kommerziellen Benutzung auf einem einzelnen Computersystem und ausschließlich in Übereinstimmung mit der zugehörigen Endbenutzerdokumentation;und (ii) die Erstellung einer Kopie der Software in maschinenlesbarer Form ausschließlich für Archivierungs-Sicherungszwecke, vorausgesetzt, Sie geben jeder einzelnen Kopie de eigentumsbezogenen und Urheberrechtshinweis von Roxio mit. (iii) Erstellen von Kopien des Roxio VideoDisc-Players („VCD-Player“), aber keinerlei sonstiger Teile der Software, ausschließlich auf Video-CDs oder Super-Video-CDs, die unter Verwendung der Software („Pre-mastered VCDs“) pre-mastered wurden und Weitergabe des VCD-Players ausschließlich auf solchen Pre-mastered VCDs. Und (iv) Erstellen von Kopien von Roxio FileOnCE.exe („FileOnCD“), aber keinerlei sonstiger Teile der Software, ausschließlich auf CDs oder DVD, die unter Verwendung der Software („Pre-mastered Discs“) premastered wurden und Weitergabe des FileOnCD ausschließlich auf solchen Pre-mastered Discs. (b) Mehrfachlizenzvertrag. Wenn Sie von Roxio oder einem autorisierten Roxio- Vertriebspartner eine Mehrfachlizenz (d. h. zum gleichen Zeitpunkt mehr als einen lizenzierten Installationsort („Seat“) für die Software) erworben haben, und wenn Sie die Software in einer braunen „Media-Kit“-Packung, erhalten haben, und wenn Sie eine VLA-Lizenz („Volume License Purchase Agreement“) und einen Mehrfachnutzer-Installations-CD-Lizenzschlüssel („Multiple User Installation CD License Key“) von Roxio zur Installation der Software auf der Anzahl von Computern, für die Sie Installationsorte („Seats“) erworben haben, erhalten haben, dann gelten, insoweit gegenlautende Bedingungen in der VLA-Lizenz, die Sie von Roxio erhalten, vorhanden sind, für Sie diese Bestimmungen, anderenfalls gelten für Sie die Bestimmungen des vorliegenden Vertrags. 2. Allgemeine Beschränkungen. Sie dürfen weder direkt noch indirekt (noch dritten Personen folgendes gestatten): (i) die Software oder Teile davon kopieren (die oben genannten Bestimmungen ausgenommen), verändern oder ganz oder in Teilen an andere weitergeben; (ii) zurückentwickeln („Reverse Engineering“), disassemblieren, dekompilieren oder auf sonstige Weise versuchen, den Quellencode oder die Struktur, die Sequenz und Anordnung der Software oder ihren Teilen zu ermitteln (außer, wenn dies auf gesetzlicher Grundlage zulässig ist, und dann nur für diejenigen Teile, für die dies ausdrücklich erlaubt wurde); (iii) ) die Software oder einen Teil davon vermieten, verleasen oder für Time-Sharing- oder Büro-Servicezwecke nutzen oder auf sonstige Weise verwenden oder erlauben, dass die Software oder ganz oder in Teilen für kommerzielle Zwecke oder für Dritte verwendet wird; (iv) eigentumsbezogene Hinweise aus der Software entfernen oder verbergen; (v) die Software oder einen Teil davon in welcher Form auch immer im Internet oder dem World Wide Web veröffentlichen oder auf sonstige Weise zur Verfügung stellen; (vi) auf elektronischem Wege oder auf sonstige Weise Kopien der Software an andere weitergeben; (vii) nach dem Erhalt einer neueren Software-Version frühere Versionen der Software verwenden, obwohl Sie aufgefordert wurden, die früheren Versionen der Software nicht mehr zu verwenden; (viii) die Software entgegen gesetzlichen Bestimmungen exportieren oder wiederausführen. Sie stimmen der spezifischen Bedingung dieser Lizenz zu, die Software in Übereinstimmung mit allen anwendbaren Gesetzen, einschließlich Urheberrechtsgesetzen (ohne jede Einschränkung), zu verwenden und keine Audio-, Video- oder anderen Inhalte unter Verwendung dieser Software zu kopieren, zu übertragen, aufzuführen oder zu verbreiten, ohne zuvor alle notwendigen Lizenzen und Genehmigungen von den Inhabern der Inhalte erhalten zu haben. 3. Spezielle Bedingungen/Anforderungen/Einschränkungen/Haftungsausschlüsse/ Haftungsbegrenzungen Dritter bezüglich der Benutzung der Software. Die Software enthält bestimmte Materialien und Technologien von Fremdherstellern. Daher unterliegt die Benutzung der Software den folgenden zusätzlichen Bedingungen, Anforderungen, Einschränkungen, Haftungsausschlüssen und Haftungsbegrenzungen: (a) MP3- und MP3Pro-Codecs. Mit dem Erwerb der Software wird keinerlei Lizenz oder implizites Recht zur Verbreitung von mit der Software erstellten Inhalten in kommerziellen Rundfunksystemen (terrestrisch, satellitengebunden, Kabel- und/oder sonstigen Netzen), sonstigen Systemen zur Verbreitung von Inhalten (Pay-Audio- oder Audio-on-Demand-System und ähnliche) oder auf physischen Medien (CDs, DVDs, Halbleiterchips, Festplatten, Memory-Cards und ähnliche) erworben. Für jede dieser Nutzungsformen ist eine gesonderte, unabhängige Lizenz erforderlich. Weitere Details finden Sie unter http://mp3licensing.com. (b) Windows Media Format SDK. Sie nehmen zur Kenntnis und erklären sich damit einverstanden, dass Roxio oder dessen Lizenzgeber zum Schutz der Integrität bestimmter Inhalte von Fremdherstellern für die Software sicherheitsrelevante Aktualisierungen bereitstellen können, die automatisch heruntergeladen und auf Ihrem Computer installiert werden. Solche sicherheitsrelevanten Aktualisierungen können gegebenenfalls den Funktionsumfang der Software (und anderer auf dem Computer installierter Software, soweit sie von der (Roxio-)Software abhängig ist) einschränken, und zum Beispiel auch die Fähigkeit zum Kopieren und/oder Wiedergeben „sicherer“ Inhalte, d. h. von Inhalten, die durch digitale Verfahren zum Schutz von Urheberrechten geschützt werden, einschränken oder deaktivieren. In solchen Fällen werden Roxio und/oder dessen Lizenzgeber jede zumutbare Anstrengung unternehmen, unverzüglich Hinweise auf der Roxio-Website bezüglich der sicherheitsrelevanten Aktualisierung zu veröffentlichen und Erläuterungen für Endbenutzer bereitzustellen, aus denen hervorgeht, wie neue Versionen der Software oder zusätzliche Aktualisierungen der Software, mit denen der Zugriff auf sichere Inhalte und dazugehörige Funktionen wiederhergestellt werden kann, erworben werden können. (c) Gracenote Datenbank/Daten. Die Software enthält Software eines Lizenzgebers von Roxio, CDDB, Inc. of Berkeley, California d/b/a Gracenote („Gracenote“). Die Software von Gracenote (der „Gracenote CDDB2- Client“) ermöglicht dieser Anwendung Online-Disc-Identifizierung und den Bezug musikbezogener Informationen über CD-Namen, Interpreten und Musiktitel („Gracenote-Daten“) mit Hilfe von Online-Servern („Gracenote CDDB-Server“) und weitere Funktionen. Die Gracenote-Daten dürfen nur unter Verwendung der dafür vorgesehenen Endbenutzerfunktionen der Software genutzt werden. Sie erklären sich damit einverstanden, Gracenote-Daten, den Gracenote CDDB2-Client und Gracenote CDDB-Server ausschließlich für Ihren eigenen persönlichen und nicht-kommerziellen Gebrauch zu verwenden. Sie erklären sich damit einverstanden, den Gracenote CDDB2-Client oder Gracenote-Daten keinesfalls Dritten zum Gebrauch zu überlassen, für Dritte zu kopieren oder an Dritte zu übermitteln oder zu übersenden. SIE ERKLÄREN SICH DAMIT EINVERSTANDEN, GRACENOTEDATEN, DEN GRACENOTE CDDB2-CLIENT ODER GRACENOTE CDDBSERVER KEINESFALLS ANDERS ALS IN DER HIER AUSDRÜCKLICH GESTATTETEN WEISE ZU NUTZEN ODER ZU VERWERTEN. Sie erklären sich damit einverstanden, dass Ihre nicht-exklusive Lizenz zur Verwendung der GracenoteDaten, des Gracenote CDDB2-Clienten und der Gracenote CDDB-Server bei Nichtbeachtung dieser Einschränkungen erlischt. Bei erlöschen der Lizenz erklären Sie sich damit einverstanden, jedwede weitere Nutzung der Gracenote-Daten, des Gracenote CDDB2- Clienten und der Gracenote CDDBServer zu unterlassen. Gracenote behält sich alle Rechte bezüglich der Gracenote-Daten, des Gracenote CDDB2- Clienten und der Gracenote CDDB-Server insbesondere alle Eigentumsrechte vor. Sie erklären sich damit einverstanden, dass CDDB, Inc. Ihre in diesem Vertrag festgelegten Rechte direkt und in eigenem Namen gegen Sie geltend machen kann. Die für den Gracenote CDDB2-Clienten und alle Bestandteile der Gracenote- Daten gewährte Lizenz beinhaltet keinerlei weitergehenden Gewährleistungsansprüche. Gracenote macht keinerlei Angaben zu und übernimmt keinerlei Garantien, weder ausdrücklich noch stillschweigend, bezüglich der Genauigkeit der Gracenote-Daten aus den Gracenote CDDB-Servern. Gracenote behält sich das Recht auf Löschung von Daten von den CDDB-Servern oder zum Ändern von Datenkategorien aus Gründen, die nach dem Dafürhalten von Gracenote als gerechtfertigt erscheinen, vor. Es wird keinerlei Garantie dafür übernommen, dass der Gracenote CDDB2-Client oder Gracenote CDDB-Servers fehlerfrei arbeiten oder dass der Funktionsumfang des Gracenote CDDB2-Clienten oder der Gracenote CDDB-Server ununterbrochen zur Verfügung steht. Gracenote ist nicht dazu verpflichtet, Ihnen etwaige neue verbesserte oder zusätzliche Datenarten oder Kategorien, die von Gracenote gegebenenfalls zukünftig angeboten werden, zur Verfügung zu stellen, und kann seine Online-Dienste jederzeit einstellen. GRACENOTE ÜBERNIMMT KEINERLEI HAFTUNG, WEDER AUSDRÜCKLICH NOCH STILLSCHWEIGEND, INSBESONDERE, JEDOCH NICHT BESCHRÄNKT AUF IMPLIZITE GEWÄHRLEISTUNGSANSPRÜCHE BEZÜGLICH DER VERMARKTUNGSFÄHIGKEIT, TAUGLICHKEIT FÜR EINEN BESONDEREN ZWECK, NAMEN UND MARKENSCHUTZ. Gracenote übernimmt keinerlei Haftung für Folgen, die durch Ihren Gebrauch des Gracenote CDDB2Clienten oder von Gracenote CDDB-Servern entstehen. AUF KEINEN FALL ÜBERNIMMT GRACENOTE HAFTUNG FÜR IN URSÄCHLICHEM ZUSAMMENHANG STEHENDE ODER ZUFÄLLIGE SCHÄDEN ODER FÜR ENTGANGENEN PROFIT ODER EINKÜNFTE. (d) VCD Player und/oder FileOnCD Readme.Txt file. Jedes von Ihnen weitergegebene Exemplar des VCD- Players und/oder FileInCD enthält eine Datei mit der Bezeichnung README.TXT mit dem folgenden wörtlichen Hinweis: „Die Roxio VideoDisc Player- und/oder FileInCD-Software (einzeln und gemeinsamand „Software“) ist Eigentum der Roxio, Inc. (USA) und durch das US-amerikanischesowie andere internationale Urheberrechte geschützt. Sie dürfen die Software gleichzeitig nur auf einem einzigen Computer und nur zum persönlichen, nicht kommerziellen Gebrauch nutzen. Die Dekompilierung, das Zurückentwickeln („Reverse Engineering“), die Disassemblierung sowie jegliche andere Umwandlung der Software in eine für Menschen verständliche Form ist untersagt. Soweit Sie nicht Inhaber einer entsprechenden, direkt von Roxio zusätzlich zu erwerbenden Lizenz sind, ist es Ihnen nicht erlaubt, die Software oder Teile davon zu vervielfältigen, zu ändern, anzupassen, zu publizieren, öffentlich wiederzugeben oder darzustellen, zu übersetzen, zu vermieten, zu verleasen, zu verleihen, zu verteilen, zu vernetzen, sich an der Übertragung oder dem Verkauf der Software oder Teilen davon zu beteiligen oder abgeleitete Werke zu erstellen, die auf der Software oder auf Teilen davon basieren. ÜBER DAS ZURVERFÜGUNGSTELLEN DER SOFTWARE HINAUS ÜBERNIMMT ROXIO KEINERLEI WEITERGEHENDEN GEWÄHRLEISTUNGSVERPFLICHTUNGEN, WEDER AUSDRÜCKLICH NOCH STILLSCHWEIGEND, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF DIE NICHT-VERLETZUNG VON RECHTEN DRITTER, MANGELFREIHEIT ODER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK. Da in einigen Staaten ein Ausschluss von gesetzlichen Gewährleistungen bzw. eine Beschränkung von gesetzlichen Gewährleistungszeiträumen nicht zulässig ist, gelten die vorstehenden Einschränkungen für Sie möglicherweise nicht. UNTER KEINEN UMSTÄNDEN KANN ROXIO VON IHNEN ODER EINEM DRITTEN FÜR STRAFSCHADENERSATZANSPRÜCHE, ZUFÄLLIG ENTSTANDENE, INDIREKTE ODER FOLGESCHÄDEN, EINSCHLIESSLICH ENTGANGENER GEWINNE, VERLUSTE VON ERSPARNISSEN ODER DATENVERLUSTE, ODER FÜR ANSPRÜCHE DRITTER HAFTBAR GEMACHT WERDEN, SELBST WENN ROXIO ÜBER DIE MÖGLICHKEIT SOLCHER SCHÄDEN IN KENNTNIS GESETZT WURDE. DIE HAFTUNG VON ROXIO FÜR SCHÄDEN JEGLICHER ART, DIE AUS DIESEM VERTRAG ODER AUS DER VERWENDUNG DER SOFTWARE ENTSTEHEN IST AUF DEN VON IHNEN FÜR DIE SOFTWARE ENTRICHTETEN VERKAUFSPREIS BESCHRÄNKT, AUSSER IN FÄLLEN, IN DENEN DIES VOM ANWENDBAREN RECHT NICHT ZUGELASSEN WIRD, WOBEI DANN DIE HAFTUNG VON ROXIO AUF DEN MINIMALBETRAG BESCHRÄNKT IST, DER DURCH DIESES ANWENDBARE RECHT VORGESCHRIEBEN IST. Da in einigen Staaten ein Ausschluss oder eine Beschränkung der Haftung für besondere, zufällig entstandene oder Folgeschäden nicht gestattet ist, gilt die obige Beschränkung oder der Ausschluss möglicherweise nicht für Sie.“ (e) Lizenzierte Codecs. Jedwede Verwendung dieses Produkts, außer in einer Weise, die dem MPEG-2 Standard für die Kodierung von Videoinformationen für Packaged Media entspricht, ist im Anwendungsbereich der Patente des MPEG-2 Patent Portfolio ohne MPEG LA-Lizenz ausdrücklich untersagt; eine derartige Lizenz ist erhältlich bei MPEG LA, 250 Steele Street, Suite 300, Denver, Colorado 80206. (f) VCD Player- und/oder FileOnCD-Beschränkung. MIT AUSNAHME DES RECHTS, DEN VCD-PLAYER AUF PRE-MASTERED VCDS UND/ODER FILEONCD AUF PRE-MASTERED DISCS ZU VERTEILEN, DAS IN ABSCHNITT 1 GEWÄHRT WIRD, SIND SIE NICHT BERECHTIGT, DIE SOFTWARE ODER TEILE DAVON ZU ÄNDERN, ANZUPASSEN, ZU ÜBERSETZEN, ZU VERMIETEN, ZU VERLEASEN, ZU VERLEIHEN, GEGEN GEWINN WEITER ZU VERÄUSSERN, ZU VERTEILEN, ZU VERNETZEN ODER ABGELEITETE WERKE ZU ERSTELLEN, DIE AUF DER SOFTWARE ODER AUF TEILEN DAVON BASIEREN. 4. Eigentumsrechte. Roxio und seine Lizenzgeber sind und bleiben Eigentümer sämtlicher Rechte, Titel und (das nachstehend explizit Lizenzierte ausgenommen) Interessen an und bezüglich der Software, aller Kopien oder Teile der Software sowie allen von wem auch immer erstellten Ableitungen. Die Software ist durch Urheberrechte und internationale Urheberübereinkommen sowie durch andere Gesetze und Übereinkommen bezüglich des Urheberrechts geschützt. Trotz allem wird die Software nicht verkauft sondern lizenziert. Roxio und seine Lizenzgeber behalten sich alle Rechte an dieser Software vor, die in diesem Vertrag nicht ausdrücklich gewährt werden. 5. Vertraulichkeit.Sie erklären sich damit einverstanden, die Software vertraulich zu behandeln und nicht ohne die ausdrückliche, schriftliche Genehmigung von Roxio Dritten gegenüber offenzulegen. Sie dürfen die Software nur wie hier beschrieben nutzen. Weiterhin erklären Sie sich damit einverstanden, alle geeigneten Vorsichtsmaßnahmen zu treffen, um den Zugang unautorisierter Personen zu der Software zu verhindern. 6. Laufzeit und Kündigung. Diese Lizenz gilt solange, bis Sie entsprechend den hier getroffenen Vereinbarungen außer Kraft gesetzt wird. Sie können die Lizenz jederzeit kündigen, indem Sie die Software (einschließlich der dazu gehörenden Dokumentation) und alle Kopien oder Modifikationen der Software vernichten. Roxio behält sich das Recht vor, die Lizenz sofort zu kündigen, wenn Sie gegen irgendeine Bestimmung dieses Vertrages verstoßen. Die Ihnen hiermit gewährte Lizenz erlischt automatisch in Falle einer Verletzung von Artikel 2 oder 3. Sobald dieser Vertrag erlischt oder aus welchem Grund auch immer beendet wird, werden Sie die Verwendung dieser Software unverzüglich einstellen und alle Kopien der Software vernichten und von allen Computern, Festplatten, Netzwerken oder sonstigen Speichermedien entfernen. Artikel 2 bis 14 überdauern jegliches Erlöschen oder Beendigung dieses Vertrags. 7. Beschränkte Gewährleistung. Für einen Zeitraum von neunzig (90) Tagen ab Kaufdatum der Software („Gewährleistungsfrist“) garantieren Roxio und seine Lizenzgeber lediglich, dass die Software im Wesentlichen in Übereinstimmung mit den in der im Lieferumfang der Software enthaltenen schriftlichen Dokumentation für Endbenutzer vorhandenen Angaben zur Software funktioniert. DIESE GEWÄHRLEISTUNG FINDET KEINE ANWENDUNG AUF IRGENDWELCHE SOFTWARE, DIE MISSBRAUCHT, FALSCH VERWENDET, BEIM TRANSPORT BESCHÄDIGT, GEÄNDERT, NICHT GEWARTET ODER VON NICHT AUTORISIERTEN PERSONEN REPARIERT ODER INSTALLIERT WURDE, WIE VON ROXIO NACH VERNÜNFTIGEM ERMESSEN BESTIMMT. UNGEACHTET SÄMTLICHER SONSTIGER HIER AUFGEFÜHRTER BEDINGUNGEN, SOLL DIE GESAMTE GEWÄHRLEISTUNGSPFLICHT FÜR ROXIO UND DESSEN LIZENZGEBER UND IHRE AUSSCHLIESSLICHE ABHILFE IM FALLE EINER VERLETZUNG DER VORGENANNTEN GARANTIE NACH ROXIOS FREIER WAHL UND AUF ROXIOS KOSTEN IN FOLGENDEM BESTEHEN: (A) REPARATUR ODER AUSTAUSCH DER SOFTWARE GEGEN SOFTWARE, DIE DEN GARANTIEBESTIMMUNGEN ENTSPRICHT, ODER (B) RÜCKERSTATTUNG DES KAUFPREISES, DER VON IHNEN FÜR DIE SOFTWARE GEZAHLT WURDE. IN BEIDEN FÄLLEN IST DIE SOFTWARE INNERHALB DER GARANTIEPERIODE AN ROXIO ENTSPRECHEND DER UNTENGENANNTEN VORGEHENSWEISE ZURÜCKZUSENDEN. 8. Haftungsausschluss. DIESE BEGRENZTE GARANTIE IST DIE EINZIGE VON ROXIO GEWÄHRTE GARANTIE. WEITERHIN ÜBERNIMMT ROXIO KEINE GEWÄHRLEISTUNG FÜR ERGEBNISSE AUS DER VERWENDUNG DER SOFTWARE ODER DAFÜR, DASS DIE SOFTWARE STÖRUNGSFREI IST, ODER DASS DIE NUTZUNG OHNE UNTERBRECHUNG VONSTATTEN GEHT. ROXIO UND IHRE LIZENZGEBER ÜBERNEHMEN KEINE GEWÄHRLEISTUNG FÜR DIE ERGEBNISSE, DIE SIE DURCH DIE VERWENDUNG DER SOFTWARE MÖGLICHERWEISE ERZIELEN KÖNNEN UND KÖNNEN DIESE AUCH NICHT ÜBERNEHMEN. Export. Durch die Nutzung der Software erklären Sie sich mit dem Vorgenannten einverstanden und legen dar und gewährleisten, dass Sie sich weder in einem Beschränkungen unterworfenen Land aufhalten, noch dass Sie sich unter der Kontrolle eines solchen Landes befinden oder Staatsangehöriger oder wohnhaft in einem derartigen Land sind. 12. Schadenersatz. Sie erkennen an, dass Roxio für jegliche Nutzung der Software in keiner Weise haftet. Sie verpflichten sich, Roxio für Ansprüche, Schäden, Verbindlichkeiten, Kosten und Gebühren (einschließlich Anwaltskosten) Dritter zu entschädigen und schadlos zu halten, die auf Ihre Nutzung der Software bzw. Ihre Nichterfüllung einer Bestimmung dieses Vertrags zurückzuführen sind. 13. Regierungsseitige Rechtsbeschränkungen. Handelt es sich bei Ihnen um eine Behörde, ein Ministerium oder eine andere Einheit der Regierung der USA („Regierung“), so unterliegt die Verwendung, Vervielfältigung, Reproduktion, Veröffentlichung, Änderung, Offenlegung und Übertragung der Software sowie jeglicher dazugehöriger Dokumentation, einschließlich technischer Daten oder relevanter Handbücher, den Einschränkungen in Übereinstimmung mit der Federal Acquisition Regulation 12.212 für zivile Behörden und der Defense Federal Acquisition Regulation Supplement 227.7202 für Militärbehörden. Die einzige und ausschließliche Rechtsprechung sowie der Gerichtsstand für Handlungen, die aus diesem Vertrag resultieren, sind die Staats- und Bundesgerichte in Santa Clara County, Kalifornien; Sie erklären sich hiermit mit der Zustellung der Klageschrift gemäß den Regelungen dieser Gerichte einverstanden. General Restrictions. In such an event, Roxio and/or its licensors shall use reasonable efforts to promptly post notices on the Roxio web site explaining the security update and providing instructions to end users for obtaining new versions or further updates of the Software that restore access to secure content and related features. (c) Gracenote Database/Data. The Software contains software from a licensor of Roxio, CDDB, Inc. of Berkeley, California d/b/a Gracenote (“Gracenote”). The software from Gracenote (the “Gracenote CDDB2 Client”) enables this application to do online disc identification and obtain music-related information, including name, artist, track, and title information (“Gracenote Data”) from online servers (“Gracenote CDDB Servers”) and to perform other functions. You may use Gracenote Data only by means of the intended end user functions of the Software. You agree that You will use Gracenote Data, the Gracenote CDDB2 Client, and Gracenote CDDB Servers for Your own personal non-commercial use only. You agree not to assign, copy, transfer or transmit the Gracenote CDDB2 Client or any Gracenote Data to any third party. YOU AGREE NOT TO USE OR EXPLOIT GRACENOTE DATA, THE GRACENOTE CDDB2 CLIENT, OR GRACENOTE CDDB SERVERS, EXCEPT AS EXPRESSLY PERMITTED HEREIN. You agree that Your non-exclusive license to use the Gracenote Data, the Gracenote CDDB2 Client, and Gracenote CDDB Servers will terminate if You violate these restrictions. If Your license terminates, You agree to cease any and all use of the Gracenote Data, the Gracenote CDDB2 Client, and Gracenote CDDB Servers. Gracenote reserves all rights in Gracenote Data, the Gracenote CDDB2 Client, and the Gracenote CDDB Servers, including all ownership rights. You agree that CDDB, Inc. may enforce its rights under this Agreement against You directly in its own name. Gracenote is not obligated to provide You with any new enhanced or additional data types or categories that Gracenote may choose to provide in the future and is free to discontinue its online services at any time. GRACENOTE DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Unless you purchase additional license rights directly from Roxio, you may not reproduce, modify, adapt, publish, perform, display, translate, rent, lease, loan, participate in the transfer or sale of, distribute, network or create derivative works based upon the Software or any part thereof. THE SOFTWARE IS PROVIDED “AS IS” AND ROXIO MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED, AS TO NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ROXIO’S LIABILITY FOR DAMAGES OF ANY KIND WHATSOEVER ARISING OUT OF THIS AGREEMENT OR THE USE OF THE SOFTWARE SHALL BE LIMITED TO THE PURCHASE PRICE PAID BY YOU FOR THE SOFTWARE, EXCEPT WHERE NOT PERMITTED BY APPLICABLE LAW, IN WHICH CASE ROXIO’S LIABILITY SHALL BE LIMITED TO THE MINIMUM AMOUNT PERMITTED BY SUCH APPLICABLE LAW. Some states do not allow the exclusion or limitation of special, incidental, or consequential damages, so the above limitation or exclusion may not apply to you.” (f) Licensed Codecs. Any use of the Software in any manner other than use that complies with the MPEG-2 Standard for encoding video information for packaged media is expressly prohibited without a license under applicable patents in the MPEG-2 Patent Portfolio, which license is available from MPEG LA, 250 Steele Street, Suite 300, Denver, Colorado 80206. (g) VCD Player Restriction. EXCEPT FOR THE RIGHT TO DISTRIBUTE THE VCD PLAYER ON PRE-MASTERED VCDS GRANTED IN SECTION 1, YOU MAY NOT MODIFY, ADAPT, TRANSLATE, RENT, LEASE, LOAN, RESELL FOR PROFIT, DISTRIBUTE, NETWORK OR CREATE DERIVATIVE WORKS BASED UPON THE SOFTWARE OR ANY PART THEREOF. 4. Proprietary Rights. Roxio and its licensors shall own and retain all right, title, and (except as expressly licensed hereunder) interest in and to the Software all copies or portions thereof, and any derivative works thereof (by whomever created). The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Notwithstanding anything else, the Software is licensed and not sold. All rights in the Software not specifically granted in this Agreement are reserved by Roxio and its licensors. 5. Confidentiality. You agree to maintain the Software and any data or databases contained therein in confidence and that You will not disclose the Software to any third party without the express written consent of Roxio. You may not use the Software except as set forth herein. You further agree to take all reasonable precautions to preclude access of unauthorized persons to the Software. 6. Term and Termination. This license is effective until terminated hereunder. You may terminate the license at any time by destroying the Software (including the related documentation) together with all copies or modifications in any form. Roxio will have the right to terminate the license granted herein immediately if You fail to comply with any term or condition of this Agreement. The license granted to You herein will terminate automatically upon any breach of Section 2 or 3. Upon termination of this Agreement for any reason, You shall immediately stop using the Software and shall destroy and remove from all computers, hard drives, networks, and other storage media all copies of the Software. Sections 2 through 14 shall survive any termination of this Agreement. 7. Limited Warranty. For a period of ninety (90) days from the date You purchase the Software (the “Warranty Period”), Roxio and its Licensors warrant only that the Software will perform substantially in accordance with the specifications stated for the Software in the accompanying written end-user documentation. THIS WARRANTY SHALL NOT APPLY TO ANY SOFTWARE WHICH HAS BEEN ABUSED, MISUSED, DAMAGED IN TRANSPORT, ALTERED, NEGLECTED, OR SUBJECTED TO UNAUTHORIZED REPAIR OR INSTALLATION, AS REASONABLY DETERMINED BY ROXIO. NOTWITHSTANDING ANYTHING ELSE HEREIN, THE ENTIRE LIABILITY OF ROXIO AND ITS LICENSORS, AND YOUR EXCLUSIVE REMEDY FOR A BREACH OF THE FORGOING WARRANTY, SHALL BE, AT ROXIO’S OPTION AND EXPENSE: (A) REPAIR OR REPLACEMENT OF THE SOFTWARE FOR SOFTWARE THAT MEETS THE WARRANTY OR (B) A REFUND OF THE PURCHASE PRICE PAID BY YOU FOR THE SOFTWARE, IN BOTH CASES WHERE THE SOFTWARE IS RETURNED TO ROXIO ACCORDING TO THE CLAIM PROCEDURE BELOW, WITHIN THE WARRANTY PERIOD. 8. Warranty Disclaimer. THIS LIMITED WARRANTY IS THE ONLY WARRANTY PROVIDED BY ROXIO. EXCEPT FOR THE FOREGOING, THE SOFTWARE IS PROVIDED “AS IS” AND ROXIO MAKES NO WARRANTY OF ANY KIND WITH REGARD TO THE SOFTWARE. ROXIO EXPRESSLY DISCLAIMS ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. FURTHER, ROXIO DOES NOT WARRANT RESULTS OF USE OR THAT THE SOFTWARE IS BUG FREE OR THAT ITS USE WILL BE UNINTERRUPTED. ROXIO AND ITS LICENSORS DO NOT AND CANNOT WARRANT THE RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS AGREEMENT. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. 9. Warranty Claim Procedure. If You have purchased the Software bundled with a computer hardware product, You must return the Software to the computer hardware manufacturer within the Warranty Period. If you have purchased the Software on a stand-alone basis, then any claim under the Limited Warranty set forth above must be submitted before the end of the Warranty Period to Roxio, at the address listed below. Any returned Software must be insured, shipped freight prepaid, and securely packaged. You must call Roxio at the appropriate number listed on http://support.Roxio.com for a Return Material Authorization Number (RMA) before shipping any product, and include this number, a copy of Your sales slip and a description of the problem You are experiencing with the product. NOTWITHSTANDING ANYTHING ELSE HEREIN, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, INCLUDING, BUT NOT LIMITED TO, TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, SHALL ROXIO OR ITS LICENSORS BE LIABLE TO YOU OR ANY OTHER PERSON (I) FOR ANY PUNITIVE, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, COMPUTER FAILURE OR MALFUNCTION, OR DAMAGES RESULTING FROM YOUR USE OF THE SOFTWARE, OR (II) FOR ANY MATTER BEYOND ROXIO OR ITS LICENSOR’S REASONABLE CONTROL. ROXIO’S AND ITS LICENSOR’S MAXIMUM LIABILITY FOR DAMAGES OF ANY KIND WHATSOEVER ARISING OUT OF THIS AGREEMENT SHALL BE LIMITED TO THE PURCHASE PRICE PAID BY YOU FOR THE SOFTWARE, EXCEPT WHERE NOT PERMITTED BY APPLICABLE LAW, IN WHICH CASE ROXIO’S LIABILITY SHALL BE LIMITED TO THE MINIMUM AMOUNT PERMITTED BY SUCH APPLICABLE LAW. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF ROXIO HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU. 11. Export. You shall comply with all export laws and restrictions and regulations of the Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control ("OFAC"), or other United States or foreign agency or authority, and You shall not export, or allow the export or re-export of the Software in violation of any such restrictions, laws or regulations. By using the Software, You agree to the foregoing and represents and warrants that You are not located in, under the control of, or a national or resident of any restricted country. 12. Indemnity. You agree that Roxio shall have no liability whatsoever for any use You make of the Software. You shall indemnify and hold harmless Roxio from any third party claims, damages, liabilities, costs and fees (including reasonable attorney fees) arising from Your use of the Software as well as from Your failure to comply with any term of this Agreement. 13. Government Restricted Rights. If You are an agency, department, or other entity of the United States Government ("Government"), the use, duplication, reproduction, release, modification, disclosure or transfer of the Software, or any related documentation of any kind, including technical data or related manuals, is restricted in accordance with Federal Acquisition Regulation 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement 227.7202 for military agencies. This Software is commercial computer software and the related documentation is commercial computer software documentation. The use of the Software and related documentation is further restricted in accordance with the terms of this Agreement, or any modification hereto. This Agreement and the terms of any Volume License Agreement provided to you (if any) represent the complete agreement concerning this license between the parties and supersedes all prior agreements and representations between them. This Agreement may be amended only by a writing executed by both parties. If any provision of this Agreement is held to be illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary to make it legal and enforceable and this Agreement shall otherwise remain in full force and effect and enforceable. The failure of Roxio to act with respect to a breach of this Agreement by You or others does not constitute a waiver and shall not limit Roxio’s rights with respect to such breach or any subsequent breaches. This Agreement is personal to You and may not be assigned or transferred for any reason whatsoever without Roxio’s prior written consent and any action or conduct in violation of the foregoing shall be void and without effect. Roxio expressly reserves the right to assign this Agreement and to delegate any of its obligations hereunder. This Agreement shall be governed by and construed under California law (without regard to its conflicts of laws provisions) as such law applies to agreements between California residents entered into and to be performed within California. The sole and exclusive jurisdiction and venue for actions arising under this Agreement shall be the State and Federal courts in Santa Clara County, California; You hereby agree to service of process in accordance with the rules of such courts. The party prevailing in any dispute under this Agreement shall be entitled to its costs and legal fees. EACH PARTY RECOGNIZES AND AGREES THAT THE WARRANTY DISCLAIMERS AND LIABILITY AND REMEDY LIMITATIONS IN THIS AGREEMENT ARE MATERIAL BARGAINED FOR BASES OF THIS AGREEMENT AND THAT THEY HAVE BEEN TAKEN INTO ACCOUNT AND REFLECTED IN DETERMINING THE CONSIDERATION TO BE GIVEN BY EACH PARTY UNDER THIS AGREEMENT AND IN THE DECISION BY EACH PARTY TO ENTER INTO THIS AGREEMENT.
