Description
Circular polarizers use a linear polarizing film, which is provided at 45 ° with a delay element Lambda ¼. Incident light is

§ 1 Allgemeines, Geltungsbereich
1.1. Bei Screen-Tech handelt es sich um ein Unternehmen, das sich auf die
Entwicklung und den Vertrieb von Projektionsscheiben aus Acrylglas (PMMA) für
professionelle und kommerzielle Anwendungen spezialisiert hat.
1.2. Für alle Lieferungen, Leistungen und Angebote von Screen-Tech gelten soweit
schriftlich nicht etwas anderes vereinbart ist, ausschließlich die nachstehenden
Bedingungen. Gegenbestätigungen von Kunden unter Hinweis auf ihre
Geschäftsbedingungen werden hiermit ausdrücklich widersprochen. Diese
Geschäftsbedingungen gelten auch dann, wenn Screen-Tech in Kenntnis
entgegenstehender oder von diesen Geschäftsbedingungen abweichenden
Bedingungen des Kunden Leistungen an den Kunden vorbehaltlos erbringt.
§ 2 Angebote / Auftragsbestätigungen
2.1. Angebote von Screen-Tech sind freibleibend, sofern sie seitens Screen-Tech
nicht ausdrücklich als verbindlich bezeichnet werden. Technische Änderungen in
Form, Farbe und/oder Gewicht bleiben im Rahmen des Zumutbaren vorbehalten.
2.2. Die Preise verstehen sich, sofern nicht etwas anderes vereinbart ist, ab Werk
ohne Steuern, Verpackung, Versicherung, Fracht, Zoll sowie alle sonstigen
Auslagen und Spesen.
2.3. Bei Verbesserungen und Modelländerungen von Vor-Lieferanten behält sich
Screen-Tech Abweichungen von ihren Verkaufsunterlagen, Angeboten und
Auftragsbestätigungen vor, soweit diese Abweichungen für den Kunden zumutbar
sind.
2.4. Aufträge und mündliche Vereinbarungen bedürfen zu ihrer Wirksamkeit der
schriftlichen Bestätigung durch Screen-Tech. Einwände gegen
Auftragsbestätigungen müssen schriftlich sofort, spätestens innerhalb von 8 Tagen
nach Ausstellungsdatum, in jedem Falle jedoch vor Beginn der
Leistungserbringung bei Screen-Tech eingehen. Spätere Einwände werden nur
nach schriftlicher Bestätigung durch Screen-Tech berücksichtigt.
§ 3 Zahlungsbedingungen
3.1. Zahlungen sind vereinbarungsgemäß unbar und kostenfrei auf das von
Screen-Tech angegebene Konto ohne Abzug von Skonto zu leisten.
Scheckzahlung bedarf einer gesonderten Vereinbarung.
3.2. Sofern im Angebot beziehungsweise der Auftragsbestätigung nichts
Abweichendes bestimmt ist, sind alle Zahlungen ohne jeden Abzug 14 Tage nach
Rechnungsstellung zu leisten. Zahlungsfristen gelten als eingehalten, wenn
Screen-Tech innerhalb der vorgenannten Frist über den Betrag frei verfügen kann.
Nach Ablauf dieser Frist kommt der Kunde in Zahlungsverzug.
Handelt es sich bei dem Kunden um einen Unternehmer, hat er während des
Verzugs eine Geldschuld mit 8 Prozentpunkten über dem Basiszinssatz gemäß §
247 Abs. 1 BGB zu verzinsen. Screen-Tech behält sich vor, einen höheren
Verzugsschaden nachzuweisen und geltend zu machen.
3.3. Der Kunde kann nur aufrechnen, wenn seine Gegenansprüche, gleich aus
welchem Rechtsverhältnis, rechtskräftig festgestellt wurden oder durch ScreenTech anerkannt sind. Der Kunde kann ein Zurückbehaltungsrecht nur ausüben,
wenn sein Gegenanspruch auf dem selben Vertragsverhältnis beruht.
§ 4 Lieferungen
4.1. Lieferzeiten sind seitens Screen-Tech nur verbindlich, wenn sie schriftlich
zugesichert worden sind.
4.2. Höhere Gewalt und andere von Screen-Tech nicht zu vertretende Ereignisse,
die eine reibungslose Abwicklung des Auftrages in Frage stellen können,
insbesondere Lieferverzögerungen beziehungsweise Nichtbelieferung durch
Lieferanten von Screen-Tech im Rahmen eines kongruenten
Deckungsgeschäfts, Verkehrs- und Betriebsstörungen, Arbeitskämpfe, Werkstoffund Energiemängel berechtigen Screen-Tech, die Lieferung hinauszuschieben
oder vom Vertrag ganz oder teilweise zurückzutreten, ohne dass dem Kunden
hieraus Ersatzansprüche erwachsen. Zum Rücktritt ist Screen-Tech erst berechtigt,
falls eine spätere Lieferung nicht möglich ist. Screen-Tech hat den Kunden in
diesen Fällen unverzüglich über die Nichtverfügbarkeit der Ware zu informieren
und im Falle des Rücktritts eine etwaige, bereits erbrachte Gegenleistung des
Vertragspartners unverzüglich zurück zu erstatten.
4.3. Screen-Tech ist zu Teillieferungen und zum Stellen von Teilrechnungen
berechtigt.
§ 5 Versand und Gefahrübergang
5.1. Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist die Lieferung
frei Haus.
5.2. Der Versand der Waren erfolgt, soweit keine andere Weisung erteilt ist, an die
Adresse des Kunden, wie sie im Bestellschein angegeben ist. Auf Wunsch wird auf
Namen und für Rechnung des Kunden die Warensendung durch Screen-Tech
gegen Diebstahl-, Bruch-, Transport-, Feuer- und Wasserschäden und sonstige
versicherbare Risiken versichert. Screen-Tech übernimmt keine Gewähr für den
billigsten und / oder schnellsten Versand.
5.3. Ist der Kunde Unternehmer, geht die Gefahr des zufälligen Untergangs und
der zufälligen Verschlechterung der Ware mit der Übergabe, beim
Versendungskauf mit der Auslieferung der Sache an den Spediteur, den
Frachtführer oder sonst zur Ausführung der Versendung bestimmten Personen
oder Anstalt auf den Käufer über. Der Übergabe steht es gleich, wenn der Kunde
mit der Annahme im Verzug ist.
§ 6 Gewährleistung
6.1. Mängelansprüche des Kunden bestehen nur, wenn der Kunde seinen nach §
377 HGB geschuldeten Untersuchungs- und Rügepflichten ordnungsgemäß
nachgekommen ist. Den Kunden trifft die volle Beweislast für sämtliche
Anspruchsvoraussetzungen, insbesondere für den Mangel selbst, für den Zeitpunkt
der Feststellung des Mangels und für die Rechtzeitigkeit der Mängelrüge.
6.2. Ist der Kunde Unternehmer, leistet Screen-Tech für Mängel der Ware zunächst
nach ihrer Wahl Gewähr durch Nachbesserung oder Ersatzlieferung.
Ersatzlieferung erfolgt erst wenn die beanstandete Sache bei Screen-Tech
eingetroffen ist. Die Kosten des Rücktransports trägt Screen-Tech außer den
Kosten der versendungsfähigen Verpackung.
6.3. Schlägt die Nacherfüllung fehl, kann der Kunde grundsätzlich nach seiner
Wahl Herabsetzung der Vergütung (Minderung) oder Rückgängigmachung des
Vertrages (Rücktritt) verlangen. Bei einer nur geringfügigen Vertragswidrigkeit,
insbesondere bei nur geringfügigen Mängeln, steht dem Kunden kein
Rücktrittsrecht zu.
Die Nachbesserung gilt mit dem zweiten vergeblichen Versuch als fehlgeschlagen,
soweit nicht aufgrund des Vertragsgegenstands weitere Nachbesserungsversuche
angemessen und dem Kunden zumutbar sind. Die gesetzlichen Fälle der
Entbehrlichkeit der Fristsetzung bleiben unberührt.
6.4. Für Unternehmer beträgt die Gewährleistungsfrist ein Jahr ab Ablieferung der
Ware. Die Verjährungsfrist im Falle eines Lieferengpasses nach den §§ 478, 479
BGB bleibt unberührt.
§ 7 Haftung
Screen-Tech haftet in Fällen des Vorsatzes oder der groben Fahrlässigkeit selbst
oder eines ihrer Vertreter oder Erfüllungsgehilfen nach den gesetzlichen
Bestimmungen. Im Übrigen haftet Screen-Tech nur nach dem
Produkthaftungsgesetz, wegen der Verletzung des Lebens, des Körpers oder der
Gesundheit oder wegen der schuldhaften Verletzung wesentlicher
Vertragspflichten. Der Schadensersatzanspruch für die Verletzung wesentlicher
Vertragspflichten ist jedoch auf den vertragstypischen, vorhersehbaren Schaden
begrenzt. Die Haftung von Screen-Tech ist auch in Fällen grober Fahrlässigkeit auf
den vertragstypischen, vorhersehbaren Schaden begrenzt, wenn keiner der in Satz
2 dieses Absatzes 1 aufgeführten Ausnahmefälle vorliegt.
§ 8 Eigentumsvorbehalt
8.1. Bis zur Erfüllung aller Forderungen (einschließlich sämtlicher
Saldoforderungen aus Kontokorrent), die Screen-Tech aus jedem Rechtsgrund
gegen den Kunden jetzt oder künftig zustehen, werden Screen-Tech die folgenden
Sicherheiten gewährt, die Screen-Tech auf Verlangen nach ihrer Wahl freigeben
wird, soweit ihr Wert die Forderungen nachhaltig um mehr als 20% übersteigt.
8.2. Die Ware bleibt bis zur vollständigen Bezahlung aller Forderungen im
Eigentum von Screen-Tech. Vermischung, Verarbeitung oder Umbildung erfolgen
stets für Screen-Tech als Hersteller, jedoch ohne Verpflichtung für Screen-Tech.
Erlischt das (Mit-) Eigentum von Screen-Tech durch Verbindung, so wird bereits
jetzt vereinbart, dass das (Mit-) Eigentum des Kunden an der einheitlichen Sache
wertanteilmäßig (Rechnungswert) auf Screen-Tech übergeht.
Der Kunde verwahrt das (Mit-) Eigentum von Screen-Tech unentgeltlich. Ware, an
der Screen-Tech (Mit-) Eigentum zusteht, wird im Folgenden als Vorbehaltsware
bezeichnet.
8.3. Der Kunde ist berechtigt, die Vorbehaltsware im ordnungsgemäßen
Geschäftsverkehr zu verarbeiten und zu veräußern, solange er nicht in Verzug ist.
Verpfändungen oder Sicherungsübereignungen sind unzulässig. Die aus dem
Weiterverkauf oder einem sonstigen Rechtsgrund (Versicherung, unerlaubte
Handlung) bezüglich der Vorbehaltsware entstehenden Forderungen
(einschließlich sämtlicher Saldoforderungen aus Kontokorrent) tritt der Kunde
bereits jetzt sicherungshalber in vollem Umfang an Screen-Tech ab. Screen-Tech
ist zur Sicherung ihrer Zahlungsansprüche jederzeit berechtigt, diese Abtretung
offen zu legen. Screen-Tech ermächtigt den Kunden widerruflich, die an ScreenTech abgetretenen Forderungen für deren Rechnung im eigenen Namen
einzuziehen. Diese Einziehungsermächtigung kann nur widerrufen werden, wenn
der Kunde seinen Zahlungsverpflichtungen nicht ordnungsgemäß nachkommt.
8.4. Bei Zugriffen Dritter auf die Vorbehaltsware wird der Kunde auf das Eigentum
von Screen-Tech hinweisen und Screen-Tech unverzüglich benachrichtigen.
Kosten und Schäden trägt der Kunde. Der Kunde wird die Vorbehaltsware getrennt
von seinem sonstigen Eigentum verwahren und als Vorbehaltsware kennzeichnen.
8.5. Bei vertragswidrigem Verhalten des Kunden, insbesondere Zahlungsverzug,
ist Screen-Tech berechtigt, vom Vertrag zurückzutreten und die Vorbehaltsware
herauszu verlangen.
§ 9 Schlussbestimmungen
9.1. Es gilt ausschließlich das Recht der Bundesrepublik Deutschland unter
Ausschluss des Wiener UN-Übereinkommens über Verträge über den
internationalen Warenkauf (CISG) oder sonstiger bi- oder multinationaler
Abkommen über Kaufgeschäfte.
9.2. Ist der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder
öffentlich rechtliches Sondervermögen ist ausschließlicher Gerichtsstand für alle
Streitigkeiten aus diesem Vertrag der Sitz von Screen-Tech. Dasselbe gilt, wenn
der Kunde keinen allgemeinen Gerichtsstand in Deutschland hat oder sein
Wohnsitz oder gewöhnlicher Aufenthalt im Zeitpunkt der Klageerhebung nicht
bekannt ist. Screen-Tech ist auch berechtigt, vor einem Gericht, welches für den
Sitz oder eine Niederlassung des Kunden zuständig ist, zu klagen.
9.3. Sollten einzelne Bestimmungen eines auf der Grundlage dieser Allgemeinen
Geschäftsbedingungen abgeschlossenen Vertrages oder dieser Allgemeinen
Geschäftsbedingungen unwirksam sein oder werden, so berührt dies die
Wirksamkeit der übrigen Bestimmungen nicht. Die Parteien sind in einem solchen
Fall verpflichtet, die unwirksame Bestimmung durch eine wirksame zu ersetzen, die
dem wirtschaftlichen Zweck der unwirksamen am nächsten kommt.
