Licenciatura em Gestão (1º ciclo) First Cycle Degree in Management Unidade curricular: Direito Comercial Nº horas: 60 ECTS: 5 1.º ano Curricular Unit: Business Law No. hours: 60 ECTS: 5 1st. year Docente responsável/ Regent Professor: Maria do Patrocínio Lima de Oliveira Guerra ([email protected]) Objetivos da unidade curricular e competências a desenvolver: A disciplina de Direito Comercial, pretende, em geral, familiarizar os discentes com os conceitos e instrumentos fundamentais da atividade comercial. Em particular, os estudantes deverão ser capazes de: Conhecer e identificar os diversos diplomas normativos respeitantes à atividade comercial; Identificar e classificar os diversos atos de comércio existentes; Compreender e analisar os sujeitos jurídico-comerciais; Conhecer e identificar os diversos instrumentos jurídicos da atividade comercial; Conhecer os diferentes tipos de sociedades previstos no ordenamento jurídico português, bem como compreender a diferença e importância de cada uma. Objectives of the curricular unit and competences to be developed: The discipline of Commercial Law, intends to familiarize the students with the fundamental concepts and tools of the commercial activity. Particularly, students should be able to: 1) Know and identify the various normative acts related to the commercial activity; 2) Identify and classify the various existing commercial acts; 3) Understand and analyze the legal and commercial subjects; 4) Know and identify the various legal instruments of the commercial activity; 5) Know the different types of companies foreseen in the Portuguese legal system, as well as to understand the difference and importance of each one. The Society as a Collective Person Demonstração da coerência dos conteúdos programáticos com os objectivos da unidade curricular: Os conteúdos programáticos selecionados são aqueles que transmitem uma visão global e interativa quer dos vários assuntos que compõem o direito comercial, quer as relações entre os respetivos agentes. Só conhecendo o regime jurídico dos atos comerciais, do comerciante, do estabelecimento comercial, dos diversos instrumentos jurídicos comerciais, dos diferentes contratos comerciais e das sociedades comerciais é que é possível facultar, aos estudantes, os meios necessários a um adequado entendimento e utilização dos instrumentos jurídicos essenciais à sua futura atividade profissional. Demonstration of the syllabus coherence with the curricular unit's objectives: The program contents selected are those that convey a global and interactive view of both the several issues that make the Commercial Law, as either the relations between its agents. Only by knowing the legal framework of the commercial transactions, of the merchant, of the commercial establishment, of the various legal commercial instruments, of the different commercial contracts and of the commercial companies is how you can provide to students, the resources necessary for a proper understanding and use of the Legal instruments essential to their future professional activity. Metodologias de ensino (avaliação incluída): Os conteúdos programáticos serão tratados utilizando-se duas metodologias complementares: leitura e análise das disposições legais e exposição dos conteúdos pelo docente e sua discussão com os alunos; resolução de casos práticos pelos alunos. A avaliação é efetuada por frequência, por exame de época normal ou por exame de época de recurso. A avaliação por frequência é constituída por três componentes: participação (10%); trabalho em grupo (30%); frequência (60%). Para obter aprovação à unidade curricular neste regime de avaliação, a classificação mínima a obter na frequência é de 7 valores. A avaliação por exame de época normal e por época de recurso são constituídas por uma prova global de avaliação que terão lugar, respetivamente, após o término das aulas do semestre e em Setembro. Teaching methodologies (including evaluation): The program contents will be treated by using two complementary methodologies: reading and analysis of the legal provisions and exposure of contents by the teacher and its discussion with the students; resolution of practical case studies by the students. Evaluation is performed by frequency, by taking the normal time exam or by taking it on the time of appeal. The assessment by frequency consists of three components: participation (10%), teamwork (30%), frequency (60%). To obtain approval in the unit in this assessment scheme, the minimum score to obtain in the frequency is 7. The assessment by exam, in the normal time and in the time of appeal consists of a overall test evaluation that will take place, respectively, after the end of classes of the semester and in September. Demonstração da coerência das metodologias de ensino com os objectivos da unidade curricular: A metodologia de ensino adoptada – leitura e análise das disposições legais – é aquela que permitirá aos alunos o conhecimento das normas jurídicas fundamentais para a resolução das diversas questões suscitadas na matéria a apreender. Por outro lado, a análise e resolução de casos práticos permitirá que o aluno compreenda o conteúdo e alcance das diversas normas jurídicas em jogo, resolvendo cabalmente os problemas suscitados. Demonstration of the teaching methodologies coherence with the curricular unit’s objectives: The teaching methodology adopted - reading and analysis of legal provisions – is the one that will allow students the knowledge of fundamental legal norms for the resolution of the various issues raised in the object of study. On the other hand, the analysis and resolution of practical cases will allow the student to understand the content and scope of the various laws at stake, fully resolving the problems raised.
