Minutes of the Board of Directors’ Meeting held on January 27, 2009
On January 27, 2009, at 10:00 a.m., at the company’s headquarters, at Rodovia RN
160, s/n, Km-3, bloco-A, 1º andar, in the industrial zone of Natal, in the state of Rio
Grande do Norte, the Board of Directors of Guararapes Confecções S.A. convened a
meeting which was attended by all its members and chaired by Mr. Nevaldo Rocha,
who appointed Ms. Lisiane Gurgel Rocha, a Board member, as secretary. The
chairman of the meeting informed the board members that he had received a letter
from Mr. Mário Caroni, resigning from the position of Executive Officer after which
the chairman recognized Mr. Caroni’s commitment to the company's growth through
years of work and dedication, thanking him on behalf of the Guararapes group and
affirming that, if necessary, the group could count on his future contribution.
Following approval of the resignation, the chairman suggested that the position
occupied by the resignee be eliminated. There being no further business to discuss, the
meeting was adjourned for the drawing up of these minutes, which were signed by all
