STRATEGIC ASSOCIATION WITH AMERISOURCEBERGEN CORPORATION
Profarma Distribuidora de Produtos Farmacêuticos S.A. - BM&FBOVESPA: PFRM3 – (“Company” or “Profarma”), in
compliance with Article 157, Paragraph 4 of Federal Law 6,404 of December 15, 1976 (“Brazilian Corporations Law”) and with
Instruction 358 issued by the Securities and Exchange Commission of Brazil (CVM) on January 3, 2002, as amended,
announces to the market and the general public that, with the objective of implementing a strategic association with
AmerisourceBergen Corporation, it executed on the date hereof agreements for the subscription and acquisition of shares, as
described below.
AmerisourceBergen Corporation, through its subsidiary BPL Brazil Holding Company, could come to hold up to a 19.9% of the
capital stock of Profarma following the subscription of new shares arising from the rights issue to be submitted for approval to
the Extraordinary Shareholders’ Meeting of the company to be called at an opportune time. The capital injection of up to R$
335.6 million will be made through the assignment by BMK, a holding company that is the parent company of Profarma,
without financial consideration to the assignor, of its preemptive rights in the subscription of shares issued by the Company.
The rights issue will be carried out at the price of R$ 22.50 per share and the other shareholders of the Company wishing to
exercise their preemptive rights entitled to them by law and by the Company’s Bylaws may participate in the issue. The
proceeds will be used primarily to finance the Company’s growth strategy.
Furthermore and as part of the same association, Profarma and AmerisourceBergen will form Profarma Specialty, a Joint
Venture in which each company will hold an interest of 50%, to operate in the specialty pharmaceuticals market. The
contribution of Profarma to the Joint Venture will be represented by its operating assets focused on this segment, which are
formed by the recently acquired equity interests in Prodiet and Arpmed as well as the assets related to one of its operating
segments, its Hospital and Vaccine Division, while AmerisourceBergen will contribute through a primary capital injection of R$
40.0 million and a secondary capital injection (through the acquisition of additional shares) of R$ 21.3 million.
The association will enable the Company to continue the consolidation of its position in the pharmaceutical specialties market
that began with its recent acquisitions of Prodiet and Arpmed, while taking advantage of the technology and expertise in
managing sales and distributing specialties of AmerisourceBergen, one of the world’s largest suppliers of pharmaceutical
products and services.
The implementation of this transaction is subject to compliance with certain conditions precedent typical for transactions of
this nature. The Company will maintain its shareholders and the general market informed of any material facts related to this
transaction.
In line with best practices in corporate governance and investor relations, Profarma will give a presentation to the market to
discuss the strategic partnership after its earnings conference call for fiscal year 2013.

ASSOCIAÇÃO ESTRATÉGICA COM AMERISOURCEBERGEN CORPORATION
A Profarma Distribuidora de Produtos Farmacêuticos S.A. – BM&FBOVESPA: PFRM3 – (“Companhia” ou “Profarma”)
em cumprimento ao disposto no Art. 157, § 4º, da Lei nº. 6.404, de 15.12.1976 (“Lei das Sociedades por Ações”), e na
Instrução CVM nº. 358, de 3 de janeiro de 2002, conforme alterada, informa ao mercado e ao público em geral que,
objetivando implementar uma associação estratégica com a AmerisourceBergen Corporation, firmou nesta data contratos de
subscrição e de compra e venda de ações, conforme abaixo descritos.
A AmerisourceBergen Corporation por meio de sua subsidiária BPL Brazil Holding Company poderá vir a deter até 19,9% do
Capital Social da Profarma a partir da subscrição de novas ações em decorrência de aumento de capital que será submetido
à aprovação da Assembleia Geral Extraordinária da Companhia a ser convocada oportunamente. O aporte de até R$ 335,6
milhões será viabilizado por meio da cessão pela BMK – holding, controladora da Profarma, sem contraprestação financeira
à cedente, do seu direito de preferência na subscrição de ações de emissão da Companhia. O aumento de capital se dará ao
preço de R$ 22,50 / ação e poderá ser acompanhado pelos demais acionistas da Companhia que desejarem exercer o direito
de preferência a eles garantido por lei e nos termos do estatuto social. O montante será utilizado principalmente para
financiar a estratégia de crescimento da Companhia.
Adicionalmente e como parte da mesma associação, Profarma e AmerisourceBergen formarão a Profarma Specialty, Joint
Venture com 50% de participação de cada empresa, objetivando a atuação no mercado de especialidades farmacêuticas. A
contribuição da Profarma para Joint Venture será representada por seus ativos operacionais direcionados para tal segmento
– formados pelas participações recentemente adquiridas nas sociedades Prodiet e Arpmed e, ainda, os ativos relacionados a
um de seus segmentos operacionais, a sua Divisão Hospitalar e Vacinas –, enquanto a AmerisourceBergen contribuirá com
um aporte primário de R$ 40,0 milhões e um aporte secundário (por meio de aquisição de ações adicionais) de R$ 21,3
milhões.
A associação permitirá à Companhia dar continuidade ao movimento iniciado com as recentes aquisições da Prodiet e da
Arpmed para consolidar sua posição no mercado de especialidades farmacêuticas aproveitando-se da tecnologia e knowhow para gerenciamento de vendas e distribuição de especialidades da AmerisourceBergen, uma das maiores companhias
fornecedoras de serviços e produtos farmacêuticos do mundo.
A implementação desta operação está condicionada ao cumprimento de determinadas condições suspensivas usuais em
operações dessa natureza. A Companhia manterá seus acionistas e o mercado em geral informados de qualquer fato
relevante sobre a presente operação.
Em linha com as melhores práticas de governança corporativa e relações com investidores, a Profarma fará uma
apresentação para o mercado para discutir a parceria estratégica, após a teleconferência de divulgação de resultados
referente ao ano de 2013.
