e §4º da Instrução CVM nº 358/2002, conforme alterada, por meio da presente,
comunica aos seus acionistas e ao mercado em geral que recebeu, na presente data, as
correspondências enviadas por BR Educacional Fundo de Investimento em
Participações, Fundo de Investimento em Participações Brasil de Governança
Corporativa, Fundo de Investimento em Participações Potentia Bioenergy, Polar
Fundo de Investimento em Participações e Pacific Mezz Investco Sarl, com as
informações constantes nos anexos a este Comunicado.

PACIFIC MEZZ INVESTCO SARL, sociedade
constituída de acordo com as leis de
Luxemburgo, com sede em 9, Parc D'activités
Syrdall, na Cidade de Munsbach, Luxemburgo
inscrita no Cadastro Nacional das Pessoas
Jurídicas do Ministério da Fazenda – CNPJ/MF
sob o nº 12.960.839/0001-50 (“Pacific Mezz”),
em cumprimento ao que estabelece o artigo
12 da Instrução CVM nº 358, de 03.01.02,
conforme alterada (“ICVM 358”), vem
informar que adquiriu, na presente data,
16.131.508 (dezesseis milhões, cento e trinta
e um mil, quinhentas e oito) units da
Companhia, representativas de 32.263.016
(trinta e dois milhões, duzentas e sessenta e
três mil e dezesseis) ações preferenciais e
16.131.508 (dezesseis milhões, cento e trinta
e um mil, quinhentas e oito) ações ordinárias
de emissão da Companhia. Assumindo que o
total de ações de emissão da Companhia é
261.257.651 (duzentos e sessenta e um
milhões, duzentos e cinquenta e sete mil,
seiscentas e cinquenta e uma) ações, a Pacific
Mezz
tornou-se
detentora
de
aproximadamente (i) 18.52% (dezoito inteiros
e cinquenta e dois centésimos por cento) do

12.960.839/0001-50 (“Pacific Mezz”), in
compliance with Article 12 of the CVM
Instruction No. 358, dated January 3, 2002, as
amended (“ICVM 358”), hereby informs that,
on this date, it has acquired sixteen million,
one hundred and thirty one thousand, five
hundred and eight (16,131,508) units of the
Company, which consist of thirty two million,
two hundred and sixty three and sixteen
(32,263,016) preferred shares and sixteen
million, one hundred and thirty one thousand,
five hundred and eight (16,131,508) common
shares issued by the Company. Assuming a
total issued share capital of the Company of
two hundred and sixty one million, two
hundred and fifty seven thousand, six hundred
and fifty one (261,257,651) shares, Pacific
Mezz became the holder of approximately (i)
