MATERIAL FACT
Light Serviços de Eletricidade S.A. (“Company”), pursuant to CVM Instruction 358, of
January 3, 2002, hereby informs its shareholders and the general public that on June 28,
2013, it completed the public distribution, with restricted placement efforts, under the terms of
CVM Instruction 476, of January 16, 2009, of simple, unsecured, non-convertible debentures,
in two series, with the 1st series composed of one hundred thousand (100,000) debentures
and the 2nd series composed of sixty thousand (60,000) debentures, both with a nominal unit
value of ten thousand Brazilian reais (R$10,000.00), totaling one billion, six-hundred million
Brazilian reais (R$1,600,000,000.00) (“Issue”). The Issue was the Company’s ninth (9th)
debenture issue. The funds obtained by the Company through the Issue will be used to
strengthen the working capital and lengthen the debt profile, including the early redemption of
2nd issue Commercial Promissory Notes. The 1st series Debentures will offer a return of CDI
+1.15% p.a. and a term of seven (7) years and eleven (11) months, amortized in annual
installments beginning on May 15, 2018 and ending on May 15, 2021, while the 2 nd series
Debentures will offer a return of IPCA +5.74% p.a. and a term of nine (9) years and eleven
(11) months, amortized in annual installments beginning on May 15, 2020 and thus ending on
May 15, 2023.
