Februar 1997 in Guernsey aufgelegt wurde. Der Umbrella-Fonds ist ein zugelassener Plan für gemeinsame Anlagen, der gemäss der jeweils gültigen Fassung des Anlegerschutzgesetz von Guernsey von 1987 (Protection of Investors [Bailiwick of Guernsey] Law, 1987, as amended) konstituiert ist und von der Finanzdienstleistungskommission von Guernsey (Guernsey Financial Services Commission) als ein Anlageplan der Klasse „B“ zugelassen worden ist. Der Fonds ist zum Vertrieb in der Schweiz als ausländischer Anlagefonds mit besonderem Risiko zugelassen. Das Hauptziel des Pacific Fund besteht darin, durch Anlagen in den Aktienmärkten des pazifischen Raums ein Kapitalwachstum zu erwirtschaften, in erster Linie durch Anlagen in Fonds, die alternative Anlagestrategien verfolgen (Hedge Funds). Die Fondsleitung achtet auf eine angemessene Risikoverteilung, um die Auswirkungen der Volatilität in den genannten Beteiligungspapieren bzw. Märkten zu mindern. Der vorliegende Finanzbericht bezieht sich auf das am 28. September 2011 endende Geschäftsjahr und enthält Vergleichswerte für das am 30. September 2010 endende Geschäftsjahr. Das zweite Segment des Umbrella-Fonds war der Galileo Vision2100 Fund („Vision2100“), der seine Geschäftstätigkeit am 6. Oktober 1999 aufnahm und am 12. August 2005 liquidiert wurde. Das dritte Segment des Umbrella-Fonds ist der Galileo Japan Fund („Japan Fund“), der seine Geschäftstätigkeit am 26.Juli 2002 aufnahm. Der Japan Fund ist zum Vertrieb in der Schweiz als ausländischer Anlagefonds mit besonderem Risiko zugelassen. Das Hauptziel des Japan Fund besteht darin, durch Anlagen in den japanischen Aktienmärkten ein Kapitalwachstum zu erwirtschaften, in erster Linie durch Anlagen in Fonds, die alternative Anlagestrategien verfolgen (Hedge Funds). Die Fondsleitung achtet auf eine angemessene Risikoverteilung, um die Auswirkungen der Volatilität in den genannten Beteiligungspapieren bzw. Märkten zu mindern. Per 29. September 2011 belief sich das Nettofondsvermögens des Japan Fund auf JPY 1'977'041'811 aufgeteilt in 150'561.8645 Anteile (2010: JPY 2'361'750'551, aufgeteilt in 172'886.2137 Anteile). Auf der Grundlage der oben genannten Angaben betrug der Fondsanteilwert des Japan Fund per 29. September 2011 JPY 13'131 (2010: JPY 13'661). Kopien der Berichte zum Japan Fund sind auf Anfrage kostenlos beim Verwalter erhältlich. Das vierte Segment des Umbrella-Fonds ist der Galileo Natural Resources Fund („Natural Resources Fund“), der seine Geschäftstätigkeit am 1. Februar 2005 aufnahm. Der Natural Resources Fund ist zum Vertrieb in der Schweiz als ausländischer Anlagefonds mit besonderem Risiko zugelassen. Das Hauptziel des Natural Resources Fund besteht darin, durch Anlagen im Rohstoffsektor ein Kapitalwachstum zu erwirtschaften, in erster Linie durch Anlagen in Fonds, die herkömmliche und alternative Anlagestrategien verfolgen (Hedge Funds). Die Anlagen in solchen Fonds können folgende Instrumente umfassen (nicht abschliessende Aufzählung): Wertpapiere und derivative Instrumente in Subsektoren wie Edelmetalle, herkömmliche und nicht-traditionelle Ausgangsstoffe für die Industrie, nachhaltige und alternative Energien, Agrargüter und Agrarrohstoffe sowie Instrumente, die im Bereich Distressed Debt bzw. Arbitrage Chancen bieten. Per 30. September 2011 belief sich das Nettofondsvermögens des Natural Resources Fund auf CHF 118'458'786 aufgeteilt in 1'026'311.0413 Anteile (2010: CHF 227'840'164, aufgeteilt in 1'779'399.6408 Anteile). Auf der Grundlage der oben genannten Angaben betrug der Fondsanteilwert per 30. September 2011 CHF 115.42 (2010: CHF 128.04). Kopien der Berichte zum Natural Resources Fund sind auf Anfrage kostenlos beim Verwalter erhältlich. 2 GL Target Funds – Galileo Pacific Fund Bericht der Fondsleitung (Fortsetzung) Ergebnisse Per 28. September 2011 belief sich das Nettofondsvermögens des Fonds auf CHF 96'118'305 aufgeteilt in 317'323.9624 Anteile (2010: CHF 172'655'678, aufgeteilt in 508'527.7197 Anteile). Auf der Grundlage der oben genannten Angaben betrug der Fondsanteilwert per 28. September 2011 CHF 302.90 (2010: CHF 339.52). Die Fondsleitung schlägt für das Berichtsjahr keine Ausschüttung vor (2010: CHF Null). Fondsentwicklung Während der Berichtsperiode verloren sowohl der Galileo Pacific Fund als auch der MSCI AC Asia Pacific Index (hedged in CHF) 10,8%. Seit seiner Auflegung erbrachte der Fonds eine Performance von 151.9%, der Index erwirtschaftete im selben Zeitraum -2.6%. Marktrückblick Zu Beginn der Berichtsperiode kam es trotz erhöhter Volatilität zu einer kräftigen Aufwärtsbewegung. Diese Rally wurde von Aktien exportorientierter Länder wie Japan, Korea und Taiwan angeführt, in denen sich die Erholung der zyklischen Verbrauchernachfrage in den USA widerspiegelte. Dagegen kam es in Ländern, in denen die Lebensmittel- und Treibstoffpreise einen grösseren Einfluss haben, zu Kursrückschlägen von 10% bis 20%, auf die aber im März eine beachtliche Erholung folgte. Nach Q1 wurde es an den asiatischen Aktienmärkten für alle Markteilnehmer deutlich schwieriger, insbesondere infolge des verheerenden Erdbebens in Japan. Während sich die Märkte der ASEAN-Staaten erholen und sehr gut behaupten konnten, blieben die Aktienmärkte in Indien und China äusserst schwach. Darüber hinaus kamen Wachstumssorgen auf, die in Q3 die chinesischen Märkte erheblich belasteten und zwischen Juli und Ende September zu einer Korrektur von mehr als 35% führten. Vor dem Hintergrund der europäischen Krisen zog dies zwangsläufig auch die meisten anderen asiatischen Märkte stark nach unten. In Q4 2010 lag der Fonds mit seinem Schwerpunkt auf dem Thema Wachstum der Binnennachfrage und seiner Untergewichtung exportorientierter Länder wie Korea und Taiwan hinter den asiatischen Indices zurück. In Q1 entwickelte sich der Fonds dagegen gut, vor allem aufgrund von Anlagen in Japan sowie in chinaorientierten Subfonds. Die Korrektur an den südostasiatischen Märkten bot eine gute Einstiegsmöglichkeit, weshalb wir in Q1 zwei südostasiatische Long-only-Strategien hinzunahmen. Die auf Bottom-upAnsätzen fokussierten Long/Short-Strategien entwickelten sich auch in Q2 gut. Viele Long-only- sowie aggressive Long/ShortSubfonds leisteten hingegen negative Performancebeiträge. In Q2 begannen wir damit, in ASEAN (Thailand und Indonesien)Strategien zu investieren, wovon wir bereits in Q3 profitierten. Im Schlussquartal nahmen wir Long/Short-Strategien hinzu, deren Schwerpunkt auf asiatischen Technologiewerten liegt. Allokationen an die einzelnen Anlagestile per 28. September 2011 Hedge-Strategien Die Engagements des Fonds in Equity-Long/short-Mandaten beliefen sich auf 76%. Equity-Long-only-Strategien Die Engagements des Fonds in Equity-Long/short-Mandaten wurden im Verlauf des Jahres auf 41% ausgebaut. Liquidität Die Netto-Cash-Position, die letztlich durch Rückzahlung der zugrunde liegenden Anlagen gedeckt wird, betrug -17%. Ausblick Wir investieren in Asien weiterhin mit positiver Erwartungshaltung. Die Wachstumsraten bleiben deutlich höher als in den meisten anderen Weltregionen. Die Bewertungen, vor allem in China, bewegen sich nahe ihrer historischen Tiefstände. Mehrere Notenbanken haben ihren Straffungsprozess gestoppt und bereits wieder damit begonnen, die Geldpolitik zu lockern. Auf Sicht von zwölf Monaten versprechen wir uns daher zweistellige Anlagerenditen. 3 GL Target Funds - Galileo Pacific Fund Bericht der Fondsleitung (Fortsetzung) Pflichten und Verantwortlichkeiten der Fondsleitung Gemäss dem Anlegerschutzgesetz von Guernsey von 1987 in seiner jeweils gültigen Form (Protection of Investors [Bailiwick of Guernsey] Law, 1987, as amended, im Folgenden das „Gesetz“) ist die Fondsleitung verpflichtet, für jede jährliche Rechnungslegungsperiode einen Finanzbericht zu erstellen, der ein den tatsächlichen Verhältnissen entsprechendes Bild der finanziellen Lage des Fonds sowie der im Geschäftsjahr erwirtschafteten Gesamtrendite gibt. Bei der Ausarbeitung dieses Berichts ist die Fondsleitung zu Folgendem verpflichtet: • • • • zweckdienliche Buchführungsmethoden zu bestimmen und konsequent anzuwenden, vernünftige und vorsichtige Beurteilungen und Einschätzungen abzugeben, anzugeben, ob die anwendbaren Rechnungslegungsnormen eingehalten wurden, wobei bedeutende Abweichungen im Jahresbericht offen zu legen und zu erläutern sind, sowie den Finanzbericht auf der Grundlage des Fortführungsprinzips zu verfassen, falls die Annahme, dass der Fonds weiterhin seiner Geschäftstätigkeit nachgeht, nicht unangebracht ist. Die Fondsleitung ist verantwortlich für die Verwaltung des Fonds gemäss den Bestimmungen seiner Hauptunterlagen, gemäss den im Rahmen des Anlegerschutzgesetzes von Guernsey von 1987 in seiner jeweils gültigen Form (The Protection of Investors [Bailiwick of Guernsey] Law, 1987, as amended) eingeführten Plänen zur gemeinsamen Anlage der Klasse B von 1990 (The Collective Investment Schemes [Class B] Rules 1990) sowie gemäss dem schweizerischen Kollektivanlagengesetz. Die Fondsleitung ist zusammen mit dem Treuhänder ebenfalls dafür verantwortlich, angemessene Massnahmen zur Verhütung und Aufdeckung von Betrug und anderen Gesetzesverstössen zu ergreifen. Wirtschaftsprüfer KPMG Channel Islands Limited hat sich bereit erklärt, weiterhin ihr Amt als Revisoren des Fonds zu versehen. G. Hall I. B. Januar 2012 4 GL Target Funds – Galileo Pacific Fund Verantwortlichkeiten und Bericht des Treuhänders Darstellung der Verantwortlichkeiten des Treuhänders hinsichtlich des Finanzberichts des Fonds Der Treuhänder ist verpflichtet, in jeder jährlichen Rechnungslegungsperiode das Verhalten der Fondsleitung bei der Verwaltung des Fonds zu überprüfen und hierüber einen Bericht an die Anteilseigner abzugeben. Der Treuhänder ist zudem für die sichere Verwahrung der Vermögenswerte des Fonds verantwortlich und trägt zusammen mit der Fondsleitung die Verantwortung für angemessene Massnahmen zur Verhütung und Aufdeckung von Betrug, Fehlern und Verstössen gegen das Gesetz und die geltenden Vorschriften. Bericht des Treuhänders an die Anteilseigner des GL Target Funds - Galileo Pacific Fund Wir kommen zu dem Schluss, dass der Fondsmanager den Fonds im Geschäftsjahr per 28. September 2011 gemäss den Vorschriften der Hauptunterlagen sowie den Vorschriften über Pläne zur gemeinsamen Anlage der Klasse B von 1990 (The Collective Investment Schemes [Class B] Rules 1990, „Vorschriften für die Klasse B”) verwaltet hat. Hiermit bestätigen wir, dass wir sämtliche Aktiven des Fonds in unseren Gewahrsam genommen haben bzw. kontrollieren und diese als Treuhänder für die Anteilseigner gemäss den Vorschriften für die Klasse B und gemäss den Hauptunterlagen verwahren. Januar 2012 5 Bericht des Revisors an die Anteilseigner des GL Target Funds - Galileo Pacific Fund Wir haben die Rechnungslegung (den "Finanzbericht”) des GL Funds – Galileo Pacific Fund (der „Fonds”) für das am 28. September 2011 endende Geschäftsjahr geprüft. Dieser Finanzbericht besteht aus der Erfolgsrechnung („Statement of Total Return”), dem Ausweis der Veränderungen des Nettovermögens der Anteilseigner („Statement of Change in Net Assets attributable to Unitholders”), der Bilanz und den entsprechenden Anhängen. Bei ihrer Erstellung wurden als Rechnungslegungsgrundsätze das geltende Recht und die in Grossbritannien geltenden Rechnungslegungsstandards zugrunde gelegt. Der vorliegende Bericht richtete sich ausschliesslich an die Anteilseigner des Fonds in ihrer Gesamtheit gemäss unseren im Schreiben vom 10. November 2011 dargelegten Vertragsbedingungen und Vorschrift 4.02 (3) der Vorschriften über Pläne zur gemeinsamen Anlage der Klasse B von 1990 (The Collective Investment Schemes [Class B] Rules 1990). Zweck unserer Revision ist es, den Treuhändern diejenigen Sachverhalte zu bestätigen, die wir in einem Revisionsbericht pflichtgemäss zu bestätigen haben. Es besteht kein weiterer Zweck. Soweit es das Gesetz irgend zulässt, akzeptieren bzw. übernehmen wir keine Verantwortungen gegenüber anderen Personen als dem Fonds und den Treuhändern hinsichtlich unserer Revisionstätigkeit, des vorliegenden Berichts oder der von uns gezogenen Schlüsse. Verantwortlichkeiten der Manager bzw. der Revisoren Wie im Managerbericht auf den Seiten 2 bis 4 eingehender erläutert, liegt die Erstellung des Finanzberichts und die Darstellung eines den tatsächlichen Verhältnissen entsprechenden Bildes in der Verantwortung des Managers. Unsere Verantwortung umfasst die Prüfung des Finanzberichts sowie die Abgabe eines Prüfungsurteils gemäss dem geltenden Recht und den internationalen Rechnungsprüfungsnormen (Grossbritannien und Irland). Nach diesen Standards sind wir zur Einhaltung der vom Auditing Practices Board (APB's) festgelegten ethischen Standards für Abschlussprüfer verpflichtet. Umfang der Prüfung des Finanzberichts Eine Prüfung umfasst die Durchführung von Prüfungshandlungen zur Erlangung von Prüfungsnachweisen für die im Jahresabschluss aufgeführten Beträge und Angaben, um uns genügende Gewissheit darüber zu verschaffen, dass der Finanzbericht keine wesentlichen falschen Angaben enthält, unabhängig davon, ob Letztere auf Betrug oder Irrtümer zurückzuführen sind. Dies umfasst eine Beurteilung, ob die Bilanzierungs- und Bewertungsgrundsätze den Gegebenheiten des Fonds angemessen, einheitlich angewandt und hinreichend offengelegt sind; der Plausibilität der vorgenommenen wichtigen Schätzungen des Managers sowie eine Würdigung der Gesamtdarstellung des Finanzabschlusses. Darüber hinaus lesen wir die im Bericht der Fondsleitung ausgewiesenen finanziellen und nicht-finanziellen Informationen, um wesentliche Unstimmigkeiten mit dem Finanzbericht zu ermitteln. Falls wir falsche Angaben oder wesentliche Unstimmigkeiten mit dem Finanzbericht feststellen, analysieren wir die Auswirkungen auf unseren Bericht. Bestätigungsvermerk Wir sind der Ansicht, dass der Finanzbericht folgenden Kriterien entspricht: • Nach unserer Beurteilung gibt der Finanzbericht ein den tatsächlichen Verhältnissen entsprechendes Bild der Geschäftslage des Fonds zum 28. Powell Mitglieder des Verwaltungsrats von GL Funds (Guernsey) Limited Die Anhänge auf den Seiten 9 bis 15 bilden einen integrierenden Bestandteil des vorliegenden Finanzberichts. 8 GL Target Funds – Galileo Pacific Fund Anhang zum Finanzbericht 1 Wichtigste Rechnungslegungsgrundsätze Die nachstehenden Rechnungslegungsgrundsätze wurden konsequent bei der Beurteilung von Positionen angewendet, die in Bezug auf den Finanzbericht des Fonds als wesentlich gelten: Erstellungsgrundlagen Der vorliegende Finanzbericht wurde auf Basis der Anschaffungskosten nach Anpassung durch Neubewertung der Kapitalanlagen und gemäss den anwendbaren Rechnungslegungsvorschriften Grossbritanniens (und den von der britischen Investment Management Association im Oktober 2010 herausgegebenen Empfehlungen zur Handhabung der Rechnungslegung für zugelassene Investmentfonds (Statement of Recommended Practice for Authorised Funds, „IMA SORP 2010“) erstellt. Finanzanlagen Börsenkotierte und nicht kotierte Kapitalanlagen werden anhand von Kursen/Preisen bewertet, die von Anlageverwaltern oder Fondsmanagern mitgeteilt werden. Falls Börsenkurse zur Verfügung stehen, werden diese verwendet. Die Kurse/Preise sind nicht unbedingt aktuell und können in bedeutendem Mass von denjenigen Kursen/Preisen abweichen, die in einem liquiden Markt zustande gekommen wären. Möglicherweise ist die Fondsleitung gezwungen, die Bewertungen für jede Kapitalanlage selbst vorzunehmen. Die Fondsleitung hat keinen Grund anzunehmen, dass die verwendeten Bewertungen nicht angemessen sind. Alle Käufe und Verkäufe werden am Handelstag abgerechnet und beinhalten die Transaktionskosten. Der Fonds kann zudem Derivatgeschäfte in Form von Anlagen in Devisenterminkontrakten, Optionen, Swaps oder Terminkontrakten auf Indices tätigen. Zweck dieser Finanzinstrumente ist ein effizientes Portfoliomanagement. Devisenterminkontrakte werden insbesondere zur Steuerung von Währungsrisiken genutzt, die sich aus Anlagen in einer anderen Währung als dem Schweizer Franken ergeben, während Futures der Steuerung des Marktrisikos dienen. Realisierte und buchmässige Gewinne bzw. Verluste auf Kapitalanlagen werden in der Erfolgsrechnung als Veränderungen ausgewiesen. Die Ermittlung des Gewinns oder Verlusts aus der Veräusserung eines Investments erfolgt auf Basis der gewichteten Durchschnittskosten pro Anteil. Erträge Zinsen auf Bankeinlagen und Erträge aus zinstragenden Kapitalanlagen werden täglich zugeschrieben. Beim Erwerb von zinstragenden Kapitalanlagen wird der Zinsertrag vom Kapital abgetrennt und in der Erfolgsrechnung erfasst. Kapitalerträge aus Aktienbeständen werden ex-Dividende und abzüglich nicht erstattungsfähiger Verrechnungssteuern verbucht. Falls zutreffend umfasst die Erfolgsrechnung auch Rückvergütungen von Verwaltungsgebühren, die von den Zielanlagen des Fonds zu tragen sind. Aufwendungen In der Rechnungslegung werden sämtliche Aufwendungen erfolgswirksam erfasst und periodengerecht abgegrenzt. Währungen Auf Fremdwährungen lautende kurzfristige finanzielle Vermögenswerte und Verbindlichkeiten werden zu den am Bilanzstichtag geltenden Wechselkursen in Schweizerfranken umgerechnet. Transaktionen in Fremdwährungen werden zum am Transaktionsdatum geltenden Wechselkurs in Schweizerfranken umgerechnet. Realisierte Fremdwährungsgewinne und -verluste sowie Veränderungen in den unrealisierten Gewinnen und Verlusten sind unter Realisierte Kapitalerträge/(verluste) in der Erfolgsrechnung berücksichtigt. Die hauptsächlichen Fremdwährungsrisiken des Fonds bestehen aus Anlagen, deren Preisfeststellung in anderen Währungen als Schweizerfranken erfolgt. Der Fonds sichert sich gegen diese Risiken ab, indem er Devisenterminkontrakte eingeht und somit die Währung, auf welche die betreffenden Vermögenswerte lauten, verkaufen kann. Ausstehende Devisenterminkontrakte werden per Bilanzstichtag zu den entsprechenden Wechselkursen bewertet und dabei entstehende Gewinne und Verluste in der Bilanz ausgewiesen. Per 28. September 2011 kamen folgende Wechselkurse zur Anwendung: JPY KRW HKD 85.1106 1308.2511 8.6608 GBP USD 0.7133 1.1110 Mittelfluss Der Fond ist von der Erstellung einer Mittelflussrechnung gemäss dem „Statement of Recommended Practice“ (SORP) der Investment Management Association (IMA) von 2010 befreit, da im Wesentlichen sämtliche seiner Anlagen zum beizulegenden Zeitwert hochliquide sind und er den Ausweis der Veränderungen des Nettovermögens der Anteilseigner („Statement of Change in Net Assets attributable to Unitholders”) erstellt. Daher verzichtet der Fonds auf die Erstellung einer Mittelflussrechnung. 9 GL Target Funds – Galileo Pacific Fund Anhang zum Finanzbericht (Fortsetzung) 2 Risikomanagement Zu den Finanzinstrumenten des Fonds gehören Kapitalanlagen, bestimmte Barbestände und liquide Mittel, ausgegebene Anteile sowie verschiedene Posten wie Debitoren und Kreditoren, die direkt auf die Tätigkeit des Fonds zurückzuführen sind. A substantial part of the Fund's assets are invested in hedge funds. Diese Hedge Funds gelten im Allgemeinen im Vergleich zu reinen Aktienfonds als risikoreicher. Zudem kann die Fondsleitung in den Aktienmärkten des Fernen Ostens anlegen. Diese Märkte gelten als weniger stabil und volatiler als die wichtigsten etablierten Märkte, d. h. die Märkte in Westeuropa und den Vereinigten Staaten. Zu den Hauptrisiken aus der Anlagetätigkeit des Fonds zählen das Marktpreisrisiko, das Fremdwährungsrisiko, das Liquiditätsrisiko und das Kreditrisiko. Die Fondsleitung darf zur Verringerung des Fremdwährungsrisikos des Fonds direkt Absicherungstransaktionen tätigen, derartige Transaktionen für spekulative Zwecke sind jedoch nicht zulässig. Kreditrisiko Das Kreditrisiko ist das Risiko, dass die Gegenpartei eines Finanzinstruments einer Verpflichtung nicht nachkommt, die sie dem Fonds gegenüber schuldet. Das Kreditrisiko wird durch Geschäftsbeziehungen zu namhaften Gegenparteien sowie ein diversifiziertes Portfolio reduziert. Ferner werden zur Risikobegrenzung zu keinem Zeitpunkt mehr als 20% des Nettovermögens des Fonds in eine Einzelanlage oder einen Fonds bzw. mehr als 30% in einen einzelnen Dachfonds investiert. Bei Devisenkontrakten geht der Fonds Geschäftsbeziehungen zu Gegenparteien ein. Diese Beziehungen könnten zu einer Konzentration von Kreditrisiken führen. Der durch den Ausfall einer Gegenpartei verursachte Verlust ist prinzipiell in Höhe der ausstehenden Nettozahlung an den Fonds begrenzt. Der Fonds befasst sich mit der Kreditwürdigkeit der Gegenpartei eines jeden Kontrakts, indem er das potenzielle Kreditrisiko abschätzt, und schliesst lediglich mit grossen Finanzinstitutionen Kontrakte ab. Auf Zahlenangaben zum Kreditrisiko wird aufgrund der Bedeutung verzichtet. Marktpreisrisiko Das Marktpreisrisiko erwächst hauptsächlich aus der Ungewissheit über die zukünftigen Preise der Anlagen, die der Fonds getätigt hat. Es stellt den potenziellen Verlust dar, den der Fonds aufgrund von Kurs-/Preisänderungen der in seinem Portfolio enthaltenen Anlagen erleiden könnte. Durch die Einhaltung der in den Anlagerichtlinien sowie der Anlage- und Mittelaufnahmelimiten gemäss den im eingehendem Fondsprospekt (Scheme Particulars) vorgegebenen Richtlinien verringert sich das Risiko übermässiger Engagements in einzelnen Wertpapieren. Fondsleitung und Anlageberater sind gemeinsam bestrebt, in Wertpapiere von Unternehmen zu investieren, deren inhärente Qualitäten diese in die Lage versetzen, einem Marktabschwung besser zu widerstehen. Das Portfolio wird unter Beibehaltung der eigentlichen Anlageziele regelmässig auf dieses Kriterium hin überprüft. Der Fonds handelt im Rahmen seiner gewöhnlichen Geschäftstätigkeit mit verschiedenen Finanzinstrumenten und geht dabei ausserbilanzielle Risiken ein, entweder direkt oder indirekt. Diese Finanzinstrumente beinhalten auch Derivate. Generell markieren solche Finanzinstrumente Verpflichtungen zum Kauf oder Verkauf anderer Finanzinstrumente zu bestimmten Konditionen an einem in der Zukunft liegenden Termin. Jedes dieser Finanzinstrumente beinhaltet ausserbilanzielle Risiken in unterschiedlichem Ausmass, wobei Veränderungen in den Marktwerten der den Fonds zugrunde liegenden Finanzinstrumente oder die Erfüllung der Verpflichtungen durch den Fonds den in der Bilanz ausgewiesenen Betrag übersteigen können. Auf Zahlenangaben zum Marktpreisrisiko wird aufgrund der Bedeutung verzichtet. Fremdwährungsrisiko Das Fremdwährungsrisiko bezeichnet das Risiko, dass ein Finanzinstrument aufgrund von Wechselkursschwankungen Fluktuationen unterworfen ist. Die Referenzwährung des Fonds ist der Schweizerfranken. Der Fonds ist hauptsächlich durch seine Anlagen in Vermögenswerten, die auf andere Währungen lauten, Währungskursrisiken ausgesetzt. Der Fonds sichert sich gegen diese Risiken ab, indem er Devisenterminkontrakte eingeht und somit die Währung, auf welche die betreffenden Vermögenswerte lauten, verkaufen kann. Liquiditätsrisiko Der Begriff Liquiditätsrisiko bezeichnet das Risiko, dass die Gesellschaft möglicherweise Schwierigkeiten mit der Mittelbeschaffung zur Erfüllung ihrer Verpflichtungen aus finanziellen Verbindlichkeiten bekommt Der Fonds ist bestrebt dieses Risiko zu mindern, indem er ausschliesslich mit namhaften Gegenparteien mit hoher Bonität Geschäftsbeziehungen eingeht. Die Zielfonds achten bei der Berechnung des Nettoinventarwerts (NAV) darauf, dass er dem Verkehrswert (Fair Value) entspricht. Einige Gesellschaften wenden möglicherweise jedoch Methoden an, die nur Bestandteile des NAV abbilden. Aufgrund des Einsatzes solcher Bewertungsmethoden besteht das Risiko, dass der Fonds seine Anlagen zu diesen NAVs nicht realisieren kann, was zu Verzögerungen bei den Rücknahmen führen kann. Da die Anlagen des Fonds mehrheitlich nicht kotiert sind, kann ein Liquiditätsrisiko bestehen, falls der Fonds Rücknahmeanträgen nicht rechtzeitig und auf geordnete Weise nachkommen kann. Die Fondsleitung kann mit Einverständnis des Treuhänders die Annahme von Rückgabeanträgen so lange aussetzen, bis sie genügend Kapitalanlagen verkauft hat, um diesen Rücknahmeanträgen ohne ungebührliche Verzögerung zu entsprechen. Zudem darf der Fonds bis zur Höhe von 25% seines Nettoinventarwerts Fremdkapital aufnehmen, um potenzielle Liquiditätsprobleme zu 10 GL Target Funds – Galileo Pacific Fund Anhang zum Finanzbericht (Fortsetzung) Liquiditätsrisiko (Fortsetzung) mindern. Siehe Anhang 15 für Informationen zu den per 28. September 2011 bestehenden Kreditfazilitäten des Fonds. Auf Zahlenangaben zum Liquiditätsrisiko wird aufgrund der Bedeutung verzichtet. 2 Risikomanagement (Fortsetzung) Massnahmen zur Risikominderung Der Fonds ist bestrebt, die genannten Risiken über eine Reihe von Massnahmen und strukturellen Elementen zu mindern. Die Auswahl- und Überwachungsverfahren der Fondsleitung stellen hohe Ansprüche an die Fondsleitungen der im Portfolio vertretenen Fonds (Zielfonds), die Sub-Manager, Anlageberater, Verwalter, Broker, Wirtschaftsprüfer und den Treuhänder. Die Dachfondsstruktur (Fund of Funds) wirkt sich auf den Fonds insgesamt risikomindernd aus und bietet zugleich höheres Performance-Potenzial. Pro Zielanlagefonds bzw. Sub-Manager bei Individual Accounts ist die Anlage zum Erwerbszeitpunkt auf 20% des Nettovermögens des Fonds begrenzt. Im Allgemeinen handelt es sich bei einigen Zielfonds um Equity-Hedge-Funds mit Schwerpunkt Aktienmärkte. Sie arbeiten mit geringeren Fremdmitteln (Leverage) als Hedge Funds, die in erster Linie in Derivate investieren. Der Fonds kann nicht nur in Equity-Hedge-Funds, sondern auch in herkömmlichen Aktienfonds anlegen (die keine bzw. geringe Fremdmittel [Leverage] oder Aktienoptionen einsetzen). Die konsolidierten Mittelaufnahmen, Short-Positionen sowie der Einsatz von Derivaten sind innerhalb des Fonds begrenzt. Bei Individual Accounts ist das Risiko grundsätzlich auf die Mittel beschränkt, die einer Zweckgesellschaft mit beschränkter Haftung zur Verfügung gestellt wurden, welche zu diesem Zweck zwischen dem betreffenden Fonds und dem Individual Account errichtet wurde. Während dem Berichtsjahr waren keine Gelder in “Individual Accounts” investiert. 3 Steuerstatus Der Trust ist aufgrund der Einkommenssteuerverordnungen über steuerbefreite Personen von Guernsey von 1989 (Income Tax [Exempt Bodies] [Guernsey] Ordinance) in Guernsey von der Einkommenssteuerpflicht befreit. Diese Gebühr ist nachträglich fällig. Anzumerken ist, dass die Fondsleitung bis auf weiteres eine Gebühr in Höhe von 0.125% des Nettoinventarwerts vorschlägt. Sie kann diese jedoch nach Ablauf einer dreimonatigen Ankündigungsfrist an die Anteilseigner bis auf das Maximum heraufsetzen. Der zu Ende des Geschäftsjahrs ausstehende Betrag belief sich auf CHF 116'897 (2010: CHF 249,242). Aus dieser Verwaltungsgebühr werden Zahlungen für den Vertrieb an institutionelle Anleger, Vertriebsstellen und Vertriebspartner geleistet, welche Fondsanteile im Namen Dritter halten. Unter Vorbehalt bestimmter im Prospekt (Explanatory Memorandum) festgelegter Bedingungen hat die Fondsleitung Anspruch auf eine performanceabhängige Gebühr in Höhe von 10% des über einen Schwellenwert von 4% p. a. hinausgehenden Wertzuwachses pro Fondsanteil. Im Geschäftsjahr fiel weder eine performanceabhängige Gebühr an, noch wurde eine solche Gebühr entrichtet Der Treuhänder erhält für die ersten CHF 30'000'000 Millionen Nettoinventarwert des Fonds eine Gebühr von 0,05% p. a. Sämtliche Treuhandgebühren sind monatlich und nachträglich zahlbar. Für die nächsten CHF 30-40 Millionen erhält er eine Gebühr von 0,04%, für den über CHF 40 Millionen hinausgehenden Betrag eine solche von 0.025%. Die Gebühren werden an jedem Handelstag berechnet. Die jährliche Mindestgebühr beträgt CHF 12'000. Am Jahresende standen CHF 2'639 aus (2010: CHF 5‘017). Der Verwalter erhält für die ersten CHF 35 Millionen Nettoinventarwert des Fonds eine Verwaltungsgebühr von 0,10%% p. a. Sämtliche Gebühren zu Gunsten des Verwalters sind monatlich und nachträglich zahlbar. Für Beträge zwischen CHF 35 und CHF 55 Millionen beläuft sich diese Gebühr auf 0,085% p. a.; für Beträge über CHF 55 Millionen liegt sie bei 0,075% p. a. Diese Gebühr wird an jedem Handelstag berechnet. Die jährliche Mindestgebühr beträgt CHF 40'000. Am Jahresende standen CHF 6'670 aus (2010: CHF 13'493) (siehe Anhang 6). 9 Rechtsstatus Der Fonds ist von der Finanzdienstleistungskommission von Guernsey (Guernsey Financial Services Commission) als Plan für gemeinsame Anlagen der Klasse B (Class B Collective Investment Scheme) zugelassen. 10 Nahestehende Parteien GL Funds (Guernsey) Limited (die „Fondsleitung”) und HSBC Custody Services (Guernsey) Limited (der „Treuhänder”) gelten gemeinsam als massgebende Parteien (Controlling Parties), da sie gemäss den Bestimmungen des Treuhandvertrags zusammen handeln. Die aufgelaufenen Verwaltungsgebühren beliefen sich am 28. September 2011 auf CHF 116'897 (2010: CHF 249‘242). Der Anlageberater, GL Funds AG, ist die Muttergesellschaft der Fondsleitung. Der von der Fondsleitung verwaltete Galileo Asia Fund ist ein Anleger in dem Fonds und hält derzeit 24’072,8054 Anteile. Die der Fondsleitung und dem Treuhänder geschuldeten Gebühren sind in Anhang 8 oben näher beschrieben. Die gesamten für das laufende Jahr fälligen Gebühren sind in der Erfolgsrechnung separat ausgewiesen. Die aufgelaufenen Treuhandgebühren beliefen sich am 28. Zu den variabel verzinslichen finanziellen Vermögenswerte und Verbindlichkeiten gehören auf US-Dollar, Schweizer Franken und japanischen Yen lautende Bankguthaben, die auf Basis des von HSBC Treasury täglich auf Grundlage der Salden der HSBC und Marktbedingungen für die Währung festgelegten HSBC Internal Managed Rate verzinst werden. Die Fondsanteile tragen keine Zinsen; sie haben auch kein spezifisches Verfalldatum. Die Berichtswährung des Fonds ist der Schweizerfranken. Die Fremdwährungsrisiken des Fonds belaufen sich auf den Wert seiner Kapitalanlagen und die offenen Devisenterminkontrakte. Die Devisenengagements des Fonds, welche zu einer Änderung seines Nettoinventarwerts führten, beliefen sich zum 28. September 2011 auf CHF 109'009'192 (2010: CHF 162‘000‘000). Am 28. September 2011 bestanden drei offene Devisenterminkontrakte des Fonds (siehe Erläuterung 13) zur Absicherung des USDRisikos. Das finanzielle Risikoprofil des Fonds ist in Anhang 2 dargestellt. 13 Devisenterminkontrakte Am 28. September 2011 bestanden drei offene Devisenterminkontrakte des Fonds (2010: vier offene Devisenterminkontrakte) über insgesamt USD 106’900’000 gegen 81’274’536 CHF (2010: USD 162’000’000 gegen Schweizerfranken 167‘931‘035). Diese offenen Positionen führten zu einem buchmässigen Verlust in Höhe von CHF 14'835'376 (2010: Gewinn von CHF 9‘692‘669) zum Bilanzstichtag. 14 Offenlegung des Verkehrswerts Als Verkehrswert (Fair Value) der ausgegebenen Anteile gilt der Nettoinventarwert per Fondsanteil, d. h. CHF 302.90 pro Anteil oder insgesamt CHF 96’118’305 (2010: CHF 339.52 pro Anteil, CHF 172‘655‘678 insgesamt). The Trust is an authorised collective investment scheme constituted under The Protection of Investors (Bailiwick of Guernsey) Law, 1987 (as amended) and has been declared by the Guernsey Financial Services Commission to be a Class "B" Scheme. The Fund is approved for distribution in Switzerland as a foreign investment fund in the special risk category. The main objective of the Fund is to generate capital growth through investments in the Pacific Rim equity markets, predominantly by investing in funds using alternative investment strategies (hedge funds). The Principal Manager will pay attention to an adequate spread of risk in order to mitigate the effects of the volatility of such equities and markets. These annual financial statements are for the year ended 28 September 2011 with comparatives for the year ended 30 September 2010. The second class of the Trust was Galileo Vision2100 Fund which commenced business on 6 October 1999 and was wound up on 12 August 2005. The third class of the Trust is Galileo Japan Fund ("Japan Fund") which commenced business on 26 July 2002. Japan Fund is also approved for distribution in Switzerland as a foreign investment fund in the special risk category. The main objective of Japan Fund is to generate capital growth through investments in the Japanese equity markets, predominantly by investing in funds using alternative investment strategies (hedge funds). The main objective of Natural Resources Fund is to generate capital growth through investments in the natural resources sector predominantly by investing in funds using traditional and alternative investment strategies (hedge funds). Copies of the Natural Resources Fund reports are available free of charge on request from the Designated Manager. 21 GL Target Funds - Galileo Pacific Fund Principal Manager's Report (continued) Results As at 28 September 2011, the net assets of the Fund amounted to CHF 96,118,305 represented by 317,323.9624 units (2010: CHF 172,655,678 represented by 508,527.7197 units). Based on the above figures the value of units in the Fund at 28 September 2011 was CHF 302.90 per unit (2010: CHF 339.52 per unit). The Principal Manager does not propose the payment of a distribution for the year under review (2010: CHF Nil). Performance During the reporting period the Galileo Pacific Fund as well as the MSCI AC Asia Pacific Index (hedged in CHF) lost 10.8%. The Fund has returned 151.9% since its inception against -2.6% of the Index. Market & Fund Review The reporting period started with a rally despite increased volatility. This rally was led by equities of export-oriented countries such as Japan, Korea, and Taiwan, which reflected the cyclical consumer demand recovery in the US. On the other hand, countries with a higher sensitivity to food and fuel prices sold off between -10% to -20%, but recovering nicely in March. Following Q1, Asian equity markets became much more challenging for all market participants, especially due to the disastrous earthquake in Japan. While ASEAN markets recovered and held up very well, equity markets in India and China remained very weak. Moreover, growth fears began to weigh heavily on Chinese markets in Q3, leading to a correction of over 35% between July and end of September. This of course together with the European crises dragged most other Asian markets down heavily too. In Q4 2010, the Fund lagged Asian indices due to its focus on domestic consumption growth stories and being underweight in export-oriented countries such as Korea and Taiwan. However, the Fund performed well in Q1, mainly because of investments in Japan as well as in China focused sub-funds. The correction in South East Asian markets provided a good entry point and so we added two South East Asian long-only strategies in Q1. The bottom-up focused long/short strategies kept doing well in Q2. On the other side, many long-only and aggressive long/short sub-funds contributed negatively. During Q2 we started to invest in ASEAN (Thailand and Indonesia) strategies and could already profit from it in Q3. In the last quarter we added long/short strategies with focus on Asian technologies. Style Allocation as per 28 September 2011 Hedge Strategies The Fund’s exposure to equity long/short strategies was 76%. Equity long-only Strategies The Fund’s exposure to equity long-only strategies was increased throughout the year to 41%. Cash The net cash level was -17% which will ultimately be covered by way of redemption of underlying investments. Outlook We continue to invest in Asia with a bullish stance. Economic growth rates continue to be far above growth rates observed in most other parts of the world. Valuations, particularly in China, are close to historical lows. Various central banks have stopped their tightening campaign and have started to relax monetary policy already again. Hall I B Powell Directors of GL Funds (Guernsey) Limited The notes on pages 28 to 34 form part of these financial statements. 27 GL Target Funds - Galileo Pacific Fund Notes to the Financial Statements 1 Principal Accounting Policies The following accounting policies have been applied consistently in dealing with items which are considered material in relation to the Fund’s financial statements: Basis of preparation The financial statements have been prepared under the historical cost convention, adjusted by the revaluation of investments and in accordance with applicable United Kingdom Accounting Standards (“UK GAAP”) and with the Statement of Recommended Practice for Authorised Funds issued by the Investment Management Association in October 2010 (“the IMA SORP 2010”). Investments Listed and unlisted investments are valued based upon prices received from investment advisers, fund managers, and from stock exchanges where available. Prices may not be current, and may differ significantly from the values that would have been used had a ready market existed for the securities, and differences could be material. The Principal Manager may have to determine the valuations itself or rely on plausible estimated values in respect of each investment. The Principal Manager has no reason to believe that the valuations used are unreasonable. All purchases and sales are recognised at trade date and are inclusive of transaction costs. The Fund may also enter into derivative transactions in the form of investment in forward foreign currency contracts, options, swaps or index futures. The purpose of these financial instruments is efficient portfolio management. In particular forward foreign currency contracts may be used to manage currency risk arising from holdings of investments exposed to currencies other than Swiss Francs and futures may be used to manage market risk. Realised and unrealised gains or losses on investments are included in net capital losses in the Statement of Total Return. In calculating the gain or loss on disposal of investments the weighted average cost per unit is used as a proxy for cost. Income Bank deposit interest and income arising on those investments which bear interest are accrued on a daily basis. On acquisition of interest bearing investments the interest element is segregated from capital and taken to revenue. Income arising from equity holdings is accounted for on an ex-dividend basis and included gross of irrecoverable withholding taxes. Where applicable, income also includes rebates of management fees charged to the underlying investments of the Fund. Expenses For accounting purposes all expenses are charged against income and accounted for on an accruals basis as incurred. Foreign Exchange Foreign monetary current assets and liabilities are translated into Swiss Francs at the rates of exchange ruling at the balance sheet date. All transactions in foreign currencies are translated into Swiss Francs at the rate ruling at the date of the transaction. Realised foreign exchange gains and losses and movements in unrealised gains and losses are treated within net capital gains / (losses) in the Statement of Total Return. The Fund’s principal exposure to foreign currency risk arises from its investments in assets priced in currencies other than Swiss Francs. It is the Fund’s policy to hedge against this currency risk by entering into forward foreign currency contracts to sell the currency represented by the market value of these investments. Outstanding forward foreign exchange contracts are revalued at the rates of exchange ruling at the balance sheet date and the resulting gain or loss recorded in the Balance Sheet. The exchange rates used as at 28 September 2011 were as follows: Japanese Yen Korean Won Hong Kong Dollar 85.1106 1308.2511 8.6608 Great Britain Pound United States Dollar 0.7133 1.1110 Cash Flow The Fund is exempted from preparing a cash flow statement by the IMA SORP 2010 as substantially all its investments are highly liquid and carried at fair value, and it prepares a Statement of Change in Net Assets attributable to Unitholders. Consequently, the Fund has not prepared a cash flow statement. 28 GL Target Funds - Galileo Pacific Fund Notes to the Financial Statements (continued) 2 Risk Management Policies The Fund's financial instruments comprise derivative and non-derivative investments, cash and liquid resources, issued units and various items such as debtors and creditors that arise directly from the Fund's operations. A substantial part of the Fund's assets are invested in hedge funds. These hedge funds are generally perceived to involve a greater degree of risk than pure equity funds. The Principal Manager may also invest in the Far Eastern equity markets, which are perceived to be less stable and more volatile than established main markets, such as those in Western Europe and the United States. The main risks arising from the Fund's investments are market price risk, foreign currency risk, liquidity risk and credit risk. The Principal Manager may enter directly into hedging transactions in order to mitigate the Fund’s foreign currency risk exposure but not for speculative purposes. Credit Risk Credit risk is the risk that the counterparty to a financial instrument will fail to discharge an obligation that it has entered into with the Fund. Credit risk is reduced by dealing with reputable counterparties and holding a diversified portfolio. To reduce risk, no more than 20% of the Fund’s net assets will at any one time be invested in one single investment or 30% in any one fund of funds. The Fund maintains trading relationships with counterparties for foreign currency contracts. These relationships could result in concentration of credit risk. The loss incurred by the failure of a counterparty is generally limited to the net payment to be received by the Fund. The Fund considers the creditworthiness of each counterparty to a contract in evaluating potential credit risk and only enters into contracts with major financial institutions. Numerical credit risk disclosures are not presented on grounds of significance. Market Price Risk Market price risk arises mainly from uncertainty about future prices of the investments that the Fund holds. It represents the potential loss the Fund might suffer through holdings in the investment portfolio in the face of price movements. Adherence to investment guidelines and to investment and borrowing powers set out in the Prospectus mitigates the risk of excessive exposure to any particular security. The Principal Manager together with the Investment Adviser aims at holding securities of entities whose intrinsic qualities make them more likely to better withstand a market downturn and continuously reviews the portfolio to this end, whilst continuing to follow the investment objectives. In the normal course of business, the Fund trades various financial instruments and enters into various investment activities with off-balance sheet risk, either directly or indirectly. These financial instruments include derivative contracts. Generally, these financial instruments represent future commitments to purchase or sell other financial instruments at specific terms at future dates. Each of these financial instruments contain varying degrees of off-balance sheet risk whereby changes in the market values of the securities underlying the financial instrument or the Fund’s satisfaction of the obligations may exceed the amount recognised in the Balance Sheet. Numerical market price risk disclosures are not presented on grounds of significance. Foreign Currency Risk Foreign currency risk is the risk that the value of a financial instrument will fluctuate because of changes in foreign exchange rates. The base currency of the Fund is Swiss Francs and the Fund's principal exposure to foreign currency risk comprises its investments in assets priced in other currencies. It is the Fund's policy to hedge against this currency risk by entering into forward foreign currency contracts to sell the currency represented by the market value of these investments. Liquidity Risk Liquidity risk is the risk that the Fund will encounter difficulties in realising assets or otherwise raising funds to meet financial commitments. The Fund aims to manage this risk by dealing only with reputable and creditworthy counterparties. The underlying funds value their assets in order to provide a NAV that reflects fair value. In some circumstances these companies may invest in illiquid assets for which they may use valuation techniques to arrive at constituent parts of that NAV. There is a risk that the underlying funds may not be able to realise their investments in an orderly manner. In these instances, the underlying funds may seek to suspend redemptions, impose redemption gates and/or sidepocket investments. As the majority of the Fund's investments are in underlying funds, this may also present a liquidity risk in the event the Fund cannot meet redemption requests in an orderly and timely fashion. Redemptions out of underlying funds may also only be on a weekly, monthly or quarterly basis and may require notice periods of between 1 and 90 days. The Principal Manager may with the consent of the Trustee defer acceptance of redemption requests until it has raised sufficient investment proceeds to meet such applications without undue delay. In addition, the Fund’s Prospectus allows it to borrow up to 25% of its net asset value to mitigate potential liquidity problems that may arise. See note 15 for disclosure of the Fund’s existing borrowing facility as at 28 September 2011. Numerical liquidity risk disclosures are not presented on grounds of significance. 29 GL Target Funds - Galileo Pacific Fund Notes to the Financial Statements (continued) 2 Risk Management Policies (continued) Risk Mitigation Measures The Fund aims at mitigating the above mentioned risks through a number of measures and elements: · By means of its selection and monitoring procedures, the Principal Manager sets high standards for the managers of its underlying funds (“the Acquired Funds”), the Sub-Managers, Investment Advisors, Administrators, Brokers and the Trustee. · The fund of funds structure reduces the risk of the Fund as a whole considerably while potentially enhancing the overall performance. The investment in one single Acquired Fund is limited, at the time of purchase to 20% of the Fund’s net assets with any one single investment fund or - in the case of Individual Accounts - one Sub-Manager. · Typically, some of the Acquired Funds are equity hedge funds focussing on equity instruments which use less leverage than those hedge funds which primarily invest in derivatives. · The Fund may invest not only in equity hedge funds but also in traditional equity funds (which use no or very little leverage or stock options). · Borrowing, short positions and the use of derivatives are limited on a consolidated basis for the Fund. · In the case of Individual Accounts, the risk is in principle limited to the funds placed at the disposal of a limited liability entity established for this purpose between the Fund and the Individual Account. However, until further notice the Principal Manager proposes to charge 0.125% per month of the net asset value but may increase the fee to the maximum, subject to three months prior notice being given to Unitholders. The amount outstanding at the year end was CHF 116,897 (2010: CHF 249,242). Payments are made out of the management fee for the distribution to institutional investors, distributors and distribution partners holding units beneficially for third-party investors. Subject to various conditions detailed in the Prospectus, a performance fee will be payable to the Principal Manager which is to be 10% of the excess performance of the net asset value per Unit when compared to the appreciation that would have been obtained had the net asset value per Unit increased at the hurdle rate of 4% per annum. No performance fee was payable or paid during either period presented. The Trustee receives a fee of 0.05% per annum, payable monthly in arrears, of the net asset value of the Fund for the first CHF 30,000,000, 0.04% per annum for the next CHF 30 - CHF 40 million and 0.025% per annum for the amount in excess of CHF 40 million and is calculated on each dealing day. The annual minimum fee is CHF 12,000. The amount outstanding at the year end was CHF 2,639 (2010: CHF 5,017). The Designated Manager receives an administration fee of 0.10% per annum, payable monthly in arrears, of the net asset value of the Fund for the first CHF 35 million, 0.085% per annum for the next CHF 35 - CHF 55 million and 0.075% per annum for the amount in excess of CHF 55 million and is calculated on each dealing day. The annual minimum fee is CHF 40,000. The amount outstanding at the year end was CHF 6,670 (2010: CHF 13,493). (See note 6). 9 Regulatory Status The Fund is authorised by the Guernsey Financial Services Commission as a Class B Collective Investment Scheme. 10 Related Parties GL Funds (Guernsey) Limited (the “Principal Manager") together with HSBC Custody Services (Guernsey) Limited (the “Trustee") are regarded as the controlling parties of the Fund by virtue of them acting in concert under the terms of the Trust Deed. Accrued management fees at 28 September 2011 amounted to CHF 116,897 (2010: CHF 249,242). The Investment Adviser, GL Funds AG, is the parent company of the Principal Manager. The Galileo Asia Fund, which is managed by the Principal Manager, is an investor in the Fund and currently holds 24,072.8054 units. The fees payable to the Principal Manager, Designated Manager and the Trustee are explained in note 8 above. The total amounts payable in respect of the current year are disclosed separately in the Statement of Total Return. Accrued Trustee fees at 28 September 2011 amounted to CHF 2,639 (2010: CHF 5,017). Accrued Administrator fees at 28 September 2011 amounted to CHF 6,670 (2010: CHF 13,493) The Principal Manager is also entitled to receive an initial charge up to a maximum of 5% of subscriptions for new Units. The Trustee had custody of all the investments of the Fund at the year end. The floating rate financial assets and liabilities comprise US Dollar, Swiss Franc and Japanese Yen denominated bank balances that bear interest based on the HSBC Internal Managed rate set daily by HSBC Treasury, based on HSBC balances and market conditions for the currency . There is no interest arising on the Units nor is there a specified maturity date. The Fund’s reporting currency is Swiss Francs and the Fund’s exposure to foreign currency risk comprises the value of its investments, overdraft and its open forward currency contracts. The Fund’s non-Swiss Franc currency exposure that gives rise to a change in net asset value of the Fund was CHF 109,009,192 as at 28 September 2011 (2010: CHF 162,000,000). At 28 September 2011 the Fund had three open forward foreign exchange contracts (see note 13) to manage the USD risk. The Fund's financial risk profile is described in note 2. 13 Forward Rate Foreign Exchange Contracts At 28 September 2011 the Fund had three open forward foreign exchange contracts (2010: four open foreign exchange contracts) totalling USD 106,900,000 against Swiss Franc 81,274,536 (2010: USD 162,000,000 against Swiss Franc 167,931,035). These open positions resulted in an unrealised loss of CHF 14,835,376 (2010: gain CHF 9,692,669) at the balance sheet date. 14 Fair Values Disclosure The fair value of the issued Units at the balance sheet date is considered to be the net asset value per Unit of the Fund at that date i.e. CHF 302.90 per Unit, CHF 96,118,305 in total (2010: CHF 339.52 per Unit, CHF 172,655,678 in total). In the opinion of the Principal Manager there is no material difference between the book values and the fair values of the other financial assets and liabilities. 15 Borrowing Facilities On 13 August 2010 HSBC Custody Services (Guernsey) Limited, in its capacity as Trustee of the GL Target Funds, entered into an Uncommitted Multi-Currency Overdraft Facility Agreement with HSBC Bank plc, London in order to facilitate borrowing on behalf of the Fund. The rate is derived by taking the net of total purchases and total sales of investments less the total of all issues and redemptions of Units during the period and dividing this by the average of the net fund assets.
