Founded in 1870 in Altensteig in the tranquil Black Forest,
the company has evolved from being a manufacturer of
silver cutlery to become an international design brand.
The range comprises both unique cutlery items as well as
exclusive accessories for the set table and for stylish living.

Allgemeine Verkaufs- und Lieferbedingungen

Geltung der Bedingungen
Lieferungen, Leistungen und Angebote der WMF erfolgen ausschließlich aufgrund
dieser Geschäftsbedingungen. Spätestens mit Entgegennahme der Ware oder
Leistung gelten diese Bedingungen als angenommen. Entgegenstehende oder
von den WMF-Geschäftsbedingungen abweichende Bedingungen des Käufers
erkennt WMF nicht an, es sei denn, WMF hätte ausdrücklich ihrer Geltung zugestimmt. Die WMF-Verkaufsbedingungen gelten auch dann, wenn WMF in Kenntnis
entgegenstehender oder von WMF-Verkaufsbedingungen abweichender Bedin
gungen des Käufers die Lieferung an den Käufer vorbehaltlos ausführt.
1.2 Diese Verkaufsbedingungen der WMF gelten nur gegenüber Unternehmern im
Sinn von §§ 14, 310 BGB und finden, falls nichts anderes vereinbart wird, auch auf
alle künftigen Geschäfte mit WMF Anwendung.
2.
Angebot und Vertragsschluss
2.1 Bestellungen werden für WMF durch deren schriftliche oder ausdrückliche
Bestätigung (auch Rechnung oder Lieferschein) verbindlich. Im übrigen bedürfen
alle Vereinbarungen der schriftlichen Bestätigung der WMF. Entsprechendes gilt
für Ergänzungen; Änderungen und Nebenabreden.
2.2 Die in Katalogen, Preislisten oder in zum Angebot gehörenden Unterlagen enthaltenen Angaben, Abbildungen und Leistungsbeschreibungen sind branchenübliche
Näherungswerte, es sei denn, dass sie in der Auftragsbestätigung ausdrücklich als
verbindlich bezeichnet werden.
3.
Preise, Zahlungsbedingungen
3.1 Preise verstehen sich, falls nichts anderes vereinbart, netto ab Werk zuzüglich
des am Tag der Lieferung gültigen Mehrwertsteuersatzes und aus
schließlich
Verpackung, Fracht, Transport und Versicherung.
3.2 Die Rechnungen der WMF sind zahlbar 30 Tage nach Fälligkeit und Zugang ohne
jeden Abzug in bar. WMF ist bei Überschreiten dieser Zahlungsfrist unter Vorbehalt
der Geltendmachung eines höheren Verzugsschadens ohne Mahnung berechtigt,
Zinsen in Höhe von 5 % über dem jeweils gültigen Basiszinssatz nach § 247 BGB
zu verlangen. Bei Barzahlung innerhalb 10 Tagen nach Rechnungsdatum gewährt
WMF, falls nichts anderes vereinbart ist, 2 % Skonto unter der Voraussetzung, dass
vorhergehende WMF-Rechnungen ausgeglichen sind.
3.3 Die Annahme von Schecks erfolgt nur zahlungshalber.
3.4 Sollte WMF in der Zeit zwischen Vertragsschluss und Lieferung ihre Preise allgemein ermäßigen oder erhöhen, wird der am Tage des Versands gültige neue Preis
berechnet. Falls sich der Preis erhöht, ist der Käufer berechtigt, innerhalb von
14 Tagen nach Mitteilung der Preiserhöhung vom Vertrag zurückzutreten.
3.5 WMF behält sich vor, Zahlungen zur Begleichung der ältesten Rechnungsposten
zuzüglich der darauf aufgelaufenen Verzugszinsen und -kosten zu verwenden,
und zwar in der Reihenfolge: Kosten, Zinsen, Hauptforderung.
3.6 Aufrechnungsrechte stehen dem Käufer nur zu, wenn seine Gegenansprüche
rechtskräftig festgestellt, unbestritten oder von WMF anerkannt sind.
3.7 Erhält WMF nach Vertragsschluss Kenntnis von Tatsachen über eine wesentliche
Verschlechterung der Vermögensverhältnisse des Käufers, die nach pflichtmäßi
gem Ermessen geeignet sind, ihren Anspruch auf die Gegenleistung zu gefährden,
so kann WMF bis zum Zeitpunkt ihrer Leistung eine geeignete Sicherheit binnen
angemessener Frist oder Vorauszahlungen oder Leistung bei Gegenleistung verlangen. WMF ist außerdem berechtigt, eingeräumte Zahlungsziele zu widerrufen.
Kommt der Käufer dem berechtigten Verlangen der WMF nicht oder nicht rechtzeitig nach, kann WMF vom Vertrag zurücktreten oder Schadensersatz statt der
Leistung verlangen.
Kommt der Käufer mit einer Teilleistung in Rückstand, kann WMF die gesamte
Restforderung sofort fällig stellen und bei Leistungsverzug, der durch eine wesent
liche Verschlechterung der Vermögenslage bedingt ist, ohne Nachfristsetzung
vom Vertrag zurücktreten bzw. Schadensersatz statt der Leistung verlangen. Bei
nicht vermögensbedingtem Leistungsverzug kann WMF nach fruchtlosem Ablauf
einer angemessenen Frist vom Vertrag zurücktreten.
4.Lieferung
4.1 Lieferfristen sind unverbindlich, soweit nicht etwas anderes ausdrücklich vereinbart ist. Teillieferungen sind zulässig. Bei Vereinbarung eines festen Liefertermins
hat der Käufer im Falle eines Verzugs von WMF eine angemessene Nachfrist von
mindestens vier Wochen zu setzen. Erfolgt die Lieferung auch bis zum Ablauf der
Nachfrist nicht, hat der Käufer das Recht zum Rücktritt vom Vertrag.
4.2 Die Lieferfrist beginnt mit dem Tag der Absendung der Auftragsbestätigung und ist
eingehalten, wenn bis Ende der Lieferfrist die Ware das Werk/Lager verlassen hat
oder bei Versendungsunmöglichkeit die Versandbereitschaft der Ware gemeldet
ist.
4.3 Die Einhaltung von vereinbarten Fristen für Lieferungen setzt den rechtzeitigen
Eingang sämtlicher vom Käufer zu liefernder Unterlagen, erforderlichen Genehmi
gungen und Freigaben, insbesondere von Zeichnungen, sowie die Einhaltung der
vereinbarten Zahlungsbedingungen und sonstigen vertraglichen Verpflichtungen
durch den Käufer voraus. Werden diese Voraussetzungen nicht rechtzeitig erfüllt,
so verlängern sich die Fristen angemessen; dies gilt nicht, wenn WMF die Ver
zögerung zu vertreten hat.
4.4 Abrufaufträge sind - sofern nicht besondere Vereinbarungen getroffen werden innerhalb von sechs Monaten, nachdem die WMF ihre Lieferbereitschaft gemeldet
hat, abzunehmen. Nach Ablauf dieser Frist ist WMF berechtigt, Abnahme zu verlangen.
4.5 Ist die Nichteinhaltung der Fristen auf höhere Gewalt - gleichgültig, ob in den
Werken der WMF oder bei ihren Vorlieferanten eingetreten - hierzu gehören
insbesondere behördliche Eingriffe, Betriebsstörungen, Arbeitskämpfe, Verzö
gerungen in der Anlieferung wesentlicher Roh- und Hilfsstoffe - oder auf ähnliche
Ereignisse, z.B. Streik oder Aussperrung, zurückzuführen, verlängern sich die
Fristen angemessen. Wird durch die vorgenannten Ereig
nisse die Lieferung
oder Leistung unmöglich, so wird WMF von der Lieferverpflichtung frei, ohne
dass der Käufer Schadensersatz verlangen kann. Hat die Leistung a
ufgrund der
Verzögerung für den Käufer kein Interesse mehr, so kann er nach angemessener Nachfristsetzung vom Ver
trag zurücktreten. Treten die vorgenannten
Hindernisse beim Käufer ein, so gelten die gleichen Rechtsfolgen auch für seine
Abnahmeverpflichtung, wenn dieser WMF rechtzeitig vor Auftragsabwicklung
schriftlich informiert. Die Vertragspartner sind verpflichtet, dem anderen Teil
Hindernisse der Vorbezeichneten Art unverzüglich mitzuteilen.
4.6 Nimmt der Käufer die Ware nicht ab, ist WMF berechtigt, nach angemessener
Nachfristsetzung vom Vertrag zurückzutreten oder Schadensersatz statt Erfüllung
zu verlangen. Im letzteren Fall ist WMF berechtigt, entweder Ersatz des tatsächlich
entstandenen Schadens oder ohne Nachweis eines Schadens 20 % des Kaufpreises
zu verlangen. Der Nachweis, dass WMF ein niedrigerer oder überhaupt kein
Schaden entstanden ist, bleibt dem Käufer ausdrücklich vorbehalten.
5.Gefahrübergang
5.1 Die Gefahr geht auch bei frachtfreier Lieferung auf den Käufer über, wenn
die Ware dem Versandbeauftragten übergeben worden ist. Dies gilt auch bei
Selbstabholung und Werkverkehr.
5.2 Bei vom Käufer zu vertretenden Verzögerungen der Absendung geht die Gefahr
bereits mit der Mitteilung der Versandbereitschaft über.
5.3 Der Versand erfolgt ab Werk oder Lager auf Rechnung und Gefahr des Käufers.
Für Beschädigungen und Verluste während des Transports haftet WMF nicht.
Soweit nichts anderes vereinbart, wählt WMF Versand und Verpackung nach
pflicht
gemäßem Ermessen. Eine Versiche
rungspflicht über
nimmt WMF nicht.
Auf schriftli
ches Verlangen des Käufers wird die Ware je
doch gegen
Transportschäden und andere Schäden versichert.
6.Gewährleistungsansprüche
Für Sachmängel haftet WMF wie folgt:
6.1 Alle diejenigen Produkte oder Leistungen, die innerhalb der Verjährungsfrist einen
Sachmangel aufweisen, sind nach Wahl von WMF unentgeltlich nachzubessern oder
neu zu erbringen, sofern die Ursache des Sachmangels bereits im Zeitpunkt des
Gefahrübergangs vorlag.
Sachmängelansprüche verjähren in 12 Monaten, bei Vorführgeräten in 6 Monaten.
Die Frist beginnt mit Gefahrübergang. Vorstehende Fristen gelten nicht, soweit
das Gesetz längere Fristen vorschreibt, z.B. § 479 Abs. 1 BGB (Rückgriffsanspruch
des Unternehmers).
6.3 Der Käufer hat Sachmängel gegenüber WMF unverzüglich schriftlich zu rügen.
Rücksendungen mangelfreier Ware werden grundsätzlich nicht akzeptiert und an
den Absender unfrei zurückgesandt.
6.4 Bei Mängelrügen dürfen Zahlungen des Käufers in einem Umfang zurück
gehalten werden, die in einem angemessenen Verhältnis zu den aufgetretenen
Sachmängeln stehen. Der Käufer kann Zahlungen nur zurückhalten, wenn eine
Mängelrüge geltend gemacht wird, über deren Berechtigung kein Zweifel bestehen
kann. Erfolgte die Mängelrüge zu Unrecht, ist WMF berechtigt, die ihr entstandenen
Aufwendungen vom Käufer ersetzt zu verlangen.
6.5 Zunächst ist WMF stets Gelegenheit durch Nacherfüllung gemäß Ziffer 6.1 innerhalb angemessener Frist zu gewähren. Der Käufer hat WMF den beanstandeten
Gegenstand oder Muster davon zur Verfügung zu stellen.
6.6 Mängelansprüche bestehen nicht bei nur unerheblicher Abweichung von der
vereinbarten Beschaffenheit, bei natürlicher Abnutzung oder Schäden, die nach
Gefahrübergang infolge ungeeigneter oder unsachgemäßer Ver
wendung,
fehlerhafter oder nachlässiger Behandlung, übermäßiger Beanspruchung oder
ungeeigneter Betriebsmittel entstehen. Werden vom Käufer oder von Dritten unsachgemäß Änderungen oder Instandsetzungsarbeiten vorgenommen, so bestehen
diese und die daraus entstehenden Folgen ebenfalls keine Mängelansprüche.
6.7 Für Schadensersatzansprüche gilt im Übrigen Ziffer 8.
7.
Unmöglichkeit; Vertragsanpassung
7.1 Soweit die Lieferung unmöglich ist, ist der Käufer berechtigt, Schadensersatz
zu verlangen, es sei denn, dass WMF die Unmöglichkeit nicht zu vertreten hat.
Jedoch beschränkt sich der Schadensersatzanspruch des Käufers auf 60 % des
Warenwertes. Diese Beschränkung gilt nicht, soweit in Fällen des Vorsatzes, der
groben Fahrlässigkeit oder wegen der Verletzung des Lebens, des Körpers oder
der Gesundheit zwingend gehaftet wird; eine Änderung der Beweislast zum
Nachteil des Käufers ist hiermit nicht verbunden. Das Recht des Käufers zum
Rücktritt vom Vertrag bleibt unberührt.
7.2 Sofern unvorhersehbare Ereignisse im Sinne von Ziffer 4.5 die wirtschaftliche
Bedeutung oder den Inhalt der Lieferung erheblich verändern oder auf den
Betrieb von WMF erheblich einwirken, wird der Vertrag unter Beachtung von Treu
und Glauben angemessen angepasst. Soweit dies wirtschaftlich nicht vertretbar
ist, steht WMF das Recht zu, vom Vertrag zurückzutreten. Will WMF von diesem
Rücktrittsrecht Gebrauch machen, so hat sie dies nach Erkenntnis der Tragweite
des Ereignisses unverzüglich dem Käufer mitzuteilen, und zwar auch dann, wenn
zunächst mit ihm eine Verlängerung der Lieferzeit vereinbart war.
8.Schadensersatzansprüche
8.1. Weiter gehende Schadensersatzansprüche des Käufers, gleich aus wel
chem
Rechtsgrund, insbesondere wegen Verletzung von Pflichten aus dem Schuld
verhältnis und aus unerlaubter Handlung, sind ausgeschlossen. Diese Begrenzung
gilt auch, soweit der Käufer anstelle eines Anspruchs auf Ersatz des Schadens statt
der Leistung Ersatz nutzloser Aufwendungen verlangt.
8.2 Dies gilt nicht, soweit zwingend gehaftet wird, z.B. bei Abgabe von Beschaf
fenheits- oder Haltbarkeitsgarantien, nach dem Produkthaftungsgesetz, in Fällen
des Vorsatzes, der groben Fahrlässigkeit, wegen der Verletzung des Lebens, des
Körpers oder der Gesundheit oder der Verletzung wesentlicher Vertragspflichten.
Eine Änderung der Beweislast zum Nachteil des Käufers ist mit den vorstehenden
Regelungen nicht verbunden.
9.Eigentumsvorbehalt
9.1 Die gelieferte Ware bleibt bis zur Erfüllung sämtlicher Ansprüche, die WMF aus der
gegenwärtigen und künftigen Geschäftsverbindung mit dem Käufer zustehen,
Eigentum von WMF (Vorbehaltsware). Soweit der Wert aller Sicherungsrechte, die
WMF zustehen, die Höhe aller gesicherten Ansprüche um mehr als 15% übersteigt,
wird WMF auf Wunsch des Käufers einen entsprechenden Teil der Sicherungsrechte
freigeben.
Bei Pflichtverletzungen des Käufers, insbesondere bei Zahlungsverzug, ist WMF
zum Rücktritt vom Vertrag ohne vorherige Fristsetzung zur Vertragserfüllung
berechtigt. Der Käufer ist unverzüglich zur Herausgabe der Kaufsache verpflichtet.
9.2 Der Käufer ist berechtigt, die Vorbehaltsware im ordentlichen Geschäftsgang
weiterzuveräußern. Er tritt WMF jedoch bereits jetzt alle Forderungen in Höhe des
Fakturenendbetrages der WMF-Forderung ab, die ihm aus der Weiterveräußerung
gegen seine Abnehmer oder Dritte erwachsen, und zwar unabhängig davon, ob
die Vorbehaltsware ohne oder nach Verarbeitung weiterverkauft worden ist.
Zur Einziehung dieser Forderungen bleibt der Käufer auch nach der Abtretung ermächtigt. Die Befugnis der WMF, die Forderung der WMF selbst einzuziehen, bleibt
hiervon unberührt. WMF verpflichtet sich jedoch, die Forderung nicht einzuziehen,
solange der Käufer seinen Zahlungsverpflichtungen ordnungsgemäß nachkommt.
Fehlt es an letztgenannter Voraussetzung, kann WMF verlangen, dass der Käufer
WMF die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum
Einzug erforderlichen Angaben macht, die dazugehörigen Unterlagen aushändigt
und den Schuldnern (Dritten) die Abtretung mitteilt.
9.3 Verarbeitung oder Umbildung der Vorbehaltsware erfolgen für WMF als Hersteller
gemäß § 950 BGB ohne WMF zu verpflichten.
9.4 Wird im Eigentum der WMF stehende Ware mit anderen Gegenständen verar
beitet, erwirkt WMF das Miteigentum an der neuen Sache im Verhältnis des
Verkehrswerts ihrer Ware zum Wert der anderen verarbeiteten Gegenstände zur
Zeit der Verarbeitung.
10.Rückabwicklung
10.1 Sollte der Vertrag aus begründetem Rücktrittsrecht rückabgewickelt werden, so ist
WMF unbeschadet ihre sonstigen, gegen den Käufer möglicherweise bestehenden
Ansprüche berechtigt, für die Nutzung und den Gebrauch der Geräte und als
Wertminderungsentschädigung folgende Betrage zu fordern:
20 % des Kaufpreises zzgl. Mehrwertsteuer nach 6 Monaten;
40 % des Kaufpreises zzgl. Mehrwertsteuer nach einem Jahr;
60 % des Kaufpreises zzgl. Mehrwertsteuer nach zwei Jahren;
10.2 Der Nachweis, dass eine niedrigere oder überhaupt keine Wertminderung
entstanden ist, bleibt dem Käufer ausdrücklich vorbehalten.
11.Abtretungsverbot
Eine Abtretung von Ansprüchen gegenüber WMF aus Verträgen, die zwischen
WMF und dem Käufer geschlossen worden sind, ist ohne ausdrückliche schriftliche
Zustimmung der WMF ausgeschlossen.
12. Gerichtsstand, Erfüllungsort, anwendbares Recht
12.1 Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist unser
Geschäftssitz Erfüllungsort.
12.2 Sofern der Kunde Kaufmann ist, ist unser Geschäftssitz Gerichtsstand; wir sind
jedoch berechtigt, den Käufer auch an seinem Wohnsitzgericht zu verklagen.
12.3 Für die vertraglichen Beziehungen gilt deutsches Recht unter Ausschluss des
Übereinkommens der Vereinten Nationen über Verträge über den internationalen
Warenkauf (CISG).
12.4 Sollte eine der vorstehenden Regelungen unwirksam sein oder sich eine
Regelungslücke ergeben, so tritt an die Stelle der unwirksamen Regelung oder
zur Ausfüllung der Regelungslücke eine wirksame Bestimmung, die dem von den
Parteien wirtschaftlichen Zweck nahe kommt, der von den Parteien gewollt war.
6.2
General Terms and Conditions
1.
1.1
Scope of the Terms and Conditions
The delivery of goods, the services rendered and the offers made by WMF are
always subject to the following „Terms and Conditions“. They shall be deemed to be
accepted by the Purchaser at the receipt of the goods and/or services at the latest.
Terms and conditions of the Purchaser which are in conflict with or deviating from
these Terms and Conditions shall not apply unless it is expressly agreed by WMF.
Even if WMF delivers goods and/ or renders services to the Purchaser being fully
aware that his terms and conditions are in conflict with or deviate from WMF‘s
Terms and Conditions the latter shall apply.
1.2 The Terms and Conditions herein shall apply to companies within the meaning of
§§ 14, 310 German Civil Code (BGB) and to all future business involving WMF unless
the parties expressly agree otherwise.
2.
Offer and signing
2.1 Orders become binding on WMF if they are confirmed expressly or in writing
(including by way of invoice/s and/or delivery note/s). All other agreements are
subject to WMF’s written confirmation. The same applies to supplements, amendments and auxiliary provisions.
2.2 The information, illustrations and details on goods and/or services in catalogues,
price lists and/or offers are approximations usual for this type of business unless it
is expressly stated in the order confirmation that they shall be binding.
3. Prices / Terms and Conditions of Payment
3.1 Unless otherwise agreed all prices are net prices “ex works” and do not include the
VAT on the date of delivery, packaging, freight, shipment or insurance costs.
3.2 WMF’s invoices shall be due and payable in cash thirty (30) days after issue and
receipt. If this payment period is exceeded WMF shall be entitled to interest payments in the amount of 5% over the applicable basic rate pursuant to §247 BGB
and shall have the right to additional damages for delay without further notice. If
payment is made in cash within ten (10) days upon the invoice date then WMF will
grant a rebate of 2% unless agreed otherwise provided all prior WMF invoices have
already been paid.
3.3 Cheques will only be accepted on account of payment.
3.4 Should WMF generally increase or reduce their prices between signing and
delivery then the new prices on the date of shipment shall apply. In case of a price
increase the Purchaser shall be entitled to terminate the contract within fourteen
(14) days after being notified of such increase.
3.5 WMF reserves the right to use payments received to settle the longest outstanding
invoices and all and any interest accrued and other damages of delay in the
following order: costs, interest, principal claim.
3.6 The Purchaser may only have the right to set off if his counterclaims have become
res judicata, are undisputed or have been accepted by WMF.
3.7 If WMF becomes aware of any material adverse change in the Purchaser’s financial
situation after signing the agreement which according to WMF’s best judgement
may endanger its claims WMF shall be entitled to an appropriate security within a
reasonable period of time until the contract is fulfilled or to advanced payments
or payments in consideration for the goods and/or services delivered. WMF is also
entitled to revoke payment periods granted. If the Purchaser does not meet WMF’s
justified demands or not on time WMF may withdraw the agreement or claim
damages instead of the payments.
If the Purchaser is partially in default then WMF may demand the immediate
payment of the total amounts outstanding and if the default is due to a material
adverse change of the Purchaser’s financial situation WMF may withdraw from the
agreement without further notice or demand damages instead of the payments.
In other cases than a material adverse change in the Purchaser’s financial situation
WMF may withdraw from the agreement on fruitless expiration of a reasonable
time llimit.
4.Delivery
4.1 Terms for delivery are non-binding unless the parties expressly agree otherwise.
Partial delivery is permissible. If the parties agree on a fixed delivery date which is
missed by WMF then the Purchaser shall set a reasonable new deadline of at least
four weeks for the delivery. If delivery is not made before that new deadline the
Purchaser has the right to withdraw from the contract.
4.2 The term for delivery begins at the day the order confirmation is issued and it is
complied with if the goods have left the warehouse/works on the last day of the
term for delivery or in case the shipment is not possible if the Purchaser has been
notified of the readiness for shipment.
4.3 Compliance with the agreed term for delivery is subject to the receipt in good time
of all the documentation required from the Purchaser, necessary approvals and
releases, especially all relevant technical drawings, as well as compliance with
the terms and conditions of payment and all other contractual obligations by the
Purchaser. In case of non compliance with these obligations on time the aforementioned terms shall be extended adequately unless WMF is responsible for any
such delay.
4.4 Call-off orders shall - unless otherwise agreed - be made within six months after
notification by WMF of its readiness for shipment. After expiry of that period WMF
is entitled to demand acceptance of the goods or services.
4.5 If the non-compliance with any terms is due to force majeure, regardless of
whether this affects WMF factories or those of their suppliers, then such terms shall
be extended adequately. Force majeure includes but is not limited to state interventions, interruptions to operations, industrial disputes and delays in the delivery
of essential raw or other materials or the like, including strikes and lockouts. If
any such event makes it impossible to deliver goods or services then WMF shall
be released from their obligations and the Purchaser shall not be entitled to any
damages on these grounds. If the goods and/or services to be delivered are of no
further interest to the Purchaser due to any such delay then the Purchaser is entitled to withdraw from the agreement after setting a reasonable new deadline.
If any of the aforementioned obstacles occur in the sphere of the Purchaser then
the same principles shall apply to its obligation to accept any goods or services
provided that WMF has been notified before the delivery in good time. The parties
shall promptly inform the other party of any such obstacles occur.
4.6 If the Purchaser does not accept the contractual goods and/or services then WMF
is entitled to withdraw from the agreement after setting a reasonable new deadline or to seek damages in lieu of performance. In the latter case WMF is entitled
either to claim the actual damages or 20% of the purchase price without having to
provide evidence of such damage. The Purchaser shall have the right to prove that
WMF suffered no or lesser damage.
5. Transfer of risk
5.1 The risk is transferred to the Purchaser when the goods are handed over to the
shipping agent even in the case of a carriage paid to delivery. The same applies to
transport on own account and pick up by the Purchaser.
5.2 If the Purchaser is responsible that the shipment is delayed then the risk is transferred to the Purchaser when he is notified of the readiness for shipment.
5.3 Shipment is carried out ex works or warehouse on the Purchaser’s account and
risk. WMF cannot accept any liability for damage or loss during shipment. Unless
otherwise agreed WMF will choose shipment and packaging according to its best
judgement. WMF will not accept any obligation to take out insurance. However,
goods will be insured against shipment and other damage at the Purchaser’s written request.
6.
Warranty claims
WMF accepts liability for defects as follows:
6.1 All goods and/or services in which show material defect occurs within the period
of limitation period will be repaired at no cost or replaced at WMF’s discretion
provided the cause of the material defect was existing at the time the risk was
transferred.
6.2
Claims based on material defects shall be time barred after the expiry of 12
(twelve) months respectively 6 (six) months in case of demonstration models from
the date the risk has been transferred. The aforementioned periods do not apply
if longer periods are provided by law, e.g. § 479 paragraph 1 BGB (entrepreneur’s
right of recourse).
6.3 The Purchaser has to notify WMF in writing without delay of any material defect
detected. Return shipments of goods free of defects will not be accepted but
returned to the sender at the latter’s expense.
6.4 In case of a defect the Purchaser may withhold payments in a reasonable amount
in relation to the material defects. The Purchaser may only withhold payments if
there is no doubt that such complaint is legitimate. Should any such complaint not
be legitimate the Purchaser shall compensate WMF for any expenses incurred in
that matter.
6.5 Initially WMF shall always have the right to subsequent performance pursuant
clause 6 provision 1 within a reasonable new deadline. The Purchaser must make
the defective goods or a sample thereof available to WMF.
6.6 The Purchaser shall have no claims based on material defects in case of insignificant deviations from the agreed characteristics, in case of natural wear and tear
and in case of damage due to improper use, improper or negligent treatment,
excessive use or unsuitable operating equipment after the transfer of risk. Should
the client or any third party undertake improper modification or repair then WMF
cannot accept any liability whatsoever for same or for any consequential damage.
1.7 In all other respects damages claims are governed by clause 8 herein.
7.
Impossibility; contractual adjustment
7.1 Inasmuch as delivery is not possible, the Purchaser is entitled to demand damages unless WMF is not responsible for the impossibility. However, the Purchaser’s
claim for damages is limited to 60% of the value of the goods. This limitation shall
not apply if there is compelling liability in cases of intent, gross negligence or due
to fatal injury, bodily harm or damage to the health; modification to the onus of
proof to the disadvantage of the Purchaser is not bound to this. The Purchaser’s
right to withdrawal from the agreement is not affected by this.
7.2 Inasmuch as unpredictable events in the terms of clause 4.5 appreciably alter the
economic significance or the content of the delivery or have appreciable influence
on WMF’s operation, the agreement shall be appropriately adjusted observing
good faith. Inasmuch as this is not appropriate, WMF has the right to withdraw
from the agreement. If WMF wishes to make use of this right to withdrawal, it shall
notify this to the Purchaser without delay after seeing the significance of the event
even if, at first, an extension to the delivery period was agreed with him.
8.
Claims for damages
8.1. Any claims for damages on the part of the Purchaser, no matter for which legal
reason, in particular, however, due to breach of duty from the contractual
relationship and from non-permitted action, are ruled out. This limitation also
applies if The Purchaser demands compensation for useless expenditures instead
of damages.
8.2 This does not apply inasmuch as there is compelling liability, e.g. on declaration
of composition or durability guarantees, in accordance with the German Product
Liability Act, in the case of intent, gross negligence, due to fatal injury, bodily harm
or damage to the health or the violation of significant contractual duties. Any
alteration to the onus of proof to the disadvantage of the Purchaser is not connected
to the above-mentioned regulations.
9.
Reservation of title
9.1 Up to fulfilment of all claims, which are due to WMF from the present and future
business connection with the Purchaser, the delivered goods shall remain the
property of WMF (goods subject to reservation of title). Inasmuch as the value of
all securing interests which are due to WMF exceeds the amount of all secured
claims by more than 10%, WMF shall release a corresponding part of the securing
interests at the request of the Purchaser. In case of breach of duty on the part of the
Purchaser, in particular in case of default in payment, WMF is entitled to withdraw
from the agreement without previously setting a period for performance of the
agreement. The Purchaser is obliged to surrender the object of purchase without
delay.
9.2 The Purchaser is entitled to re-sell the goods subject to reservation of title within the
ordinary course of business. Already now, he assigns WMF, however, all demands
amounting to the final invoice sum of the WMF demand which accrue for him
against his purchasers from re-sale irrespective of whether the goods subject to
reservation of title have been resold without or after processing. The Purchaser
is still authorised to debit these demands even after assignment. The authority
of WMF to debit the WMF’s demand itself is not affected by this. WMF undertakes,
however, not to debit the demand as long as the Purchaser correctly meets his payment obligations. If the last-stated prerequisite is not fulfilled, WMF can demand
that the Purchaser make the assigned demands and the debtors thereof known
to WMF, provides information necessary for direct debit, surrender the necessary
documents and notify the debtors (third parties) of the assignment.
9.3 Processing or conversion of the goods subject to reservation of title shall take
place for WMF as the manufacturer in accordance with section 950 without obligation for WMF.
9.4 If the goods which are owned by WMF are processed together with other items,
WMF shall effect co-ownership of the new item in the ratio of the market value of
its items to value of the other processed items at the point of time of processing.
10.Repossessions
10.1 If the agreement – no matter for which legal reason – is reversed, WMF is entitled,
irrespective of any other claims possibly existing against the Purchaser to demand
the following amounts for the use of the devices and as compensation for the
reduction in value:
20 % of the purchase price plus VAT after 6 months;
40 % of the purchase price plus VAT after one year;
60 % of the purchase price plus VAT after two years;
10.2 Proof that there has been lower or no reduction in value whatsoever in the device
is expressly reserved for the Purchaser.
11. Prohibition of assignment
Assignment of claims towards WMF from contracts which have been concluded between WMF and the Purchaser is ruled out without the expressed written approval
of WMF.
12. Place of performance, place of jurisdiction and applicable law
12.1 The place of performance for the performance of the Purchaser is Geislingen
(Steige) unless another place is confirmed in the order confirmation.
12.2 The sole place of jurisdiction for all disputes arising from the contractual
relationshipdirectly or indirectly is Geislingen (Steige). WMF is entitled, however,
to take action at the seat of the Purchaser.
12.3 German law shall apply for the contractual relations excluding the Convention on
Contracts for the International Sale of Goods (CISG).
12.4 In the case of ineffectiveness of one or more provisions of this agreement, the
contractual partners shall find a replacement regulation which economically
most closely approaches the ineffective regulation. The same shall apply to any
omissions in the agreement.
