After Austria eked out a mere 0.2 per cent GDP growth in 2013, it slipped into stagnation in the second half of 2014. Austria has been in a state of recession since the middle of 2014, and GDP likely stagnated in year-on-year comparison (0.0 per cent to 0.03 per cent). Such a protracted period of economic stagnation or recession of course has consequences. Businesses are having difficulties making major investments or hiring additional staff because of low order intake. The generally weak state of the economy in Eastern Europe and the escalation of the Ukraine conflict are dampening goods exports to some countries in the region, especially Russia. Italy, Austria’s second most important trading partner, also reported disappointing growth. The manufacturing industry invested in additional production capacity over the past years to expand into new export markets. Companies that focus on the USA, China, and the Middle East are enjoying substantial export increases. However, companies with sales markets in Eastern Europe and Italy are often not seeing the desired return on their investments. Overall, the capacity of Austria’s businesses is not being used fully, and corporate investment activity retreated in 2014. As this adjustment process is not yet fully completed, we expect corporate investment (gross capital formation) to contract further in 2015. While the jobless rate is falling in nearly every country of the EU, it had risen to 4.9 per cent (EU definition) in Austria as of the end of 2014. Wages grew only marginally in 2014, and were not able to keep pace with the increase in the general price level (falling real wages). Low corporate profitability and rising unemployment make real wage growth unlikely in 2015, as well. In 2014, inflation was driven by rent increases as well as by the fact that the falling energy prices (such as for petrol and natural gas) were not fully passed on to consumers in Austria. More substantial price declines were seen here in other EU countries. Austria had the highest inflation rate (HICP) in the Eurozone in 2014 at 1.5 per cent (Germany 0.8 per cent; Eurozone 0.4 per cent). Falling real wages impacted buying power, and households were only able to marginally increase their consumer spending in 2014. The savings rate remained very low by historical standards at less than 8 per cent of the disposable net income. In light of the low level of saving and the uncertainty that terrorist activities and the tensions with Russia are causing, we expect the savings rate to climb slightly in Europe in 2015. Wirtschaftliche Entwicklung | KONJUNKTUR ÖSTERREICH Das Jahr 2014 entwickelte sich für die österreichische Wirtschaft zur Belastungsprobe. Nachdem das österreichische BIP 2013 mit 0,2 % nur knapp wachsen konnte, stagnierte es im 2. Halbjahr 2014 sogar. Österreich befindet sich seit Mitte 2014 in einer rezessiven Phase. Das BIP dürfte im Jahr 2014 gegenüber dem Vorjahr stagniert haben (0,0 % bis 0,03 %). Eine derart lang anhaltende Phase der wirtschaftlichen Stagnation bzw. Rezession bleibt natürlich nicht ohne Folgen. Unternehmen fällt es aufgrund mangelnder Auftragseingänge schwer, größere Investitionen zu tätigen oder zusätzliche Arbeitskräfte einzustellen. Die allgemein schwache Konjunkturdynamik in Osteuropa und die wirtschaftlichen Folgen der Eskalation im Ukraine-Konflikt führten zu Rückgängen der Warenausfuhr in einige osteuropäische Länder, insbesondere Russland. Zudem enttäuschte das Wirtschaftswachstum in Italien, dem zweit wichtigsten Handelspartner Österreichs. Der produzierende Bereich investierte in den vergangenen Jahren in die Ausweitung der Produktionskapazitäten, um neue Exportmärkte zu erschließen. Unternehmen mit Fokus auf die USA, China und den Nahen Osten können sich über kräftige Exportzuwächse freuen. Für jene Unternehmen, deren Absatzmärkte sich in Osteuropa oder Italien befinden, rechnen sich die Investitionen der vergangenen Jahre oft nicht. Insgesamt sind die Produktionskapazitäten österreichischer Unternehmen nicht ausgelastet, wodurch 2014 Unternehmensinvestitionen sanken. Da dieser Anpassungsprozess noch nicht abgeschlossen ist, erwarten wir auch 2015 eine sinkende Investitionstätigkeit im Unternehmensbereich (Bruttoanlageinvestitionen). Während die Arbeitslosigkeit in nahezu allen EU-Staaten sinkt, ist sie in Österreich mit Jahresende 2014 auf 4,9 % (EU-Definition) angestiegen. Die Löhne konnten 2014 nur geringfügig wachsen und fallen hinter den Anstieg des allgemeinen Preisniveaus zurück (sinkende Reallöhne). Geringe Unternehmensprofitabilität und steigende Arbeitslosigkeit deuten darauf hin, dass auch 2015 kein reales Lohnwachstum zu erwarten ist. Mieterhöhungen waren 2014 die Inflationstreiber. Darüber hinaus wurden die fallenden Energiepreise (z.B. Benzin, Gas) in Österreich nicht vollständig an die Konsumenten weitergegeben. In anderen EU-Ländern war hier ein stärkerer Preisrückgang zu beobachten. Österreich wies 2014 mit 1,5 % (Deutschland 0,8 %; Eurozone 0,4 %) die höchste Inflation (HICP) der Eurozone aus. Sinkende Reallöhne belasten die finanzielle Situation der Konsumenten. 2014 konnten die privaten Haushalte ihre Konsumausgaben nur geringfügig steigern. Die Sparquote bleibt im historischen Vergleich mit weniger als 8 % des verfügbaren Nettoeinkommens sehr gering. Wir erwarten angesichts des geringen Sparaufkommens und der vorherrschenden Verunsicherung durch Terrorismus und die Spannungen mit Russland in Europa im Jahr 2015 eine leicht ansteigende Sparquote. Der private Konsum dürfte 2015 wohl stagnieren. 7 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report | THE EUROPEAN AND US ECONOMY Europe has been in a persistent state of low growth, low inflation, falling interest rates, rising public debt, consolidation in the banking sector, and additional monetary policy measures since 2008. We expect this to continue in 2015. Economic growth in the currency zone will likely be at around 1.0 per cent. The outlook in the USA is considerably more optimistic. After the severe economic crisis in 2008/09, the flexible US economy recovered rapidly, and will likely come close to boom levels in 2015 with GDP growth of 3.0 per cent. | INTEREST AND EXCHANGE RATES Mario Draghi’s European Central Bank presidency brought an unparalleled monetary policy turnaround. The bank now takes a considerably more confident, proactive, and expansive course. The ECB does not shy away from controversial measures such as negative interest rates and the purchase of securities from private and public debtors, and will maintain this course until at least 2016. The currency gatekeepers see enough cause with inflation lying well below their target (HICP close to but under 2.0 per cent). We expect short- and medium-term interest rates (out to five years) to remain close to 0 per cent beyond 2015. We anticipate yields of 0.5 per cent for ten-year bonds (German benchmark) at the long end of the yield curve. Macrobond 8 Supervisory Board's Report Lagebericht Jahresabschluss 2014 Bericht des Abschlussprüfers Bericht des Aufsichtsrates | KONJUNKTUR EUROPA UND USA Europa befindet sich in einer seit 2008 andauernden Phase des niedrigen Wachstums, der niedrigen Inflation, der fallenden Zinsen, der steigenden Staatsschulden, eines konsolidierenden Bankensektors und zusätzlicher geldpolitischen Maßnahmen. Wir gehen auch für 2015 von einer Fortsetzung dieser Entwicklung aus. Das Wirtschaftswachstum für den Währungsraum dürfte um die 1,0 % liegen. In den USA ist der Konjunkturausblick deutlich optimistischer. Nach der schweren Wirtschaftskrise 2008/09 erholte sich die flexible US-Wirtschaft rasch und dürfte mit einem BIP-Wachstum von 3,0 % im Jahr 2015 beinahe Hochkonjunkturniveau erreichen. | ZINSEN- UND WECHSELKURSENTWICKLUNG Mario Draghis EZB-Vorsitz brachte eine bis dato unvergleichliche Kehrtwende in der Geldpolitik mit sich. Die Europäische Zentralbank (EZB) agiert heute deutlich selbstbewusster, pro-aktiver und expansiver. Die Europäische Zentralbank scheut kontroverse Maßnahmen wie Negativzinsen oder den Ankauf von Wertpapieren privater und öffentlicher Schuldner nicht und wird diese auch bis zumindest 2016 fortsetzen. Das Verfehlen ihres Inflationsziels (nahe an, aber unter 2,0 % HVPI) liefert den Währungshütern dafür ausreichenden Anlass. Die kurz- bis mittelfristigen Zinsen (bis 5 Jahre) bleiben unserer Einschätzung nach noch über 2015 hinaus nahe 0 %. Am langen Ende der Zinskurve erwarten wir Renditen um 0,5 % für 10-jährige Laufzeiten (Deutsche Benchmark). First of all, Austria’s two most important trading partners – Germany and Italy – are suffering a cyclical downturn. Additional dampening effects are coming from the sustained political tensions between Russia and the EU and the associated mutual sanctions. In addition to the lack of revenues from business in Eastern Europe, the relatively high levels of unused capacity will cause a decline in corporate investing activity in 2015. However, because of the central role that small companies play in the country and the low level of corporate debt, the Austrian economy is flexible enough to adapt quickly. Austrian consumers, who boosted consumption through the reduced savings rate in past years, are likely to reach their limit in 2015. Stagnating real wages and high unemployment will all but rule out growth impetus from private consumption. The greatest contribution to growth in 2015 will likely come from declining imports. We expect GDP growth to amount to only 0.5 per cent for 2015 as a whole. A tax reform could improve the financial situation for households. However, we doubt that the net effect (less reciprocal financing) will be enough to offset the negative effects from lower real wages and rising savings. We think that GDP growth rates in excess of 1.0 per cent will not be realistic in Austria until 2016. Key Events during the Financial Year CHANGES IN THE SUPERVISORY BOARD Sabine Sorf-Mastny resigned from the Supervisory Board as of 12 June 2014. Anas Abuzaakouk was newly appointed to the Supervisory Board on the same date. OTHER EVENTS The shareholder structure and the composition of the Managing Board did not change. 10 Supervisory Board's Report Organe Lagebericht Jahresabschluss 2014 Bericht des Abschlussprüfers Bericht des Aufsichtsrates | AUSBLICK Das Geschäftsjahr 2015 wird durch schwierige konjunkturelle Rahmenbedingungen gekennzeichnet. Einerseits leiden die zwei wichtigsten Handelspartner Österreichs, Deutschland und Italien, unter einer zyklischen Konjunkturschwäche. Hinzu kommt die nachhaltig belastete politische Beziehung zwischen Russland und der EU samt gegenseitigen Sanktionen. Zusätzlich zu den fehlenden Erträgen aus dem Ostgeschäft werden die nur schwach ausgelasteten Produktionskapazitäten 2015 zu sinkenden Unternehmensinvestitionen führen. Die österreichische Wirtschaft ist jedoch aufgrund der kleinbetrieblichen Struktur und der nur geringen Unternehmensverschuldung flexibel genug, um eine rasche Anpassung durchzuführen. Die österreichischen Konsumenten, die in den vergangenen Jahren durch sinkende Sparquoten den Konsum stützten, dürften 2015 an ihre Belastungsgrenze stoßen. Stagnierende Reallöhne und hohe Arbeitslosigkeit werden kaum Wachstumsimpulse von Seiten des privaten Konsums erlauben. Sinkende Importe dürften 2015 den größten Wachstumsbeitrag liefern. Für das Gesamtjahr 2015 rechnen wir mit lediglich 0,5 % BIP-Wachstum. Eine Steuerreform hätte das Potenzial, die finanzielle Situation der Haushalte zu verbessern. Wir sind jedoch skeptisch, dass der Nettoeffekt (abzüglich Gegenfinanzierung) ausreicht, die negativen Effekte aus Reallohnverlusten und steigendem Sparaufkommen auszugleichen. Erst ab 2016 erachten wir in Österreich BIP-Wachstumsraten von über 1,0 % als realistisch. 2.2. Wesentliche Ereignisse des Geschäftsjahres ÄNDERUNGEN IM AUFSICHTSRAT Frau Mag. Sabine Sorf-Mastny hat ihr Aufsichtsratsmandat mit Wirkung vom 12.06.2014 zurückgelegt. Herr Anas Abuzaakouk wurde mit gleicher Wirksamkeit neu in den Aufsichtsrat gewählt. SONSTIGES Sowohl die Eigentumsverhältnisse als auch die Zusammensetzung des Vorstands sind von Kontinuität geprägt. 11 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report Notes to the Annual Financial Statements The Bank’s assets totalled EUR 2,945.7 million on 31 December 2014. | ASSETS easybank met all minimum reserve and liquidity requirements laid down in the Austrian Banking Act throughout 2014 and had deposits at Oesterreichische Nationalbank (the Austrian national bank) totalling EUR 26.5 million on 31 December. Receivables from credit institutions increased from EUR 2,606.4 million to EUR 2,709.5 million. Receivables from customers grew by 38.6 per cent in the reporting period, and amounted to EUR 198.5 million (2013: EUR 143.2 million). The tangible non-current assets came to EUR 3.6 million (2013: EUR 0.06 million). | LIABILITIES Payables to credit institutions were virtually unchanged at EUR 5.8 million (2013: EUR 5.7 million). Payables to customers increased by 5.3 per cent, and totalled EUR 2,861.8 million on the reporting date (2013: EUR 2,717.5 million). These account for roughly 97 per cent of the balance sheet total. Provisions increased by EUR 316 thousand from EUR 1,706 thousand to EUR 2,022 thousand. This increase is due primarily to other provisions and provisions for termination benefits. The subscribed capital of EUR 25 million and the capital reserves of EUR 356 thousand remained unchanged compared with the previous year. The fund for general bank risks was increased by EUR 6,500 thousand to EUR 8,500 thousand. The free reserve was increased to EUR 6,050 thousand (2013: EUR 3,300 thousand), and the statutory reserve to EUR 2,144 thousand (2013: EUR 1,974 thousand). The liability reserve pursuant to section 57 (5) BWG was increased by EUR 100 thousand and now totals EUR 2,100 thousand. The supplementary capital remained unchanged at EUR 7,027 thousand. Because of the high share of group receivables that are weighted at 0 per cent, the required own funds are still low compared with the Bank’s total assets. At an own funds requirement pursuant to Article 92 Regulation (EU) No. 575/2013 (EU Capital Requirements Regulation hereinafter referred to as CRR) of EUR 16.34 million, the Bank’s eligible own funds pursuant to Part Two CRR total EUR 41.6 million. The own funds requirement for operational risk was calculated using the standardised approach, while the IRB approach was used for credit risk. The allocation of additional capital to the fund for general bank risks and the increased revenue reserves further strengthened the Bank’s own funds. The Bank had excess own funds of 154 per cent as of 31 December 2014. 12 Supervisory Board's Report Organe Lagebericht Jahresabschluss 2014 2.3. Erläuterungen Bericht des Abschlussprüfers Bericht des Aufsichtsrates zum Jahresabschluss Die Bilanzsumme zum 31. Dezember 2014 wurde mit 2.945,7 Mio. Euro ausgewiesen. | AKTIVA Die easybank hat 2014 sämtliche Vorschriften des Bankwesengesetzes bezüglich der Mindestreserveverpflichtungen und der Liquiditätshaltung erfüllt. Per 31.12. wurde ein Guthabenstand bei der Oesterreichischen Nationalbank von 26,5 Mio. Euro gehalten. Die Forderungen an Kreditinstitute erhöhten sich von 2.606,4 Mio. Euro auf 2.709,5 Mio. Euro. Die Forderungen an Kunden wurden im Geschäftsjahr 2014 um 38,6 % gesteigert und betragen nun 198,5 Mio. Euro (VJ: 143,2 Mio. Euro). Das Sachanlagevermögen wird mit 3,6 Mio. Euro (VJ: 0,06 Mio. Euro) ausgewiesen. | PASSIVA Die Verbindlichkeiten gegenüber Kreditinstituten sind nahezu unverändert bei 5,8 Mio. Euro (VJ: 5,7 Mio. Euro). Die Verbindlichkeiten gegenüber Kunden wurden um 5,3 % erhöht und liegen nun bei 2.861,8 Mio. Euro (VJ: 2.717,5 Mio. Euro). Diese stellen somit rund 97 % der Bilanzsumme dar. Die Rückstellungen wurden von 1.706 Tsd. Euro um 316 Tsd. Euro auf 2.022 Tsd. Euro erhöht. Die Erhöhung betrifft überwiegend die sonstigen Rückstellungen und die Rückstellungen für Abfertigungen. Das Grundkapital (25 Mio. Euro) und die Kapitalrücklagen (356 Tsd. Euro) gelangen gegenüber dem Vorjahr unverändert zum Ausweis. Der Fonds für allgemeine Bankrisiken wurde um 6.500 Tsd. Euro auf 8.500 Tsd. Euro aufgestockt. Die freie Rücklage wurde auf 6.050 Tsd. Euro (VJ: 3.300 Tsd. Euro) und die gesetzliche Rücklage auf 2.144 Tsd. Euro (VJ: 1.974 Tsd. Euro) angehoben. Die Haftrücklage gemäß § 57 (5) BWG wurde um 100 Tsd. Euro aufgestockt und beträgt nunmehr 2.100 Tsd. Euro. Das Ergänzungskapital steht mit 7.027 Tsd. Euro unverändert zu Buche. Durch den hohen Anteil an mit 0 % gewichteten Konzernforderungen sind die erforderlichen Eigenmittel im Vergleich zur Bilanzsumme weiterhin auf geringem Niveau. Bei einem Eigenmittelerfordernis gemäß Art. 92 Verordnung (EU) Nr. 575/2013 (EU Capital Requirements Regulation in der Folge kurz: CRR) von 16,34 Mio. Euro betragen die anrechenbaren Eigenmittel gemäß Teil 2 CRR 41,6 Mio. Euro. Das Eigenmittelerfordernis für das operationelle Risiko wurde nach dem Standardansatz ermittelt, für das Kreditrisiko wurde der IRB-Ansatz angewendet. Durch die Dotierung des Fonds für allgemeine Bankrisiken sowie die Aufstockung der Gewinnrücklagen wurden die Eigenmittel weiter gestärkt. Die Überdeckung der Eigenmittel beträgt 154 % per 31. Dezember 2014. 13 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report | INCOME STATEMENT Net interest income came in at EUR 38.9 million, compared with EUR 21.0 million in the previous year. The increase in net interest income resulted from improved margins. Commission income improved by EUR 1.3 million to EUR 12.6 million. Operating income for the period came to EUR 45.8 million (2013: EUR 28.2 million). Operating expenses increased by EUR 1.5 million to EUR 16.1 million due to the general high increase in business volume. Staff costs were unchanged at EUR 6.8 million. This resulted in a significantly improved operating profit for the period of EUR 29.6 million, compared with EUR 13.6 million in the previous year. The valuation result from credit risks and securities increased slightly to EUR 503 thousand (2013: EUR 469 thousand). This increase is disproportionately lower than the increase in the receivables from customers. This brought a significantly improved result on ordinary activities of EUR 29.1 million, an increase of 122 per cent. Due to a tax allocation agreement in force because of the Bank’s membership in BAWAG Holding Group, the Bank incurred income taxes in the amount of EUR 4,610 thousand in the 2014 financial year. After allocating free reserves of EUR 2,750 thousand, statutory reserves in the amount of EUR 170 thousand, EUR 100 thousand to the liability reserve, and an amount of EUR 6,500 thousand to the fund for general bank risks, easybank reported a profit for the period of EUR 15.03 million, including the profit carried forward of EUR 22 thousand. 14 Supervisory Board's Report Organe Lagebericht Jahresabschluss 2014 Bericht des Abschlussprüfers Bericht des Aufsichtsrates | GEWINN- UND VERLUSTRECHNUNG Der Nettozinsertrag liegt bei 38,9 Mio. Euro nach 21,0 Mio. Euro im Vorjahr. Die Verbesserung des Nettozinsertrages ist in einer Margenverbesserung begründet. Die Provisionserträge erhöhten sich um 1,3 Mio. Euro auf 12,6 Mio. Euro. Die Betriebserträge betrugen somit 45,8 Mio. Euro (VJ: 28,2 Mio. Euro). Die Betriebsaufwendungen erhöhten sich um 1,5 Mio. Euro auf 16,1 Mio. Euro. und gingen einher mit der generellen deutlichen Geschäftsausweitung. Die Personalaufwendungen blieben mit 6,8 Mio. Euro unverändert. Somit ergibt sich ein signifikant verbessertes Betriebsergebnis von 29,6 Mio. Euro (VJ: 13,6 Mio. Euro). Das Bewertungsergebnis aus Kreditrisiken und Wertpapieren erhöhte sich leicht auf 503 Tsd. Euro (VJ: 469 Tsd. Euro). Dieser Anstieg ist unterproportional zum Anstieg der Kundenforderungen. Dadurch ergibt sich ein deutlich verbessertes Ergebnis der gewöhnlichen Geschäftstätigkeit in Höhe von 29,1 Mio. Euro, was einer Steigerung von 122 % entspricht. Im Rahmen einer Gruppen- und Steuerumlagevereinbarung im Rahmen der BAWAG Holding Gruppe fallen 2014 Ertragsteuern in der Höhe von 4.610 Tsd. Euro an. Berücksichtigt man noch die Rücklagendotierung in Höhe von 2.750 Tsd. Euro in die freie Rücklage, 170 Tsd. Euro in die gesetzliche Rücklage, 100 Tsd. Euro in die Haftrücklage sowie die Einstellung von 6.500 Tsd. Euro in den Fonds für allgemeine Bankrisiken, so weist die easybank unter Einbeziehung des Gewinnvortrages von 22 Tsd. As a member of the BAWAG P.S.K bank group, easybank is integrated into this group’s risk management organisation. The portfolio risk figures presented in the consolidated annual report for BAWAG P.S.K. Group also include the figures for easybank. In addition, easybank takes all necessary measures as an individual institution to adequately manage, monitor, and limit the business and operational risks to which it is exposed. To this end, a risk report covering all material risk positions is drawn up regularly. | RISK MANAGEMENT FRAMEWORK AND RISK ORGANISATION The members of the group supervisory board and managing board are responsible for BAWAG P.S.K. Group’s risk strategy. The principles of risk management, limits for all relevant risks, and procedures for monitoring these risks are documented in risk manuals and work guidelines. easybank also has its own manuals and guidelines that document the internal processes and deviations from BAWAG P.S.K.’s practices. The Managing Board of easybank is responsible for these documents. Policies are established to identify and analyse the risks faced by BAWAG P.S.K. Group, to set appropriate risk limits and controls, and to monitor risks and compliance with the specified limits. Group. The existing audit plans, which are adopted annually by the group managing board on the basis of recommendations from the internal audit department, lays down the types and scopes of audits that will be completed to ensure that the entire Company is audited sufficiently within a reasonable period of time. | SPECIFIC RISKS OF EASYBANK Credit Risk Credit risk is the general risk that a customer will not be able to meet its payment obligations. The internal ratings-based (IRB) approach is used to calculated the minimum own funds requirement for credit risk. In the Retail segment, the creditworthiness of customers is assessed by means of an automated scoring method. This consists of application scoring on the basis of proven and recognised mathematical and statistical models, and behavioural scoring on the basis of the customer’s account use. The customer’s credit rating is updated every month on this basis. The specific risk categories from the uniform BAWAG P.S.K. master scale are assigned to the customer on this basis and represent its individual estimated probability of default. All non-consumer exposure components that exist in BAWAG P.S.K. Group are aggregated at the customer and customer group level using a specific software application. Duties requiring that exposures be reported to the Managing Board and Supervisory Board of easybank are defined for customers/groups of affiliated customers by risk grades to identify the concentration of risk exposure. A credit risk report covering the following is submitted to the Supervisory Board every quarter: • Portfolio distribution • Development of new business • Development of risk costs • Development of commercial customer exposures Risk Policy for Retail and Small Business Customers The framework for the granting of loans to retail and small business customers is defined in the Bank’s credit risk guidelines. These guidelines are reviewed regularly and adjusted to changes in business conditions as well as to new knowledge whenever necessary. Valuation of Residential and Commercial Properties The value of all residential properties in Austria is determined by the central real estate valuation department of BAWAG P.S.K. Group on the basis of a largely standardised method and using a valuation tool. Commercial properties are appraised individually by experts from BAWAG P.S.K. Bei der Berechnung des Mindestkapitalerfordernisses kommt für das Kreditrisiko der auf internen Ratings basierende (IRB-) Ansatz zur Anwendung. Im Kundensegment „Retail“ wird die Kreditwürdigkeit über automatisierte Scoringverfahren ermittelt. Diese bestehen aus einem Antragsscoring, das auf bewährten und anerkannten mathematisch-statistischen Methoden beruht, sowie einem Verhaltensscoring, dem die Kontogestion des Kunden zugrunde liegt. Auf dieser Basis wird eine monatlich aktualisierte Bonitätseinschätzung unserer Kunden erstellt. Die Risikoeinstufung wird über eine einheitliche BAWAG P.S.K. Masterskala transformiert und jedem Kunden als dessen individuelle, geschätzte Ausfallswahrscheinlichkeit zugeordnet. Alle Risikokomponenten außerhalb des Privatkundensegments werden in der BAWAG P.S.K. Gruppe grundsätzlich auf der Aggregationsebene von Einzelkunden bzw. Kundengruppen zusammengeführt. Um Klumpenrisiken auf Kunden- und Kundengruppenebene aufzuzeigen, sind in Abhängigkeit von Risikoklasse und Höhe aushaftender Forderungen Berichtspflichten an Vorstand und Aufsichtsrat der easybank definiert. Bewertung von Wohn- und Gewerbeimmobilien Die Wertermittlung für Wohnimmobilien im Inland erfolgt ausschließlich durch die zentrale Fachabteilung der BAWAG P.S.K. Gruppe für Immobilienbewertung nach einer weitgehend standardisierten Methode unter Zuhilfenahme eines Bewertungstools. Gewerbeimmobilien werden von Sachverständigen der BAWAG P.S.K. This change reflects the growth in customer deposits in easybank current accounts. In relative terms, the increase was the greatest in the retail segment at around 39 per cent (from EUR 140 to 195 million). Non Performing Loans Exposures relating to all customers in default risk class 8 are categorised as non performing loans (NPL), regardless of whether a limit has been exceeded or a payment missed on an individual account or not. As soon as the material exposure of a customer is over 90 days past due, an impairment provision has been allocated, or a customer-specific default criterion applies, the customer is considered to be in default with all of its exposure-related products and is assigned to risk class 8. Non Performing Loans Als Non Performing Loans (NPL) gelten alle Exposures von Kunden in der DefaultRisikoklasse „8“, unabhängig davon, ob auf Einzelkontoebene eine Limitüberziehung oder ein Ratenrückstand vorliegt oder nicht. Sobald entweder ein materielles Exposure eines Kunden mit mehr als 90 Tagen in Verzug ist, eine Wertberichtigung dotiert wird oder ein kundenbezogenes Ausfallkriterium zutrifft, wird der Kunde mit allen seinen exposuretragenden Produkten als ausgefallen gewertet und der Risikoklasse 8 zugeordnet. The total volume of NPLs fell by 7.2 per cent from EUR 2,860 thousand to EUR 2,654 thousand. The share of collateralised receivables fell while impairment provisions increased; this caused the net amount of this item to increase slightly from EUR 145 thousand to EUR 212 thousand. The coverage of the NPLs by impairment provisions and collateral decreased slightly from 94.9 to 92.0 per cent. Market Risk Market risk refers to the risk of loss for easybank resulting from disadvantageous changes in the fair values of assets due to changes in trading prices, market indices, market spreads, and/or market liquidity levels. Market risk includes interest rate risk and currency risk. In BAWAG P.S.K. Group, the identification, measurement, analysis, and management of market risk is performed by the Market Risk division. All strategies, organisational procedures, and principles of risk management and monitoring are documented in an internal group market risk manual. easybank does not maintain a securities trading book. For this reason, market risk is only measured for the banking book. Interest rate risk in the banking book is the potential loss resulting from net asset value changes and the future development of net interest income due to adverse interest rate shifts. Risks arising from changes in the fair value of transactions because of changes in the yields being traded on the market for top-rated interest-bearing securities as well as interest surplus risks are considered interest rate risk. Such risks can have an effect on the Bank’s own investments in bonds, on time deposits, and on interest-related forward transactions. easybank measures and monitors interest rate risk at the portfolio level. Market risk is bounded by the market risk limits and outlier ratios that are approved by easybank’s Managing Board. These are centrally calculated and monitored by BAWAG P.S.K. for easybank. Determining the market risk provides a basis for deciding on transactions that are relevant for the banking book. An additional sensitivity analysis by the Risk Pro ALM software measures interest rate risk for the specific date using the present value of a basis point (PVBP) concept. The present value of a basis point is an absolute value that is derived from the duration of interest-bearing financial instruments that indicates the change in the net cash value of the instrument that will occur when the market yield curves shift by one basis point (0.01 per cent). The PVBP calculation for easybank as of 31 December 2014 yields minus EUR 8,971 (2013: minus EUR 15,023). The PVBP limit was increased from EUR ±20,000 to EUR ±25,000 in September. Das gesamte NPL-Volumen reduzierte sich um 7,2 % von 2.860 auf 2.654 Tsd. Euro. Der Anteil der besicherten Forderungen ist zurückgegangen, dafür wurden die Wertberichtigungen erhöht; die Nettoposition erhöhte sich geringfügig von 145 auf 212 Tsd. Euro. Die Deckung der NPLs durch Wertberichtigungen und Sicherheiten hat sich von 94,9 % auf 92,0 % leicht reduziert. Marktrisiko Als Marktrisiken werden potentielle Verluste bezeichnet, die aus einer für die easybank nachteiligen Veränderung des Marktwertes von Vermögenswerten aufgrund von Änderungen von gehandelten Marktpreisen, Marktindizes, Marktspreads und/oder Marktliquiditäten resultieren. Das Marktrisiko umfasst das Zinsänderungsrisiko sowie das Fremdwährungsrisiko. In der BAWAG P.S.K. Gruppe obliegen Identifikation, Bewertung, Analyse und Management des Marktrisikos dem Bereich „Markt Risiko“. Alle Strategien, Organisationsverfahren und Grundsätze des Risikomanagements und Risiko-Monitorings werden in einem gruppeninternen Marktrisikohandbuch ausgewiesen. Die easybank führt kein Wertpapierhandelsbuch. Die Messung des Marktrisikos beschränkt sich daher auf das Bankbuch. Das Zinsrisiko im Bankbuch wird als jener Verlust gemessen, der sich aus Nettoveränderungen des Vermögenswerts und der künftigen Entwicklung des Nettozinsertrags infolge ungünstiger Zinsentwicklungen ergibt. Als Zinsänderungsrisiken werden sowohl solche Risiken bezeichnet, die aus der Marktwertänderung von Geschäften aufgrund von Änderungen der am Markt gehandelten Renditen für verzinsliche Positionen bester Bonität resultieren, als auch Zinsüberschussrisiken. Sie können sich auf Eigenveranlagungen in Schuldverschreibungen, auf Termingelder oder auf zinsabhängige Termingeschäfte auswirken. Die Zinsänderungsrisiken der easybank werden auf Portfolioebene gemessen und überwacht. Das Marktrisiko wird durch die vom Vorstand der easybank genehmigten Marktrisikolimits und die Outlier Ratios begrenzt. Diese werden von der BAWAG P.S.K. im Auftrag der easybank zentral berechnet und überwacht. Die Angabe des Marktrisikos bietet eine Grundlage, um über bankbuchrelevante Transaktionen zu entscheiden. Eine zusätzliche Sensitivitätsanalyse in der ALM-Software Risk Pro misst das Zinsrisiko anhand des Basispunktwert-Konzepts (PVBP-Konzept) taggenau. Der Barwert einer Basispunktmessung (PVBP) ist ein absoluter Wert, der aus der Duration zinsbringender Finanzinstrumente abgeleitet ist, was die Veränderung des Nettoinventarwerts infolge einer Verschiebung der Marktrenditekurven um einen Basispunkt (0,01 Prozent) in Geldeinheiten angibt. Die PVBP-Berechnung der easybank zum 31. Dezember 2014 ergibt -8.971 Euro (-15.023 Euro im Vorjahr). Das PVBP-Limit wurde im September von ±20.000 Euro auf ±25.000 Euro angehoben. Das Verhältnis zwischen dem taggenau gemessenen Basispunktwert für eine Renditeverschiebung von 200 Basispunkten und den anrechenbaren Eigenmitteln (interne Outlier Ratio) belief sich auf 5,6 % (VJ: 0,3 %). 23 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report The replication model used by easybank for current account deposits and other call deposits was most recently reviewed in September 2014. The replication assumptions for the current account deposits are a combination of the rates for overnight, five-year, and ten-year terms; the assumptions for the other sight deposits are a combination of the rates for three-month, five-year, and ten-year terms. Rolling investments were assumed in modelling the replication assumptions. Foreign exchange risk is part of market risk and is the risk that the Bank may incur a loss resulting from a possible disadvantageous change in the value of an open spot exchange position (in EUR), an open claim or liability in a foreign currency, or an open forward transaction. easybank’s foreign currency exposures arise from loans granted in foreign currencies and are fully hedged. easybank has no relevant foreign exchange risk in the banking book. Liquidity Risk In addition to the risk of not being able to hold a liability until maturity (liquidity risk in a narrower sense, call risk), this risk also includes the danger that the Bank will be unable to obtain sufficient liquidity because of unexpected conditions (refinancing risk). It also includes the risk that investors will not be able to liquidate or settle their positions because of a lack of market depth or possible slides or losses on the markets (market liquidity risk). easybank’s business focuses traditionally on customer deposits, and the Bank has excellent liquidity. Most surplus deposits are invested with its group parent. As part of the operational liquidity management, the first- and second-tier liquidity required by easybank were calculated according to the legal requirements on a monthly basis, and corresponding measures implemented by the Managing Board as needed. In preparation for Basel III, the liquidity cover ratio (LCR) and net stable funding ratio (NSFR) for easybank were calculated, the results analysed, and the necessary steps for technical system implementation and for keeping the metrics within the defined bounds determined in cooperation with BAWAG P.S.K. The reporting of the metrics to the regulatory authorities was mandatory from 31 March 2014. Compliance for the LCR pursuant to Art. 38 of the delegated regulation of the EU Commission from 10 October 2014 based on Art. 460 CRR is mandatory from 1 October 2015. Mandatory introduction of the NSFR is scheduled for 1 January 2018. easybank manages its liquidity risk by appropriately structuring the maturities of its receivables and payables and its interest rates and minimum commitment periods. Measures, methods, processes, and responsibilities according to the national and European regulations are defined in the manual governing the liquidity planning and management process and in the liquidity contingency plan. Die Replikationsannahmen wurden für die Giroeinlagen als Mischsatz aus den Laufzeiten Overnight, 5 und 10 Jahre und für die sonstigen, täglich verfügbaren Einlagen als Mischsatz aus den Laufzeiten 3 Monate, 5 und 10 Jahre festgelegt. Bei der Modellierung der Replikationsannahmen werden rollierende Investments unterstellt. Fremdwährungsrisiken gehören ebenfalls zu Marktrisiken und bezeichnen das Verlustpotenzial, das aus einer möglichen für die Bank negativen Wertänderung (in Euro) einer offenen Devisenkassaposition, einer offenen Forderung oder Verbindlichkeit in fremder Währung oder eines offenen Devisentermingeschäfts resultiert. Die Fremdwährungspositionen der easybank entstehen aus den in Fremdwährung ausgegebenen Krediten und sind zur Gänze abgesichert. Die easybank hat kein relevantes Fremdwährungsrisiko im Bankbuch. Liquiditätsrisiko Unter Liquiditätsrisiko versteht man einerseits die Gefahr, die Verbindlichkeiten nicht bis zur Endfälligkeit halten zu können (Liquiditätsrisiko im engeren Sinne, Abrufrisiko), und andererseits auch die Gefahr, auf Grund einer unerwarteten Situation nicht genügend Liquidität beschaffen zu können (Refinanzierungsrisiko). Es beinhaltet außerdem das Risiko, dass Unternehmen infolge zu seichter Märkte oder möglicher Einbrüche oder Verluste auf den Märkten ihre Positionen nicht auflösen oder ausgleichen können (Marktliquiditätsrisiko). Die easybank ist ein traditionell einlagenlastiges Institut und verfügt über eine ausgezeichnete Liquidität. Die Veranlagung der Einlagenüberschüsse erfolgt überwiegend bei der Konzernmutter. Im Rahmen des operativen Liquiditätsmanagements wurden monatlich die notwendigen liquiden Mittel des ersten und zweiten Grades entsprechend den gesetzlichen Vorgaben berechnet und vom Vorstand der easybank gegebenenfalls entsprechende Maßnahmen eingeleitet. In Vorbereitung auf Basel III wurden in der easybank in Zusammenarbeit mit der BAWAG P.S.K. regelmäßig die Liquiditätskennzahlen Liquidity Coverage Ratio (LCR) und Net Stable Funding Ratio (NSFR) ermittelt, die Ergebnisse analysiert und die notwendigen Schritte zur systemtechnischen Implementierung und Einhaltung der Kennzahlen identifiziert. Die Kennzahlen waren erstmals mit dem Stichtag 31. März 2014 regulatorisch zu melden. Die Einhaltung ist für die LCR gemäß Art. 38 des delegierten Rechtsakts der EU-Kommission vom 10.10.2014 basierend auf Art. 460 CRR ab 01.10.2015 vorgeschrieben. Für die NSFR ist die verbindliche Einführung mit 01.01.2018 vorgesehen. Die easybank steuert die Liquiditätsrisiken durch entsprechende Gestaltung der Fälligkeitsstruktur von Forderungen und Verbindlichkeiten sowie der Zinsanpassungs- und Kündigungsmöglichkeiten. Maßnahmen, Methoden, Prozesse und Verantwortlichkeiten gemäß den nationalen und europäischen Regulatorien werden im Handbuch Ablaufbeschreibung Liquiditätsplanung und -steuerung sowie im Liquiditätsnotfallsplan definiert. Zum Monitoring der Liquiditätsposition werden tägliche Auswertungen über die Bestandsentwicklung aller wesentlichen Ausleihungs- und Einlagenpositionen im Rahmen des Finanz-Controllings erstellt. 25 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report Operational Risk Operational risk covers potential losses arising from insufficient and/or failed systems, methods, or processes as a result of intentional or accidental misconduct by employees or as a result of external influences. This definition includes legal risk to the extent that such incidents arise from operational causes as specified in this definition. It does not include strategic risk or business risk. BAWAG P.S.K. Group uses the standardised approach pursuant to Art. 317 CRR to calculate its own funds requirements in connection with operational risk at the group level and for itself as an individual institution. Quantitative and qualitative methods are used to measure operational risk. Losses incurred in the business segments and divisions as a result of operational risks are continuously documented through an institutionalised loss reporting system to collect data for the internal management of operational risks. Subsequent analysis allows the clustering of losses to be identified early and further losses to be prevented. Additional information is collected through Risk Control Self-Assessments (RCSAs). All members of BAWAG P.S.K. Group assess their material operational risks and the effectiveness of their control measures on a yearly basis using a uniform framework. This includes the assessment of individual control measures, the estimation of probabilities, and the extent of losses arising from individual risks. easybank employs a wide range of organisational and computerbased tools to manage this type of risk and to limit losses caused by operational risks to the greatest extent possible: • System of authority and authorisations •Organisational manual (processes and assignment of responsibilities to the organisational units) •A risk-adequate internal control system with computerassisted control routines and plausibility checks •Scheduled and unscheduled reviews of the conduct of business by the internal audit department and BAWAG P.S.K. Participation Risk Participation risk is the risk that an equity investment held by the Bank can lead to losses from provided equity capital, earnings transfer agreements, or liability risks. easybank has no equity investments aside from its share in the deposit insurance association and a 0.1 per cent share in BAWAG P.S.K. Diese Definition enthält das Rechtsrisiko, soweit dieses durch operationelle Ursachen im Sinne dieser Definition begründet ist. Sie enthält nicht das strategische Risiko oder das Geschäftsrisiko. Die BAWAG P.S.K. Gruppe verwendet zur Berechnung der Eigenmittelerfordernisse für operationelle Risiken auf Konzern- und Einzelinstitutsebene den Standardansatz gemäß Art. 317 CRR. Zur Messung operationeller Risiken werden sowohl quantitative als auch qualitative Methoden verwendet. Zur Gewinnung einer Datengrundlage des internen Managements des operationellen Risikos werden im Rahmen eines institutionalisierten Meldewesens kontinuierlich die aus operationellen Risiken resultierenden Ereignisse und Verluste gesammelt. Die daran anschließende Analyse ermöglicht die rechtzeitige Feststellung von Anhäufungen, um weitere Verluste vermeiden zu können. Zusätzliche Informationen werden im Rahmen von Risk Control Self Assessments (RCSA) erhoben. Innerhalb eines einheitlichen Rahmens identifizieren und bewerten Unternehmen der BAWAG P.S.K. Gruppe jährlich ihre wesentlichen operationellen Risiken und die Wirksamkeit der Kontrollen. Dies beinhaltet die Bewertung individueller Kontrollen und die Schätzung der Wahrscheinlichkeit und des Ausmaßes von Verlusten aus den einzelnen Risiken. In der easybank werden verschiedenste organisatorische und EDV-technische Maßnahmen eingesetzt, um diese Risikoart zu steuern und das Ausmaß an Verlusten aus operationellen Risiken so gering wie möglich zu halten: • Kompetenz- und Pouvoir-Ordnung • Organisationshandbuch (Prozesse und Geschäftseinteilung der organisatorischen Einheiten) • Ein risikoadäquates internes Kontrollsystem mit EDV-gestützten Kontrollroutinen und Plausibilitätsprüfungen • Planmäßige und außerplanmäßige Überprüfungen der Geschäftsabwicklung durch die Innenrevision und zusätzlich durch die Konzernrevision der BAWAG P.S.K. Beteiligungsrisiko Das Beteiligungsrisiko stellt die Gefahr dar, dass die von einem Kreditinstitut eingegangenen Beteiligungen zu potentiellen Verlusten aus bereitgestelltem Eigenkapital, aus Ergebnisabführungsverträgen oder aus Haftungsrisiken führen können. These include: Business risk and strategic risk, in other words the risk of financial damage from decisions with a long-term effect made on the basis of assumptions that turn out to be incorrect and that have an effect on the development of individual business areas of easybank or on the development of easybank as a whole. Sales risks refer to the danger arising from failure to meet sales targets (new business volume and/or margins) in customer business and the negative effects that this can have on the earnings of easybank. Reputational risk is the danger of direct or indirect negative effects arising from damage to the Company’s reputation and the associated opportunity costs, such as the loss of customers and higher refinancing costs. Macroeconomic risks refer to the risks arising from disadvantageous changes in the development of the economies in which easybank does business. easybank currently focuses on the Austrian market. Non-Financial Performance Indicators | MARKET AND PRODUCTS easybank – Simple, Direct, and Modern Simple and innovative products, continuously optimised processes, and a strong customer orientation are the keys to easybank’s success. Even though easybank has no branch network, more and more retail customers are using it as their main bank. Consumers want to conduct their banking business as simply, directly, and independently as possible, without being bound by fixed bank business hours. There is also a continuing trend towards simpler and more transparent forms of saving and investment that involve lower levels of risk. easybank is keeping pace with this development and offers its customers products that they understand. easybank is Austria’s first and largest direct bank with a full bank’s spectrum of services and offers attractive terms for current and savings accounts as well as for securities trading, financing, credit card products, and personal investment. Im Einzelnen: Geschäftsrisiko und strategisches Risiko stellen die Gefahr von finanziellen Schäden aus langfristig wirkenden Entscheidungen dar, die auf sich als unzutreffend herausstellenden Annahmen beruhen und sich auf Entwicklungen einzelner Geschäftsfelder oder der gesamten easybank auswirken. Vertriebsrisiken bezeichnen die Gefahren, die aus der Verfehlung der angestrebten Vertriebsziele (Neugeschäftsvolumina und/oder Margen) im Kundengeschäft resultieren und sich negativ auf die Ertragsentwicklung der easybank auswirken. The fact that easy gratis is free of charge for an indefinite period of time, that it requires no minimum balance or minimum salary deposits, and that it does not require that customers have additional easybank products sets the account apart. The test included 41 products from 19 banks in Vienna; two banks indicated annual account costs of EUR 0. Recommender Award for “Excellent Customer Orientation” The annual customer satisfaction survey of Finanz-Marketing Verband Österreich (FMVÖ) asked 8,000 people about the service provided by and whether or not they would recommend Austria’s banks, insurance companies, and building savings associations. Der Unterschied zu vergleichbaren Produkten am Markt besteht darin, dass easy gratis unbefristet kostenlos ist, weder Mindestsaldo noch MindestGehaltseingang erfordert und auch nicht den Besitz weiterer easybank-Produkte voraussetzt. Holders of credit cards and bank cards can withdraw cash at Shell filling stations. The easybank Concept – The “easy” Product Family easybank has been operating under the slogan EASYBANK since it opened in 1997. All products are offered under brand names composed of the core element of EASY and an addition describing the banking service. This series brand approach built around the core of EASY was new at the time, and was a cornerstone of the business concept as the plans for the Bank were drawn up before its establishment in 1996. This concept was also implemented consistently and with excellent success from the very beginning. An online survey conducted by the market research institute Marketagent.com confirmed the high recognition, distinctiveness, and association value of the brand EASY. A total of 80.4 per cent of the respondents associated the brand EASY with a specific company. Of the respondents who associate EASY with a specific company, 71.5 per cent specified easybank. This means that the brand has an extraordinarily high recognition score. | RESEARCH AND DEVELOPMENT easybank’s business activity is the provision of banking services. The provision of these services does not entail the research and development that is typical of manufacturing companies. However, the introduction of new products involves development processes that require a high degree of creativity and drive. Two additional members of the Supervisory Board are nominated by the Works Council (the members of the Supervisory Board and the composition of its committees are listed in the section Boards and Officers). The Rules of Procedure of the Supervisory Board comprise the rights and obligations of this board. Separate rules of procedure are are defined for each committee. The Audit Committee is responsible for reviewing the Bank’s accounts and the annual financial statements, and monitoring the Bank’s risk management and internal control systems. This committee is also in regular contact with the external auditor, the internal audit department, and the Compliance Office. The annual audit plans and reports about the activities of the internal audit department and the Bank’s Compliance Office are also submitted to the Audit Committee. The Remuneration Committee approves general principles of the Bank’s remuneration policy. It also monitors the remuneration policy, remuneration practices, and remuneration-based incentive structures pursuant to section 39c of the Austrian Banking Act, except for those pertaining to Managing Board members. The Nomination Committee deals with the selection of members of the Managing Board and the evaluation of their professional and personal suitability. It also focuses on implementing the suitability evaluation rules for members of the Managing Board and Supervisory Board. Pursuant to section 39d BWG, a Risk Committee has been set up and deals primarily with issues of risk appetite and the risk strategy. Managing Board The Managing Board again consisted of two members in 2014 (the members of the Managing Board are listed in the section Boards and Officers). Weiters sind vom Betriebsrat zwei Vertreter in den Aufsichtsrat entsandt (die einzelnen Mitglieder des Aufsichtsrats sowie die Zusammensetzung seiner Ausschüsse sind im Kapitel „Organe“ dargestellt). Die Geschäftsordnung des Aufsichtsrats beinhaltet die Rechte und Pflichten des Aufsichtsrats. Für die Ausschüsse des Aufsichtsrats sind jeweils separate Geschäftsordnungen festgelegt. Der Prüfungsausschuss beschäftigt sich insbesondere mit der Prüfung der laufenden Rechnungslegung, der Prüfung des Jahresabschlusses, dem Risikomanagement und den internen Kontrollsystemen der Bank. Der Ausschuss steht weiters in laufendem Kontakt mit dem Bankprüfer, der Internen Revision sowie dem Compliance Office. Auch die jährlichen Prüfungspläne sowie Berichte über die Tätigkeiten der Internen Revision und des Compliance Office der Bank werden dem Prüfungsausschuss vorgelegt. Der Vergütungsausschuss genehmigt die allgemeinen Grundsätze der Vergütungspolitik. Weiters werden die Vergütungspolitik, die Vergütungspraktiken und die vergütungsbezogenen Anreizstrukturen im Sinne des § 39c BWG, soweit sie nicht Vorstandsmitglieder betreffen, überwacht. Der Nominierungsausschuss befasst sich mit der Auswahl von Mitgliedern des Vorstands sowie der Evaluierung ihrer fachlichen und persönlichen Eignung. Weiters steht die Umsetzung der Fit & Proper-Regeln für Vorstandsmitglieder und Aufsichtsräte im Fokus. The key responsibilities of the Compliance Office are preventing money laundering, monitoring compliance with sanctions, securities compliance, and the prevention of insider trading, market abuse, and conflicts of interest. A series of detailed guidelines have been put into place to ensure compliance with all legal requirements. In addition to all relevant laws such as the Securities Supervision Act, all employees are also bound by a Compliance Code that contains, among other things, guidelines for business conduct and customer service, for how conflicts of interest are to be handled, and for preventing market abuse and money laundering. | HUMAN RESOURCES AND TRAINING easybank’s employees are required to be highly flexible in their working hours because of the Bank’s focus on the customer’s needs. Gruppe ist auch für die easybank tätig. Es erfolgt eine regelmäßige Berichterstattung direkt an den Vorstand der easybank, der seinerseits an den Prüfungsausschuss des Aufsichtsrats berichtet. Die wesentlichen Aufgaben des Compliance Office umfassen die Verhinderung von Geldwäsche, die Überwachung der Einhaltung von Sanktionen, Wertpapier-Compliance, Vermeidung von Insider-Trading und Marktmissbrauch sowie von Interessenskonflikten. Es besteht eine Reihe von detaillierten Richtlinien, welche die Einhaltung aller gesetzlichen Vorschriften sicherstellen sollen. In personal banking, our core business, 2014’s strong growth has continued in the first weeks of this year. In the first two months of the current financial year, the number of new accounts increased further. The record low market interest rates seem to be stabilising at this level for the foreseeable future. This is requiring adaptations in our product and price policies, especially for deposits. The focus in 2015 will again be on strengthening easybank’s position as a main bank for private customers. In addition to the current account products, credit card services, securities products, and lending are making increasing positive contributions to the Bank’s result. The low interest rate level enables the Bank to offer loans at attractive terms. The technical innovations implemented over the past years in electronic and mobile banking will be continued, and the Bank’s positive technology image will be strengthened further. Cash services are being offered at filling stations in cooperation with Shell Austria, enabling all customers at the stations to withdraw cash with a bank card or credit card. Starting in 2015, these points of contact will be used to present easybank’s products to potential customers through appropriate advertising. Plans are also in place to open up new business areas in Austria and abroad. Ausblick Bericht des Abschlussprüfers Bericht des Aufsichtsrates easybank 2015 Für die easybank steht das Jahr 2015 weiterhin im Zeichen des Wachstums der Kundenzahl bei gleichzeitiger Stabilisierung der im abgelaufenen Wirtschaftsjahr stark verbesserten Ertragslage. Im Privatkundengeschäft, dem Kernbereich, hielt der expansive Trend des Jahres 2014 zu Beginn des aktuellen Kalenderjahres weiterhin an. In den ersten beiden Monaten des laufenden Geschäftsjahres konnte die Anzahl an Kontoverbindungen weiter gesteigert werden. Die historisch niedrigen Marktzinsen scheinen sich auf diesem Niveau bis auf weiteres zu stabilisieren. Dies stellt geänderte Anforderungen an die Produkt- und Preispolitik, wovon vor allem die Einlagen betroffen sind. Der Fokus für das Jahr 2015 liegt weiterhin im Ausbau der Position der easybank als Hauptbankverbindung für Privatkunden. In Ergänzung zu den Giro-Produkten leisten das Kreditkartengeschäft, das Wertpapiergeschäft und auch das Kreditgeschäft zunehmend höhere Ergebnisbeiträge. Das niedrige Marktzinsniveau bietet die Möglichkeit, Kredite mit attraktiven Konditionen anzubieten. Die in den vergangenen Jahren umgesetzten technischen Innovationen im ElectronicBanking und im Mobile-Banking werden fortgesetzt und das positive Technologie-Image der Bank wird noch weiter gestärkt. Im Rahmen einer Kooperation mit Shell Austria werden Bargeld-Services an ShellTankstellen angeboten, die für alle Tankstellenbesucher Barabhebungen mit der Bankomatund der Kreditkarte ermöglichen. Diese Kontaktpunkte werden ab 2015 genutzt, um potentiellen Kunden mittels Werbematerial Produkte der easybank vorzustellen. Die Erschließung von zusätzlichen Geschäftsfeldern im In- und Ausland ist geplant. Konkrete Projekte befinden sich im Prüfungsstadium. The principles used in the preparation of the balance sheet correspond to standard bank practice and have not changed. The annual financial statements were prepared according to generally accepted accounting principles and provide as true and fair a view of the Company’s financial and earnings position as possible. Receivables from credit institutions and customers are generally recognised using the nominal value of the receivable item. In the case of identifiable default risks, individual impairment provisions are formed according to common criteria for each individual risk item, especially in retail banking. Securities held for purposes of ongoing business are classified as financial investments and recognised as such on the balance sheet. If the acquisition cost is higher than the redemption amount, the difference is written down on a pro rata basis pursuant to section 56 (2) BWG. If the acquisition cost is lower than the redemption amount, the difference is written up on a pro rata basis pursuant to section 56 (3) BWG. All other securities, especially those that can serve as a liquidity reserve, are valued at the lower of cost or market. A securities trading book is not maintained. Equity investments are valued at cost unless non-temporary losses or a lack of earning power make writedowns necessary. Intangible and tangible non-current assets are recognised at cost less scheduled straightline amortisation. The amortisation rate for intangible assets is between 20 and 33.3 per cent. The amortisation rate for tangible assets is between 10 and 14.29 per cent. Acquisitions in the first half of the year are written down using the full annual rate, acquisitions made in the second half of the year are written down using half the annual rate. Low-value assets with an individual purchase cost of EUR 400 or less are written down in full in their year of acquisition. Liabilities are valued at their repayment amount in accordance with the principle of prudence. 58 Supervisory Board's Report Organe Lagebericht Jahresabschluss 2014 3.5. Anhang Bericht des Abschlussprüfers Bericht des Aufsichtsrates für das Geschäftsjahr 2014 | BILANZIERUNGS- UND BEWERTUNGSMETHODEN Der Jahresabschluss wurde nach den zum Bilanzstichtag geltenden Bestimmungen des Unternehmensgesetzbuches (UGB), den geltenden Bestimmungen des Bankwesengesetzes (BWG) und damit entsprechend den Formblättern Anlage 2 zu § 43 BWG erstellt. Die Bilanzierungsregeln, die den bankspezifischen Usancen entsprechen, haben sich nicht geändert. Der Jahresabschluss entspricht den Grundsätzen ordnungsgemäßer Buchführung und vermittelt ein möglichst getreues Bild der Vermögens-, Finanz- und Ertragslage des Unternehmens. Forderungen an Kreditinstitute und Kunden werden grundsätzlich mit dem Nennwert der Forderungen aktiviert. Die Vorsorge für erkennbare Risiken bei Kreditnehmern erfolgt durch die Bildung von Einzelwertberichtigungen, die für einzelne Risikopositionen, vor allem im Privatgeschäft, nach gemeinsamen Kriterien ermittelt werden. Wertpapiere, die dauernd dem Geschäftsbetrieb dienen und entsprechend gewidmet sind, werden als Finanzanlagevermögen bilanziert. Liegen die Anschaffungskosten über dem Rückzahlungsbetrag, wird der Unterschiedsbetrag nach § 56 (2) BWG zeitanteilig abgeschrieben. Liegen die Anschaffungskosten unter dem Rückzahlungsbetrag, wird der Unterschiedsbetrag nach § 56 (3) BWG zeitanteilig zugeschrieben. Alle übrigen Papiere, insbesondere Werte, die als Liquiditätsreserve dienen können, werden nach dem strengen Niederstwertprinzip angesetzt. Ein Wertpapier-Handelsbuch wird nicht geführt. Beteiligungen werden zu Anschaffungskosten bewertet, sofern nicht anhaltende Verluste eine Abschreibung erforderlich machen. Die Bilanzierung der immateriellen Vermögensgegenstände des Anlagevermögens und Sachanlagen erfolgt zu Anschaffungs- bzw. Herstellungskosten abzüglich der planmäßigen, linearen Abschreibung. Der Abschreibungssatz bei den immateriellen Vermögensgegenständen beträgt zwischen 20 % und 33,3 %. Bei den Sachanlagen beträgt der Abschreibungssatz zwischen 10 % und 14,29 %. Bei Zugängen in der ersten Jahreshälfte wird die volle Jahresabschreibung, bei jenen in der zweiten Jahreshälfte die halbe Abschreibung vorgenomen. Geringwertige Vermögensgegenstände bis 400 Euro Einzelanschaffungswert werden im Zugangsjahr voll abgeschrieben. Verbindlichkeiten sind mit ihrem Rückzahlungsbetrag unter Bedachtnahme auf den Grundsatz der Vorsicht angesetzt. 59 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report Supervisory Board's Report Provisions for termination benefits were calculated on 31 December 2014 using discounted methods (interest rate of 2.5 per cent [2013: 3 per cent], entry age normal method) in accordance with expert opinion KFS RL 2 of the Board of Experts in the Austrian Chamber of Public Accountants (Fachsenat für Unternehmensrecht und Revision) applying a fluctuation discount of 3 per cent (2013: 3 per cent). Provisions for jubilee benefits were calculated according to the entry age normal method with an interest rate of 2.5 per cent (2013: 3 per cent) and a fluctuation discount of 3 per cent. The provisions for post-employment benefits were calculated using actuarial methods (entry age normal method, AVÖ 2008 P-Angestellte actuarial tables) using an interest rate of 2.5 per cent (2013: 3 per cent). The other provisions were formed in accordance with the expected obligations. They take into account all recognisable risks and obligations, including those that have not yet been valued. Mit Wirkung vom 01.01.2010 wurde eine neue Steuergruppe gemäß § 9 KStG mit der BAWAG Holding GmbH als Gruppenträger gebildet, an der unter anderem die easybank AG als Gruppenmitglied beteiligt ist. Eine Steuerumlagenvereinbarung wurde abgeschlossen. Für die Ermittlung der Steuerumlagen wurde die Verteilungsmethode gewählt. Bei dieser Methode wird vom Steuerergebnis der ganzen Gruppe ausgegangen. Die Steuer wird über Steuerumlagen im Verhältnis der steuerlichen Ergebnisse der Gruppenmitglieder auf die Mitglieder mit positivem steuerlichem Ergebnis verteilt. Ein interner Verlustvortrag für an den Gruppenträger übertragene steuerliche Verluste wird hierbei berücksichtigt. Human Resources As of 31 December 2014, the Bank had 103 employees (2013: 110 employees); the average number of employees for the year was 103 (2013: 108). These annual financial statements comprise the balance sheet as of 31 December 2014, the income statement for the financial year ended 31 December 2014 and the notes. Management's Responsibility for the Financial Statements and for the Accounting Records The company’s management is responsible for the company accounting records and for the preparation and fair presentation of financial statements for the reporting period in accordance with Austrian commercial and banking law. This responsibility includes: designing, implementing and maintaining internal control relevant to the preparation and fair presentation of financial statements that are free from material misstatement, whether due to fraud or error; selecting and applying appropriate accounting policies; and making accounting estimates that are reasonable in the circumstances. Auditor's Responsibility and Description of Type and Scope of the Statutory Audit Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with laws and regulations applicable in Austria and generally accepted standards on auditing and bank auditing. These standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. Jänner 2014 bis zum 31. Dezember 2014 unter Einbeziehung der Buchführung geprüft. Dieser Jahresabschluss umfasst die Bilanz zum 31. Dezember 2014, die Gewinn- und Verlustrechnung für das am 31. Dezember 2014 endende Geschäftsjahr sowie den Anhang. Wirtschaftsprüfer 79 Boards and Officers Management Report Annual Financial Statements 2014 Auditor's Report The Managing Board informed the Supervisory Board of the course of business and other material developments in the Bank in regular meetings during financial year 2014. Four meetings were held in 2014, and motions were also adopted by way of circular resolution. The Audit Committee convened four times, the Remuneration Committee and Nomination Committee each met once, and the Risk Committee also convened once. The Managing Board submitted comprehensive reports to the Supervisory Board both on a regular basis and whenever extraordinary events required. An ongoing open dialogue was maintained between these two governing bodies. This enabled the Supervisory Board to fulfil its obligations as laid down in the pertinent legal regulations and in the Company’s articles of association and to verify that the Bank was managed correctly and that the present annual financial statements are correct. The annual financial statements including the management report were examined by the nominated auditor, Deloitte Audit Wirtschaftsprüfungs GmbH, Renngasse 1/Freyung A-1013 Vienna, and were certified without qualification. These annual financial statements as of 31 December 2014 were given an unqualified auditor’s opinion pursuant to section 274 (1) UGB. The Supervisory Board concurs with the results of the audit, raises no objections against the annual financial statements and management report including proposal for the appropriation of profits submitted by the Managing Board, and hereby approves the annual financial statements for 2014 pursuant to section 125 (2) Stock Corporation Act (AktG). Bericht des Abschlussprüfers Bericht des Aufsichtsrates BERICHT DES AUFSICHTSRATES Supervisory Board’s Report Der Aufsichtsrat wurde vom Vorstand während des Geschäftsjahres 2014 in regelmäßig abgehaltenen Sitzungen über den Gang der Geschäfte und über die Entwicklung der Bank unterrichtet. Es wurden im Jahr 2014 vier Sitzungen abgehalten und Beschlüsse im Umlaufweg gefasst. Zudem fanden vier Sitzungen des Prüfungsausschusses, eine Sitzung des Vergütungsausschusses, eine Sitzung des Nominierungsausschusses sowie eine Sitzung des Risikoausschusses statt. Durch den Vorstand erfolgte laufend eine zeitnahe und umfassende Berichterstattung an den Aufsichtsrat. Zwischen den Gremien fand eine offene Diskussion statt. Dadurch konnte der Aufsichtsrat die ihm nach Gesetz und Satzung obliegenden Aufgaben wahrnehmen und sich von der Ordnungsmäßigkeit der Geschäftsführung und des vorliegenden Jahresabschlusses überzeugen. Der Jahresabschluss unter Einschluss des Lageberichtes wurde durch die zum Abschlussprüfer (Bankprüfer) gewählte Deloitte Audit Wirtschaftsprüfungs GmbH, Renngasse 1/Freyung, 1013 Wien, ohne Beanstandung überprüft. Dem vorliegenden Jahresabschluss zum 31. Dezember 2014 wurde daher der uneingeschränkte gesetzliche Bestätigungsvermerk gem. § 274 (1) UGB erteilt. Der Aufsichtsrat hat sich dem Ergebnis der Prüfung angeschlossen, erklärt sich mit dem vom Vorstand vorgelegten Jahresabschluss samt Lagebericht einschließlich Gewinnverwendungsvorschlag einverstanden und billigt den Jahresabschluss 2014, der damit gemäß § 125 (2) Aktiengesetz festgestellt ist.
