BOHRERFOLG
Der Vorstand der Activa Resources AG gibt über das Geschäftsjahr 2004 und den
Geschäftsausblick folgendes bekannt. Seit seiner Bestellung im Jahre 2004 hat der
neue Vorstand die Gesellschaft erfolgreich als reine Erdöl und Erdgas Explorationsund Produktionsgesellschaft etabliert. Zusätzlich zum Erwerb zum 1. Januar 2005 der
Activa Resources LLC, San Antonio, Texas, hat der Vorstand sämtliche Restbeteiligungen aus den vorherigen Geschäftsaktivitäten entsprechend abgeschrieben
und/oder veräußert, so dass zum 31. Dezember 2004 keine nennenswerten
Beteiligungen aus dieser Zeit vorhanden waren. Der Vorstand gibt erste Details über
den Geschäftsabschluss 2004 bekannt. Diese sind vom Wirtschaftsprüfer fertig
gestellt, jedoch noch nicht vom Aufsichtsrat festgestellt. Im Berichtsjahr erzielte Activa
Resources AG Erträge aus dem Verkauf von Wertpapieren in Höhe von EUR 149,000.
Dadurch entstanden realisierte Kursverluste von EUR 18.100. Abschreibungen in Höhe
von EUR 404,000 verursachten einen Jahresfehlbetrag von EUR 556,400. Durch diese
radikale Restrukturierung ist Activa Resources AG jetzt in der Lage sich der Zukunft zu
widmen und Gewinne zu erzielen. Der Vorstand erwartet für das Geschäftsjahr 2005
keine weiteren bilanziellen Maßnahmen die aus den vorherigen Geschäftsaktivitäten
resultieren. Die Akquisition von 100% der Activa Resources LLC zum 1. Januar 2005
wurde vom Vorstand getätigt in der Kenntnis, dass Activa Resources LLC über einen
Zeitraum von fast zwei Jahren ein Portfolio an Bohrechten in bekannten
ölproduzierenden Gebieten zusammengestellt hatte und, dass die Gesellschaft kurz vor
der Aufnahme der Bohraktivitäten stand. Seit Februar 2005 hat Activa Resources LLC
mit ihren Beteiligungen an 4 erfolgreichen Bohrungen einen exzellenten Start hingelegt.
Die Bohraktivitäten werden über die kommenden Monate fortgesetzt. Der Vorstand
schätzt das nicht risiko-adjustierte Reservepotential der Gesellschaft bei bis zu 12
Mio. BOE (Barrels Oil Äquivalent) was einem abdiskontierten netto Barwert von ca. USD
200 Mio. entspricht. Für das Geschäftsjahr 2006 wird das Umsatzpotential bei über
USD 10 Mio. geschätzt. Der Mittelzufluss aus der heute bekannt gegebenen
Kapitalerhöhung wird die Finanzierung der ersten Bohrphasen des Projektportfolios
sichern.
Der Vorstand gibt folgende Details über den aktuellen Stand der Projekte bekannt:
Hidalgo Frio, Hidalgo County, Texas: Die erste Bohrung ist erfolgreich durchgeführt
worden und wird voraussichtlich im Juli angeschlossen. Die Lage der zweiten Bohrung
ist von der Betreibergesellschaft bereits vorgeschlagen worden. Der Bohrbeginn ist für
August vorgesehen.
Pearsall Field, Frio County, Texas: Die Betreibergesellschaft des Projektes, Alamo
Operating Co., hat die Quelle Voss C#1-H mit 2 Horizontalabschnitten erfolgreich fertig
gebohrt. Diese zweite Bohrung im Pearsall Feld wurde am 26. April begonnen. Der erste
Horizontalabschnitt wurde am 19. Mai bei einer Tiefe von 9,385 Fuß zu Ende gebohrt,
der zweite Abschnitt am 12. Juni bei 11,534 Fuß. Beide Abschnitte wurden
anschliessend mit einer Saürebehandlung gereinigt. Produktionsbeginn wird für Juli
erwartet. Die erste Bohrung (Bennett Brown) produziert derzeit täglich 75 Barrels Erdöl
und 250 Barrels Wasser bei steigendem Erdölanteil. Der Betreiber wird demnächst eine
stärkere Pumpe einsetzen um die Produktionsrate zu erhöhen. Über die kommenden
Monate wird eine wesentlich höhere Ölproduktion mit fallendem Wasseranteil erwartet.
AKG Giddings, Grimes County, Texas: Diese Quelle produziert weiterhin täglich ca. 2
Mio. Kubikfuß Erdgas und hat seit Produktionsbeginn Ende Februar ca. 500 Mio.
Kubikfuß produziert.
Myers Barnett Shale, Jack County, Texas: Das allgemeine Interesse für die Barnett Shale
Formation in diesem Gebiet steigt weiter und die Betreibergesellschaft des Projektes
(Bayrock) setzt ihre Leasingaktivitäten fort. Bayrock wartet derzeit auf das notwendige
Bohraggregat um im Juli die erste Bohrung anzusetzen.
Adams Ranch, Medina County, Texas: Verhandlungen mit Landbesitzern über die
Sicherung weiterer Pachtverträge werden fortgesetzt. Activa arbeitet derzeit mit einer
Pipelinegesellschaft zusammen um die notwendige Produktionsinfrastruktur zu
installieren.
Double 7, Sterling County, Texas: Die Betreibergesellschaft, Bright & Company, wartet
derzeit auf einen Bohrturm. Der Bohrbeginn wird für Juli erwartet.
Geneva Project, Schleicher County, Texas: Die Betreibergesellschaft, Parr Minerals,
wartet derzeit auf einen Bohrturm. Der Bohrbeginn wird für Juli erwartet.
Loma Field, Galveston County, Texas: Sowohl geologische als auch geophysische
Evaluierungsarbeiten werden in diesem Projektgebiet fortgesetzt. Es wird erwartet,
dass der Betreiber, Peoples Energy, eine Bohrung im 4. Quartal dieses Jahres
vorschlagen wird.
Grey Prospect, Calcasieu Parish, Louisiana: Dieses Projekt ist für das 4. Quartal diesen
Jahres angesetzt.
Caddo Waterflood, Jack County, Texas:
Leasingverhandlungen werden fortgesetzt.
Die
rechtlichen
Vorarbeiten
sowie
North Orange, Orange County, Texas: Obwohl ein Vorschlag der Betreibergesellschaft
Benchmark Production Company für eine Bohrung bis zu einer Tiefe von 9.500 Fuß
vorlag, entschied sich Activa gegen eine Beteiligung an dieser Quelle. Aufgrund der
Einschätzung der zu erwartenden Kosten sowie Risiken passt diese Beteiligung derzeit
nicht in Activa’s Portfolio.
AKG-Tait, Colorado County, Texas: Die Genehmigung für eine 3D seismische Analyse
wurde erteilt und der Erwerb von weiteren Daten wird fortgesetzt. Diese Vorarbeiten
werden voraussichtlich vom Betreiber AKG bis September fertig gestellt.
Weitere Projekte: Activa prüft weitere Projekte um das jetzige Portfolio zu ergänzen
bzw. zu verbessern. Verhandlungen werden für diverse zusätzliche Beteiligungen
derzeit aktiv geführt.

ACTIVA RESOURCES AG PROVIDES BUSINESS UPDATE AND REPORTS LATEST DRILLING
SUCCESS
The Management Board of Activa Resources AG provides the following information
regarding its financial year 2004 and a business outlook. Since its appointment in 2004
the new Management Board of Activa Resources AG has successfully positioned the
company as a pure oil and gas exploration and production company. In addition to
acquiring Activa Resources LLC, San Antonio, Texas, as of January 1st 2005, the
Management Board has written off and/or sold all of the legacy holdings that had been
acquired by the previous management, such that at 31.12.2004 the company owned no
legacy holdings of any value. As a result of this the Management Board reports initial
details of its 2004 financial statements. These have been submitted to the company by
its auditors but have not yet been ratified by the company’s Supervisory Board. In
2004, Activa Resources AG generated revenues from sales of securities of EUR 149,000
and realised losses on these sales of EUR 18,100. Depreciation charges amounted to
EUR 404,300 which resulted in a loss of EUR 556,400. Thanks to this radical
restructuring Activa Resources AG is now in a position to move forward and generate
profits. The Management Board expects no further accounting measures to be required
in 2005 which result from the company’s legacy activities. Activa Resources AG’s
acquisition of 100% of Activa Resources LLC on January 1st 2005 was made in the
knowledge that Activa Resources LLC had spent almost 2 years putting together a
portfolio of drilling rights in known basins and was about to commence its drilling
operations. Since February 2005, Activa Resources LLC has made a highly positive start
to its drilling activities with its participation in 4 successfully drilled wells. Drilling
activities will continue over the coming months. The Management Board believes that
the total unrisked potential for the company’s projects is up to 12 million BOE with a
Net Present Value approaching USD 200m. The Management Board estimates that the
revenue potential of Activa Resources LLC for 2006 exceeds USD 10m. Funds raised
from the capital increase announced today will ensure that Activa can participate in the
initial development stages of all 12 projects.
The Management Board of Activa Resources AG provides the following project by
project update of its 12 oil and gas drilling projects.
Hidalgo Frio, Hidalgo County, Texas: The initial well has been drilled and casing set.
Completion operations are scheduled for July. The 2nd well in the program has been
proposed and is expected to commence drilling in August.
Pearsall Field, Frio County, Texas: Alamo Operating Co., operator of the Voss 'C' #1-H
has completed drilling both horizontal legs in the Austin Chalk and has released the
drilling rig. This second well in the Pearsall Field program was spud on 4/26/05 with
the first lateral being completed on 5/19/05 at a measured depth of 9385'(TVD 5635').
The second lateral was completed on 6/12/05 at a measured depth of 11,534'(TVD
5874'). A small acid clean-up job was performed in both laterals and the well currently
awaits completion. Production is expected to commence in July. The initial well
(Bennett-Brown) is currently producing approximately 75 barrels of oil per day and
250 barrels of water per day. The oil cut is increasing and the operator is changing out
the downhole pump to produce more fluid. It is anticipated that the oil production will
substantially increase and the water production decrease over the next few months.
AKG Giddings, Grimes County, Texas: The well continues to produce at a rate of
approximately 2 million cubic feet of gas per day and has produced approximately 500
million cubic feet of gas per day since its completion at the end of February.
Myers Barnett Shale, Jack County, Texas: Activity in the area is increasing and the
operator, Bayrock Energy is continuing its leasing activity. Bayrock is in line for a rig
and expects to move forward with the initial well in July. Activa’s engineer is currently
working with the pipeline company and working on the production facility design.
Double 7, Sterling County, Texas: The operator, Bright & Company, is waiting on a
drilling rig and expects to commence operations in July.
Geneva Project, Schleicher County, Texas: The operator, Parr Minerals, is waiting on a
drlling rig and expects to commence operations in July.
Loma Field, Galveston County, Texas: Geological and geophysical evaluation continues
on shallow features in and around the project area. It is anticipated that the operator,
Peoples Energy, will propose a well in the 4th quarter of 2005.
Grey Prospect, Calcasieu Parish, Louisiana: Project scheduled for 4th quarter 2005.
Caddo Waterflood, Jack County, Texas: Title work and leasing continues to put together
the project acreageNorth Orange, Orange County, Texas: The operator, Benchmark
Production Company proposed the drilling of a well to 9500 feet in the Chandler Unit
acreage. Activa did not elect to participate in the well. While the proposed well is a
reasonable prospect, after hi-grading, the associated costs and risk did not fit into
Activa’s current portfolio matrix and risk tolerance.
AKG-Tait, Colorado County, Texas: The permitting for the 3 D Survey has been
completed and the data acquisition is in process. AKG expects to complete the survey
and have the processed data sets by September.
Other Projects: Activa continues to evaluate new projects and measures against its
current inventory. Activa is currently negotiating for several additional projects.
