4.4 POWER OF ATTORNEY – PROCURAÇÃO

e existente de acordo com as leis do

outorgante), nomeia e constitui como seu

o n. ____, com escritório na Avenida ____,
n. ____, na Cidade e Estado de ____, República Federativa do Brasil, dando-lhe
autoridade e poderes para ser representante legal da outorgante no Brasil, junto aos órgãos governamentais (federal,
estadual e municipal), agências governamentais, empresas públicas e privadas, secretarias governamentais, Banco do Brasil, Cacex, Secex, Decex e Siscomex, Banco
Central do Brasil, agindo legitimamente
e de acordo com as leis brasileiras; representar judicial ou extrajudicialmente a
outorgante, requerendo e recebendo notificações, citações, judiciais ou extrajudiciais, em nome da outorgante; firmar
procurações contendo a cláusula ad judicia,
com poderes específicos para promover ou
desistir de todos os tipos de ações judiciais, reclamações e demandas; representar
a outorgante como quotista da sociedade EF do Brasil Ltda., podendo subscrever em nome da outorgante, as quotas da

(hereinafter referred to as grantor), hereby
constitute and appoint to be true and lawful
attorney Mr. CD, Brazilian, married, lawyer,
enrolled with the Identification Card – RG
under the number ____, with the CPF/MF
under the number ____ and with the
OAB/SP under the number ____, with office
at ____ Avenue, number ____, in the City
and State of ____, Federative Republic
of Brazil, giving him authority and powers
to be the legal representative of the
grantor in Brazil, before the governmental,
(federal, state and municipal) authorities,
governmental agencies, governmental
and private companies, public and private
joint stock companies, governmental
secretaries, Banco do Brasil, Cacex,
Secex, Decex and Siscomex, Banco Central
do Brasil, by acting lawfully and accordingly
to Brazilian laws; represent the grantor
judicially or extrajudicially, requesting and
receiving notices, citations, summons,
judicial and notarial citations on behalf
of the grantor; settle and sign power of
attorneys containing the clause ad judicia,
with special powers to file and finish all
kinds of lawsuits, claims and demands;
represent the grantor as a quotaholder
before the society EF do Brasil Ltda.,
subscribing on behalf of the grantor the
MANDATOS
EF do Brasil Ltda. e pagá-las integral ou
parcialmente, em dinheiro ou através da
transferência de ativos ou direitos, e assinar, pela e em nome da outorgante, quaisquer alterações do contrato social da EF
do Brasil Ltda. e/ou quaisquer atos societários, e ratificações dos mesmos, se necessárias, incluindo, mas não se limitando, a alteração do objeto social da EF do
Brasil Ltda. Qualquer outro ato contrário
ao objeto deste instrumento ou ao interesse da outorgante, bem como qualquer
outro tipo de liberalidade como prestação de garantias ou aval, não produzirão efeitos ou gerarão responsabilidades
para a outorgante. O presente instrumento
não poderá ser substabelecido, no todo
ou em parte, e terá validade de 01 (um)
ano a contar da data da sua assinatura.
No caso de conflito de interpretação entre a versão em inglês e português prevalecerá a versão em português.

quotas in EF do Brasil Ltda. and pay up
them, partially or completely, in cash or
by rights/assets transfer, and to execute,
on behalf of the grantor, all the amendments
of the act of incorporation and/or any
corporate acts of EF do Brasil Ltda., and
ratifications, if necessary, included, but
not limited to, the alteration of the
corporate objective of EF do Brasil Ltda.
Any act done by the attorney that is
contrary to the object or the interests of
the grantor, as well as any kind of gratuity
as guarantees or collateral signature, shall
not produce any effects or create any
liability to the grantor. The powers granted
in this power of attorney may not be
delegated, be it in parts or as a whole, to
any third party, and will be valid for 1 (one)
year from the date of the signature. In case
of conflict between the portuguese and
the english versions of this document, the
portuguese version shall prevail.
