ASSEMBLEIA GERAL EXTRAORDINÁRIA
Local, Data e Hora – A Assembleia Geral Extraordinária foi realizada na sede social, em
Porto Alegre, na Rua Capitão Montanha n.º 177, 4º andar, no dia 04 (quatro) de março de
2011, às 11h30min. Presenças – Pessoalmente ou por seus representantes legais,
compareceram acionistas titulares de ações ordinárias nominativas, perfazendo mais de
2/3 (dois terços) do capital com direito a voto. Presentes ainda, membros da
Administração. Composição da Mesa – Foi eleito para presidir os trabalhos o Sr. Odir
Alberto Pinheiro Tonollier, e para Secretário o Sr. Almir da Costa Barreto, assessorado
pela representante da Secretaria de Governança Corporativa, Sra. Thais Leite Chaves.
Convocação – O edital de convocação da assembleia foi publicado no Diário Oficial do
Estado – Caderno Indústria e Comércio, páginas 2, 3 e 2, no Jornal Zero Hora, páginas
45, 40 e 36, e no Valor Econômico, páginas C3, D5 e D3, das edições de 15, 16 e 17 de
fevereiro de 2011, respectivamente.
Ordem do Dia da Assembleia Geral
Extraordinária – 1) Eleger os membros do Conselho de Administração. Deliberações Eleição do Sr. Odir Alberto Pinheiro Tonollier, designado Presidente do Conselho de
Administração em Reunião de 14 de fevereiro de 2011, considerando a renúncia do Sr.
Ricardo Englert, destituição dos Srs. Mateus Affonso Bandeira – Vice-Presidente do
Conselho de Administração e Nelson Fábio Sbabo – Conselheiro de Administração, e
eleição dos Srs. Túlio Luiz Zamin e Flávio Luiz Lammel, cuja posse depende de
homologação pelo Banco Central do Brasil. Foi aprovada por maioria a proposição, sendo
eleitos como Conselheiros de Administração, os Srs. ODIR ALBERTO PINHEIRO
TONOLLIER, brasileiro, divorciado, economista, portador da Carteira de Identidade n.º
8008889027 SJS-RS, de 04.07.2005, e do CPF/MF n.º 257.977.780/68, residente e
domiciliado nesta Capital/RS, na Rua Álvaro Guterres, n.º 335, apto. 405, Bairro Tristeza,
TÚLIO LUIZ ZAMIN, brasileiro, casado, contador, portador da Carteira de Identidade n.º
5024906785 SSP-RS, de 14.12.87, e do CPF/MF n.º 232.667.590/87, residente e
domiciliado nesta Capital/RS, na Rua João Paetzel, n.º 1051, Bairro Vila Jardim e FLÁVIO
LUIZ LAMMEL, brasileiro, casado, contador, portador da Carteira de Identidade n.º

domiciliado nesta Capital/RS, na Rua Cel. Genuíno, n.º 403, ap. 504, Bairro Centro, para
completar mandato até a posse dos eleitos na Assembleia Geral Ordinária do ano de
2011, permanecendo inalterada a nominata dos demais Conselheiros. O acionista
controlador, Estado do Rio Grande do Sul, na forma estabelecida pelo parágrafo 1º do Art.
20 do Estatuto Social, indicou para Presidente e Vice-Presidente do Conselho de
Administração, respectivamente, os conselheiros ODIR ALBERTO PINHEIRO
TONOLLIER e TÚLIO LUIZ ZAMIN. Os eleitos para o Conselho de Administração estão
cientes das exigências do Banco Central para o exercício do cargo de Conselheiro de
Administração, na forma dos dispositivos legais. Nada mais havendo a tratar, já que
esgotada a Ordem do Dia, a Assembleia aprovou a lavratura desta Ata, na forma de
sumário dos fatos ocorridos e a sua publicação com a omissão das assinaturas dos
acionistas presentes, tal como facultam os parágrafos 1º e 2º do Art. 130 da Lei n.º
6.404/76. Encerramento: Pelo Presidente foi concedida a palavra aos presentes para que
dela fizessem uso, ninguém se manifestou e, esgotada a Ordem do Dia, foi determinada a
lavratura desta Ata, na forma autorizada pela Assembleia, em conformidade com os
