Die Bank wird den Kunden über die Gültigkeitsdauer seines Auftrags unverzüglich unterrichten. 7. Gültigkeitsdauer von Aufträgen zum Kauf oder Verkauf von Bezugsrechten Preislich unlimitierte Aufträge zum Kauf oder Verkauf von Bezugsrechten sind für die Dauer des Bezugsrechtshandels gültig. Preislich limitierte Aufträge zum Kauf oder Verkauf von Bezugsrechten erlöschen mit Ablauf des vorletzten Tages des Bezugsrechtshandels. Haftung der Bank bei Kommissionsgeschäften Die Bank haftet für die ordnungsgemäße Erfüllung des Ausführungsgeschäfts durch ihren Vertragspartner oder den Vertragspartner des Zwischenkommissionärs. Bis zum Abschluss eines Ausführungsgeschäfts haftet die Bank bei der Beauftragung eines Zwischenkommissionärs nur für dessen sorgfältige Auswahl und Unterweisung. Hierbei können Einzelorders mehrerer Vermögensverwaltungsdepots zu einem Sammelauftrag zusammengefasst werden. 31 ANHÄNGE UND ERLÄUTERUNGEN ZU DEN GRUNDSÄTZEN DER AUFTRAGSAUSFÜHRUNG A. Berücksichtigte Faktoren bei der Ermittlung des bestmöglichen Ausführungsplatzes Gemäß § 33a Absatz 3 WpHG ist für die Ausführung von Aufträgen eines Privatkunden das Gesamtentgelt als maßgeblicher Faktor zur Bewertung der Ausführungsplätze heranzuziehen. Sofern dieses Kriterium zu keinem eindeutigen Ergebnis führt, werden in einem nachfolgenden Schritt weitere Faktoren in die Untersuchung einbezogen. Diese sind neben der Ausführungsgeschwindigkeit, der Ausführungswahrscheinlichkeit auch die Abwicklungssicherheit. 1. Preis Die Möglichkeit, den bestmöglichen Preis zu erzielen, hängt unter anderem vom festgeschriebenen Preisfeststellungsmechanismus ab, welcher in den Regelwerken der Ausführungsplätze verankert ist. Hier ist beispielsweise festgelegt, ob die Preisfeststellung nach dem Auktionsverfahren stattfindet (sog. Order driven market) oder ob ein neutraler Marktteilnehmer (Skontroführer oder Market Maker) zwischengeschaltet ist (sog. Quote driven market). Weitere wichtige Einflussfaktoren auf den erzielbaren Preis sind neben der Liquidität des Ausführungsplatzes auch die Einbeziehung von Referenzmärkten, Quotierungsverpflichtungen und die Festschreibung einer maximalen Spanne zwischen An- und Verkaufskursen in den Börsenregularien. 2. Kosten Der Faktor Kosten besteht grundsätzlich aus den beiden Bestandteilen Fremdkosten und eigene Gebühren. In einem ersten Schritt zur Ermittlung der bestmöglichen Ausführung von Kundenaufträgen sind nach § 33 a Absatz 3 WpHG lediglich Fremdkosten zu betrachten. 32 (2.1) Die entstehenden Fremdkosten ergeben sich aus den anfallenden Transaktionskosten (z. B. Courtage, Transaktionsentgelt) und den Abwicklungskosten (z. B. Clearinggebühr, Liefergebühr). Diese Kosten können sich je Marktsegment und Ausführungsplatz unterscheiden. Entstehende Teilausführungen haben Einfluss auf die entstehenden Fremdkosten und sind entsprechend in der Untersuchung zu berücksichtigen. (2.2) Bei mehreren als gleichwertig erkannten Handelsplätzen zählen zu den Kosten auch die eigenen Gebühren und Provisionen der Landesbank Hessen-Thüringen. 3. Ausführungsgeschwindigkeit Unter der Ausführungsgeschwindigkeit wird jene Zeitspanne verstanden, die zwischen dem Vorliegen eines ausführbaren Auftrages und der Auftragszuteilung liegt. Für die schnellstmögliche Ausführung von Kundenaufträgen ist neben den jeweiligen Börsenöffnungszeiten auch die fortschreitende technische Unterstützung durch automatisiertes Matching, sog. Limit Control Systeme und dem Festschreiben von maximalen Ausführungszeiten in den Regelwerken der relevanten Ausführungsplätze maßgeblich. 4. Ausführungswahrscheinlichkeit Die Ausführungswahrscheinlichkeit eines Kundenauftrages hängt maßgeblich von der Liquidität am jeweiligen Ausführungsplatz ab. Hierbei ist es unerheblich, ob es sich um natürliche Liquidität handelt oder ob ein Skontroführer bzw. Market Maker Liquidität auf Anfrage bereitstellt. Durch die Einbeziehung von Referenzmärkten in die Kursfeststellung und die Festschreibung von Ausführungsverpflichtungen in den Regelwerken der relevanten Ausführungsplätze ergibt sich eine hohe Ausführungswahrscheinlichkeit. 5. Abwicklungssicherheit Unter dem Begriff der Abwicklungssicherheit subsumieren sich jene Faktoren, welche einen maximalen Anlegerschutz sicherstellen. Ist kein relevanter Ausführungsplatz verfügbar, so wird der zuerst erreichbare Ausführungsplatz gemäß Kapitel D herangezogen. Die Ausführungsgrundsätze für Privatkunden orientieren sich gemäß § 33 a Abs. 3 WpHG am Gesamtentgelt. Die Berechnung des Gesamtentgeltes erfolgt in zwei Stufen. Zunächst werden der Preis und die Fremdkosten in die Berechnung einbezogen. Kommt es als Ergebnis zu mehreren als gleichwertig erkannten Ausführungsplätzen, so werden unter dem Gesichtspunkt der Kosten zusätzlich auch eigene Gebühren und Provisionen der Landesbank Hessen-Thüringen in die Berechnung einbezogen. Kann ein Kundenauftrag nach Berücksichtigung des Gesamtentgeltes weiterhin an mehreren Ausführungsplätzen gleichermaßen bestmöglich ausgeführt werden, so werden in einem dritten Schritt die folgenden Faktoren zusätzlich in die Berechnung einbezogen: Ausführungsgeschwindigkeit Ausführungswahrscheinlichkeit Abwicklungssicherheit Diesen Faktoren wird eine gleichrangige Stellung zugesprochen. Factors taken into Account when Determining the Best Possible Execution Venue In accordance with section 33a sub-section 3 WpHG (German Securities Trading Act), the overall remuneration is to be used as a determining factor for the assessment of the execution venues when executing orders of a private individual investor. If this criterion does not yield a clear result, other factors are included in the examination in a subsequent step. These are, in addition to the speed of execution, the probability of execution and the security of execution. 1. Price The possibility of achieving the best possible price is, inter alia, dependent on the specified price fixing mechanism, laid down in the regulations of the trading venues. These regulations for instance specify whether price fixing is effected in accordance with the auction procedure (so-called order driven market) or whether a neutral market participant (exchange broker or Market Maker) is interposed (so-called quota-driven market). Other important factors influencing the price that can be achieved are, in addition to the liquidity of the trading venue, the inclusion of reference markets, quotation obligations and the specification of a maximum spread between bid and offer prices in the stock exchange rules and regulations. 2. Costs The factor ‘costs‘ on principle consists of the two constituents ‘Third-party Expenses‘ and ‘Own Fees‘. In an initial step for the determination of the best possible execution of client orders, only third-party expenses have to be taken into consideration in accordance with 33 a sub-section 3 WpHG. (2.1) Third-party expenses arise from the transaction costs incurred (e. g. brokerage, transaction fee) and the settlement costs (e. g. clearing fee, delivery fee). These costs may differ according to market segment and execution venue. Any partial executions have an influence on third-party expenses incurred and must accordingly be taken into account in the assessment. (2.2) In the case of several execution venues that have been determined as being equivalent, the costs also include own fees and commissions of Landesbank Hessen-Thüringen. 3. Speed of Execution The speed of execution means the period of time between the availability of an executable order and the allocation of the order. For the fastest possible execution of client orders, not only the relevant opening hours of the stock exchange but also the increasing technical support by automated matching, so-called Limit Control Systems and the specification of maximum execution times in the regulations of the relevant trading venues are authoritative. 4. Probability of Execution The probability of execution of a client order significantly depends on the liquidity at the relevant trading venue. In this connection, it is irrelevant, whether this is natural liquidity or whether an exchange broker or Market Maker provides this liquidity upon request. By including reference markets in the price fixing and specifying execution obligations in the rules and regulations of the major trading venues, this results in a high probability of execution. 5. Kündigt der Kunde, so werden die erhöhten Zinsen für die gekündigte Kreditvereinbarung nicht zugrunde gelegt. The bank can also return collection documents even before they become due under the same conditions. The reversal of the credit is also permissible if the documents cannot be returned. If the bank is responsible for that, it bears the damages resulting from it for the customer. If the bank gives notice of termination, it will take into reasonable account the justified interests of the customer and in particular will not give notice of termination at an inappropriate time. The notice period for termination by the bank of a framework contract for payment services (e.g. current account or card agreement) is at least two months. (2) Termination for Cause Notwithstanding any agreements to the contrary, both the customer as well as the bank can terminate the entire business relationship or individual types of business at any time with immediate effect if there is a cause, as a result of which the terminating party cannot be reasonably expected to continue the business relationship. (3) Notice of Termination in the case of Consumer Loan Agreements To the extent that the Civil Code contains mandatory special provisions for terminating consumer loan agreements, the bank can give notice of termination only in accordance with those provisions. (4) Legal Consequences in the Case of Notice of Termination (1) Voluntary institution protection The Bank belongs to the institutional protection scheme of the German Sparkassen-Finanzgruppe (Protection Scheme). The primary object of this Protection Scheme is to protect the affiliated institutions themselves and to avert any threatening or existing economic difficulties facing the same. The institution protection thus also protects customer deposits, including but not limited to savings deposits, Sparkassenbriefe, time deposits, sight deposits and bonds. (2) Statutory deposit guarantee The Protection Scheme is officially recognised as a deposit guarantee scheme in accordance with the German Deposit Guarantee Act (Einlagensicherungsgesetz – „EinSiG“). Should institution protection not operate successfully, contrary to paragraph 1, the customer is entitled to reimbursement by the Protection Scheme of its deposits as described in Section 2 (3) to (5) EinSiG up to the upper limit defined in Section 8 EinSiG. No entitlement to reimbursement exists according to Section 6 EinSiG amongst others for deposits established in connection with money laundering transactions, bonds in bearer form of the Bank and liabilities arising out of own acceptances and promissory notes. Upon the termination of the entire business relationship or individual types of business, the amounts owed under the relevant accounts shall become immediately due. The customer is also required to discharge and release the bank to that extent from all obligations assumed for the customer or on the customer‘s order. The bank is entitled to terminate obligations entered into for the customer or on the customer‘s order and to settle other 56 (3) Authority to furnish information The Bank is authorised to present all of the information and documents necessary in this connection to the Protection Scheme or to an authorized representative thereof. (4) Transfer of claims Insofar as the Protection Scheme or an authorized repre-sentative thereof makes payments to the customer, the latter‘s receivables vis-à-vis the Bank shall pass contemporaneously in a corresponding amount and with all ancillary rights to the Protection Scheme.
