PASAL 1
Tujuan
Tujuan dari Memoranr'• ..,... Saling Pengertian ini adalah peningkatan kerja sama

Kementerian Perindustrian , serta untuk menyediakan kerjasama teknik, terutama
untuk para wiraswasta dan pejabat Pemerintah.
PASAL2
Lingkup Kerjasama
Bidang kerja sama di bawah Memorandum Saling Pengertian ini akan mencakup
hal-hal yang merupakan kepentingan bersama Para Pihak sebagai berikut:
a. Meningkatkan kapasitas sumber daya manusia, memperkuat kemampuan,
institusional, dan melakukan program pelatihan khusus di sektor industri yang
potensial;
b. Memberikan informasi pada kebijakan industri tertentu dan menyediakan peluang
kerja sama pelatihan teknis ( pembangunan kapasitas, tenaga ahli, dan studi
kelayakan) bagi sektor swasta dan pejabat pemerintah dari Timor Leste pada
bidang-bidang tertentu yang disetujui oleh Para Pihak ;
c. Untuk mempromosikan produk-produk domestik Para Pihak;
d. Kegiatan-kegiatan Industrial potensial lainnya yang disepakati oleh Para Pihak.
PASAL 3
Tugas dan Fungsi Komite Teknis Bersama
1. Untuk pelaksanaan kerjasama, Para Pihak akan membentuk suatu Komite
Teknis Bersam a (selanjutnya disebut sebagai "KTB") dengan anggota yang
terdiri dari pejabat dan staf teknis dari kedua belah Pihak.
Tugas dan fungsi dari KTB adalah sebagai berikut :
a. Merumuskan, mengusulkan, dan menegosiasikan kerangka program-program
aksi dan anggaran terkait dalam pelaksanaan MOU;
b. Memantau dan mengevaluasi pelaksanaan program;
c. Melakukan Pertemuan KTB

PASAL4
Pengaturan Keuangan
1. Semua persyaratan keuangan pada pelaksanaan program Memorandum Saling
Pengertian akan dikoordinasikan dan dinegosiasikan melalui KTB. Pelaksanaan
akan dimulai setelah kedua belah Pihak telah menyepakati anggaran untuk
program potensial.

2. Kedua belah Pihak akan menerima dana dari pih1:1k ketiga untuk membiayai
program-program di bawah pendekatan triangular.
PASAL 5
Hak Kekayaan lntelektual
Para Pihak sepakat bahwa kekayaan intelektual yang timbul dari pelaksanaan
Memorandum Saling Pengertian akan diatur dalam pengaturan terpisah antara
!~edua belah Pihak
PASAL6
Kerahasiaan
1. Setiap pihak harus memperlakukan semua dokumen , informasi, atau data
lainnya yang dipertukarkan, diterima atau di5ediakan oleh Pihak untuk
pelaksanaan Memorandum Saling Pengertian ateiu perjanjian-perjanjian lainnya
yang dibuat sesuai dengan Memorandum Saiing Pengertian sebagai rahasia ,
kecuali disepakati lain secara tertulis oleh kedua belah Pihak;
2. Para pihak sepakat bahwa ketentuan Pasal ini akan terus mengikat antara Para
Pihak meskipun Memorandum Saling Pengertian diakhiri.
Ketentuan-ketentuan dari pasal ini tidak mengabaikan undang-undang dan
peraturan-peraturan dari kedua belah Pihak.
PASAL 7
Keterbatasan Kegiatan Personil
Setiap warga negara dari suatu pihak yang terlibat dalam kegiatan-kegiatan di
bawah Memorandum Saling Pengertian ini di Wilay:.ih pihak lain harus menghormati
dan tidak ikut campur dalam kemerdekaan polit1k, kedaulatan, dan keutuhan wilayah
pihak lainnya, dan menghindari setiap kegiatan yang tidak sesuai dengan maksud
dan tujuan dari Memorandum Saling Pengertian tersebut.
PASAL 8
Penyelesaian Sengketa
Setiap perseiisihan yang timbul dari rnterpretasi atau pelaksanaan Memorandum
Saling Pengertian akan diselesaikan secara damai melalui konsultasi dan negosiasi
antara Para Pihak.
PASAL 9
Amandemen
Memorandum Saling Pengertian diama:idemen de11gan kesepakatan bersama
secara tertulis oleh Para Pihak. Amandemen tersebut merupakan bagian yang tidak
~erpisahkan dari Memorandum Saling Pengertian.

PASAL1 0
Pemberlakuan, Durasi dan Pengakhiran
1. Memorandum Saling Pengertian diberlakukan pada saat penandatanganan.

Memorandum Saling Pengertian akan tetap berlaku untuk jangka waktu 3 (tiga)
tahun dan dapat diperpanjang dengan persetujuan tertulis dari Para Pihak.
3. Salah satu Pihak dapat menghentikan Memorandum Saling Pengertian selama
90 (sembilan puluh) hari sebelum tanggal penghentian yang diinginkan .
4. Penghentian Memorandum Saling Pengertian tidak akan mempengaruhi validitas
dan durasi program dan proyek yang sedang berjalan yang dibuat di bawah
Memorandum Saling Pengertian sampai selesainya program-program dan
proyek-proyek tersebut kecuali Para Pihak memutuskan lain.
SEBAGAI BUKTI, yang bertandatangari dibawah ini, diberikan wewenang oleh
masing-masing Pemerintah, telati menandatangani Pengaturan tekni~ pelaksanaan
ini.

memiliki kekuatan hukum yang sama. Dalam hal ini terjadi perbedaan penafsiran,

Objetivo
0 presente Memorando de Entendimento tern como objetivo a promoc;ao da cooperac;ao tecnica
industrial dos sectores industriais com potencial e atraves do apoio de outros ministerios
relevantes das Partes e de centros tecnicos da industria, bem como a prestac;ao de cooperac;ao
tecnica, especialmente para empresarios e oticiais do governo.
Artigo 2°
Ambito da Cooperac;ao
0 ambito da Cooperac;ao do presente Memorando de Entendimento pode incluir
temas de interesse mutuo:

a. Melhoria da capacidade dos recursos humanos. o fo1talecimento das capacidades
institucionais, e realizac;ao de programas de formac;:ao especfticos nos potenciais
sectores industriais;
b. Aconselhamento sabre politicas industriais especfficas e fornecimento de treino na area
da cooperac;:ao tecnica ( capacitas;ao de peritos e expertos e estudos de viabilidade),
oportunidades para os empresarios e oficiais do governo de Timor-Leste nos sectores
industriais selccionados acordados pelas Partes;
c. Promoc;:ao dos produtos nacionais das Partes:
d. Outras atividades polenciais da ind(1stria mutuamente concordadas pelas Partes.
Artiga 3°
Deveres e Func;oes de Com issao Tecnica Conjunta
I . Para a implementac;:ao da cooperac;:ao conjunta, as Partes estabelecerao uma Com issao
Tecnica Conjunta (a seguir denominada "JTC") composta por oficiais e peritos das
Partes.
2. Os deveres e fun<;6es da JTC sao os seguimes:
a. Formular, propor e ncgociar o ambito dos programas de ac;ao e o orc;:amento para a
sua execuc;:ao;
b. Acompanhar e aval iar a implernentac;:ao dos programas;
c. Realizac;:ao da reuniao tecnica anual da JTC, pelo menos uma vez por ano.

Financiamento
I. As condic;:oes linancciras sobre a implementac;:ao dos programas abrangidos pelo
presente Memorando de Entendimento serao coordenadas e negociadas atraves da JTC.

programas potenciais
2. As Partes podem aceitar financiamento de Terceiras Partes para financiar os programas
triangularmente.

Direitos da Propriedade Jntelectual
II
As Partes concordam que qualquer propriedade intelectual resultantes da implementas;ao deste
Memorando de Entendi mento sera submetido a um acordo separado entre as Partes.
Artiga 6°
Confidenc ia lidade
I . Cada uma das Panes deve tratar todos os documentos. infom1acoes ou quaisquer outros
dados trocados, recebidos ou fo rnecidos por uma Pane para a implementa9ao deste
Memoranda de Entendimemo ou quaisquer outros acordos celebrados nos termos deste
Memoranda de Entendimento sao entendidos confidenciais, salvo acordo em contrario e
por escrito das Panes;
2. As Partes concordam que os dispostos neste a11igo devem continuar a ser vinculativo
entre as Partes. apos a terminacao da val idade do presente Memoranda de
Entendimento;
3. A disposi9ao do presente artigo nao prejudica a legislacao e os regulamentos das Partes.

Limita9ao das atividades do pessoal
Os nacionais duma das Partes envo lvidos em atividades no ambito do presentc Memorando de
Entendimento no tcrritorio da outra parte de' em respeitar e nao interferir com a politica.
indepcndencia. soberania e integridade territorial das Panes. e evitar quaisquer atividades
Lncompativeis com o proposito e objetivos do presente Memoranda de Entendimento.
Artigo 8°
Resoluc;ao de Litigios
Qualquer litigio decorreme da interpretacao ou implementac;ao do presente Memoranda de
Entendimento sera resolvida arnigavelmente por rm:iu tie cu11:.ultas e negoc ia~oes entre as
Partes.
Artigo 9°
Altcrac;ao
0 presente Memorando de Entendimento poded ser alterado por acordo escrito entre as Pa11es.
Tai alteracao faz parte integrante dcste Memorando de Entendimento.

Artiga 10°
Emrada em Vigor, Dura9ao e Cessa9ao
I. Este Memoranda de Entendimento entrara em vigor ap6s a assinatura.
2. Este memoranda de Entendimento sera valido par um periodo de 3 anos, podendo ser
renovado por acordo escrito das Pattes.
3. Qualquer uma das Partes podera tenninar o presente Memoranda de Entendimento
informando a outra Parte com uma antecedencia minima de 90 (noventa) dias.
4. O termino deste Memorando de Entendimenro nao deve afetar a validade e a dura9ao
dos programas que estejam a ser implementados nem aos projetos realizados no ambito
deste Memoranda de entendimento, ate a finaliza9ao dos tais programas e projetos, a
nao ser que as panes o dcscjem.

THE MINISTRY OF INDUSTRY OF THE GOVERNMENT OF T HE REPUBLIC OF
INDONESIA
AND
THE MINISTRY OF COMMERCE, INDUSTRY AND ENVIRONMENT OF
THE DEMOCRATIC REPUBLIC OF TIMOR - LESTE
ON
INDUSTRIAL TECHNICAL COOPERATION
The Ministry of Industry of the Republic of Indonesia and the Miiiistry of Commerce,
Industry and Environment of the Democratic Republic of Timor - Les~e. hereinafter
referred to as "the Parties",
Recalling the Joint Communique concerning D:plomatic Relations between the
Republic of Indonesia and the Democratic Rep•J!)iic of Timor-Leste signed in Jakarta
on July 2nd, 2002;
Desiring to strengthen technical cooperation and friendly relations existing between
the Parties;
Considering the importance of cooperation to promote development in order to
improve the economic and social condition of the Parties;
Recognizing a common commitment to enhance the promotion of industrial technical
cooperation on the basis of equality, mutual respect a~d ,mutual benefit within tne
Parties capab ility.
Pursuant to the prevailing laws and regulations in their respective countries;
Have reached the following understanding
ARTICLE 1
Purpose
The purpose of this Memorandum of Understanding is the promoti on of Industrial
technical cooperation through potential industrial sectors with the facilitation of other

related ministries of the Parties and technical centers under the Ministry of Industry,
as well as to provide technical cooperation, notably for the entrepreneurs and
officials of the Government.
ARTICLE 2
Scope of Cooperation
The scope of cooperation under this Memorandum of Understanding may include
the following subjects of mutual interests:
a. Improving the capacity of the human resources, strengthening institutional
capabilities, and conducting specific train ing programs in the potential industrial
sector;
b. Advising to ~he specific industrial policies and providing training technical
cooperation (capacity building, experts, and feasibility study) opportunities for
entrepreneurs and government officials fror.1 Timor - Leste in the selected areas
agreed by the Parties;
c. Promoting the domestic products of the Parties;

Other potential Industrial activities as mutually agreed by the Parties.
ARTICLE 3
Duties and Functions of Joint Technical Committee
1. For the implementation of the cooperation the Parties will establish a Joint
Technical Committee (hereinafter referred to as "JTC") with the merr.bers
consisting of officials and technical persons ·a t the Parties.
2. DutiP.s and functions of JTC are, as follows :
a. Formulating, proposing, and negotiating the framework of action
and budget for the im plementation;

b. Monitoring and evaluating the implementation of the programs;
c. Conducti ng the annual and technical JTC meeting at least once a year

Financial Arrangements
1. Al! the financial conditions ~m the implementation of this Memorandum of
Understanding program shall be coordinated and negotiated through JTC. The
implementation shall commence after the Parties have agreed the budget of the
potential programs.

2. The Parties may accept funding frorn a third party to finance the

ARTICLE 5
Intellectual Property Rights
The Parties agree that any intellectual property arising from the implementation of
this Memorandum of Understanding shall be subject to a separate arrangement
between the Parties.
ARTICLE 6
Confidentiality
1. Each Party shall treat all documents, Informations, or any othe1 data exchanged,
received or supplied by the Party for the implementation of this Memorandum of
Understanding or any other agreements made purs uant to the Memorandum of
Understanding as Confidential, unless agreed otherwise in writing by the Parties;
2. The Parties agree that the provision of tliis Article shall continue to be binding
between the Parties notwithstanding the termination of this Memorandum of
Understanding;
3. The Provisions of this Article shall not prejudice laws and regulations of the
Parties
ARTICLE 7
Limitatio;1 of Personnel Activities
Any nationals of a Party engaged in activities under th is Memorandum of
Unde!"standing of in the Territory of the other Party shall respect and not interfere
with the political, independence. sovereignty, and territorial integrity of the latter, and
avoid any activities inconsistent with the purpose and objectives of this
Memorandum of Understanding.

Settlement of Dispute
Any dispute arising out of the interpretation or implementation of this Memorandum
of Understanding shall be settled amicably by consultations and negotiations
between the Parties.
ARTiCLE 9
Amendment
This Memorandum of Understanding shall be amended by mutual written agreement
by the Parties.
Such amendment shall form an integral part of this Memorandum of Understanding.

ARTICLE 10
Entry into Force, Duration an.d Termination
1. The Memorandum of Understanding shall enter into force upon signing.
2. This Memorandum of Understanding shall remain in force for a period of 3 (three)
years and may be extended by wr!tten agreement of Parties.
3. Either Party may Terminate. this Memorandum of Understanding for 90 (ninety)
days prior to the intended date of cermination.
4. The termination of this Memorandum of Understanding shall not affect the validity
and duration of any on-going programs and projects made under this
Memorandum of Understanding until completion of such programs and projects
unless the Parties decide otherwise.
IN WITNESS WHEREOF the undersigned. duly authorized there to by their
:-aspective Governments have signed th is Memorandum of Understanding.
Done in duplicate at Ministry of Industry on the fourth day of May 2016 in Indonesian,
English, and Portuguese. All text are being equally authentic. In case of any
divergence in interpretation, the English text shall prevail.
